Повний текст джерелаThe aim of this work is to identify within the provisions concerning the takeover bids a series of rules that seem to increase the problems dealing with the so-called “competition between systems”. Before trying to evaluate the impact of the so-called takeover bid directive on our system, we tried to evaluate the provision on the basis of the interests the EU legislator was pursuing. We decided not to leave out the potentially conflictual relation that may be created among all the parts involved in the operation during a hostile share raid. It was highlighted that in the beginning, the domestic legislator chose to follow a principle of continuity with respect to the discipline already adopted by means of the legislative Decree dated Feb. 24th 1998, n. 58 and the legislator did not use the possibility indicated in the directive to make the most controversial institutions, such as the passivity rule or the breaktrough rule, optional. Following the world economic crisis, each single company was allowed to modulate the defensive measures to be taken in order to face a possible undesired takeover bid or, in any case, one that was not previously agreed on. It is to be thoroughly deemed such as an extraordinary intervention, since, even if it may seem justified within the extremely serious financial crisis we are presently living, at the same time, it can lead corporate structures to close dangerously, thus making our economic system lose its attraction capacities in the long run. Moreover, following the negative reactions of the doctrine and the competent Authorities, the legislator modified the provisions on the matter again: thanks to the last measure adopted, the passivity rule comes back into the special legislation, but each single company can repeal in part by means of a measure called statutory opting-out. Due to the interests involved, it seemed it appropriate to verify whether the measures taken were proportionate to the goals to be achieved or if, instead, they were too burdensome for a market of corporate control willing to be contestable: it was taken into account the risk of permanently compromising also the free competition between undertakings, as one of the values of our system. The ultimate reference goes to those national measures taken that, through special powers given to the public authorities, reinforce the position of the latter in the social structure, thus altering the equal opportunities. The directive, by disregarding what should have been one of the goals for a provision in line with the harmonizing measures in the European corporate law, considers as a valid assumption the idea that such powers should be compatible with the discipline of the Treaties and such provision does not solve the issue of their neutralization with respect to takeover operations. Equal opportunities between undertakings, in the perspective presented in this work, may be altered in some systems where peculiar “anti-takeover measures” are in the provisions giving the State the right to exert special powers in those companies contrasting with the “one share one vote” principle. Ensuring the public authorities such powers, as some of the EU member States do in their legislations, is not only an obstacle to the mechanisms of market-based control turnover, but also to the free movement of capitals and to the right to establishment. The freedom of establishment of legal entities, provided for in the Treaty and made effective ponderously through relevant decisions of the Court of Justice, must be granted also in the control takeover of companies having their statutory headquarters in different member States. The directive has given the possibility to each single legislator to choose whether to adopt the passivity rule and neutralization measures, thus widening up the range of scenarios companies may have to face: therefore, the takeover bid discipline will be modulated differently according to the provisions in force in the State where the company has its registered office, but also as a consequence of the autonomous and reversible choices of the shareholders. The convergence on the criteria did not lead, apparently consciously, to a real harmonization and revealed some persisting lacks concerning the protection of small investors and savers in general. In order to plug such gaps each single member State must appeal to their legislations, thus emphasizing the competition between legislative systems. The EU rules, whose establishment was hard to achieve, may run the risk of losing their driving role with respect to the legislation in each single State and the afore mentioned rules may end up controlling provisions competing with each other.

Повний текст джерелаL’accesso alle reti infrastrutturali è questione cruciale per la concorrenzialità dei mercati. Alcune infrastrutture, infatti, non sono duplicabili per loro caratteristica naturale, o a causa degli enormi costi di costruzione, o per ragioni giuridiche. Questo lavoro affronta uno dei temi più controversi del diritto antitrust: l’applicazione delle norme sulla concorrenza, al regulated sector delle telecomunicazioni. Regulated sectors vengono considerati quei settori economico-produttivi nei quali, per ragioni di governo dell’economia o di altra natura, non vige un regime di libera concorrenza, poiché l’accesso al mercato, la formazione dei prezzi o, in generale, la condotta delle imprese sono soggetti a regole peculiari. La questione centrale ai fini della trattazione pone l’attenzione su una fattispecie specifica di natura anticoncorrenziale: l’abuso di posizione dominante. Specie nei settori recentemente liberalizzati (come quello delle telecomunicazioni), gli ex monopolisti, abituati per anni alla protezione offerta dal regime della esclusività delle reti, una volta che essa è stata eliminata, tendono a replicarne gli effetti tramite comportamenti escludenti, rifiutando ai concorrenti l’accesso a un’infrastruttura essenziale o pregiudicandone la permanenza nel mercato attraverso strategie predatorie. La ricerca, che contempla da un lato lo studio della cd. essential facilities doctrine – la quale stabilisce che il titolare dell’infrastruttura non duplicabile, la cosiddetta essential facility, in talune circostanze può essere obbligato a consentire a terzi di accedervi – si è dunque incentrata sullo studio delle fonti normative nei vari paesi delle normative primarie e secondarie attinenti ai modelli europei nonché quelli americani, con attenzione agli istituti che tutelano il mercato e la concorrenza, con specifico riferimento ai così nominati servizi a rete, ai cosiddetti incumbent che gravano su chi detiene una infrastruttura cd essenziale, sulla natura dei rapporti tra i detentori delle infrastrutture e gli operatori alternativi, su base commerciale e bilaterale, al potere delle Autorità di regolare determinati sbocchi commerciali. Повний текст джерелаThe present work is dedicated to the matter of the relationship between liberalization policies and their pro-competitive effects under the point of view of the market. The goal of the research is mostly pointed at the branch of the infrastructural public services, the feature of which is a good infrastructural set needed. The specific point of view assumed is, finally, that of the gas market. Starting by a dogmatic approach to the subject, the present study tries to find new paradigmatic solutions under the point of view of the public law, that’s why the research will show the intersection between public law (in its institutional aspects) and economic public law (with an eye to the institutional aspect again). Traditional concepts of administrative law such as “public service”, “local government of public service”, or “competition” will be obviously involved into the study. Mentions of commercial law will be showed also, particulary about public enterprise, in the many connotations it showed through the years (such as the new formula of in house providing, made up by UE jurisprudence and actually quite controversial). The work, finally, is reported to the so called multiutility corporations. The subject of the work, moreover, seems particulary interesting because it’s concerned to the institutional reformation brought by the introduction in the italian legal order of the UE competition principle, particulary for what concerns the gas-service regulation.

Повний текст джерелаThe research focuses on the analysis of the legal framework of the electric company, with particular reference to the commercial-law profiles. Firstly, it is analyzed the regulatory evolution of the subject through the study of progressive actions that have triggered market logics in a sector previously characterized by the widespread presence of a vertically integrated monopoly in all phases of the supply chain. In addition, it is reconstructed the national framework, particularly fragmented, regulating business activities in the reference sector, with the extension of the survey to the production of energy from renewable sources, extensively promoted by the legislator to reduce the environmental impact of traditional energy sources and to mitigate the problems related to external energy supply. With this in mind, the production of energy deriving from renewable sources is analyzed both as an independent business activity and as an activity related to an agricultural enterprise. The research continues with the analysis of the distortion effects on competition caused by the presence of a single network infrastructure. In this perspective, the study focuses on the examination of interventions aimed at favoring competition, focusing on four aspects: the provision of rules for access to the infrastructure, the imposition of non-interference obligations in the individual activities of the supply chain, the introduction of antitrust ceilings and the establishment of a specific independent Authority to monitor the electricity sector. Therefore, the research tries to identify the rules governing the electricity market, which are irrepressible even in a mature market context. Moreover, the research, starting from the well-known fact that energy costs have a significant impact on both private individuals and entrepreneurs, analyzes the most opportune forms of cooperation that can allow a reduction in the costs of energy. The analysis, therefore, explores typical forms of business cooperation in the electricity sector, which buy and/or self-generate energy, to be donated to private individuals and/or companies that belong to the group or/and members. Finally, the research analyzes the contract for the supply of energy, which includes not only the supply of a universal good but also any other aspect instrumental to the use of the service, including the connection to the network, the maintenance of the systems and the billing of consumption; particular attention is paid to transparency and information obligations in relations with the end customer, aspects related to the responsibility of the supplier in the event of interruption of supply and the fate of energy supply contracts following a financial crisis company, with particular reference to bankruptcy and to the composition with creditors.

Повний текст джерелаL’oggetto della ricerca ha carattere trasversale e, conseguentemente, l’attenzione non è stata focalizzata su di uno specifico istituto ma, più in generale, sul ruolo svolto dalla pubblica amministrazione nei vari momenti in cui lo svolgimento della funzione si intreccia con la tutela di interessi privatistici o di interessi generali quale è certamente la tutela della concorrenza nei mercati. Molto sinteticamente si può dire che il lavoro è stato suddiviso in tre macro aree. Nel primo capitolo mi sono soffermato sulla posizione dell’amministrazione e, in generale del soggetto pubblico, nell’economia di mercato, nella duplice veste di operatore che svolge un ruolo attivo attraverso lo strumento societario e di soggetto investito di una funzione di garanzia degli equilibri di mercato (focalizzando qui l’attenzione sulla funzione delle autorità garanti). Nel secondo capitolo ci si è concentrati sul ruolo della p.a. quale soggetto tenuto a garantire l’erogazione di servizi di interesse economico generale e, conseguentemente, l’analisi ha avuto ad oggetto la disciplina pro concorrenziale di stampo comunitario e le sue diverse declinazioni nell’ordinamento interno. Particolare rilievo è stato assegnato alla disciplina dei servizi pubblici locali dove è molto accentuata la tensione tra apertura al mercato, da un lato, e salvaguardia degli interessi pubblici sottesi ai servizi da erogare, dall’altro. Nel terzo capitolo l’analisi si è spostata sul ruolo dell’amministrazione quale operatore di mercato la cui attività contrattuale si caratterizza per numerosi profili di specialità rispetto alla disciplina normalmente applicabile ai rapporti tra privati. Sono stati svolti, quindi, alcuni approfondimenti in tema di responsabilità precontrattuale, sorte del contratto ad esito dell’annullamento del provvedimento prodromico di aggiudicazione e in relazione ad alcune vicende della contrattualistica pubblica che possono rappresentare un pericolo per le esigenze di tutela della concorrenza e di parità delle chances competitive dei vari soggetti privati interessati ad essere controparti negoziali della p.a.

Повний текст джерелаOur code is marked by cyclical uncertainties and contradictions in developing the local public services regulation, especially that of the economically relevant ones. The great attention for the local public services issue has depended on the unending and not always coherent production of regulations which has marked the field so much over the last decade that it has given rise to such a permanent state of reformation and transition that, as soon as a normative amendment was adopted, you started to wait for further interventions drawn up to correct, adjust, integrate it, if not even aimed at a complete reversal of it or, at least, to a redefinition of its time lag to enter into force, therefore triggering a sense of uncertainty about the juridical framework’s clearness and stability. The 142/1990 law defined public services as those services which have as an object the production of goods and activities aimed at realizing social goals and promoting the economical and civil development of local communities; such a definition has been drawn on the Compendium Code for the local authorities, legislative decree 267/2000. The first alteration to linger over is the concept itself of the local public service. If in the past the adjective “public” referred to the subject supplying the service, now the qualifying element is the object, that is the needs of the collectivity residing in a determined territory to be fulfilled. This leads to a rethinking of the role of the State in the local public services production: if the focus is on the need, it is necessary to characterize the subject that has the capabilities to fulfill it properly, being it public or private. If the monopolistic management of the past has produced inefficiencies and if the best efficiency is achieved through absolute competition, then a possible solution to guarantee a proper answer to the needs of the collectivity to satisfy can be the introduction of competition. Another element of instability has was introduced after the referendum of June 2011 which ended up sweeping away the whole normative set up applicable to all public local services, based on the 23-bis article of the Legislative Decree 112/2008. Hence the need for defining a new discipline, dictated by the 4th article of the Legislative Decree 138/2011, converted by alterations from the 148/2011 law, which was amended in turn and integrated many times between the end of 2001 and the first term of 2012. This amendment is going to be short-lived though becaus uncanstitutianal by the Caurt an J uly 20"' 2012 just while being stabilized, which has therefare re-apened - if ever clased - the process far the adaptian af an umpteenth new discipline far the public lacal services.
