Research on the labor impact of privatization usually equates the process to other types of restructuring processes, such as downsizing, mergers or acquisitions. It is argued that not unlike other restructuring processes, privatization is likely to generate organizational changes that may lead to major alterations in employment quality. Few studies, however, have investigated the labor effects of privatization and other restructuring processes in a comparative manner, especially in developing countries. The overall purpose of this dissertation is to contribute to the understanding of the labor consequences of privatization in developing countries. This objective is undertaken through an exploration of the association between privatization and other restructuring processes occurring within the Brazilian banking industry and changes in employment quality, i.e., fluctuations in wages, non-wage benefits and job security. The most basic premise guiding this study's comparative framework is that the process of privatization is likely to affect labor in unique ways, that is, generating employment quality changes unlike those occurring at other sectors undergoing alternative restructuring processes.
The sample consists of 476 respondents: employees (survivors) and ex-employees (retrenched) of public, privatized and private banks. Data were collected in 1998 by using a method of triangulation, i.e., surveys and in-depth semi-structured interviews. The principal results for this study confirm that changes in employment quality are more significant for workers associated with the privatized sector when compared to workers affiliated with other sectors of the Brazilian banking industry. Both quantitative and qualitative data for this study suggest that significant transformations in employment quality occurred as a result of privatization. It is further argued that the decline in employment quality after privatization can be conversely understood as a negative commitment on the part of Brazilian employers. This lack of commitment can be ultimately associated with a new developmental model with a particular type of economic orientation and specific form of labor organization based on flexibility.

This study examines privatization and valuation processes in the context of privatized state owned enterprises in Tanzania. It investigates the implementation of the privatization process and valuation methodology in a developing economy where the market system and its associated institutions are not fully developed. The objective of this study is twofold, first to investigate how the privatization process was carried-out towards the stated objectives and second to find out how asset valuation was carried-out in assisting decision-making at the ‘Presidential Parastatal Sector Reform Commission’ (PSRC). As a means to achieve the above objective, the study traces five interrelated aspects in the privatization process. The tracing attempted to find out whether or not the five aspects proceeded in ways that enabled attainment of the stated objectives. The five interrelated aspects included, Formulation of privatization strategy; Valuation methods; Valuation error; Buyers of State owned enterprises and Developments after privatization. The study found that strategy formulation being undertaken by PSRC did not promote higher competition, higher prices and higher government revenue; the present Valuation methodology as used by the Valuation firms engaged by PSRC did not improve certainty in the determination of reserve price; further that valuation estimates were not good proxies of sale prices; the issue of wider ownership participation by the people was far from being achieved; And that follow-up on changes of ownership and changes in the physical developments was lacking. Both privatization and valuation stand to yield expected results where the market system and its institutions are well developed and are functioning properly. Had there been reasonable and basic preparations prior to take off, privatization process in Tanzania could have been carried out in better ways and yielded better results than it is now

This thesis analyzes the effect of the privatization process on the telecommunications sector in Brazil. Given the international characteristic of this industry, this work dedicated great emphasis in understanding what are the main current issues in the telecommunications industry worldwide. Furthermore, it is investigated how other countries approached this major event - privatization and deregulation - of this critical sector for every society. Models and insights were then drawn and adapted to understand the Brazilian specific situation. It is examined the sector's current situation and its future trends in the Brazilian market after almost three years since the assets were auctioned and transferred to private hands. It is also discussed the potential industry scenarios in each major telecom segment. The conclusion is that a consolidation process is inevitable in order to reach economies of scale and scope in the system and hence guarantee a satisfactory return on the investments to the main players in the market.

ENGLISH ABSTRACT: The disposal of state assets is proceeding at a very slow pace in South Africa, mainly due to conflicting interests. On the one hand the business community supports privatisation and perceives the hesitance of government as a lack of commitment. On the other hand labour is opposed to privatisation, as to them it is synonymous with an increase in unemployment, will lead to price increases and the discontinuation of the extension of basic services to the poor. Government approaches each privatisation on a case-by-case basis and no definite decision on what should be done with the proceeds from privatisation has been reached. South Africa is currently in a position where it can learn from the models used in other developing countries. This study seeks to explore the unique method of privatisation used in Bolivia, namely capitalisation, and to determine which aspects can be applied in the South African context. Government did not receive the proceeds from the sale of the SOEs; it was reinvested in the enterprise to be used for development and expansion. Government relinquished control as the investor received 50% of the equity and full management control, while the remaining 50% of the equity was distributed to the general population through a private pension fund. In South Africa the state-owned enterprises are in dire need of recapitalisation to meet expansion targets and to remain competitive in the global environment. Even though the government is reluctant to relinquish control it is obvious that this will be inevitable to attract quality foreign investors. It is imperative that the necessary legal and regulatory structures be in place before embarking on the process. Effective regulation is especially important when exclusivity rights are granted to prevent public monopolies from being perpetuated as private monopolies. Involvement of the unions is important in the South African environment and has been formalised through the National Framework Agreement. South Africa is in a position to improve on the method used to distribute benefits to the general population in Bolivia. As in Bolivia, it would be senseless to let the population only benefit on retirement, considering the low life expectancy. The National Empowerment Fund was created to provide the previously disadvantaged access to shares of the privatised state-owned enterprises at a reduced price. The government should consider allocating 50% of the equity instead of the traditional 5 to 15%, to be held in individual portfolio accounts at no cost to individuals. Considering the importance of development in South Africa it is suggested that part of the revenue received from privatisation should be allocated to a fund, which can be used to expand services to the poorer communities and subsidise consumers who are unable to pay for these services. The present study investigates the impact of the privatization process on a sample of 125 privatized European companies, during the period 2001-2011. We compare company performance before and after the privatization process and evaluate the impact of changes in private shareholding on the performance of the privatized companies. Additionally, we investigate how different combinations of private participation and state participation influence company performance. We find that privatized companies reveal superior performance in the period after the privatization process and that increases in private participation have a positive impact in company performance. The results also show that there seems to be an optimal combination between state participation and private investment that maximizes company performance.
O presente estudo investiga o impacto do processo de privatização numa amostra de 125 empresas Europeias privatizadas, durante o período de 2001-2011. Comparamos o desempenho das empresas antes e depois do processo de privatização e avaliamos o impacto de mudanças na participação privada no desempenho das empresas privatizadas. Adicionalmente, investigamos como diferentes combinações de participação privada e participação do Estado influenciam o desempenho das empresas. Os resultados mostram que as empresas privatizadas revelam um desempenho superior no período posterior ao processo de privatização e que o aumento da participação dos privados tem um impacto positivo no desempenho das empresas. Os resultados mostram também que parece haver uma combinação ótima entre a participação do Estado e o investimento privado, que maximiza o desempenho da empresa.

A privatização de uma empresa é uma mudança empresarial disruptiva que geralmente coincide com o fim de uma posição de monopólio e da subsequente entrada num ambiente competitivo. Os desafios que a privatização coloca são tão árduos que eles levam muitas vezes a liderança (leadership) para executar planos ambiciosos de mudança empresarial. No entanto, a literatura mostra que muitos deles falharam. Na verdade, esses planos preveem mudanças bruscas e importantes que tendem a empurrar a empresa privatizada na armadilha de aceleração (acceleration trap). Um tipo de 'burnout organizacional' (organizational burnout) onde a exaustão e a resignação da força de trabalho afetam drasticamente o desempenho da empresa. A tese, portanto, focalizou em estudar a ligação entre um processo de privatização e o risco de cair na armadilha de aceleração. Uma investigação preliminar sobre a literatura das mudanças empresariais permitiu a concepção de um quadro preliminar teórico que sugere a existência de dois moderadores (moderators) deste relacionamento entre um processo de privatização e a armadilha de aceleração: um 'choque cultural' (cultural clash) e um 'fraco clima de liderança transformacional' (weak transformational leadership). Em seguida, um estudo de caso - baseado numa empresa de telecomunicações europeia e conduzido através de uma abordagem metodológico não puramente indutivo (non-purely inductive approach) - confirma, mas também aprofunda a compreensão da ação desses dois moderadores. A respeito do moderador 'choque cultural' (cultural clash moderator), a análise de dados do estudo de caso da empresa de telecomunicações europeia mostra a importância exercitado tanto por um 'choque de identidade corporativa' (corporate identity conflict) como por um 'conflito de identidade gerencial' (management identity conflict). Quanto ao moderador 'fraco liderança transformacional', a análise dos dados destaca o papel da 'falta de confiança na nova gerência' (lack of trust in the new management), mas também de 'sentido do trabalho' (lack of job sense), principalmente através da perda de 'orgulho no trabalho' (loss of proudness). Finalmente, a análise dos dados salienta que a 'não aceitação do novo sistema de incentivos' (non-acceptance of the new incentive system) afeta significativamente a relação entre a privatização e a armadilha de aceleração, contribuindo tanto para um 'choque cultural' como para um 'fraco clima de liderança transformacional'.
The privatization of a company is a disruptive shift that generally coincides with the end of a monopoly position and the subsequent entry into the competitive game. The challenges that it raises are so arduous that they tend to lead the leadership to execute massive corporate changes. Yet, the literature shows that many of them fail. In fact, those plans envisage abrupt and severe changes that tend to push the privatized company into the acceleration trap: a type of organizational burnout where the exhaustion and the resignation of the workforce affect dramatically the performance of the company. The thesis has therefore focused on studying the link between a privatization process and the risk of falling into the acceleration trap. An initial investigation into the corporate change literature has permitted to design a preliminary theoretical framework, which has suggested the existence of two moderators of the relationship between privatization and acceleration trap: a cultural clash and a weak transformational leadership climate. Then, a single case study - based on a European telecommunication company and driven through a non-purely inductive approach – has confirmed but also deepened the understanding of the action of those two moderators. Regarding the cultural clash moderator, the data analysis of the company’s case study shows the importance played by not only a corporate identity conflict but also by a management identity clash. With regard to the weak transformational leadership climate moderator, the data analysis highlights the role of lack of trust in the new management but also of job sense, particularly through a loss of proudness. Finally, it also derives from the data analysis that the non-acceptance of the new incentive system also significantly affects the relationship between privatization and acceleration trap by contributing to both a cultural clash and a weak transformational leadership climate.

The research discusses from a multidisciplinary perspective the policies of human resource management adopted by the a2a Group, a former public company. In particular, using Kaplan-Meier survival estimates and Cox PH models, several analysis on the human resource planning will be discussed from different points of view. Firstly, the promotion system in place inside each formal organization now part of the a2a Group will be considered. Afterwards, patterns of career advancement affected by the nature of activities will be analyzed. Lastly the promotion system will be studied starting from the different pay grade systems in place inside the Group. All the analyses will also adopt an historical perspective, and in particular the sample will be divided in the years before and after the privatization process that interested the company. Finally, the impact of other relevant covariates such as the job category, the level of education, gender, and tenure will be considered.

À la fin 2001, grâce au soutien des pays occidentaux, l’Afghanistan a connu un grand changement politique, économique et social.Sur le plan économique, une nouvelle orientation économique est apparue. Elle comporte deux volets : le changement du modèle économique et la façon dont ce changement est mis en oeuvre. Le modèle de l’économie de marché est constitutionnalisé. Le secteur privé est identifié comme un moteur du développement économique. En outre, une politique de réforme est mise en œuvre pour permettre la privatisation d’un certain nombre d’entreprises publiques, y compris DABM, produisant de l’électricité, et la cimenterie Ghori / Karkar.Ce sont les deux études de cas de la thèse. Selon le New Public Management (NPM), le passage au premier plan du caractère financier n’est ni considéré comme une rupture dans la logique de la poursuite des missions, ni comme une rupture dans la logique de la délégation de souveraineté aux organisations privées. At the end of 2001, thanks to the support of Western countries, Afghanistan has undergone great political, economic and social change.On the economic front, a new economic direction has emerged. It has two components: the change in the economic model and how this change is implemented. The market economy model is constitutionalized. The private sector is identified as a driving force of the economic development. In addition, a reform policy is implemented to allow the privatization of a number of public companies, including DABM, producing electricity, and the Ghori/Karkar cement plant. These are the two case studies of the thesis. According to the New Public Management (NPM), the move to the forefront of the financial character is neither seen as a break in the logic of the pursuit of missions, nor as a break in the logic of the delegation of sovereignty to private organizations. Despite their continuing importance to the UK economy and their employment of significant numbers of workers from a range of professions, the utilities have received scant attention from critical scholars of work. This neglect represents a missed opportunity to examine the impact of nearly twenty years of privatisation and marketisation on workers, their jobs and their unions. This thesis aims to make a contribution to knowledge here by investigating, contextualising and explaining changes in the labour processes of a privatised utility in the United Kingdom. The research is informed by oral history methods and techniques, rarely adopted in industrial sociology, and here used alongside labour process theory to reconstruct past experiences of work. Drawing on qualitative data sets, from in-depth interviews with a cohort of employees who worked continuously over three decades at the research site, British Gas’s Granton House, and on extensive company and trade union documentary evidence the research demonstrates how British Gas responded to restrictive regulation and the need to deliver shareholder value by transforming pre-existing forms of work organisation through introducing call centres. The call centre provided the opportunity for management to regain control over the labour process, intensify work and reduce costs. In doing so, the study identifies the principal drivers of organisational change, documents the process of change evaluates the impact on workers’ experience. Thus, as a corrective to much recent labour process theory the research offers both an ‘objective’ and ‘subjective’ account of change over an extended time. The contrast between workers’ experience of working in the clerical departments and in the call centre could not be starker. Almost every element of work from which workers derived satisfaction and purpose was abruptly dismantled. In their place workers had to endure the restrictive and controlling nature of call centre work. The relative absence of resistance to such a transformation is shown to be a consequence of failures in collective organisation, rather than the totalisation of managerial control, as the postmodernists and Foucauldians would have it.

The subject of this thesis is the comparison of the privatization process in the Czech Republic (former Czechoslovakia), Hungary and Poland. The starting point of the thesis represents an initial outline of the situation - for different initial conditions in each country significantly influenced the course and shape of the process. The main part of the thesis is an analysis of privatization processes in compared countries, with emphasis on their specific features and influences that affect the process significantly. At the conclusion there is a comparision of Czech, Hungarian and Polish version of privatization based on several criteria. Although it is difficult to classify the universally best privatization method, main advantages and disadvantages of different methods and serious mistakes committed by economic policy actors can be easily identified.

A key part of the transformation process of the Czechoslovak economy in the post-revolution period was privatization. It was an extraordinary and unique process of transfer of state property to private purchasers, which in terms of its scope and level of difficulty, not only historically unprecedented in the CR. Evaluation of the privatization process is still today the subject of the current discourse of ideas. The aim of this study is to evaluate the success of the privatization process of the Czechoslovak economy in the transition period and comparing this process with similar processes in other transition economies. Evaluated are individual partial privatization methods, as well as the privatization process as a whole. Attention is given to voucher privatization, its importance and status. Evaluated is the financial sector privatization, especially privatization of major banks. At the end is made final conclusion which is accompanied by a self-evaluation.

Privatization as the main attribute of transformation process brought benefits and costs; benefits in the form of speed, social justice, reduce abuse of political power and finally privatization of 60% of all businesses and the costs called by its critics as "tunneling of the state." The objective of this dissertation is to compare these revenues and costs and answer to the question whether we can consider the process of Czechoslovakia, respectively Czech privatization in the 1990s as successful. The main determinants of this process was not only the starting conditions, but even then the legal environment and the offered possibilities of privatization. The basic method of this thesis is the analysis of revenues and expenses. For the more objective evaluation I will use a comparison of the results of other emerging countries. Specifically, I will focus on Poland and Hungary, whose starting conditions are deemed as most comparable to ours.

The 90th years were a period of tranzition of Czech economy, whose a key part was the privatization. Specific initial situation of the Czech / Czechoslovak economy was the decisive point to choose historically quite unique privatization strategy of combining standard and nonstandard methods of privatization. This strategy would imply a number of advantages, but also some concerns. Particularly the use of previously untested voucher privatization brought some concern about potential negative impacts. The aim of this thesis is to evaluate the benefits and costs of the transformation privatization. It will be evaluated the privatization process itself as well as its longer impacts. Special attention is paid to the privatization of large state banks. In conclusion, partial results are summarized and it is said an overall assessment of privatization.

Esta pesquisa tem como tema investigar a resistência da classe trabalhadora bancária do Banespa contra a privatiza;ão da instituição no contexto da política neoliberal adotada no país. A pesquisa priorizou, especificamente, investigar a atuação da entidade representativa dos trabalhadores do Banco do Estado de São Paulo, a Afubesp-Associação dos Funcionários do Banespa. Destaca-se o movimento de resistência promovido pela associação dos trabalhadores, mobilizando a categoria bancária para impedir a privatização do banco. Neste processo, percebemos uma luta de classes entre capital e trabalho. Debatemos,nesta pesquisa, a conscientização política da vanguarda do movimento bancário, pois sua ofensiva possibilitou uma resposta positiva a sua atuação, juntamente com o sindicato da categoria em favor dos banespianos. Neste contexto, resgatamos um balanço histórico do movimento de resistência bancária, propondo uma análise crítica frente à mobilização desta categoria de trabalhadores. A relevância do estudo aponta para a análise de dados significativos sobre as transformações nas relações do trabalho bancário e enfoca a atuação de organismos de representação dos trabalhadores e do sindicato da categoria bancária, trazendo à memória valores intrínsecos à consciência de classe dos trabalhadores e da sua particularidade. The main objective of my diploma thesis is comprehensive analysis of the transition process in the Czech Republic with focuse on the second half of the nineties of the 20th century. In the first part I briefly analyse transition and privatization process in 1991 - 1996. Emphasis will be given to the selected concept of privatization and criticism. Then in a separate sub-chapter I critically judge the procedure of first and second wave of coupon privatization. The second part will be consist of an analysis of the financial crisis in 1996 - 1997 and I'll mainly deal with its causes and implemented measures. In subsequent chapters of the thesis I'll focus on the question of the so-called third wave of voucher privatization, privatization of banks and the role the National Property Fund and the Consolidation Agency. Chosen subject will be the result of the analysis of published sources, the latest literature and papers. An important part will be also studying of daily press and interviews with some economists, which are published or were in mass media. Finally I will try to get some personal interview with someone of the actors, who's involved in this a complex process.

This diploma thesis is divided into three parts. The first chapter deals with theoretical aspects of transformation and its objectives. Furthermore, characteristics of the previous system, a centrally planed economy, and its specifics in comparison with a market economy are explained; positives and negatives of the starting situation are described, through different theoretical approaches of transformation. In the second chapter, the reader can find explanation of the transformation process and concrete changes such as privatization, company restructuring, privatization of banking sector, liberalization and the topic of entrepreneurial environment and restructuring. The end of this chapter focuses on reforms, namely fiscal reform, retirement reform and public health reform. The third chapter is aimed to review the results of the transformation process. The analysis was done first by means of macroeconomic indicators, second, using transformation results published by EBRD, in comparison with other countries.

Este estudo analisa como foi conduzido o processo de privatização e reorganização do setor elétrico brasileiro entre os anos de 1995 a 2002, durante o governo de Fernando Henrique Cardoso. Busca entender qual era o modelo de concessões, interligação, tarifas, geração, transmissão, distribuição e comercialização da energia antes e depois da privatização, e quais foram as principais mudanças ocorridas. Discute qual foi o novo papel do Estado brasileiro no processo de privatização da energia vinculado ao capital internacional na reorganização e no controle deste patrimônio do setor elétrico, no qual várias empresas internacionais passaram a controlar grande parte das ações de empresas que até então eram organizadas e financiadas pelo Estado e construídas com esforço do povo brasileiro. Mostra como leis, agências, conselhos, associações e comitês técnicos para estudos de mercado foram criadas pelo Estado brasileiro para servir ao capital. Busca, também, entender como se consolidou a disputa pela base de elevada produtividade que é a hidroeletricidade e, ao mesmo tempo, como a estrutura industrial da energia foi combinada às estruturas do sistema financeiro, aumentando a exploração da força de trabalho no setor e transferindo lucros elevados dos consumidores cativos. Além disso, esse estudo discute como a tarifa de energia passou a ser a principal forma de sustentação do novo modelo que se instalou com as privatizações. Nos três capítulos desta dissertação foi analisada a história e a apropriação privada da produção social da indústria de energia pelo capital internacional, por meio do Estado brasileiro. Analisa-se, também, o processo de implantação do neoliberalismo e as privatizações na disputa intercapitalista mais ampla pela energia no Brasil, e assim como as consequências desse modelo para a sociedade brasileira, quais foram os seus resultados para os trabalhadores, atingidos por barragens, consumidores, acionistas e rentistas, bem como a posição que os mesmos ocuparam nesse processo.
This study was conducted to analyze the process of privatization and reorganization of the Brazilian electric sector between the years 1995 until 2002, during the government of Fernando Henrique Cardoso. Hereby I research the model of concessions, interconnection, fees, generation, transmission, distribution and commercialization of energy before and after privatization, and what were the main changes. This work debates the new role of the state within the energy's sector privatization process and it's connection with the international capital in the reorganization and control of the assets of the electricity sector of which several international companies took control over the majority of shares of companies that were organized and funded by the Brazilian State. It seeks to demonstrate how laws, agencies, boards, associations and technical committees for market research were created by the state to serve for the private capital; consolidating the dispute over the natural base of high productivity as hydroelectricity and at the same time as the industrial structure of energy was combined with the financial system structures, increasing the exploitation of the workforce in the sector and transferring high profits to captive consumers. Also, discuss how the energy fee has become and important element for the new privatized model. Within the three chapters of this dissertation the history and the private appropriation of the social production of the energy industry by international capitalists, through the Brazilian state is analyzed. It also examinates the neoliberalism deployment process and privatization in the wider inter-capitalist competition for energy in Brazil, as well as the implications of this model for the Brazilian society, what were the results for workers affected by dams, consumers, shareholders and rentiers, and the position thereof in this process.

Esta pesquisa analisa o processo de concentração de capital, através de fusões e aquisições de empresas privadas e públicas no Brasil, nos anos 90, devido as políticas neoliberais adotadas pelos governos Collor de Mello e Fernando Henrique. Nos anos 90, os programas neoliberais difundidos na América Latina, foram delimitados pelo Consenso de Washington e formalizados nos acordos entre o FMI e o Banco Mundial com os governos latino americanos. As orientações visavam a estabilização das economias dos países emergentes, a contenção de gastos e investimentos Estatais, restrição do papel do Estado, com a privatização de empresas, bancos, recursos minerais e energéticos, etc. Assim, a abertura comercial e as reformas econômicas promovidas no Brasil, com aumento da participação dos investimentos externos deflagraram fusões e aquisições entre empresas nacionais (chamadas transações domésticas), e transações realizadas por empresas estrangeiras (denominadas cross border). A participação de empresas estrangeiras superou o volume de negócios entre empresas nacionais em quantidade, volume e valores, causando debates sobre a desnacionalização da economia brasileira. Esta pesquisa analisa a concentração de capitais no movimento de fusões e aquisições das empresas brasileiras, avaliando os setores mais afetados e a formação de oligopólios, e as circunstâncias em que ocorreram essas transações no território nacional.
This research analyzes the process of capital concentration, through merger and acquisitions of private companies and public in Brazil, in years 90, had the neoliberal politics adopted by the governments Collor de Mello and Fernando Henrique. In years 90, the spread out neoliberal programs in Latin America, they had been delimited by the Consensus of Washington and legalized in the agreements between the FMI and the World Bank with the Latin American governments. The instructions aimed at the stabilization of the economies of the \"emergent countries\", the State containment of expenses and investments, restriction of the paper of the State, with the privatization of companies, mineral and energy banks, resources, etc. Thus, the commercial opening and the promoted economic reforms in Brazil, with increase of the participation of the external investments motivate merger and acquisitions between national companies (called domestic transactions), and transactions carried through for foreign companies (called cross border). The participation of business-oriented foreign companies surpassed the volume between national companies in amount, volume and values, causing debates on the denationalization of the Brazilian economy. This research analyzes the concentration of capitals in the movement of merger and acquisitions of the Brazilian companies, evaluating the sectors more affected and the formation of oligopolies, and the circumstances where these transactions in the domestic territory had occurred.

The dynamics that embrace organizations are related to their perpetuation and growth. This growth can be rulled in a organic process, otherwise, with major frequence in a contemporary world, by fusions and acquisitions. One type of acquisiton includes a public agent: the State. This process is knowing by privatization. The approach of this study is the privatization process of a large national company of the brazilian financial market, neither analysing the financial aspects, nor the market, but this work analyses the privatization process of Banco do Estado de São Paulo S.A. Banespa - focusing its organizational culture, by the analysis of the following constructs of organizational culture: socialization of new members, human resources policies, comunication process, organization of working process, historical aspects of company, values and feelings. The first step was a bibliographical research aiming contextualize the fusions and acquisitions processess, which privatization takes part. The research involves either globalization aspects, organizational culture, relations between culture and privatization and inner aspects of brazilian culture. The analysis process demanding two moments required to allow to evaluate the impacts the privatization process takes place in the organization culture: before and after privatization. The particularity of this study is on the informations that alow the analysis: they were obtained with Banespa exemployees, it means, old employees that worked in two moments in the organization: before and after privatization. To identify de cultural elements to be investigated in the study, the interviews were directive. The privatization process by the perception of the ex-employees was also analysed. The research with the old employees identifyed the banespiano figure, one of the most important cultural element, which also was analysed in both moments presented above. Join the bibliographical research, datas of company and the interviews, the author looks for showing the consequences of the privatization process, happened in the end of 2000, to the organizational culture of Banespa.(AU)
As dinâmicas que envolvem as organizações são relacionadas à perpetuação e ao crescimento delas. Esse crescimento pode ser pautado num processo orgânico ou, o que é mais freqüente no mundo contemporâneo, através de fusões e aquisições. Um dos tipos de aquisição envolve um agente público: o estado. A esse processo dá-se o nome de privatização. Este trabalho utilizou como foco o processo de privatização vivido por uma grande empresa do setor financeiro nacional não pelo seu lado financeiro, nem mercadológico. O trabalho analisou o processo de privatização do Banco do Estado de São Paulo S.A. Banespa - sob o aspecto de sua cultura organizacional. Foram analisados os seguintes constructos da cultura organizacional: socialização de novos membros, políticas de recursos humanos, processo de comunicação, organização do processo de trabalho, histórico da empresa, valores e sentimentos. Primeiramente foi realizado um levantamento bibliográfico a fim de contextualizar os processos de fusões e aquisições, nos quais a privatização se enquadra. Foi realizado um levantamento relativo aos aspectos ligados à globalização, à cultura organizacional, à relação cultura e privatização e aos aspectos ligados à cultura brasileira. A análise foi realizada em dois momentos, para permitir a avaliação dos impactos provocados pelo processo de privatização na cultura da empresa: antes e depois da privatização. A particularidade deste trabalho está no fato de que as informações relativas ao processo foram obtidas junto a ex colaboradores do Banespa. Foram selecionados antigos funcionários que viveram ambos os momentos. As informações para análise saíram de entrevistas roteirizadas para a identificação dos elementos culturais a serem investigados. Entre os dois momentos foi descrito e analisado também o processo da privatização pela ótica dos antigos colaboradores. A pesquisa identificou a figura do banespiano como um importante elemento cultural, que também foi analisado nos dois momentos apresentados. Com a análise das entrevistas, o autor procurou identificar as conseqüências para a cultura organizacional do Banespa do processo de privatização ocorrido no final do ano 2000.(AU)

With the process of financialization of the economy, companies are reorganizing themselves. In front of this, the present work has as main objective observe the process of financialization and its impact on the social structure of a company that went through the privatization process. Also, analyze in the corporate environment, (the new) forms of organizational management and production, as well its key actors and their forms of interrelationship. This work is based on Political Economics, with studies in the financialization process rooted in culture, history and policy of a company that has undergone in a series of transformations. This research develops how the company changes its conception of control, and how this change has an impact in its overall structure. Thus, the scope of this work focused on an exploratory study in Eletropaulo. The central importance of the study in the Brazilian electric sector is that this sector has undergone to the most radical changes in the financialization since 1990. However, any research on the built of the executive s careers, in this Brazilian context, has been done so far. The analysis of curriculum is the most important contribution from this case study research. As a research procedure of this work, were combined quantitative and qualitative methods. In order to analyze the careers of executives of AES Eletropaulo, were collected the curriculum of the Board and Directors, since its appearance as state-owned company in 1979 to the year 2012. It is applied a cumulative frequency analysis and other correspondence multiple analysis to study these curricula. Also, to see how the company was restructured as a whole after the change of ownership, were used other qualitative tools, such as questionnaires and interviews to key players in the buying and selling process. To develop this thesis, the case study will be separated into three parts. In the first are analyzed and presented data, in the form of graphs, related to the performance indicators of the company's case over his years before and after privatization. The second part is related to the new organizational management, which refers to the shareholding after the sale of the company, thus, opens up the discussion to the internationalization of ownership and National Development Bank in Brazil - BNDES, being the major shareholders of AES Eletropaulo an international company and BNDES. And in the third, the focus is on the analysis of the careers of executives of this company, and how they constructed and reconstructed their careers after major changes. As result, it was observed that the case company has undergone a series of transformations, including the creation of a new identity. The Government acts in two different moments at the same company. It is observed in this study that the pressure of these new owners have consequences in organizational design and composition of the power of the company to a search for maximization of the value of the company. And the executives of the company had to find ways to rebuild their careers in accordance with the new financial logic at the moment. The present analysis also extends to the electricity utility workers and their vulnerabilities occurred by the financialization process.
Com o processo de financeirização da economia, as empresas vêm se reestruturando. Diante disso, o presente trabalho tem como objetivo central observar o processo de financeirização e seus impactos na estrutura social de uma empresa que passou pelo processo de privatização. Além disso, o trabalho procura analisar, em âmbito corporativo, as (novas) formas de gestão organizacional e da produção, bem como seus atores-chave e suas formas de inter-relação. Este trabalho é baseado na Economia Política, com estudos no processo de financeirização enraizados na cultura, história e política de uma empresa que passou por uma série de transformações. Esta pesquisa investiga como a companhia muda sua concepção de controle, e como esta mudança acaba por influenciar sua total estrutura. Para tanto, o escopo desta tese se concentrou em um estudo exploratório na AES Eletropaulo. A importância central do estudo no setor elétrico brasileiro é que esse setor tem sido sujeito a transformações mais radicais na financeirização desde 1990. No entanto, nenhuma pesquisa sobre as carreiras construídas de dirigentes nesse contexto brasileiro tem sido feita até agora. A análise de currículos é a mais relevante contribuição do estudo de caso desta pesquisa. Como procedimento de pesquisa deste trabalho, combinaram-se os métodos quantitativo e qualitativo. A fim de analisar a carreira dos dirigentes da AES Eletropaulo, foram coletados os currículos do Conselho Administrativo e da Diretoria, desde o seu surgimento como empresa estatal em 1979, até o ano de 2012. Foram aplicadas uma análise de frequência acumulada e outra de correspondência múltipla para estudar esses currículos. Além disso, para verificar como a empresa se reestruturou como um todo após a mudança de propriedade, foram usadas outras ferramentas qualitativas, como questionário e entrevista para os principais atores do processo de compra e venda. No desenvolvimento desta tese, o estudo de caso será separado em três partes. Na primeira são analisados e apresentados dados, em forma de gráficos, referentes aos indicadores de desempenho da empresa caso ao longo de seus anos. A segunda parte está relacionada a história da empresa nos período antes e após privatização, e a nova gestão organizacional, que remete à composição acionária após a venda da empresa; desse modo, neste momento, abre-se a discussão em relação à internacionalização de propriedade e ao Banco Nacional de Desenvolvimento BNDES, sendo os maiores acionistas da AES Eletropaulo uma empresa estrangeira e o BNDES. Na terceira parte o foco é voltado para a análise das carreiras dos dirigentes dessa companhia, e como são construídas e reconstruídas as suas carreiras após grandes transformações. Como resultado, foi possível observar uma série de transformações que a AES Eletropaulo sofreu, inclusive com a criação de uma nova identidade. O Governo agiu em dois momentos diferentes nesta mesma empresa e esta pesquisa infere que a pressão desses novos donos tem consequências no desenho organizacional e na composição do poder da empresa para uma busca pela maximização do valor da companhia. Os dirigentes da empresa tiveram que buscar formas de reconstruir suas carreiras de acordo com a nova lógica financeira no momento. A presente análise ainda se estende para as carreiras dos trabalhadores do setor elétrico e suas vulnerabilidades ocorridas pelo processo de financeirização.

The present work has as objective to analize the main changes that occur in the organizational culture of a State Bank that passed for a privatization process, and today are part of a private banking group, with the perspective of the organizational culture based on the Model of Architecture of the Organizational Culture - LANDMARK. The model Landmark brings the culture as a social construction of the collective body, that reflects the auto-image of an organization. The research is characterized as a study of case of descriptive exploratory approach and purely qualitative boarding. The citizens of the research had been the collaborators who had worked in the State Bank and today are placed in the agencies of the Private bank. For collection of the data it was used of half-structuralized interviews. The technique used for interpretation of the data was the analysis of content of Bardin (1977). The results of the carried through interviews had shown that the organizational culture presented well significant changes in all the studied dimensions. In the transition process, the collaborators had lived deeply new practical administrative who had forced a change of behavior in the day the organizational day, resulting in a cultural renewal. One of the main aspects desencadeadores of all mannering process occurred in the dimension necessities with the perspective change that previously the collaborators had its functional stability and currently the main changes in the too much dimensions fight for its permanence in the organization stimulating. In the dimension values, the collaborators had had that to disconfirmed or to substitute the existing values in the State Bank and to assume the new values of the Private bank. As for the dimension knowledge, the collaborators are stimulated by the organization to have a professional formation and search as many common knowledge s how much specific therefore they consider that its current function requires a bigger gamma of knowledge. Finally in the dimension abilities, it was evidenced that when stimulating the professional formation of its collaborators, the company is increasing the intellectual level of each one, with this improves each time its abilities techniques.
O presente trabalho tem como objetivo analisar as principais mudanças que ocorrem na cultura organizacional de um Banco Estadual que passou por um processo de privatização, e hoje faz parte de um grupo bancário privado, com a perspectiva da cultura organizacional fundamentado no Modelo de Arquitetura da Cultura Organizacional - MARCO. O modelo Marco traz a cultura como uma construção social do corpo coletivo, que reflete a auto-imagem de uma organização. A pesquisa caracteriza-se como um estudo de caso de enfoque exploratório descritivo e abordagem puramente qualitativa. Os sujeitos da pesquisa foram os colaboradores que trabalharam no Banco Estatal e hoje estão alocados nas agências do Banco Privado. Para coleta dos dados utilizou-se de entrevistas semi-estruturadas. A técnica empregada para interpretação dos dados foi a análise de conteúdo de Bardin (1977). Os resultados das entrevistas realizadas mostraram que a cultura organizacional apresentou mudanças bem significativas em todas as dimensões estudadas. No processo de transição, os colaboradores vivenciaram novas práticas administrativas que forçaram uma mudança de conduta no dia a dia organizacional, resultando numa renovação cultural. Um dos principais aspectos desencadeadores de todo processo comportamental ocorreu na dimensão necessidades com a mudança de perspectiva que anteriormente os colaboradores tinham sua estabilidade funcional e atualmente lutam pela sua permanência na organização impulsionando as principais mudanças nas demais dimensões. Na dimensão valores, os colaboradores tiveram que desconfirmar ou substituir os valores existentes no Banco Estadual e assumir os novos valores do Banco Privado. No que se refere à dimensão conhecimentos, os colaboradores são incentivados pela organização a ter uma formação profissional e buscam tanto conhecimentos gerais quanto específicos pois consideram que sua função atual requer uma gama maior de conhecimentos. Por fim na dimensão habilidades, constatou-se que ao estimular a formação profissional de seus colaboradores, a empresa está aumentando o nível intelectual de cada um, com isso aprimora cada vez suas habilidades técnicas.

A ideia central desse estudo tendo como problemática de partida a identificação se ocorre a percepção por parte dos atores sociais em relação ao processo de privatização da água e de que forma ocorre. Buscou-se observar as possíveis alterações sociais do cotidiano local. Sustenta-se o assunto na preocupação mundial que se tem em relação a água e sua gestão, uma vez que o acesso a água potável é um direito humano essencial para vida, necessitando ser preservado e universalizado. A centralidade da tese está na percepção dos sujeitos. Destaca-se que a chamada privatização, é um processo de concessão da água por meio de licitação pública. Para verificar a problemática utilizou-se de material documental e a pesquisa empírica. O estudo constatou que, a partir dos dados colhidos, a ideia de que não haja percepção do processo não é, em nada, evidenciada. A hipótese inicial do trabalho não foi comprovada. A percepção existe, sim, e pode ser não favorável, como verificado com mais intensidade em Cochabamba, ou mais favorável, como se é o caso de Uruguaiana. Para a concretização do estudo, realizou-se uma exposição documental sobre o processo de privatização da água ocorrido em Cochabamba na Bolívia e a sua recepção pelos atores e também no Brasil, optando-se em realizar a pesquisa em Uruguaiana (em dois momentos 2012 e 2013), pois foi o primeiro município do Rio Grande do Sul em que ocorreu a concessão da água para uma empresa privada. Em Uruguaiana constatou-se a existência de percepção e de um consenso entre os atores com a satisfação e melhoria da qualidade da água e serviços prestados pelo gerenciamento da água por uma empresa privada, sendo positivas as alterações sociais ocorridas até o momento, como a maior conscientização e participação social nas questões sociais, além de observar-se "in loco" a satisfação com a as políticas públicas realizadas pela administração pública municipal. Em relação a metodologia empregada foi por meio de uma pesquisa descritiva, exploratória e os dados coletados foram analisados qualitativamente.
The central idea of this study as having problems starting if the identification is the perception on the part of social actors in relation to the privatization of water and how it occurs. We attempted to observe possible changes every day social site. It is held on the subject worldwide concern that has been compared to water and its management, as access to clean water is a human right essential to life and needs to be preserved and universalized. The central thesis is the perception of the subject. It is noteworthy that the called privatization process is a water concession through public bidding. To verify the problem was used documentary material and empirical research. The initial hypothesis of non-perception process is not sustainable from the data collected. There is a perception of the process, and this perception goes in two ways: in Cochabamba the perception of the process is a negative perception, while in Uruguaiana there is a favorable perception of the privatization process that is occurring. In carrying out the study, there was a documentary exhibition on the process of privatization of water held in Cochabamba in Bolivia and its reception by the actors and also in Brazil, opting in to search on Uruguaiana (on two occasions in 2012 and 2013) because it was the first city of Rio Grande do Sul in which occurred the water concession to a private company. In Uruguaiana found the existence of perception and consensus among stakeholders with the satisfaction and improvement of water quality and services provided by water management by a private company, with positive social changes yet occurred, as the largest awareness and social participation in social issues, and observed "in situ" satisfaction with public policies carried out by municipal government. Regarding the methodology used was through a descriptive, exploratory and the data collected were analyzed qualitatively.

Resumo: Este trabalho de tese introduz, no estudo do processo de eletrificação, o conceito de politização dos serviços de energia elétrica. O texto inicialmente discute a noção de indústria de energia elétrica e ao mesmo tempo coloca em relevância alguns temas centrais do recente processo de privatização e desregulamentação dessa indústria no Brasil. Além do mais, informa os métodos que são utilizados para pesquisar os problemas políticos e sociais na era da reestruturação da indústria de eletricidade. Em seguida, são feitas duas retrospectivas: a primeira recai sobre a singular história de Goiás, ressaltando a construção das modernas cidades, Goiânia, a nova capital do Estado (nos anos 1930), e Brasília, a da República (nos anos 1950). Cabe também destaque à criação do Estado do Tocantins em 1988 e a recomposição do quadro político regional pós-regime militar até os dias atuais. A segunda reconstitui o processo de implantação de usinas, das linhas de transmissão e de distribuição de eletricidade em Goiás e no Distrito Federal ao longo do século XX. Neste processo, destaca-se a criação das empresas pioneiras de eletricidade, a ação dos grupos estrangeiros LIGHT e AMFORP, a intervenção dos governos estadual e federal através da criação da CELG e da CEB, além de FURNAS, da CEMIG, da ELETROBRÁS e da ELETRONORTE. Esta retrospectiva alcança o recente processo de desregulamentação dos negócios da indústria de energia, procurando introduzir a discussão sobre as licitações do patrimônio elétrico e dos novos projetos hidrelétricos a serem instalados. Os resultados das pesquisas de campo, das consultas realizadas no Ministério Público Estadual e Federal, das visitas periódicas às bibliotecas e das participações em congressos e seminários são apresentados nos três últimos capítulos. No conjunto, esta investigação enfoca a composição e o conflito de interesses capitalistas pelos novos projetos hidrelétricos recentemente licitados pela ANEEL. São analisados os projetos hidrelétricos localizados nos rios Araguaia, Claro, Verde, São Marcos e o processo de instalação do empreendimento de Corumbá IV. Por último, o foco analítico recai sobre poderosos grupos econômicos nacionais e estrangeiros que disputam atualmente o mercado e o patrimônio de energia elétrica em Goiás. Nesta análise, relevam-se os problemas do passivo social e ambiental das obras já instaladas das usinas de Cachoeira Dourada, de Serra da Mesa e de Cana Brava. Conclui-se este trabalho afirmando-se que o processo de mercantilização dos serviços públicos de eletricidade fez da vasta maioria da população a sua vítima e não a sua beneficiária. A continuidade desta lógica provoca rapidamente o esgotamento dos recursos naturais, além da expropriação das terras dos pequenos proprietários ribeirinhos
Abstract: The present thesis incorporates the concept that the electrification process, while a technical and economic process, has also an important social and politic aspecto The text begins with an overview of the electric power industry and with the mechanisms of its recent transformation in the Brazil through the privatization period, and informs the methods adopted in the research on the political and social problems associated with this process. Subsequently, two retrospectives are made: the first one relapses on the State of Goiás singular history, jutting out the construction of the modem cities of Goiânia, the new capital of the state (in the 1930's), and Brasília, the capital of the Republic (in the 1950's). In detach, also the creation of the new state of Tocantins in 1988 and the recomposing of the regional politic scene after military regime unti1 the present days. The second retrospect reconstitutes the process of implantation of the power plants, the transmission lines and the electricity distribution in Goiás and in the Federal District throughout the 20th century. In this process, detaches the pioneer e1ectricity enterprises creation, the action of the foreign groups LIGHT and AMFORP and the intervention of state and federal govems through CELG an CEB creation, as well as FURNAS, CEMIG, ELETROBRÁS and ELETRONORTE. The retrospect attains the recent deregulation process of the energy industry business, looking over to introduce the discussions about the outbidding of the settled electric patrimony and the new hydroelectric projects to be settled. The results from the field research, the consultation realized in the State and Federal Public Ministry, the periodic visits to libraries and the participation in congresses and seminaries are presented in three chapters. In conjoint, the investigation focuses the composition and the capitalist's interests' conflicts for the new hydroelectric projects recently outbid by ANEEL. In a first moment, hydroelectric projects in the Araguaia, Claro, Verde and São Marcos rivers are analysed. Subsequently, it's studied the installation process of the Corumbá IV hydroelectric project in the Corumbá River. At last, an analytical focus relapses over national and intemational powerful economic groups, which presently dispute the energy market and patrimony in Goiás. In this analysis, it's revealed problems in the ambient and social passives in the settled works of Cachoeira Dourada, Serra da Mesa and Cana Brava works. This work is conc1uded affirming that the mercantilization process of the electric public services didn't benefit most of the population, but made them a victim. The continuity of this logic rapidly provokes the nature resources exhaustion and the exploitation of the work power, as well as the land expropriation of the rural small owners

This thesis draws on David Harvey’s concept of “accumulation by dispossession” and an international political economy (IPE) approach centred on the institutional arrangements and power structures that privilege certain actors and values, in order to critique current capitalist practices of primitive accumulation by the global corporate extractive industry. The thesis examines how accumulation by dispossession by the global extractive industry is facilitated by the “free entry” or “free mining” principle. It does so by focusing on Canada as a leader in the global extractive industry and the spread of this country’s mining laws to other countries – in other words, the transnationalisation of norms in the global extractive industry – so as to maintain a consistent and familiar operating environment for Canadian extractive companies. The transnationalisation of norms is further promoted by key international institutions such as the World Bank, which is also the world’s largest development lender and also plays a key role in shaping the regulations that govern natural resource extraction. The thesis briefly investigates some Canadian examples of resource extraction projects, in order to demonstrate the weaknesses of Canadian mining laws, particularly the lack of protection of landowners’ rights under the free entry system and the subsequent need for “free, prior and informed consent” (FPIC). The thesis also considers some of the challenges to the adoption and implementation of the right to FPIC. These challenges include embedded institutional structures like the free entry mining system, international political economy (IPE) as shaped by international institutions and powerful corporations, as well as concerns regarding ‘local’ power structures or the legitimacy of representatives of communities affected by extractive projects. The thesis concludes that in order for Canada to be truly recognized as a leader in the global extractive industry, it must establish legal norms domestically to ensure that Canadian mining companies and residents can be held accountable when there is evidence of environmental and/or human rights violations associated with the activities of Canadian mining companies abroad. The thesis also concludes that Canada needs to address underlying structural issues such as the free entry mining system and implement FPIC, in order to curb “accumulation by dispossession” by the extractive industry, both domestically and abroad.

The property relations reforms are seen as the main elements of the post-socialist market transformation. As a result of the economic reforms carried out in the Russian Federation during the last ten - fifteen years, the fundamental changes of the ownership structure have occurred: the enterprises of different ownership forms have appeared, gradually the efficient owner and efficient corporate governance structures are appearing, the state is accumulating experience in carrying out economic policy in capitalist market economy. The aim of the thesis is to examine the process of privatization in the Russian Federation during the period of 1992-2001. Telecommunication and information technology experienced significant improvement since the 1980’s. Consequently, this technology advancement enables the diversification of communication service provision. As the numbers of consumers and telecommunication products are rapidly increasing, a single company could no longer provide telecommunication service efficiently. To improve the provision and the quality of telecommunication services, many countries started to liberalize their telecommunication industry. Taiwan government started the deregulation on telecommunication industry on August 8th, 1987. The telecommunication service that was once monopolized by Chung-Hwa Telecom Ltd is now open for competition. Immediate results following the entry of competitive firms into the industry include more product choices and cheaper rates. To improve it’s efficiency and therefore it’s competitiveness, Chung-Hwa Telecom Ltd started its privatization process since July 1st, 1996. The purpose of this study is to investigate the impact of liberalization/privatization sequencing on efficiency in the telecommunication industry. Using data published by the ITU (International Telecommunication Union), this study found that: 1. Liberalization/privatization sequence is more conducive to the promotion of efficiency than privatization/liberalization sequence. 2. Percentage of shares sold to the private sector also played a significant role in improving efficiency. 3. Foreign participation in the privatization process has no significant impact on efficiency in the short run. Keywords: Privatization, Liberalization, Efficiency, Telecommunication.

Abstract While Taiwan Tobacco and Wine Bureau transformed into Taiwan Tobacco and Liquor Corporation, the first presidency was selected publicly to account for privatization by Executive Yuan. The new president proposed 「123」objectives to be the targets and visions in privatization process. This study observed the influences of the emergent events during change process, analyzed the elements that influenced the objectives, finally proposed some management implications. Thus, there are three stages in this case study: (1) elected critical events in the change process, (2) build the model that influenced the objectives, (3) explored the feasible management action. We divided the change process into different phases, including initiating change , forming top level managers, proposing objectives of management, communicating the vision, creating new competitive advantages, launching new products and implementing social responsibilities. In the wake of 11 critical process events, the「123」objectives was becoming impossible. We analyzed the influencing model which composed by three elements: (1) Executive and Legislative Yuan, (2) social and market, (3) employees and union. Furthermore, by in-depth interviewing with selected employees, we found that the success of privatizing transformation and the improvement of competitive advantage not only depend on management by objectives but also rely on the management by value. In summary, from external perspective, the real meaningful management action should focus on building the legitimacy and competitive advantages of corporation. On the other side, from the internal perspective, we suggest the participating management by objective and deep structural management by transferring the value of employee. To effective change management of privatization, we recommend that (1) predict and control only work for short term objectives, (2) the role of leader is the player of context, (3) the change of value is the critical factor of privatization.

In the past two decades, privatization has become a trend in the world. Taiwan government also devoted to improve privatization policy since 1989. In order to improve this policy, Taiwan has tried hard to open market and encourage private-sector participation. However, some state-run enterprises still dominate government monopolies, such as petroleum, electricity, telecommunications and so on. Taiwan government should modify the role to liberalize or commission to private sector. Also, Taiwan should revise present laws in order to lay a solid legal basis for private-sector participation. After privatization, the management of public shares has become more important. Now surplus public shares are distributed and dominated in different ministries or commissions, such us Ministry of Economic Affairs, Ministry of Finance, Ministry of Transportation and Communication, Veterans Affairs Commission and so on. Some management difficulties may occur in this situation. According to the common views of the Economic Development Committee in 2001, the Executive Yuan established the National Property Executive Committee to work on the jobs of privatization and impose discipline in financial markets in 2002. Even so, the National Property Bureau, Economic Planning and Development Council and the other committees, also have authority for privatization. Therefore, this study is aimed at the system of state-run enterprises management, public shares management after privatization, and the stage of management organization of public shares. In order to establish a mechanism to manage pubic shares, we adopted AHP concept to structure this study. We used questionnaire survey for the experts by Snowball Sampling. Setting up three criterions of decision as below: 1.Raising the efficiency of resource allocation. 2.Accelerating the privatization of state-run enterprises. 3.Concentrating the authority of organization management. Also, we design three alternatives of decision. The results show that the alternative of “Distribute then Concentrate” is the first priority.

Due to the lack in any research on the organization changes of the Kaohsiung shipping company, this study aims to unveil the strategic transformations process through comprehensive literature review and by qualitative research method of interviews. The study result identifies the major 7 stages during the organizational hange process: 1. Founded as Land and Sea Transportation Company by the Japanesein 1937; 2. Expropriated as Public Land and Sea Transportation Section by the Japanesein 1942 at the beginning of World War II; 3. Taken over by the Kaohsiung City Government and upgraded as independent business unit “Kaohsiung Administration Department on Public Land and Sea Transportation” (primary unit) in 1945 after theretrocession; 4. Downgraded as secondary unit under the aegis of Kaohsiung Municipal Construction Bureau in 1979 when Kaohsiung city was upgraded under the control of municipality and then was changed to be subordinate of the Department of Transportation; 5. In 2005, Land and Sea Transportation Section was reorganized into two separate sections “Kaohsiung Public Automobile Management Section” and two separate sections “Kaohsiung Public Automobile Management Section” and corporatized as independent business unit; 7. From 2013 Kaohsiung Shipping Companyhas been reorganized towards its privatization. Furthermore, through interviews this study found that the internal factors that impacted the privatization of the Kaohsiung Shipping Company include:professional manager factor, staff factors, operational factors, financial factors; external factors include: political factors, economic factors, social factors, technological factors. This study hopes to contribute to the real practices as references for the Kaohsiung Shipping Company during its organizational and to any relevant and future researches on organizational changes.

This study is probed into the affected factors from the changes of States-Owned Enterprises (SOEs) employees under the environment of the privatization organizational climate. Through framework research, processes of dimension selection, questionnaire design, sample selection, investigation, reliability analysis, descriptive statistics analysis, difference criticism, interrelation analysis, step multi-regression analysis and path analysis to study the multi-dimensional predictive model included personal achievement motive, job characteristic and organizational climate. And construct the path affected models of the purpose toward changes attitude. For example of CHT, it brought up the suggestion of privatization management, and test and verifies the beneficial result of academic model. The study presents 6 major findings: 1.For attitude toward changes, there is a significant difference between different sex. And female is a little higher than male. For recognition toward changes, there is a significant difference between different ages and work seniority. 2.There is a significant positive correlation between the achievement motive and job characteristic. 3.There is a significant positive correlation between the job characteristic and organizational climate. 4.There is a significant positive correlation between the organizational climate and attitude toward changes. 5.Job characteristic affects attitude toward changes most directly. 6.The attitude toward changes is affected by achievement motive, job characteristic, and organizational climate all through the recognition toward changes. And it shows “recognition towards the changes” is significant intermediates between predictive and purposeful changes. 7.Recognition toward changes affects attitude toward changes most directly.
