Повний текст джерелаThis article describes research in the application of a Kohonen Self-Organizing Map (SOM) to the problem of classification of electronic brainstorming output and an evaluation of the results. This research builds upon previous work in automating the meeting classification process using a Hopfield neural network. Evaluation of the Kohonen output comparing it with Hopfield and human expert output using the same set of data found that the Kohonen SOM performed as well as a human expert in representing term association in the meeting output and outperformed the Hopfield neural network algorithm. Recall of consensus meeting concepts and topics using the Kohonen algorithm was equivalent to that of the human expert.

Повний текст джерелаResearch in Computer-Supported Cooperative Work (CSCW) has identified a gap - the, so called, social-technical gap - between the wide range of human social interactions that CSCW ideally should support and what current technology actually does support. At the same time recent work in cognitive science and CSCW has begun to elucidate the multifarious roles that the body plays in cognitive processes as well as many forms of social interaction, e.g. gestures, pointing, eye-contact and bodily mimicry. The aim of this dissertation has been to analyse to what degree different aspects of embodied social interaction are supported by different types of synchronous, remote location CSCW technology, and to develop recommendations for future development concerning aspects of embodiment. For this purpose, a number of crucial aspects of embodied social interaction have been identified and about twenty CSCW systems - both research prototypes and commercial systems - have been analysed with respects to how well they support these different aspects. The analysis shows that most CSCW systems only support a very limited range of aspects of embodied social interaction.

Повний текст джерелаIn this research we adopted an artificial intelligence (AI) approach to designing an automatic concept classification tool for electronic brainstorming output. The role of AI techniques such as machine learning and neural networks computing in groupware development can be significant. Through extensive content analysis, concept space generation, and neural network-based concept classification, our system can generate a tentative list of the important ideas and topics represented in meeting comments. Participants then can examine the systemâ s suggested list and the underlying comments. They can also revise or augment the list to produce their final consensus list. Allowing the system to act as an â intelligentâ aide for idea organization can alleviate some of the burdens of convergent tasks.

One is based on Wardâ s clustering and the other on Kohonenâ s Self-organizing Maps. We have evaluated how closely clusters produced by a computer resemble those created by human experts. We have also measured the time that it takes for an expert to â â clean upâ â the automatically produced clusters. The technique based on Wardâ s clustering was found to be more precise. Both techniques have worked equally well in detecting associations between text documents. We used text messages obtained from group brainstorming meetings.

The law on New Economic Regulations led thegovernment to set the conditions of all the electronic communication between companies andtheir shareholders. In Germany, mainly the ARUG from 2009 modernized the law related to theAGM, by transposing the European directive from 11th July 2007 on the exercise of certain rightsof shareholders in listed companies. The new laws have a shareholder in mind, who would useelectronic means to facilitate the exercise of his rights before and during the AGM, a “cybershareholder”.While the German law seeks to assimilate the electronic communication with thetraditional correspondence, the varying French decrees seem to distinguish between a new legalregime and a traditional one. However, there is no need for a new category of shareholders,which could justify a special legal foundation. The cyber-shareholder is just a shareholderexercising his rights related to information, communication and collective decision-making in theAGM via electronic means

Повний текст джерелаFor the first time in history the country is dealing with a real, although restricted, tendency of corporate dispersion, and a certain level of popularization of the investment in listed companies, all stimulated by an unprecedented expansion of the economy, consumption, and foreign investments. It has been indeed a fascinating period for the corporate law enthusiasts; a period of growing complexity and specialization in the national corporate environment, which, altogether with the new communication technologies, has been challenging the foundations of the Brazilian Corporation Law, enacted in 1976, and testing the capacity of adaption of Brazilian legal and regulatory institutions. In this scenario, studying the mechanisms of voting, proxy solicitation, and remote voting and participation in shareholders meetings, seemed to be the most natural way to contribute to build a bridge between the old Brazilian market and the new one. The main contributions expected from the thesis are threefold: First, an inaugural analysis of the new legislation and regulation applicable to proxy voting, remote voting and participation in Brazil. The analysis concluded for the necessity of certain adjustments on the Brazilian regulation, e.g. (i) the construction of a discipline for the inclusion of shareholders proposals in the management proxy material, and (ii) the enactment of rules governing remote voting and participation that assumes them as a right of the shareholder, while consenting to the companies certain flexibility of implementation connected to the development of the technologies available. Second, a thorough and also seminal study on the effects of the decoupling of shares ownership and exercise of voting rights in the contemporary market, and a contribution to update the scientific comprehension of the act of voting in corporate law, rather than simply the comprehension of the right to vote. While the Brazilian law and regulation are in certain aspects still trying to catch up with modern markets regulation, concerning the assimilation of new communication and financial technologies by the corporate legal framework, the local transactions already involve the most updated and complex financial instruments. The legal gap created, and concretely identified in cases as the lending of stocks, the use of derivatives instruments, and the sale of votes, puts in risk the stability of the market and destabilizes the discipline of liability for the abusive use of voting power as Brazilian law and courts are used to know, as the link between share ownership and vote are not as clear as before. The study seeks to bring to light these issues and to realign the scientific comprehension of voting with the current markets practices. Third, a first questioning of the Brazilian Corporation Law capacity to face a reality where there may be no power polarization between an absolute controlling shareholder and small minority shareholders, and where historical necessities of physicality and concomitance are, as a consequence of the new means of communication, no longer mandatory elements of the concepts connected to the relationship among shareholders, management, and the company. The study verifies that Brazilian Corporation Law is not prepared for a reality where there may be no clear controlling shareholders anymore and where minority shareholders may not be an uninformed small investor, but a resourceful hedge fund. On the same token, the idea of a shareholder meeting that is not delimited in space and time, and that does not depend on the physical and simultaneous interaction between parties, perfectly acceptable by our current society, is still far from any consistent reception by the corporation legal framework. A comprehensive analysis on the effects for the Brazilian markets of the limits of a great but old law, in contrast with the impact of recent years financial and technological development, were more than due. This study aims to fulfill this scientific gap, identifying some of the items in need of updating and starting discussion over them.

In response to the convenience of electronic technology and its derivatives, Taiwan introduced the electronic notification system for shareholders’ meeting by amending Article 172, and introduced the electronic voting system for shareholders’ meeting by amending Article 177-1 and 177-2 of its Company Law in 2005, to integrate technology and law. Moreover, the introduction of electronic notification and electronic voting system can effectively strengthen shareholder rights and realize the activation of shareholder function. Therefore, it is also possible to achieve the purpose of promoting shareholder activism and improving corporate governance. It can be seen that the mechanism of combining digitalization with shareholders' rights is very important. Therefore, whether the current company law has an effect on the protection of shareholders' equity for electronic notification and electronic voting is an important issue. This paper abstracts and types the elements of article related to electronic notification and electronic voting, and then summarizes them into a systematic structure. Then using the comparative research method, compare American law, Japanese law and Taiwan law. The content of the comparison focuses on the effective point, mode and procedure guarantee of the electronic notice, and the applicable subject of the electronic voting system, the exercise period of voting rights and the calculation standard of repeated voting rights. Finally, based on the results of the comparison, learn the advantages of foreign law, and propose solutions to the problems related to the electronic notification and electronic voting system in Taiwan, and hope to contribute to the development of the corporate legal system in Taiwan.

The prime objective of corporation governance is the pursuit of business and economic efficiency maximization, and the protection of shareholders’ rights is an important part of it. To make it more convenient for the shareholders to directly exercise their voting rights amid the development of electronic transmission technology and the popularity of the Internet, the Republic of China (ROC) introduced the electronic voting system in 2005. However, it is the ‘prior’ electronic voting system that has been adopted, the shareholders cannot participate in the discussion and voting at the shareholders’ meeting via real-time video, thus failing to serve the purpose of the system. In 2015, the ROC added a new section ‘Close Company’ in the Company Act, which introduced the written consent and the visual communication meeting. Although such provisions concerned small scale companies only, they meant major breakthrough. The focus of this paper is to discuss, with the electronic voting system has been up and running for some time, whether electronic means can be adopted in other proceedings of the shareholders’ meeting besides meeting notice and electronic voting, or taking a step further, to conduct virtual-only meetings by comprehensively adopting electronic means. In view of the fact that there is no existing law governing virtual shareholders’ meeting, and that the current regulations regarding electronic voting system still have room for improvement, this paper suggests that the amendment of laws should be conducted in a gradual and orderly manner. It is recommended to first review and reform the existing laws concerning meeting notice and electronic voting, and then consider whether or not the other proceedings of the shareholders’ meeting should be virtualized. Intended to analyze different systems, this paper discusses the virtual shareholder meeting system which has been put into practice in many countries, and compares it with the relevant system in the ROC. This paper makes reference to the norm and practice of laws in the United States, and explains the status quo of the current system and its predicament. It is hoped to present a complete outlook of the application of electronic means in shareholders’ meeting proceedings, and thus serving as a reference for future law amendments.

In response to network and electronic information era. The Company Act was amended in 2005 to give company the right to provide electronic transmission of the voting power at a shareholders’ meeting. The shareholder exercises his/her/its voting power at a shareholders’ meeting by way of electronic transmission as set forth in the preceding Paragraph shall be deemed to have attended the said shareholders'' meeting in person. In 2012, In order to implement the direct exercise of shareholders'' rights The FSC issued an executive order requiring all listed companies amounted to 10 billion or up of capital and the number of shareholders amounted to 10,000 people or up, must adopt electronic voting as a shareholder to exercise the voting rights of their shareholders’ meeting. This paper explores the relevant laws and regulations of shareholders’ meeting proxy management system and electronic transmission voting system, analyzes the actual execution of shareholders’ proxy, electronic transmission voting and their impacts of shareholder’s meeting. Finally, with personal recommendation, improve the problems of shareholder proxy management system and electronic transmission voting system.

AbstractHowever, due to the complexity of natural language processing, it is difficult for electronic meeting systems (EMS) to analyze the dialog. This research introduces the conflict management model to text-based EMS to analyze the conflict status. To simplify the extraction of user dialog, sentence openers are used as the dialog facilitation tool to avoid the complexity of natural language processing. Sentence openers provide a natural way for users to identify the intention of their conversational contribution without fully understanding the significance of the underlying communicative acts. Since users have different sense of sentence openers, the fuzzy Delphi method is used to determine the assertiveness and cooperativeness indexes for all sentence openers. This research, use the feature to obtain the higher conflict topic in a meeting for matching up participants’ purpose. The meeting status analyzer use the sentence openers to extract and analyze the assertiveness and cooperativeness indexes for recognizing the group conflict status and participants the possible status. In this thesis, a facilitation mechanism electronic meeting system(EMS) is developed. There proposed mechanism includes four major components, intention trend tool, feature extraction component, status analyzer and agenda facilitator. By using Fuzzy Delphi algorithm, an intention vector formed from the meeting participator’s conversation is produced. After that, a hidden Markov model (HMM) is applied to examine and predict whether there are conflict situations during meeting. If conflicts are found, system will try to guide participants. Experimental results have revealed that the proposed system has performed reasonably well. Most students were satisfied with the proposed electronic meeting facilitation mechanism. By using analysis of conflict behavior, the system was aware of tester’s conflict situation. Most students agreed that the proposed system could help the meeting to reach an agreement quickly by using conflict behavior trend analysis.

Shareholder Meeting make public release of the democratic decision making process of the company. It is an important part of the corporate governance. Shareholders exercise their voting rights by actively participating by electronic voting, not only to implement the shareholder activism, but also for the company to demonstrate the importance of shareholder and the spirit of corporate governance. The Financial Supervisory Commission (FSC) in a issued “Corporate Governance Roadmap 2013” noted that the public disclosure of information is one of the most important part of sound corporate governance, in addition to reduce the risk of information asymmetry, also to make company subject to effective market supervision, in order to protect the interests of shareholders. In our study, we concentrate on the Taiwan’s listed companies, and we have taken the relevant samples and information, for descriptive statistical analysis, correlation coefficient and regression analysis method is being used to explore the correlation between the electronic voting in shareholder meeting and information transparency. The empirical results show: The implementation of electronic voting in shareholder meeting of the company is represents much better information than the company not implementing the electronic voting in shareholder meeting. Voluntary implementation of electronic voting in shareholder meeting represents better information transparency and is preferred, than mandatory electronic voting in shareholder meeting of the company.

This study is to investigate the impact before and after the implement of electronic voting in shareholders meeting to the financial statements bulletin. Previous literature shows that using electronic voting in shareholders meeting is the implementation of shareholder activism. The electronic voting system can also enhance shareholders voting participation rates. However, the more individual shareholders, the voting rate is relatively low. The financial statements has information content in the capital market. The market reaction is more positive for the company which announced financial statements earlier. The release timeliness of financial statements has a significant impact to enterprise and investors. This study expects that implementing electronic voting can improve the shareholders supervision effect under the shareholder activism. After the implementation of electronic voting, the financial statements will release earlier than before. The proportion of individual shareholders is higher, the effect may not be achieved. The empirical results show the company which enforcing electronic voting in shareholders meeting will release financial statement earlier than before. However, higher proportion of individual shareholder will delay to release financial statements.

With a factorial experimental design (2*2*3), this study investigatesthe effects of and the interactions among three meeting characteristics:group size, task characteristic, and anonymity. The experiment has beenconducted through a prototype of electronic meeting system developed on World Wide Web(WWW) by using college students as subjects. The results showthat the main effect of group size is most significant, that an electronic meeting system can stimulate discuss for large group, and that anonymitycan improve participation in discussion as well as overall satisfaction withdecision quality and process for sensitive issues.

Today’s organizations are becoming more and more complex and the complexity of organization’s resource management makes it difficult for individual organizations to deal effectively with decision making. There is a need to develop a collaborative approach that can facilitate strategic decision making and improve the effectiveness and efficiency of resource management. The complex environmental and organizational pressures lead to business teams distributed along the dimension of space, time and computing. Distributed teams often need to collaborate to solve complex problem together. Much needed as well is integrating into this collaborative decision-making process a computer-based GDSS to support and facilitate strategic decision making. This thesis has addressed the following research issues: (1) Can technology help improve organizations’ decision making? (2) Can type of task influence on group decision making performance? (3) Can location of meeting and synchronicity effect to the group meeting performance? The objective of this thesis include: (1) To determine the influences of task type on different meeting styles and technology. (2) To evaluate the effect of meeting location on organizations’ decision making. (3) To determine the effect of synchronicity on organizations’ decision making. (4) To compare the effectiveness of various communication technology such as chat room, discussion forum and GDSS systems Through addressing the above research objectives, this thesis has made a number of findings. Results show a direct effect of synchronicity on satisfaction with the process and outcome, which confirm media synchronicity theory. Most interestingly the interaction effects of the four independent variables are significant and show that participants most satisfaction in simple task using with synchronous CMC technology at the same place.

This paper investigates the impact of stopping the margin trading for electing of board during regular meeting on stock return by using listed electronics firms in Taiwan. Using the daily return from 2008 to 2010, our result can be summarized as follow: first, the stock returns are abnormal whether the firms re-elect or not. Second, the impact margin ratio on abnormal return is negative, and the turnover ratio is positive. Third, the impact of capital is negative to re-elected firms and positive to non-elected firms. Fourth, one week after event date, the turnover ratio would be negative to non-elected firm but still positive to re-elected firms.

Listed or OTC-listed company normally use shareholders meeting souvenirs for soliciting minor shareholders’ proxy in order to smooth the annual general meeting (AGM). Because the major shareholder’s shares are much more concentrated, those minor shareholders don’t have the influence on the AGM agenda and are willing and are used to transfer the proxies to those proxy solicitors. With the technical progress and in order to encourage the minor shareholder’s willing to participate in AGM, the authority has developed and promoted the electronic communication voting system of shareholders since 2003. But the effect is not significant. The proxy solicitation still dominated the AGM proxy voting issue. This study analyzes the behavior of listed or OTC-listed companies and minor shareholders; the affect of transaction cost; and the listed or OTC-listed companies’ willing to using the electronic communication voting system. Through the analysis, the difficulty and consideration about promoting the electronic communication voting system are presented. Discriminate Analysis method is employed in this study and the results are as follows: 1.The willing for listed or OTC-listed companies to adapt the electronic communication voting system is not affect by the government’s policy, the system setting up cost, and the internet security, except for the control of proxy. That is because the control of proxy is the most important matter those listed or OTC-listed companies concerned; therefore, the more the minor shareholders’ participant in the AGM through the electronic communication voting system, the less the control power of proxy by the proxy solicitor, usually the major shareholders who run the company. 2.For those shareholders who have the willing to transfer the proxy right to proxy solicitor, the major consideration point is whether there are souvenirs or not. The welling to use the electronic communication voting system is not affected by the transaction cost, the earlier process, the internet security, the familiar with the website interface.

The purpose of this study is to investigates the influences of the stock returns caused by suspending margin trading base on Article 38 of Fu-hwa Securities Finance Company''s law of margin-buy and short-sell and Article 165 of Company Law. Specifically, margin trading data of the listed electronic companies in Taiwan is included from February 2002 through April 2002 and February 2003 through April 2003. Empirical results indicate that: (1)The long-term investors don''t need to adjust their portfolio while have the stocks of higher holding ratio by foreign capital and higher short selling; (2)The short-term investors will make a profit during the event of suspending margin trading while have the stocks of lower short selling; (3)The long-term investors will have chances to sell stocks for avoiding risk on the day of suspending short selling and the last repurchase while have the stocks of lower holding by foreign capital and lower margin transaction.

The purpose of this study is to investigate the influences of the stock returns caused by suspending margin trading under different market status base on Article 35 of Operating Rules for Securities Firms Handling Margin Purchases and Short Sales of Securities and Article 165 of Company Law. We use stock daily data from 1998 to 2009. Each year, we choosed the thirty stocks with highest financing rate in Taiwan. We adopted the event study and cross-sectional regression research methods. Empirical results indicate that:Different market status has different market return effect.

On 22 June 2005, the latest amendment to the Company Law was promulgated in Taiwan. In accordance with the amendment, the shareholders can exercise their voting right either in writing or through an electronic communication platform during the convention of a company’s shareholders’ meeting. As a matter of fact, the new electronic voting system had not been given a trial before its legislation. During the past few years, only one listed company in Taiwan have applied electronic voting in their shareholders’ meeting. So, there must be some real reasons for the very limited application of electronic voting system in Taiwan. In response, the authorities concerned have ordered the Taiwan Depository & Clearing Corporation to further develop the electronic voting system and promote its application by listed companies. To allow shareholders to participate in relevant shareholders’ meeting and hence protect their basic rights, the problem of over-concentration of shareholders’ meetings for different listed companies within the same period of time would be effectively dealt with. In view of the past and present prospects of electronic voting system in Taiwan, this research, focuses on the following issues : first, the research makes a comprehensive study of the nature and operational framework of electronic voting system in Taiwan, second, it investigates the intentions of local listed companies towards the application of electronic voting system. After identifying and concluding the various obstacles leading to its refusal by local listed companies, we propose some effectual modifications to the existing electronic voting system. With special attention to practicability, it is hoped that the suggestions would greatly facilitate the future widespread application of electronic voting system.

The core issue to be explored in this study is the relationship between the corporate governance as a whole and the location of the shareholders meeting. This study uses the corporate governance evaluation system launched by the Financial Supervisory Commission, R.O.C. as a main variable and discusses whether the companies that have achieved better results in the evaluation will have higher accessibility to the meeting place of the shareholders' meeting. The empirical results show that in the sample from the 2014 to 2016, the better the corporate governance mechanism scores in the evaluation, the shorter the distance between the shareholders meeting place and the nearby large railway station. Besides, the meeting place is very likely to be located in Taipei City, which is very convenient in transportation. Some of them are even companies whose headquarters are not in Taipei, but who chose Taipei as the venue for the meeting. It can be seen from this that the better the corporate governance is, the more accessible the shareholders meetings are.
