Visual artists, designers, composers, photographers, poets, and choreographers were vital participants in the Bennington School of the Dance, which ran on the Bennington College campus in Bennington, Vermont, from 1934–1942 with one year, 1939, spent at Mills College in California. Collaborations were an integral component of the school, occurring between faculty and staff members as well as between students and faculty/staff. Of particular importance were the collaborations between musicians (including Louis Horst, Gregory Tucker, Norman Lloyd, and Alex North) and choreographers (including Martha Graham, Hanya Holm, Doris Humphrey, and Charles Weidman). These collaborations influenced the direction of American modern dance, which was establishing itself with new breath as a form that could express American life and traditions without necessarily drawing upon European composers to do so.

Abstract The enzyme methionine adenosyltransferase 2α (MAT2A) has an important role in metabolism and epigenetics as the major producer of the universal methyl donor S-adenosyl methionine (SAM). Despite broad cellular functions, MAT2A was recently implicated as a synthetic lethal target in cancers that have a deletion of the methylthioadenosine phosphorylase (MTAP) gene, which is found in approximately 15% of all cancers. Here, we report ISM3412 is a novel potent MAT2A inhibitor with high selectivity. In enzymatic assays, ISM3412 demonstrated a strong inhibition of MAT2A with an IC50 of 19.4 nM. In both HCT116 MTAP-/- cells and HCT116 parental cells, the compound inhibited SAM production, with IC50 values of 5.97 nM and 3.66 nM, respectively. Additionally, it inhibited SDMA production in HCT116 MTAP-/- cells (IC50 of 6.37 nM), but not in HCT116 parental cells (IC50 > 2000 nM). Consistent with the large SDMA inhibitory potency difference between the HCT116 isogenic cell pair, ISM3412 also exhibited very good selectivity in cellular proliferation assays. While it inhibited cellular growth in HCT116 MTAP-/-cells with an IC50 of 199nM, its inhibitory potency on HCT116 parental cells was very weak (IC50 of >21117nM), revealing more than a 100-fold selectivity in inhibiting growth in this isogenic pair cell line. Furthermore, while ISM3412 strongly inhibited proliferation in multiple cancer cell lines with natural MTAP deficiency (including pancreatic cancer, bladder cancer, and NSCLC), the same was not observed in multiple MTAP-intact cell lines (IC50 > 30 uM). Consistent with the in vitro data, ISM3412 demonstrated robust mono-therapeutic efficacy in an MTAP-/- HCT116 CDX model with tumor growth inhibition of 66% at 3 mg/kg QD. Similarly, ISM3412 also demonstrated robust single-agent efficacy in CDX models of pancreatic cancer, bladder cancer and NSCLC, as well as in a PDX model of esophageal cancer. Notably, ISM3412 showed improved efficacy when combined with docetaxel, compared to the individual monotherapy. ISM3412, at 10 uM, showed no obvious agonistic or antagonistic effect on 44 selected targets in a mini safety panel, demonstrating its selectivity as a MAT2A inhibitor. In addition to its strong biological potency and selectivity, ISM3412 exhibited favorable drug-likeness properties, including low molecular weight, good solubility and permeability, and low plasma protein binding. In vivo PK data revealed low clearance and high oral-bioavailability. Further, it was well tolerated with no significant hepatobiliary toxicity. In conclusion, ISM3412 is a novel and highly selective MAT2A inhibitor for MTAP-deficient cancers, and merits clinical evaluation. Abstract Background: The MONALEESA (ML)-2, -3, and -7 trials have shown a significant benefit in overall survival (OS) with ribociclib (RIB) + endocrine therapy (ET) over placebo (PBO) + ET in HR+/HER2− advanced breast cancer. HR+ breast cancer is a clinically and biologically heterogeneous disease, with identified intrinsic subtypes that vary in incidence, survival rate, and response to treatment. In a pooled analysis of the ML studies, patients with both luminal and HER2-enriched (HER2E) subtypes exhibited a consistent progression-free survival benefit with RIB + ET. The HER2E subtype (RIB, 14%; PBO, 11%), which is associated with ET resistance and poor outcomes, exhibited the greatest relative reduction in risk of progression or death (61%) with RIB + ET. Here, we report a pooled analysis of the ML-2, -3, and -7 trials, presenting OS by intrinsic subtype.. Methods: Tumor samples from patients enrolled in the ML-2, -3, and -7 trials underwent PAM50-based subtyping (blinded from clinical data), and the correlation between intrinsic subtype and OS was analyzed. Gene expression profiling of formalin-fixed, paraffin-embedded tumor samples was performed using a customized NanoString nCounter GX 800-gene panel. The prognostic and/or predictive relationship between PAM50-based subtypes and OS was evaluated using univariable and multivariable Cox proportional hazards models. Multivariable models were adjusted for known clinical prognostic factors, including age, prior chemotherapy, prior ET, ECOG performance status, visceral disease (presence of liver/lung metastases), bone-only metastases, histological grade, number of metastatic sites, tumor type, and de novo metastatic disease.. Results: From the pooled patient population (N = 2066), 997 tumor (71% primary) samples from the RIB (n = 585) and PBO (n = 412) arms of the ML trials (ML-2, n = 318; ML-3, n = 414; ML-7, n = 265) were profiled. Subtype distribution was consistent across treatment arms (Table). A similar benefit with RIB vs PBO was observed in the ITT (hazard ratio [HR], 0.76; 95% CI, 0.67-0.86) and biomarker (HR, 0.75; 95% CI, 0.63-0.89) populations. In both univariable and multivariable analyses, intrinsic subtype was prognostic for OS in both the RIB and PBO arms (P < .0001 for both arms); patients with luminal A subtype had the best OS outcomes in both arms, whereas patients with basal-like subtype had the worst OS outcomes. Intrinsic subtype was also predictive of OS (subtype-treatment interaction: P = .016 [univariable], P = .007 [multivariable]) with a consistent OS benefit with RIB treatment in all subtypes except for basal-like (Table). Patients with HER2E (HR, 0.60; P = .018), luminal B (HR, 0.69; P = .023), and luminal A (HR, 0.75; P = .021) subtypes all derived benefit from RIB. In patients with the basal-like subtype (n = 30), the HR was 1.89 (P = .148); these results should be interpreted with caution due to the small sample size (3% in each arm) and exploratory nature of this analysis.Conclusions: This pooled analysis of the ML trials confirmed the prognostic and predictive value of intrinsic subtype (PAM50 based) for OS. The addition of RIB to ET resulted in consistent OS benefit across all subtypes except for basal-like. The. consistent survival benefit in the HER2E subtype, which is associated with endocrine resistance and a very poor prognosis compared with luminal disease, warrants further investigation. IntroductionOn 4 December 2016, a man entered a Washington, D.C., pizza parlor armed with an AR-15 assault rifle in an attempt to save the victims of an alleged satanic pedophilia ring run by prominent members of the Democratic Party. While the story had already been discredited (LaCapria), at the time of the incident, nearly half of Trump voters were found to give a measure of credence to the same rumors that had apparently inspired the gunman (Frankovic). Was we will discuss here, the bizarre conspiracy theory known as "Pizzagate" had in fact originated a month earlier on 4chan/pol/, a message forum whose very raison d’être is to protest against “political correctness” of the liberal establishment, and which had recently become a hub for “loose coordination” amongst members the insurgent US ‘alt-right’ movement (Hawley 48). Over a period of 25 hours beginning on 3 November 2016, contributors to the /pol/ forum combed through a cache of private e-mails belonging to Hillary Clinton’s campaign manager John Podesta, obtained by Russian hackers (Franceschi-Bicchierai) and leaked by Julian Assange (Wikileaks). In this short time period contributors to the forum thus constructed the basic elements of a narrative that would be amplified by a newly formed “right-wing media network”, in which the “repetition, variation, and circulation” of “repeated falsehoods” may be understood as an “important driver towards a ‘post-truth’ world” (Benkler et al). Heavily promoted by a new class of right-wing pundits on Twitter (Wendling), the case of Pizzagate prompts us to reconsider the presumed progressive valence of social media protest (Zuckerman).While there is literature, both popular and academic, on earlier protest movements associated with 4chan (Stryker; Olson; Coleman; Phillips), there is still a relative paucity of empirical research into the newer forms of alt-right collective action that have emerged from 4chan. And while there have been journalistic exposés tracing the dissemination of the Pizzagate rumors across social media as well as deconstructing its bizarre narrative (Fisher et al.; Aisch; Robb), as of yet there has been no rigorous analysis of the provenance of this particular story. This article thus provides an empirical study of how the Pizzagate conspiracy theory developed out of a particular set of collective action techniques that were in turn shaped by the material affordances of 4chan’s most active message board, the notorious and highly offensive /pol/.Grammatised Collective ActionOur empirical approach is partially inspired by the limited data-scientific literature of 4chan (Bernstein et al.; Hine et al.; Zannettou et al.), and combines close and distant reading techniques to study how the technical design of 4chan ‘grammatises’ new forms of collective action. Our coinage of grammatised collective action is based on the notion of “grammars of action” from the field of critical information studies, which posits the radical idea that innovations in computational systems can also be understood as “ontological advances” (Agre 749), insofar as computation tends to break the flux of human activity into discrete elements. By introducing this concept our intent is not to minimise individual agency, but rather to emphasise the ways in which computational systems can be conceptualised in terms of an individ­ual-milieu dyad where the “individual carries with it a certain inheritance […] animated by all the potentials that characterise [...] the structure of a physical system” (Simondon 306). Our argument is that grammatisation may be thought to create new kinds of niches, or affordances, for new forms of sociality and, crucially, new forms of collective action — in the case of 4chan/pol/, how anonymity and ephemerality may be thought to afford a kind of post-truth protest.Affordance was initially proposed as a means by which to overcome the dualistic tendency, inherited from phenomenology, to bracket the subject from its environment. Thus, affordance is a relational concept “equally a fact of the environment and a fact of behaviour” (Gibson 129). While, in the strictly materialist sense affordances are “always there” (Gibson 132), their capacity to shape action depends upon their discovery and exploitation by particular forms of life that are capable of perceiving them. It is axiomatic within ethology that forms of life can be understood to thrive in their own dynamic, yet in some real sense ontologically distinct, lifeworlds (von Uexküll). Departing from this axiom, affordances can thus be defined, somewhat confusingly but accurately, as an “invariant combination of variables” (Gibson 134). In the case of new media, the same technological object may afford different actions for specific users — for instance, the uses of an online platform appears differently from the perspective of the individual users, businesses, or a developer (Gillespie). Recent literature within the field of new media has sought to engage with this concept of affordance as the methodological basis for attending to “the specificity of platforms” (Bucher and Helmond 242), for example by focussing on how a platform’s affordances may be used as a "mechanism of governance" (Crawford and Gillespie 411), how they may "foster democratic deliberation" (Halpern and Gibbs 1159), and be implicated in the "production of normativity" (Stanfill 1061).As an anonymous and essentially ephemeral peer-produced image-board, 4chan has a quite simple technical design when compared with the dominant social media platforms discussed in the new media literature on affordances. Paradoxically however in the simplicity of their design 4chan boards may be understood to afford rather complex forms of self-expression and of coordinated action amongst their dedicated users, whom refer to themselves as "anons". It has been noted, for example, that the production of provocative Internet memes on 4chan’s /b/ board — the birthplace of Rickrolling — could be understood as a type of "contested cultural capital", whose “media literate” usage allows anons to demonstrate their in-group status in the absence of any persistent reputational capital (Nissenbaum and Shiffman). In order to appreciate how 4chan grammatises action it is thus useful to study its characteristic affordances, the most notable of which is its renowned anonymity. We should thus begin by noting how the design of the site allows anyone to post anything virtually anonymously so long as comments remain on topic for the given board. Indeed, it was this particular affordance that informed the emergence of the collective identity of the hacktivist group “Anonymous”, some ten years before 4chan became publicly associated with the rise of the alt-right.In addition to anonymity the other affordance that makes 4chan particularly unique is ephemerality. As stated, the design of 4chan is quite straightforward. Anons post comments to ongoing threaded discussions, which start with an original post. Threads with the most recent comments appear first in order at the top of a given board, which result in the previous threads getting pushed down the page. Even in the case of the most popular threads 4chan boards only allow a finite number of comments before threads must be purged. As a result of this design, no matter how popular a discussion might be, once having reached the bump-limit threads expire, moving down the front page onto the second and third page either to be temporarily catalogued or else to disappear from the site altogether (see Image 1 for how popular threads on /pol/, represented in red, are purged after reaching the bump-limit).Image 1: 55 minutes of all 4chan/pol/ threads and their positions, sampled every 2 minutes (Hagen)Adding to this ephemerality, general discussion on 4chan is also governed by moderators — this in spite of 4chan’s anarchic reputation — who are uniquely empowered with the ability to effectively kill a thread, or a series of threads. Autosaging, one of the possible techniques available to moderators, is usually only exerted in instances when the discussion is deemed as being off-topic or inappropriate. As a result of the combined affordances, discussions can be extremely rapid and intense — in the case of the creation of Pizzagate, this process took 25 hours (see Tokmetzis for an account based on our research).The combination of 4chan’s unique affordances of anonymity and ephemerality brings us to a third factor that is crucial in order to understand how it is that 4chan anons cooked-up the Pizzagate story: the general thread. This process involves anons combing through previous discussion threads in order to create a new thread that compiles all the salient details on a given topic often archiving this data with services like Pastebin — an online content hosting service usually used to share snippets of code — or Google Docs since the latter tend to be less ephemeral than 4chan.In addition to keeping a conversation alive after a thread has been purged, in the case of Pizzagate we noticed that general threads were crucial to the process of framing those discussions going forward. While multiple general threads might emerge on a given topic, only one will consolidate the ongoing conversation thereby affording significant authority to a single author (as opposed to the anonymous mass) in terms of deciding on which parts of a prior thread to include or exclude. While general threads occur relatively commonly in 4chan, in the case of Pizzagate, this process seemed to take on the form of a real-time collective research effort that we will refer to as bullshit accumulation.The analytic philosopher Harry Frankfurt argues that bullshit is form of knowledge-production that appears unconcerned with objective truth, and as such can be distinguished from misinformation. Frankfurt sees bullshit as “more ambitious” than misinformation defining it as “panoramic rather than particular” since it is also prepared to “fake the context”, which in his estimation makes bullshit a “greater enemy of the truth” than lies (62, 52). Through an investigation into the origins of Pizzagate on /pol/, we thus are able to understand how grammatised collective action assists in the accumulation of bullshit in the service of a kind of post-truth political protest.Bullshit Accumulation4chan has a pragmatic and paradoxical relationship with belief that has be characterised in terms of kind of quasi-religious ironic collectivism (Burton). Because of this "weaponizing [of] irony" (Wilson) it is difficult to objectively determine to what extent anons actually believed that Pizzagate was real, and in a sense it is beside the point. In combination then with the site’s aforementioned affordances, it is this peculiar relationship with the truth which thus makes /pol/ so uniquely productive of bullshit. Image 2: Original pizzagate post on 4chan/pol/When #Pizzagate started trending on Twitter on 4 November 2017, it became clear that much of the narrative, and in particular the ‘pizza connection’, was based on arcane (if not simply ridiculous) interpretations of a cache of e-mails belonging to Hillary Clinton’s campaign manager John Podesta released by Wikileaks during the final weeks of the campaign. While many of the subsequent journalistic exposé would claim that Pizzagate began on 4chan, they did not explore its origins, perhaps because of the fact that 4chan does not consistently archive its threads. Our analysis overcame this obstacle by using a third party archive, Archive4plebs, which allowed us to pinpoint the first instance of a thread (/pol/) that discussed a connection between the keyword “pizza” and the leaked e-mails (Image 2).Image 3: 4chan/pol/ Pizzagate general threadsStarting with the timestamp of the first thread, we identified a total of 18 additional general threads related to the topic of Pizzagate (see Image 3). This establishes a 25-hour timeframe in which the Pizzagate narrative was formed (from Wednesday 2 November 2016, 22:17:20, until Thursday 3 November 2016, 23:24:01). We developed a timeline (Image 4) identifying 13 key moments in the development of the Pizzagate story such as the first attempts at disseminating the narrative to other platforms such as the Reddit forum r/The_Donald a popular forum whose reactionary politics had arguably set the broader tone for the Trump campaign (Heikkila).Image 4: timeline of the birth of Pizzagate. Design by Elena Aversa, information design student at Density Design Lab.The association between the Clinton campaign and pedophilia came from another narrative on 4chan known as ‘Orgy Island’, which alleged the Clintons flew to a secret island for sex tourism aboard a private jet called "Lolita Express" owned by Jeffrey Epstein, an American financier who had served 13 months in prison for soliciting an underage prostitute. As with the Pizzagate story, this narrative also appears to have developed through the shared infrastructure of Pastebin links included in general posts (Pastebin) often alongside Wikileaks links.Image 5: Clues about “pizza” being investigatedOrgy Island and other stories were thus combined together with ‘clues’, many of which were found in the leaked Podesta e-mails, in order to imagine the connections between pedophila and pizza. It was noticed that several of Podesta’s e-mails, for example, mentioned the phrase ‘cheese pizza’ (see Image 5), which on 4chan had long been used as a code word for ‘child pornography’ , the latter which is banned from the site.Image 6: leaked Podesta e-mail from Marina AbramovicIn another leaked e-mail, for example, sent to Podesta from the renowned performance artist Marina Abramovich (see Image 6), a reference to one of her art projects, entitled ‘Spirit Cooking’ — an oblique reference to the mid-century English occultist Aleister Crowley — was interpreted as evidence of Clinton’s involvement in satanic rituals (see Image 7). In the course of this one-day period then, many if not most of the coordinates for the Pizzagate narrative were thus put into place subsequently to be amplified by a new breed of populist social media activists in protest against a corrupt Democratic establishment.Image 7: /pol/ anon’s reaction to the e-mail in Image 6During its initial inception on /pol/, there was the apparent need for visualisations in order make sense of all the data. Quite early on in the process, for example, one anon posted:my brain is exploding trying to organize the connections. Anyone have diagrams of these connections?In response, anons produced numerous conspiratorial visualisations, such as a map featuring all the child-related businesses in the neighbourhood of the D.C. pizza parlor — owned by the boyfriend of the prominent Democratic strategist David Brock — which seemed to have logos of the same general shape as the symbols apparently used by pedophiles, and whose locations seems furthermore to line up in the shape of a satanic pentagram (see Image 8). Such visualisations appear to have served three purposes: they helped anons to identify connections, they helped them circumvent 4chan’s purging process — indeed they were often hosted on third-party sites such as Imgur — and finally they helped anons to ultimately communicate the Pizzagate narrative to a broader audience.Image 8. Anonymously authored Pizzagate map revealing a secret pedophilia network in D.C.By using an inductive approach to categorise the comments in the general threads a set of non-exclusive codes emerged, which can be grouped into five overarching categories: researching, interpreting, soliciting, archiving and publishing. As visualised in Image 9, the techniques used by anons in the genesis of Pizzagate appears as a kind of vernacular rendition of many of the same “digital methods” that we use as Internet researchers. An analysis of these techniques thus helps us to understanding how a grammatised form of collective action arises out of anons’ negotiations with the affordances of 4chan — most notably the constant purging of threads — and how, in special circumstances, this can lead to bullshit accumulation.Image 9: vernacular digital methods on /pol/ ConclusionWhat this analysis ultimately reveals is how 4chan/pol/’s ephemerality affordance contributed to an environment that is remarkably productive of bullshit. As a type of knowledge-accumulation, bullshit confirms preconceived biases through appealing to emotion — this at the expense of the broader shared epistemic principles, an objective notion of “truth” that arguably forms the foundation for public reason in large and complex liberal societies (Lynch). In this sense, the bullshit of Pizzagate resonates with Hannah Arendt’s analysis of totalitarian discourse which nurtures a conspiratorial redefining of emotional truth as “whatever respectable society had hypocritically passed over, or covered with corruption" (49).As right-wing populism establishes itself evermore firmly in many countries in which technocratic liberalism had formerly held sway, the demand for emotionally satisfying post-truth, will surely keep the new online bullshit factories like /pol/ in business. Yet, while the same figures who initially assiduously sought to promote Pizzagate have subsequently tried to distance themselves from the story (Doubeck; Colbourn), Pizzagate continues to live on in certain ‘alternative facts’ communities (Voat).If we conceptualise the notion of a ‘public’ as a local and transient entity that is, above all, defined by its active engagement with a given ‘issue’ (Marres), then perhaps we should consider Pizzagate as representing a new post-truth species of issue-public. Indeed, one could go so far as to argue that, in the era of post-truth, the very ‘reality’ of contemporary issues-publics are increasingly becoming a function of their what communities want to believe. La serie de piezas aquí contenidas surge como resultado de la investigación “Creación de un ciclo de piezas para guitarra inspirado en la vida y las experiencias de violencia de docentes de la ciudad de Medellín” auspiciada por la Corporación Universitaria Adventista en Medellín, Colombia. La idea nace de la interacción del compositor con los maestros y maestras de las instituciones educativas de la ciudad de Medellín. Allí emergió la investigación “maestros por la paz”, donde los docentes escribieron relatos sobre su experiencia con la violencia en el ejercicio de su profesión. Inspirado por los relatos el compositor produjo cuatro piezas que muestran, por medio de la metáfora, conceptos fundamentales de los escritos. La pieza “fragmentos” retrata la experiencia de Diana Giraldo y se basa en su relato “Mi historia con el conflicto armado en Colombia”. La pieza cuenta con dos partes: la primera tiene un carácter de lamento pues representa los días de violencia en el campo; la segunda parte representa la vida en ciudad la cual es optimista en un principio. Sin embargo, líneas melódicas que descienden marcan el cese de la esperanza ya que simbolizan el darse cuenta de que la vida urbana en las comunas también esta cargada de violencia y pérdida. La segunda pieza “primavera rota” retrata situaciones puntuales de Nancy Ospina en su relato “Una utopía: una partida, un camino, volver”. Nancy cuenta que incursionó siendo joven en grupos armados en defensa de ideas que creía trascendentales para la sociedad. La pieza en su primera parte trata de establecer las situaciones agridulces en el curso de su vida armada, de allí el constante cambio de modo bajo la misma melodía. En la segunda parte de la pieza hay un marcado contraste que encarna la gran contradicción en su vida: el darse cuenta que la lucha armada muchas veces no resultaba en su propio bienestar ni en un cambio positivo para el país. “Ostinato” se basa en el relato “Mi historia de vida” de Cielo Hincapié. Ella cuenta que desde temprana edad tuvo mucho criterio, posteriormente siendo docente se convirtió en líder social en Urabá donde lucho por los derechos de los trabajadores y las familias bananeras; siendo amenazada fue desplazada y terminó en Medellín. Allí continuó la lucha social, esta vez, velando por los derechos a sus colegas docentes. Esta tenacidad a pesar de tanta violencia es una de las cualidades más sobresaliente de Cielo. La pieza por su parte utiliza el mismo motivo rítmico de principio a fin haciendo un homenaje a esa lucha. Finalmente, en “figuras nómadas” están representados todos maestros que no descansan en la búsqueda de transformación de sus estudiantes y su entorno. La música de manera alegórica se construye mediante un movimiento perpetuo que constituye lo constantes e incansables que son los maestros en su decidida labor de formar íntegros seres humanos. Nacido en Medellín en 1984, Jorge Hoyos es compositor, intérprete de guitarra clásica e investigador. Entre los premios que ha recibido se encuentra el concurso Antioquia vive la música con la pieza "Sabaneta", el concurso Musicalia del Instituto de Artes de Cuba, con su actuación de repertorio latinoamericano, 2008 y mención de honor en el concurso Internacional "The Contemporary Guitar 2018" Atenas, Grecia con la obra “Primavera Rota” (contenida en la presente publicación). Como guitarrista ha participado en diversos eventos nacionales e internacionales y en otros espacios como: Concurso Internacional de guitarra, La paz, Bolivia 2010, Festival de orquestas de guitarra en la ciudad de Cienfuegos, Cuba; 2010, Festival de orquestas de guitarra, Las Tunas, Cuba; 2009, Festival Universitario de música Instrumental de la Región Andina, Biblioteca Luis Ángel Arango, Teatro Museo de la memoria y Festival Cotrafa. Sus obras varían desde piezas orquestales hasta música de cámara y solista. Algunos de ellos han sido comisionados e interpretados por artistas y conjuntos como Javier Asdrubal Vinasco (clarinetista), Carlos Areiza (percusionista), Aletheia, EAFIT Orquesta Universitaria, Orquesta Amadeus , entre otros. Hoyos estudió en la Universidad Adventista de Colombia donde obtuvo su licenciatura en educación musical en el año 2006. En 2010 se graduó en el Instituto Superior de Artes de Cuba como intérprete de guitarra clásica. También tomó clases de composición con Tulio Peramo. En 2015 obtuvo el título de Magister en composición musical con los profesores Andrés Posada, Marco Alunno y Victor Agudelo en la Universidad EAFIT. Otros profesores han sido Mark Olivieri, Javier Álvarez, Jesús Ortega, Roberto Kessel, Eduardo Martín, Elvira Fuentes, Fabio Zanón y Martín Pedreira. Sus trabajos han sido publicadas por ALEA publishing y C. Alan music publishing; adicionalmente Hoyos es miembro de ASCAP como compositor de música seria. Actualmente se desempeña como profesor de teoría musical e investigador de la Corporación Universitaria Adventista de Colombia y del Instituto Tecnológico Metropolitano.

Brak odpowiednich roz- wiązań w obszarze nadzoru korporacyjnego zwiększa prawdopodobieństwo materializacji ryzyka nadużyć i nieprawidłowości we wszystkich obszarach funkcjonowania spółki, a w konsekwencji potęguje ryzyko utraty zainwestowa- nego w niej kapitału. Zwiększa również ryzyko transakcyjne dla innych nieza- angażowanych kapitałowo interesariuszy. Jak ważne jest tworzenie odpowied- nich zabezpieczeń przed wymienionymi wyżej zagrożeniami, potwierdzają liczne badania prowadzone przez firmy audytorskie czy instytucje powołane w celu przeciwdziałania nadużyciom i oszustwom. Wykonywane przez nie ana- lizy o charakterze globalnym potwierdzają wysoki poziom zagrożenia defrauda- cją mienia, korupcją czy przestępstwami polegającymi na zniekształceniu infor- macji prezentowanych w sprawozdaniach. Mimo wprowadzanych rozwiązań organizacyjnych, których celem jest mitygowanie ryzyka, badania te często nie wskazują na istotną tendencję spadkową, a wręcz przeciwnie, potwierdzają wciąż znaczną liczbę ujawnionych nieprawidłowości. Pojawia się zatem pytanie, czy tendencja ta jest efektem zwiększonej świadomości i skuteczności mechani- zmów nadzoru, a co za tym idzie lepszej wykrywalności, czy też wraz ze wzro- stem nieprawidłowości zwiększa się również liczba ujawnień, a wprowadzane instrumenty nadzoru nie przynoszą oczekiwanych rezultatów. Aby odpowie- dzieć na to pytanie, niezbędne będzie przeprowadzenie złożonych badań uwzględniających między innymi turbulentność gospodarki, zmienność czynni- ka psychologicznego, rozwiązań prawnych i organizacyjnych, i na tym tle doko- nanie oceny jakości i skuteczności implementowanych w przedsiębiorstwach mechanizmów corporate governance. Sam nadzór korporacyjny jest bowiem pojęciem multidyscyplinarnym, które powinno być rozpatrywane przez pryzmat problemów rozważanych w ramach różnych dyscyplin naukowych. Przystąpienie do oceny skuteczności mechanizmów nadzoru ze względu na jego wielowymiarowość należy poprzedzić przeglądem podstaw teoretycznych, w tym zmian koncepcji zarządzania, a w szczególności zmiany perspektywy postrzegania celu przedsiębiorstwa. Cel ten formułowany jest bowiem w róż- nych ujęciach teoretycznych w zróżnicowany sposób. Z perspektywy rozwoju koncepcji nadzoru korporacyjnego kluczowe znaczenie ma akcentowane w teo- riach menedżerskich oddzielenie własności kapitału od procesu zarządzania nim oraz zróżnicowanie celów właściciela i zarządzającego kapitałem menedżera. W efekcie wyżej wskazanego podziału właściciel zostaje pozbawiony w znacz- nej mierze kontroli nad powierzonym spółce majątkiem. Negatywne skutki ograniczonego dostępu właściciela kapitału zainwesto- wanego w spółkach do rzetelnej informacji potwierdzają przypadki oszustw i nadużyć, które ujrzały światło dzienne dopiero po wieloletnim okresie manipu- lowania danymi sprawozdawczymi. Po ich wykryciu było już za późno na podej- mowanie jakichkolwiek działań naprawczych. Bezcelowa w tych przypadkach okazała się ocena spółki przez pryzmat jej sprawozdania. Pomimo nadzoru pro- wadzonego przez dedykowany do tego organ, jakim jest rada nadzorcza, w wielu przypadkach nie udało się uniknąć przykrych konsekwencji celowego działania nieuczciwych menedżerów. Co ciekawe, naruszenia zasady rzetelności sprawoz- dawczej nie dostrzegali również audytorzy. Sytuacje te ujawniły nie tylko niepra- widłowości sprawozdawcze, ale przede wszystkim przestępstwa niewykryte przez wprowadzone w tych spółkach mechanizmy kontrolne obejmujące rozwiązania organizacyjne, polityki, procedury działania, w tym kodeksy etyczne. Fakt ten dał asumpt do poszukiwania coraz sprawniejszych rozwiązań organizacyjnych ogra- niczających ryzyko nadużyć i fałszerstw. Przeprowadzając historyczną analizę przyczyn i konsekwencji przestępstw gospodarczych ukrywanych przed właścicielami wprowadzanymi w błąd poprzez nierzetelne informacje sprawozdawcze, autorzy licznych publikacji skupiają się głównie na zdarzeniach wykrytych w latach 90. XX w. oraz w pierwszej dekadzie XXI w. Jednak problematyka związana z naruszeniami prawa gospodarczego, a następnie celowego naruszania reguł sprawozdawczych (prawa bilansowego) i potrzeby budowania odpowiednich zabezpieczeń pozwalających ograniczyć ryzy- ko nieprawidłowości i nierzetelności stanowiła przedmiot rozważań autorów już zdecydowanie wcześniej. S. Latanowicz – zaprzysiężony i publicznie ustanowiony rewizor ksiąg, publikujący opracowania poruszające omawianą tematykę już od 1910 r. – twierdził, że: „Fałszowanie ksiąg i dowodów rozpoczęło się prawie rów- nocześnie z wynalezieniem księgowości w ogóle” [Latanowicz, 1934, s. 11]. W opublikowanym w 1549 r. dziele niemieckim pt. Zwifach Buchhalten, autorstwa B.W. Schweickera, znajdował się już opis fałszywych dowodów i złego prowadzenia księgowości. Jak podkreśla S. Latanowicz, „od tego czasu upłynęło blisko 400 lat, w którym to czasie fałszerstwa nie ustały” [Latanowicz, 1934, s. 11]. Zważywszy na fakt, że przywołana publikacja ukazała się już w 1934 r. czas dyskusji na temat manipulacji i fałszerstw księgowych, których celem jest ukrycie działalności przestępczej i „lukrowanie rzeczywistości”, a także czas poszukiwania remedium, pozwalającego na wyeliminowanie praw- dopodobieństwa naruszeń, jest zdecydowanie dłuższy. J. Jeżak podkreśla, że: „Problem kontroli nad zachowaniami menadżerów pojawił się [...] w dysku- sjach akademickich i badaniach już na początku lat 30-tych XX wieku” [Jeżak, 2006, s. 42]. Właśnie wtedy A. Berle i G. Means, publikując wyniki swoich badań, sformułowali tezę o oddzieleniu własności od kontroli nad korporacją oraz zaprezentowali związane z tym zagrożenia [Jeżak, 2006, s. 42]. Od lat stopniowo wprowadzane są mechanizmy prawne oraz organizacyjne pozwalające na minimalizację ryzyka wystąpienia opisanych wyżej naruszeń nie tylko na etapie raportowania, ale już wcześniej, bo w trakcie realizacji procesów operacyjnych. Szczególną rolę należy tu przypisać wewnętrznym narzędziom nadzoru korporacyjnego. Wewnętrzne mechanizmy corporate governance utoż- samiane są często z radą nadzorczą. I. Koładkiewicz do grupy mechanizmów wewnętrznych włącza również organy doradcze i organy opiniujące [Gad, 2011, s. 30]. Biorąc pod uwagę kontrolę nad sprawozdawczością finansową, J. Gad wymienia zdecydowanie szerszy katalog mechanizmów nadzoru. Do tej grupy autor zaliczył: radę nadzorczą oraz komitet audytu, audyt wewnętrzny działający na rzecz rady oraz samoregulację w postaci kodeksów etycznych czy procedur wewnętrznych [Gad, 2019, s. 85]. To właśnie te mechanizmy, mające na celu zwiększenie zakresu i skutecz- ności kontroli wewnętrznej oraz kontroli sprawowanej przez samego właściciela, tworzą kontekst tematyczny niniejszej publikacji. Celem prowadzonych w niej rozważań jest prezentacja interdyscyplinarności problematyki corporate governance, a w tym przedstawienie wybranych problemów dotyczących efektywności mechanizmów nadzoru, zwiększających szanse na wy- krywanie przestępstw oraz nadużyć wewnętrznych, a także oszustw, w tym tych dotyczących raportowania. Zrealizowanie tak sformułowanego celu umożliwiła realizacja określonych na wstępie celów cząstkowych, do których zaliczono: prezentację koncepcji nadzoru korporacyjnego oraz związanych z nią wybranych problemów prawnych i organizacyjnych, prezentację problemów raportowania i monitorowania procesu raportowania jako kluczowego narzędzia nadzoru korporacyjnego, prezentację problemów audytu wewnętrznego jako kluczowego mechanizmu wewnętrznego nadzoru korporacyjnego. Biorąc pod uwagę wyżej wskazany cel główny, uzasadnione jest skupienie uwagi czytelnika na mechanizmach wewnętrznych oraz wybranych mechanizmach regulacyjnych, zapewniających czy też mających zapewnić właścicielom odpo- wiednią jakość informacji na temat sytuacji ekonomicznej spółki. Skuteczny nadzór determinowany jest umiejętnością dostrzegania powiązań i przenikania się poszczególnych procesów, a także wykorzystywania zachodzącej pomiędzy nimi synergii. Niniejsza publikacja ma być wsparciem w kształtowaniu umiejętności spoglądania na problematykę nadzoru korporacyjnego w taki właśnie sposób. Ze względu na coraz większą świadomość potrzeby tworzenia skutecznych systemów nadzoru tematyka ta staje się coraz częściej przedmiotem dyskusji i roz- ważań zarówno wśród teoretyków, jak i praktyków przedmiotu. Rozdziały zawarte w monografii poruszają wybrane problemy uznane przez autorów za ważne dla zrozumienia istoty procesu rozwoju koncepcji corporate governance, którą utożsamia się tu z nadzorem korporacyjnym. Książka została podzielona na trzy części, w których przedstawiono kolejno kwestie podstawo- we, stanowiące bazę teoretyczną dla dalszych rozważań na temat corporate governance (część I), mechanizmy regulacyjne i wewnętrzne tworzące system nadzoru nad informacją udostępnianą właścicielowi (część II) i wreszcie audyt wewnętrzny oraz związane z nim problemy komunikacji prezentowane jako istotny element systemu kontroli wewnętrznej i jego środowiska (część III). W pierwszej części książki zostały omówione podstawowe problemy kon- cepcyjne obejmujące istotę oraz ogólny zarys modeli nadzoru korporacyjnego. Dokonany w niej przegląd definicji pojęcia corporate governance pozwolił na potwierdzenie niejednoznaczności pojęciowej. Umożliwił również wyodrębnienie atrybutów łączących wskazane definicje corporate governance. Poza prezentacją głównych założeń leżących u podstaw koncepcji zwrócono uwagę na kluczowe mierniki efektywności ładu korporacyjnego pozwalające na ocenę poziomu sku- teczności stosowanych w przedsiębiorstwie rozwiązań. Poruszono również pro- blematykę dotyczącą uprawnień i obowiązków zarządu spółki jako organu realizu- jącego obowiązki decyzyjne, odpowiedzialnego za jej funkcjonowanie. W drugiej części książki skupiono uwagę czytelnika na problematyce rapor- towania. Scharakteryzowano podstawowe problemy związane z implementacją odpowiednich mechanizmów regulacyjnych nakładających na zarządy spółek szerokie obowiązki sprawozdawcze. Zaakcentowano również fakt, iż zmieniają- ce się uwarunkowania gospodarcze oraz próba poszukiwania rozwiązań, których celem jest ograniczenie asymetrii informacyjnej pomiędzy zarządem a właści- cielem kapitału, wpływają na obserwowane wyraźne zmiany zakresu obowiąz- ków informacyjnych, mających na celu zapewnienie pełnej transparentności procesów zachodzących w spółce. Zgodnie z obowiązującym prawem bilanso-wym, pryncypał otrzymuje bowiem określony ustawowo minimalny zakres infor- macji o działalności przedsiębiorstwa. W przypadku dużych spółek, szczególnie tych notowanych na GPW, stopniowo zwiększa się zakres raportowanych infor- macji. Jako przykład można tutaj wymienić wprowadzenie omówionego w drugiej części książki obowiązku raportowania informacji niefinansowych czy też wpro- wadzenie nowych zasad raportowania realizacji dobrych praktyk spółek notowa- nych na GPW. Trafność oceny efektywności pracy zarządu dokonywanej przez „wypchniętego ze spółki” właściciela kapitału i możliwość reagowania w przy- padku zidentyfikowania ryzyka uzależnione są jednak od wiarygodności, a nie od ilości, informacji udostępnianej przez zarząd. Kluczowe znaczenie ma tutaj za- pewnienie odpowiednich mechanizmów corporate governance ograniczających ryzyko ewentualnych nieścisłości i zniekształceń. Istotną rolę odgrywa tu rada nadzorcza i działający w jej ramach komitet audytu. W drugiej części opracowania omówiono ich znaczenie w zapewnieniu skuteczności nadzoru korporacyjnego. Trzecia część książki zawiera rozważania dotyczące funkcjonowania i efek- tywności audytu wewnętrznego, prowadzone na tle wybranych aspektów obszaru komunikacji wewnętrznej w organizacji. Audyt stanowi jeden z kluczowych me- chanizmów wewnętrznych corporate governance. Jego szczególną rolę potwierdza fakt, iż to właśnie ta komórka zgodnie z DPSN 2021 odpowiedzialna jest za corocz- ną ocenę skuteczności systemu kontroli wewnętrznej spółki. Doświadczenie, przy- gotowanie merytoryczne oraz umiejętności komunikacyjne audytorów wewnętrz- nych są zatem istotnym czynnikiem zwiększającym szansę wykrycia ewentualnych słabości systemu zabezpieczającego przed nieprawidłowościami zarówno w obsza- rze raportowania, jak i w obszarze innych procesów realizowanych w przedsiębior- stwie. Co więcej, rekomendacje wydawane przez tą komórkę powinny wpływać na stałe doskonalenie skuteczności mechanizmów kontrolnych. Nie można zatem pominąć jej roli, prowadząc rozważania na temat skuteczności wewnętrznych me- chanizmów nadzoru korporacyjnego. Książka powstała głównie z myślą o czytelnikach, którzy chcą uczestniczyć w dyskusjach na temat roli mechanizmów corporate governance i potrzeby ich doskonalenia, a także tych, którzy chcą rozwijać swoje kompetencje praktyczne w tym obszarze. Budowanie potencjału praktycznego wymaga bowiem odpo- wiedniej podbudowy teoretycznej. Ważną grupę adresatów książki stanowią słuchacze kierunków podyplomowych studiów doskonalących kompetencje menadżerskie w obszarze corporate governance, a w szczególności kierunków Master of Corporate Governance i Master of Business Administration in Corpo- rate Governance. Autorzy, jako wykładowcy przedmiotów objętych programem wyżej wymienionych studiów podyplomowych, działają na rzecz zwiększania wśród kadry menadżerskiej świadomości roli mechanizmów nadzoru korpora- cyjnego zaimplementowanych w spółce oraz możliwości ich doskonalenia.
