This thesis proposes a complementary vision in the study of the post-merger integration phase by analyzing the processes of identification of the employees to the merger. Organizational identification has an influence on employees' commitment. Employees' commitment is a key factor in the success of the cooperation during the merger. The object of search of this doctoral research is the identity transition lived by the employees following a merger. Individuals having a dual identification, i. E. Individuals able to rely on several identities are more at ease with changing situations. This thesis examines two questions : (1) How does dual identification develop during the identity transition lived by the employees after a merger ?; (2) Which is the influence of the dual identification on employees' commitment? This research analyzes quantitative and qualitative data collected at Air France and KLM, that is to say more than 3000 questionnaires and 100 interviews. The longitudinal design makes it possible to analyze employees' reactions six, twelve and eighteen months after the merger. Thanks to the analysis of the antecedents and consequences of the dual identification, this research contributes to a better understanding of the identity transition after a merger. It proposes to the executives some little known tools to improve the management of the process of integration after a merger

Mergers & Acquisitions (M/A) are particularly common in response to sector shocks, and mastering such strategies is an important issue in the economic life of companies. The aim of our thesis was to deepen our understanding of the human side of M&A. More specifically, we were interested in the relationships between the members of merged organizations and the evolution of their identities. To this end, we carried out a case study of Air France-KLM, consisting of a press review, a review of the company's annual reports and 49 semi-structured interviews. Our results revealed a number of elements in the literature concerning cooperation, social competition and employee resistance in the context of the merger. We were also able to clarify how some of these categories operate. Above all, we have highlighted the existence of opportunism in the context of M&A and contributed to our knowledge of the different forms it can take. We have also shown that the identities of the organizations involved in an M&A can evolve in a simple, hybrid or market-driven way over the course of the collaboration with the partner

This thesis is composed of four essays. The first two essays draw on behavioral corporate finance and show to what extent French firms can take advantage of investors’ erroneous judgment. We first study the impact of the familiarity bias on ownership. We find that firms with higher notoriety level, mostly small-cap ones, have higher individual ownership. Second, we test the catering hypothesis in dividend policy, in that whether firms are more prone to pay dividend when payers trade at a premium relative to non-payers. The results validate this hypothesis and support short-term opportunistic behavior by French firms, especially when family control is low or institutional ownership is high. The last two essays examine the impact of climate change issues on firms’ decisions, in an international setting. Especially, the third essay demonstrates that eco-efficiency-based strategies significantly matters to the financial outcomes of mergers and acquisitions, which supports the economic rationality underlying carbon reduction investments, and claims for a win-win relationship between corporations and their environment. The fourth essay that deals with the environmental voluntary disclosure, emphasizes the increasing interest of stakeholders toward this kind of information: firms with higher exposure, higher leverage and those that are in the scope of regulators tend to be more transparent in terms of carbon reporting. Moreover, firms that are less eco-efficient show higher probability to report on their environmental performance, suggesting the search for legitimacy

This study argues that the merger predilections of many of the largest us and eu manufacturing firms may well have negative effects on their competitiveness vis-a-vis their japanese rivals. It first demonstrates that mergers and acquisitions are much more common among us and eu than among japanese firms. An extensive review of the literature subsequently confirms that mergers and acquisitions do not generally generate extra profitability, productive efficiency, market share growth and/or innovativeness. While the static welfare losses of such merger predilections may not be dramatic, they may lead to substantial dynamic losses when merger-prone firms need to compete with firms which instead focus on equipment investment and investments in r&d. The study shows that japanese firms have outperformed us and eu firms in terms of such investments during the 1980s so that it appears that the market share losses that western firms experienced during that same period have been caused by their merger predilections. These findings raise both theoretical and policy questions. On the theoretical side, the study demonstrates that strategic interdependence, which is the typical setting in which large firms operate, may encourage minimax regret rather than efficient choice behaviour. A single major merger may then trigger a bandwagon of imitative and defensive mergers. On the policy side, it is consequently argued that competition policies should test for the productive and dynamic rather than allocative efficiency effects of mergers. Industrial policies should focus on the fostering of innovative small and medium sized firms rather than on encouraging the predilections of large firms. The study suggests that the development of networks of local virtual stock exchanges may be an effective instrument in that respect

We study the effect of CEO psychological characteristics on firm performance in three papers. We first consider the theoretical background to work in behavioral corporate finance in a conceptual paper analyzing hubris and related psychological concepts. In this paper we put forward ideas for future research, some of which we implement subsequent papers. In paper 2, we study the effect of acquirer and target CEO narcissism on the private aspects of the takeover process in a sample of US M&A deals. We find that higher levels of acquirer CEO narcissism are associated with a higher probability of deal initiation by the acquirer and with a shorter length of time between deal initiation and announcement. Concerning value effects, our results suggest that higher levels of target CEO narcissism are positively related to bid premium and negatively related to acquirer cumulative abnormal returns. In addition, the difference between acquirer and target CEO narcissism is a significant factor in explaining the different aspects of the takeover process. In the third paper, we analyze the effect of CEO authentic leadership on the market and operating performance of a sample of listed French firms. We collect data on CEO authentic leadership using questionnaires. We analyze the difference in performance of firms sorted into three portfolios according to the level of CEO authentic leadership using a Fama French three factor analysis. We fail to find a significant relationship between CEO authentic leadership and market performance. In the operating performance analyses, we find a positive association between CEO authentic leadership and ROA

This dissertation illuminates trust in new subordinate—leader relationships arising from mergers and acquisitions (M&As) in multicultural emerging economies. A large body of researchers has probed the notorious M&A failure rate of over 50%. Complexity and uncertainty characterize post-acquisition integration including for the personnel. Trust is a key success factor. Building on research into the cultural perspective of M&As, three related essays address a knowledge gap in trust and cultural dynamics when integrating firms with multicultural personnel. Essay 1 develops a theoretical framework of multicultural acquired-firm subordinate trust in foreign acquirer leaders, based on ethnic or religious similarity. The M&A concept of multiculturalism is combined with self-categorization and similarity-attraction theories to explicate how subordinates alleviate integration uncertainty to develop trust. Essay 2 tests religious (dis)similarity—trust hypotheses from this framework, moderated by three acquisition-specific factors. Policy-capturing data from 411 multifaith Malaysian personnel demonstrates the nuanced role of religion as a catalyst (constraint) of trust in cross-border M&As. Essay 3 examines the cultural and trust dynamics in two case studies, comparing a domestic Malaysian acquisition and a South African—Malaysian acquisition. Abductive analysis of 35 interviews of acquirer and acquired-firm personnel reveals that managerial boundary spanning facilitated subordinate—leader trust development. Paradoxically, integrating the domestic rather than cross-border acquisition was more complex when within-country religious diversity and linguistic diversity are considered

This doctoral research is dedicated to the analysis of the impact of shared-resources mechanisms and their implementation on the global performance of public organizations. This research gives a proper definition to this mechanisms based on different concepts used for the private sector such as collaboration, reengineering or mergers and acquisitions. Moreover, this study is based on transaction cost theory and organizational changes. In addition, the analysis of performance that we propose uses a five dimension model that we were able to operationalize. The originality of the approach is linked to the use of both quantitative and qualitative analysis through a quantitative survey carried out in all Departmental Fire and Emergency Service in France, and, on the other and, a research-action led in one of them. The results of our research are numerous. The most important result is that the methodology of the implementation of shared resources mechanisms appears to be the most significant element which can create performance. Secondly, we propose a range of key success criteria of the methodology that can be used by manager in the public sector to run efficient shared-resources mechanisms

Whilst experts have predicted the downfall of wholesaler, the latter has survived and e to environmental pressures. This thesis, consisting of three in-depth case studies, investigates into the resources mobilization underpinning wholesalers' survival. The meticulous empirical setting sheds light on the transformations impacting the wholesaling field and on local actors' specific responses. This thesis contributes to illuminate the meaning and role of resources vis-à-vis interactions with institutions. Moreover, it promotes the concept of Institutional Biography as a lens to better understand action origins. The model derived from my analyses describes and explains fruit and vegetables wholesalers’ efforts to become a guarantor for quality, despite prejudices about their inertia and predictions of their disappearance

Faced with both the collective challenges, in terms of economic and social development of communities and countries; and individual challenges to the business creators, support systems have gradually imposed representing, since the 80s, a general reality in Europe and particularly in France.Among the practices of business support systems, our interest in this research is focused on the entrepreneurial support phenomenon. First approached from a more technical and collective approach focused on results, entrepreneurial support becomes a practical support to business creation which is based on an interpersonal influence relationship established between an entrepreneur and an external actor to the creation project and on an action process based on multiple learning and skills development.If all support contributions in the current state of entrepreneurship research help to a better entrepreneur’s success, in our research we are particularly interested in the other "hidden facet" of the support relationship whish are accompanists themselves and the problematic of what is learned by these professional actors from their practices in business support structures. We, therefore, asked the question: To what extent the entrepreneurial support experiences of accompanists affect their experiential learning outcomes and individual and organizational behaviors in “Réseau Entreprendre” (Entrepreneurship Network) ®?To address this problem, we mobilized the experiential learning theory (Kolb, 1985) as a reference model of our research. The meeting between the two fundamental concepts of our research, namely, entrepreneurial support and more specifically, the accompanist and Kolb's experiential learning theory (1984) enabled us to build our conceptual model relating four main variables. These variables are associated with entrepreneurial support experiences, individual characteristics of accompanists, the experiential learning outcomes and, finally, individual and organizational behavior changes.By adopting a quantitative methodology we administered a questionnaire to a sample of 205 entrepreneurs of creation project in 38 Entrepreneurship Network associations in France. The results of our quantitative analyzes are obtained from SPSS software and provide a better understanding of the accompanist learning cycle in general and in “Entrepreneurship Network” structures in particular.
