<p>Corporate responsibility for crimes that require thought, or lack of thought, has been the subject of much debate both in the UK and worldwide. This article investigates the current position in the UK, where a Bill is currently (October 2006) before Parliament, and briefly in Australia, where the law has been reformed at Commonwealth level, but not yet implemented in individual States. In line with developments in Australian and the UK law a realist rather than nominalist position is taken that explicitly recognises genuine corporate fault. The article looks forward to the cases that are likely to be brought under the “corporate culture” provisions. It suggests that the practical methods of providing evidence of corporate ‘attitudes, policies, systems or accepted practices’ could very well include the records of meetings, very much in line with<br />the method attempted in the failed Transco prosecution in Scotland. It is<br />submitted that the conceptual foundation for the realist approach is sound and that there are practical ways of bringing the company before the court. However, there are also some conceptual and practical difficulties to be faced. Issues identified include the question of responsibility for sub-cultures and the practical problem of a proliferation of different sorts of evidence and expert opinions that could be put before the courts.</p>

The business landscape has undergone some significant changes over the last several years. Accompanying these changes has been an alignment of corporate R&D with business goals. This has resulted in significant downsizing of corporate research laboratories and the devolving responsibility for R&D matters to operating sites or business units. The downside of this is that the operations are now more than ever focussing on productivity, industrial relations and other essential short-term profitability-motivated issues. Consequently, the changing environment is creating cultures that value and reward short-term results. This short-termism has important implications to industry and the research community.One of the more successful and cost-effective mechanisms by which Australia can enhance its R&D base and consequent prosperity is through collaborative R&D. The Australian Minerals Industries Research Association (AMIRA), together with its oil and gas Division APIRA, has demonstrated over the years how effective this can be. AMIRA's raison d'etre is to assist the resource industries improve their technology position through collaborative R&D. It achieves this by working closely with researchers and industry to identify areas of common interest, develop research proposals, and seek financial support for these proposals from industry. Once a project commences, the Association administers the financial and reporting aspects, as well as monitoring progress, organising progress review meetings and assisting in technology transfer. AMIRA/APIRA has the track record, the systems and expertise to facilitate and manage collaborative R&D focussing on industry needs.The evolution of the Australian collaborative R&D environment in the oil and gas and minerals sectors has been significantly different. The oil and gas industry, particularly in exploration, does not have a history of strong collaborative R&D in Australia. The reasons for this are varied and can be found in the different corporate cultures between mineral and oil and gas companies.

The past few years have seen a dramatic rise in shareholder activism in Europe and the US and it is a trend becoming more common in Australia. Companies operating in the oil and gas sector have been subject to particular attention and there are a growing number of examples of this in Australia. The targets of shareholder activism range in size and performance, but are often companies with perceived board weakness, those that are considered to adhere to outdated corporate governance, those whose strategic direction is in question or those that have an under-performing share price, though other factors can also be relevant. Using these issues or concerns as a pretext, activists are increasingly focused on using tactics that allow them to exert control or exercise influence to realise returns or agitate for change in companies that: have significant assets (such as oil and gas reserves) relative to their market value; have high costs, large capital expenditures and long revenue generation lead time (such as exploration projects); or, operate in low growth or fluctuating markets (such as with the price of oil and gas). Unsurprisingly, the oil and gas sector is being increasingly seen by certain funds and investors as fertile ground for shareholder activism. The Australian legal landscape also presents shareholders with a platform from which to exert influence. For instance: shareholders are able to requisition general meetings (and resolutions to be put to those meetings) if they hold sufficient shares and put the entire board up for re-election following the introduction of the two strikes rule; and, directors are required to adhere to statutory and common law duties in responding to shareholders. Shareholder activist campaigns are often played out in public and can be highly disruptive to companies’ operations. Accordingly, directors and senior management of oil and gas companies should be aware of shareholder activism in Australia and, in the broader interests of all shareholders and their company, consider how they should respond or be ready to respond. This may be done through various processes, including testing the company’s perceived weaknesses and addressing them and having a plan to address activism should it arise.

Cooperative corporate behavior has often been explained through the social anatomy of business leaders and structural ties among firms. Our alternative approach investigates how quotidian interactions built trust and routines among a group of major firms in the Australian wool trade—a sector that required regular interaction to be effective. Deploying extensive archives of their meetings, we use social network analysis to examine interactions among the key group of firms and individuals. Through content analysis we infer the behavior and atmosphere of meetings. Finally, an evaluation of meeting agendas and outcomes demonstrates cooperation and a shared commitment to improving the operation of the wool trade in the 1920s.

This study shows how the non-parametic optimisation model of Data Envelopment Analysis can be applied to Corporate Social Responsibility in a company-wide analysis of the capacity of people, processes, and other resources to meet the expected social obligations to all stakeholders under the organisation’s promulgated corporate citizenship. Data used in the analysis are the scores of empirical results from an Australian bank study. The DEA model identified 11 decision making units, from a cohort of 231, that were leading exponents of the behavioural characteristics required to be rated as the most efficient in meeting the corporate social responsibility criteria set by the firm. These findings can be used to investigate why some units succeeded so well while others wallowed. The analysis can provide valuable information for developing an efficient organizational structure for the company for achieving good corporate governance.

Purpose – Communication of risk management (RM) practices are a critical component of good corporate governance. Research, to date, has been of little benefit in informing regulators internationally. This paper seeks to contribute to the literature by investigating how listed Australian companies disclose RM information in annual report governance statements in accordance with the Australian Securities Exchange (ASX) corporate governance framework. Design/methodology/approach – To address this study’s research questions and related hypotheses, the authors examine the top 300 ASX-listed companies by market capitalisation at 30 June 2010. For these firms, the authors identify, code and categorise RM disclosures made in the annual according to the disclosure categories specified in ASX Corporate Governance Principles and Recommendations (CGPR). The derived data are then examined using a comprehensive approach comprising thematic content analysis and regression analysis. Findings – The results indicate widespread divergence in disclosure practices and low conformance with the Principle 7 of the ASX CGPR. This result suggests that companies are not disclosing all “material business risks” possibly due to ignorance at the board level, or due to the intentional withholding of sensitive information from financial statement users. The findings also show mixed results across the factors expected to influence disclosure behaviour. While the presence of a risk committee (RC) (in particular, a standalone RC) and technology committee (TC) are found to be associated with some improvement in disclosure levels, the authors do not find evidence that company risk measures (as proxied by equity beta and the market-to-book ratio) are significantly associated with greater levels of RM disclosure. Also, contrary to common findings in the disclosure literature, factors such as board independence and expertise, audit committee independence and the usage of a Big-4 auditor do not seem to impact the level of RM disclosure in the Australian context. Research limitations/implications – The study is limited by the sample and study period selection as the RM disclosures of only the largest (top 300) ASX firms are examined for the fiscal year 2010. Thus, the findings may not be generalisable to smaller firms or earlier/later years. Also, the findings may have limited applicability in other jurisdictions with different regulatory environments. Practical implications – The study’s findings suggest that insufficient attention has been applied to RM disclosures by listed companies in Australia. These results suggest RM disclosures practices observed in the Australian setting may not be meeting the objectives of regulators and the needs of stakeholders. Originality/value – The Australian setting provides an ideal environment to examine RM communication as the ASX has explicitly recommended RM disclosures areas in its principle-based governance rules since 2007 (Principle 7). This differs from other jurisdictions where such disclosure recommendations are typically not provided and provides us with a benchmark to examine the nature and quality of RM disclosures. Despite the recommendation, the authors reveal that low levels and poor RM communication are prevalent in the Australian setting and warrant further investigation.

Telecommunications reform in Australia, and in particular the introduction of competition, is often claimed to have delivered benefits to consumers. From the perspective of people with disability, this competition so far can been seen as crippling rather than enabling. There have been some gains for telecommunications for people with disabilities over the past decade in particular —delivered by slowly changing corporate attitudes buttressed by the explicit reference to the requirements of the Disability Discrimination Act 1992 in the Telecommunications Act 1997. This article examines telecommunications and disability in Australia since 1975, and concludes that it is high time for a telecommunications and new media industry where measures of outcomes would include utilising the experiences and meeting the needs, expectations and aspirations of those who live with disability.

Current concern over a variety of environmental and social issues such as global warming, treatment of labor around the world, and the depletion of natural resources has caused stakeholders of firms to renew their interest in corporate social responsibility (CSR) reporting. This study examines the extent of CSR reporting used by firms in the financial services sector listed in the US S&P 500 and the Australian ASX 200. The CSR reporting by 25 Australian and 79 US firms was compared to the supplemental environmental and social performance indicators for the financial services sector established by the Global Reporting Initiative (GRI). The results of the study indicate discrete reports produced by a firm provided the greatest amount of information on CSR issues relative to coverage provided in annual reports. Although firms in both countries were found to report their codes of conduct in their corporate governance documents, the level of disclosure of a large number of environmental and social performance indicators by the largest firms in the financial services sector fell well short of meeting the GRI guidelines.

In Australian corporate governance, section 249D of the Corporations Act 2001 gives small shareholders a voice by empowering them to call for an Extraordinary General Meeting (EGM). We discuss the principles behind this section, and illustrate its action with the case of Gunns Ltd, a logger of old growth forests in the green oriented island the State of Tasmania. Our conclusion is that the section needs to be redrafted with more stringent conditions attached to calling an EGM but while still empowering small shareholders.

Purpose The purpose of this study is to examine whether audit committee characteristics influence the cost of equity capital. Design/methodology/approach Drawing on signalling theory, this study hypothesises that the presence of an AC with adequate characteristics serves as a market “signal” of the credibility of the effective monitoring process and hence affects the perception of capital providers on the cost of equity capital. The study uses a multiple regression analysis on data collected from a sample of top Australian listed firms. Findings The study finds that audit committee characteristics such as size, meeting frequency and independence are significantly and negatively associated with the cost of equity capital. However, there is no significant evidence that the financial qualifications of audit committee directors are associated with the cost of equity capital. Originality/value While there have been several studies examining the cost of equity capital, there is very limited research on the cost of capital in Australian firms. The study aims to fill this gap, in part, and contribute to the literature on corporate governance and signalling theory.

This study explores how patterns of male advantage and female disadvantage are reproduced in workplace meetings through the different communication styles which tend to be employed by men and women, and through the way that these different performances are judged. Workplace meetings emerge as a critical site where leadership potential is identified yet, it is argued, men and women do not meet as equals when they meet at work. The thesis includes an evaluation of the current literature on women's and men's communication styles, and the findings of the present study are discussed in terms of the extent to which they correlate with or diverge from existing views. The implications for social change are explored and recommendations provided for the consideration of organisations seeking to broaden the pool of talent from which future leaders are drawn.Doctor of Philosophy (PhD)

Shareholders are important because they provide finance to companies by investing in the share market. Shareholder voting rights are attached to the shares. The rights are defined by a company’s constitution, shareholders agreement, the Corporations Act 2001 (Cth) and ASX Listing Rules. The exercise of the rights is significant for the growth and trustworthiness of capital markets. Previous research has focused on evaluation of the strength of shareholders rights, shareholders activism and shareholders engagement but lacked evaluation of the ways in which shareholders exercised their rights. This thesis addresses this issue. In particular, it explores shareholders economic rights, which are divided into control and decision making rights, and how shareholders exercised these rights by voting on resolutions proposed at Annual General Meetings.
The aim of this study was to empirically and legally evaluate shareholders rights in practice in ASX 200 companies during 2014-2018. The research question was: To what extent do shareholders exercise their rights in Australian listed companies, and how and to what extent does shareholders engagement with a listed company impact on corporate decision makings at AGMs?
The mixed-method methodology included both empirical quantitative and black-letter law research methodologies. The research included development of a data base of voting behaviour at the AGMs of 122 companies; 3382 AGMs resolutions including 3214 ordinary resolutions 168 special resolution were studied over the period of 5 years.
The results showed that on average 64% shareholders exercised control and decision making rights in 2014 which increased by on average 4.0633% in 2018. Moreover, on average around 30% of shareholders have not attended AGMs and have never appointed proxies. The appointment of proxy trend consistently increased since 2014 to 2018 by on average 4.7514%. The attendance of shareholders in person was on average around 2% during 2014-2018.
The top 20 shareholders hold on average 77.5865% of voting rights in 2018 which is 3.3634% higher than 2014. Further, on average 9% of top 20 shareholders have never attended AGMs and have never appointed proxies. The blockholders voting power lay between 58% and 63% during study period. The presence of top 20 shareholders and blockholders did not have any significant influence on the voting turnouts at AGMs.
The financial benefits from the issue of dividends did not have any impact on shareholders engagement and AGMs voting turnout. The relationships of shareholders engagement with election and re-election of directors were statistically significant with shareholders voting against resolutions, but the results confirm that shareholders cannot hold directors accountable at AGMs through their voting powers.
The current study supports the application of stewardship theory instead of agency theory at AGMs of ASX 200.
The policy recommendations were developed on the basis of empirical confirmations established from this study. In Australia, shareholders are powerful in theory and powerless in practice.
