Streszczenie:
This well-established and authoritative work is the most detailed reference source on the law relating to minority shareholders. As more and more legal emphasis is put on corporate governance, and as the influence of shareholder activism continues to grow, practitioners increasingly need a source of up-to-date and detailed information on the rights and remedies available to the minority. This is the only book to focus on this increasingly topical and important subject. This sixth edition features a new chapter on share purchase orders and valuation. There is expanded coverage of the relevant non-UK authorities, including cases from Hong Kong, Singapore, the British Virgin Islands, and Cayman. There is also more detailed analysis of shareholder agreements and related developments in contract law relevant to minority shareholders (e.g., arguments around implied terms and good faith). The new edition also covers significant developments in case law, such as Eclairs Group Ltd v JKX Oil & Gas plc.

Streszczenie:
How do societies respond to great demographic change? This question lingers over the contemporary politics of the United States and other countries where persistent immigration has altered populations and may soon produce a majority minority milestone, where the original ethnic or religious majority loses its numerical advantage to one or more foreign-origin minority groups. Until now, most of our knowledge about large-scale responses to demographic change has been based on studies of individual people’s reactions, which tend to be instinctively defensive and intolerant. We know little about why and how these habits are sometimes tempered to promote more successful coexistence. To anticipate and inform future responses to demographic change, Majority Minority looks to the past. The book entails historical analysis and interview-based fieldwork inside six of the world’s few societies that have already experienced a majority minority transition to understand what factors produce different social outcomes. This research concludes that, rather than yield to people’s prejudices, states hold great power to shape public responses and perceptions of demographic change through political institutions and leaders’ rhetoric. Then, in subsequent survey research, the book identifies novel ways that leaders can leverage nationalist sentiment to reduce the appeal of nativism by framing immigration and demographic change in terms of the national interest. Grounded in rich narratives and novel statistical data, Majority Minority reveals the way this contentious milestone and its accompanying identity politics are ultimately subject to unifying or divisive governance.

Streszczenie:
The aim of the present chapter is to explain the processes through which minority points of view may, or may not, diffuse in society at large. The first section presents the rise in the 1970s of a new stream of research, that of minority influence, and summarizes early conceptions and the initial experimental works that allowed differentiating minority from majority influence. The second part reviews the subsequent criticism to early minority influence research, in particular as regards its differences from majority influence. The third section examines the various models that attempted to reconcile previous controversies, and it organizes the great diversity in results observed over the years in studies on majority and minority influence. The final section points to the liveliness of this area of investigation by reviewing some recent extensions and applications of minority influence research.

Streszczenie:
The question of how relations between marginalized groups are impacted by their common and sometimes competing search for equal rights has become acutely important. Demographic projections make it easy now to imagine a future majority population of color in the United States. This book sets forth some of the issues involved in the interplay among members of various racial, ethnic, and sexual minorities. Robert S. Chang initiated the Intergroup Conflict and Cooperation Project and invited the book's author to collaborate. The two brought together scholars from different backgrounds and disciplines to engage a set of interrelated questions confronting groups generally considered minorities. This collection strives to stimulate further thinking and writing by social scientists, legal scholars, and policymakers on inter-minority connections. Particularly, scholars test the limits of intergroup cooperation and coalition building. For marginalized groups, coalition building seems to offer a pathway to addressing economic discrimination and reaching some measure of justice with regard to opportunities. The need for coalitions also acknowledges a democratic process in which racialized groups face significant difficulty gaining real political power, despite such legislation as the Voting Rights Act.
