Pollination is an effective ecosystem service, responsible for increasing the quantity and quality of fruits and seeds formed. Due to the self-incompatibility of some species of agricultural interest, cross-pollination is required and the limiting of pollinating species such affects its production. The yellow passion fruit (Passiflora edulis f. flavicarpa.), a selfincompatible specie is dependent on cross-pollination to form fruit. Thus, the general aim of this study was to study the biology of pollination and reproduction in P. edulis f. flavicarpa, emphasizing the efficacy of pollinators for this specie. The specific aims were: 1) to evaluate the richness, visitation frequency and the behavior of visitors in Passiflora edulis f. flavicarpa flowers.; 2) to compare the efficacy in the formation of fruits and seeds of P. edulis f. flavicarpa through individual and two visits by Xylocopa frontalis with manual crosspollination and natural pollination and 3) assess whether there is pollen limitation through comparison between natural and manual cross-pollination. Visitors were observed during the flowering period, from January to April 2015, totaling 106 hours of observations. For fruiting testing and seed counts: 1) manual cross pollination (n = 37 flowers); 2) natural pollination (n = 52 flowers); 3) pollination by single visit of X. frontalis (n = 41 flowers) and 4) pollination by two visits of X. frontalis. Were identified bee species of Apis, Bombus, Centris, Epicharis, Eulaema, Melipona, Oxaea, Trigona and Xylocopa genera, Apidae, being also observed an individual belonging to Halictidae family. Insects belonging to other orders were also observed, including different species of butterflies (Lepidoptera), bugs (Hemiptera), flies (Diptera), beetles (Coleoptera) and the presence of family Trochilidae hummingbirds. The specie A. mellifera (thief behavior) and X. frontalis (predominantly pollinator behavior) were the most frequent in the plantation with 58.11% and 30.20% respectively of occurrence. Regarding pollination tests, we observed the formation of fruits in all the treatments. Flowers of manual cross-pollination obtained the highest fruiting rate when compared to other treatments. The fruiting rate through manual cross-pollination was significantly higher than that obtained in natural conditions (X2 = 12.676; degree of freedom = 1; p <0.05) indicating that there is pollen limitation in natural pollination. Regarding the number of seeds, an analysis of variance (ANOVA) indicated no significant difference between the mean number of seeds produced in different reviews pollination. Conclude that there is richness of floral visitors specie in the study area, and that between them, the main pollinator species are those with larger, mainly bees belonging to the genus Xylocopa. Larger fruiting rates obtained by manual cross-pollination treatment suggest that more than one visit is needed to promote greater production rate in passion fruit crops.
A polinização é um serviço ecossistêmico, responsável por aumentar a quantidade e a qualidade dos frutos e sementes formados. Devido à autoincompatibilidade de algumas espécies de interesse agrícola, a polinização cruzada torna-se necessária e a limitação de polinizadores nessas espécies afeta a sua produção. O maracujá-amarelo (Passiflora edulis f. flavicarpa Deg.), por ser uma espécie autoincompatível, é dependente da polinização cruzada para a formação de seus frutos. Dessa forma, o objetivo geral desse estudo foi estudar a biologia da polinização e a reprodução de P. edulis f. flavicarpa, enfatizando a eficácia do principal polinizador dessa espécie. Os objetivos específicos foram: 1) avaliar a riqueza, frequência de visitas e o comportamento dos visitantes em flores de Passiflora edulis f. flavicarpa Deg.; 2) comparar a eficácia na formação de frutos e sementes em P. edulis f. flavicarpa por meio de visitas individuais e duas visitas de Xylocopa frontalis com a polinização cruzada manual e a polinização natural e 3) avaliar se há limitação polínica por meio da comparação entre a polinização cruzada manual e a polinização natural. Os visitantes florais foram observados durante o período de floração, de janeiro a abril de 2015, totalizando 106 horas de observações. Para avaliar a eficácia da polinização e a limitação polínica foram realizados quatro tratamentos distintos de polinização: 1) Polinização cruzada manual (n=37 flores); 2) Polinização natural (n=52 flores); 3) Uma visita de X. frontalis (n=41 flores) e 4) Duas visitas de X. frontalis (n=31 flores). Para cada tratamento foi avaliado a formação de frutos e a produção de sementes. Foram identificadas espécies de abelhas dos gêneros Apis, Bombus, Centris, Epicharis, Eulaema, Melipona, Oxaea, Trigona e Xylocopa (Apidae), sendo também observado um indivíduo pertencente a família Halictidae. Insetos pertencentes a outras ordens também foram observados, entre eles, diferentes espécies de borboletas (Lepidoptera), percevejos (Hemiptera), moscas (Diptera), besouros (Coleoptera) e a presença de beija-flores da família Trochilidae. As espécies A. mellifera (comportamento pilhador) e X. frontalis (comportamento predominantemente polinizador) foram as mais frequentes na plantação com 58,11% e 30,20% das visitas respectivamente. Em relação aos tratamentos de polinização, verificamos que houve formação de frutos em todos os tratamentos realizados. Flores de polinização cruzada manual obtiverem a maior taxa de frutificação quando comparada aos demais tratamentos. A taxa de frutificação por meio da polinização cruzada manual foi significativamente maior que a obtida em condições naturais (X2 = 12,676; grau de liberdade = 1; p<0,05) indicando que há limitação polínica na polinização natural. Em relação à quantidade de sementes, a análise de variância (ANOVA) não indicou diferença significativa entre as médias do número de sementes produzidas nos diferentes tratamentos. Concluímos que há riqueza de espécies visitantes florais na área estudada, e que entre elas, as principais espécies polinizadoras são aqueles que possuem maior tamanho, principalmente as abelhas do gênero Xylocopa. Maiores taxas de frutificação obtidas por meio do tratamento de polinização cruzada manual sugerem que mais de uma visita é necessária para aumentar a produtividade.

Mergers and acquisitions (M&;A) has been one of the major practices for corporate expansion and growth in order to be benefited from the synergy. In addition to risk assessments and evaluation as well as due diligence, whether a company can reach the expected synergy so as to strengthen its competitiveness after a merge will highly rely on its competence in management, risk control and consolidation. This study first analyzes the future growth and development trend of a touch-sensing controller IC design house from introducing the touch panel industry, to the role for a touch-sensing controller IC design house in the supply chain, the technology and end-use market situation. It further provides explanations why as a leading touch controller-sending IC design house in the industry and a primary listing company in Taiwan, its choice to merge a driver IC design house, as well as for the target synergies and the main considerations to determine the structure of this transaction; lastly the study offers suggestions to the potential issues the company may encounter in the future. If this M&;A case could be closed smoothly and take effect, it would set two precedents - one being that it would be the first case for a primary listing company to acquire a listing company in Taiwan, the other being that it would be a pioneer for a touch-sending controller IC design house to acquire a driver IC design house for technical integration.

Nowadays, most of the enterprises in Taiwan are facing the global competition. Especially for the export-oriented, small-to-medium sized companies, the operation environment become more and more severe. Due to Taiwan's international situation, we cannot successfully sign the FTA (Free Trade Agreement) with other countries, such as the geopolitical relations between Taiwan and the closest AEC (ASEAN Economic Community). This causes Taiwan to have higher tariffs in exporting than the members participated in the economic community. Therefore, cost reduction becomes the core issue for enterprises to maintain international competitiveness. In many industries, inventory costs might account for large portion of total costs. For metal can company, the amount even makes up as high as 40 to 50%. This motivates the study to explore the case of the F Company and to propose the cost reduction approach. For the study, the monthly sales data from 2010 to 2013 are collected. The forecasting methods are used to predict the future demand based on the 48 periods of both historical actual sales and deseasonlized data. Three proposed methods are moving average method, single exponential smoothing method, and linear regression analysis. Mean absolute percentage error (MAPE) and mean absolute deviation (MAD) are used to evaluate these three methods. This study shows regression model with the deseasonlized historical data results in the best forecast within 1% of error. As a result, the inventory costs of the studied company are reduced by 4%. Hopefully, the thesis sheds some light to inventory problem, and provides guideline to increase prediction accuracy and cut down the inventory costs.

The study is to investigate the current status and future development of tourism industry in Taiwan. Taking F travel agency for example, we used strategic management model that based on the SWOT analysis to develop its business strategy. In 2001 the Government adopted an "open People from Mainland China to Taiwan tourism promotion program", and allowing mainland tourists to visit Taiwan officially in January 1, 2002. Since that the restrictions are loosen gradually. In recent years both sides of the straits interact frequently. And Taiwan is devoted to the tourism industry; especially in mainland China to Taiwan tourism showed high growth. But the associated policies are incomplete, such as tourist facilities, transportation, etc. The study takes F travel agency for example in qualitative research, and makes a comprehensive survey of the study in the issue of internal mainland tourists, and investigates the competitive strategy of tourism industry based on expert interview survey.

To a company manager, how to advance company’s performance, expanding business scope, and manage company’s sustainably are important issues. Utilization of existing assets to optimize performance is also a company target to work. This study measures technical efficiency, pure technical efficiency, and scale efficiency by DEA for business units of F company for period 2010 and 2011 after company merger. The empirical results are 1. For most of business units, their technical efficiency of 2011 superior to 2010, especially the business units located in north area.2. Pure technical efficiency of 2011 better than 2010, especially the business units located in south area. 3. Most business units exist small-scale problem. Furthermore, this study investigates the factors of efficiency difference among business units by Tobit regression. The results find that population density is negative correlations with pure technical efficiency, but quality of population is positive correlations with pure technical efficiency.

Taiwan IC design service industry started from 1993 since Faraday spun off from UMC and was funded as the first Taiwan IC design service company. Over the ten years, the number of IC design service companies has been growing to more than 20 companies in the industry. It becomes another star industry in Taiwan in addition to foundry, packaging and testing. Owing to Taiwan successful model of developing semiconductor industry, the neighbor underdevelopment countries are eagr to mimic Taiwan’s experience to build their own semiconductor industry in the objective of taking worldwide OEM market share. Their low-cost competitive advantage has threatened Taiwan leading position in the semiconductor OEM market. In order to get rid of the neighbor countries’ competition, our government is planning to upgrade Taiwan from a seminconductor manufacturing center to a high added value SOC design center. The IC design service with SIP and SOC development capability is the key industry our government wants to promote in the SI-Soft program. The thesis is studying the competitive advantage of nation and corporate strategy of Taiwan IC design service. The first chapter outlines the study’s motivation, objective and scope. Chapter 2 develops the theory foundation and analysis model derived from the lecture study. Chapert 3 defines the study method. Chapter 4 analyze the competitive advantage of nation of Taiwan IC design service by using Michael E. Porter’s dimond system taking production, demand, relative and supportive industry, corporate strategy, structure, competition, government and opportunity six dimensions into consideration. Chapter 5 uses Michael E. Porter’s five forces model to analyze the external opportunity and threat to Faraday and use Hill & Jones’ “The Roots of Competitive Advantage” to figure out how Faraday leverage its resource and capability to develop the distinctive competency in order to achieving superior efficiency, quality, innovation and customer responsiveness and than obtain its differentiation and low cost strategic goal and competitive advantage. The chapter 6 provides summary and suggestion.

The purpose of incorporating Financial Holding Company (FHC) is to integrate finance products; e.g. banking services, insurance, stocks, to offer total solution pack of financial services to customers and enable cross selling inside branches. Generally speaking, it takes 3 up to 5 years for the integration effect of FHC to emerge; yet the companies in this case were originally branch companies of one enterprise group with same organizational culture. Sharing similar company vision they avoided sufferings caused by different culture. Before the establishment of FHC, the branch companies were characterized by high differences in products and customers. How to increase sales, complementarity and compatibility of products and morality of sales staff by developing customer relationship management system, analyzing consumer behavior and market oriented customized product design. But is the overall profit of branches really increased by the sharing of resources and cross selling? This research attempts to discuss how the branch companies of FHC fulfill their original purpose of incorporation by sharing distribution channel, organization, customer information and products. This research discovers that the factors which increase sales are: methodology in transferring product performance index, optimized education and training planning, cross selling, customized product research and development and integration of sales department function. As a summery, the integrating effect of the establishment of FHC by sharing the resources and products of branch companies is positive.

This research combines“Balanced Scorecard” and “Capability Evaluation Model”to establish an Employee’s Performance Rating system and to have employee’s pay system linked with this result as the basisof promotion and pay submission.Using the Performance Assessment model established through this research to make a trial. We have three salespersons from the exampled enterprise to make the trial for three months and to get the result as below. 1.The rating of achievement on account receivable and saving of operating expense is about 68.8% initially. The rating came up to 93.3% in three months later, the growth is about 24.7%. 2.The rating of achievement on the sales, customer satisfaction and return of goods is around 48.8% initially. three months later, it decreased to 33.3%, the decrease is about 15.5%. 3.The rating of achievement on the improvement of proposed internal processes is 0% initially. three months later, it came up to 100%, the growth is 100%. 4.The rating of achievement on the “growth from learning” through on-the-job training is 66.6% initially. three months later, it came up to 100%. The growth is 34.4%. 5.The rating of achievement on the “Indication of Capability” is 68.8% initially. three months later, it came up to 78.8%. The growth is 10%. To sum up, the total rating of achievement is 55.5% initially. After three months, it came up to 72.3%, the growth is 16.7%. Furthermore, since the mode of assessment is directly related to the compensatiom system, unlike the working performance was not concerned in the past, employees become actively to know the achievement of this performance.

In 2015, the production value of mainland China IC design industry has surpassed Taiwan as the world's second largest. Currently, Taiwan's IC design industry faces the challenges: (1) rapidly changing technology and industry evolution, (2) China's rise, threat of red supply chain and high price-earnings ratio of capital markets, (3) the loss of R & D talent and (4) increasing investment barrier. However, the managers of Taiwan's IC design industry are smug with success experience in business and management and hold cash but then no investment for bisiness growth. This study investigated the use of case study methods, mainly the discussion and analysis of four dimensions. First, two axially business growth strategies based on entrepreneurship opportunity identification and business growth strategy choice, supplemented by "five forces model" and "diversification theory" as the theoretical basis of case analysis. Second, to discuss changes in the semiconductor industry for two decades, changes in the supply chain analysis of the rise and fall with each other forces, and generalize dominated force in different times. Third, specially select F-company as the target of case study. It is the empirical case through direct observation of development process when facing threats and opportunities in the changing industry over 10 years. Finally, attempt to generalize the business opportunities and executable business growth strategies based on the analysis of F-company’s growth strategy developing history and unique resource it has。

The concept of the team identity transformation in entrepreneurial process was addressed in this thesis. In order to effectively and delicately descript the formation and transformation process of the team identity, Qualitative research and single case method were explored that an electronic component manufacturer (thereafter called F company) in Kaohsiung was chosen. I collect the first-hand data not only by interviewing with interviewees but emailing or talking via phone. In aspects of interview, formal interviews took 17hours, informal interviews took about 10hours and 2 hours was used to get data via telephone communication. Except for first-hand data, we collect the secondary data as well. With comparison on differences of technological team identity(ies) between in and after business creation, three categories grounded on interviews was developed, including think、work and learn. Based on these, we would try to analyze the reasons of transformation. After almost year of observation and data collection, I conclude these below: 1、There is existence of technological team identity in initial stage of entrepreneurship and this will be beneficial to drive the entrepreneurship. The mechanism of formation is how to pick up the members to make them highly consistent in thinking and behaviors. 2、As changes of contexts and self adaptation, the technological team identity would be transformed as the figure6.1 shown. 3、I found that the team identity would transform into organizational identity, and that would make the border between technological team and the other groups more and more unspecific. 4、In the process of team transformation, managerial action and machismo play an important roles to harness how the process goes to make the organization more flexible and actively response to the complex environments.

Accompanied by the development of internet, the rising of cloud technology, the popularity and the evolution of mobile phones and tablet computers, the so called “Information Explosion” did lead the growth of the market of Server in application. Now a day, this new market starts to emerge through the promotion and importation conducted in the past decades. The taking-off of the IT Industry, however, has been involved in a wide ranges of the industrial chains, e.g., from the front Integrated Circuit (IC) design to the application of the servers, the computers in industrial specification, chassis, software, network, managing platform, etc. The current situation in Taiwan has been that the R&D capability of new products in the industrial chains of both upstream and downstream in relating to the structures of hardware, the design of software, and the system integration are been well established. Even in the commercial side, the structure of chain industries has also been completed set up too. Both the local server plants and foreign invested factories are facing the challenge of both enormous commercial opportunity and hardship. How to start up by use of the existed advantage of designing capability in order to get the key-technology and time period under full control. This research was made on the basis of "Strategic Management", "organizations", "flow control", "method to import", "tool applications", "suppliers to participate" and "customer participation" which are made as an integrate structure for the purpose to learn more about the time-efficiency and the technical grasp during the developing process of the server. By use of the related documents, the analysis of all the research reports, and the discussion made by the specialists, we are in the position to understand the current situation and the trend of future development. Throughout many studies made in the past time, it indicated that the integrated operation of the application in the top levels is necessary for a successful server industry. Whilst, more of the things we have to do in order to shorten the R&D program which is featuring a wider ranges and its diversified direction, will be the hardware design, institutional design of humanity, software, planning and process integration with the end customer applications as well, Based on the research and discussion mentioned as the above, may we propose and suggest: 1. A set of specific policies to support the cloud technology industry, policy and funding plan clear and there is obviously a big goal to lead the industry. 2. A well organized matching program should be completed by the Authority for the purpose to cultivate the designing talents locally and recruit talents from abroad. Besides, the retaining of outstanding domestic enterprises and manpower are also the key factors to the success. 3. The collaboration between the related companies with platforms, such as: Google, Amazon, and so on. 4. The combination of the supplying chain among the related industries, like hardware, software, design and related services, which is aiming for a successful server industry model showing a higher efficiency and excellent stability.

This research thesis canvasses the decision making of purchaser and corresponding marketing model of supplier in Petrochemical Industry. The advanced information technology provides the possibility that customers can find the ideal products easily that meet their production demand. However, due to the lack of critical production equipment and the diversity of products knowledge, the suppliers have to provide diverse and sufficient services to maintain loyalty of their customers. Importantly, the purchasing decision should not only consider price, but also the product functionality¸ reliability and safety. What the supplier offer is not only goods but a total solutions, ranging from product design, application, services and process improvement of aftermarket. These are the goals which clients pursue. The research thesis conducts a case study for the company F. It canvasses the requirements of purchasing of the customer, the biggest petrochemical industry corporation in Taiwan. A survey was developed based on the marketing theory including price, product, promotion, and channel, and their related issue as well. The face-to-face interview was adopted to collect data. Data analysis reveals findings as follows. The case company for equipment purchasing is based on the demand of each working level. Though most suppliers obtain the order with the advantage of the price; but neglected the job site users and management demand. When increasingly inquiries are tied to the specification or adopt and mark the most favorably, these suppliers will lose ground, and will be replaced by other manufacturers. To different user’s demand to offer differently sales strategy, the supplier will obtain more market chance.

ecently, the shape of the global economic system has improved since the global market has opened. The competition among enterprises is barely restricted to a given region, and globally intense competition takes place. From the standpoint business process reengineering, in order to run a perpetual business, confronting indefinite customer requirements and precarious situations, an enterprise can achieve lower cost, better productivity, and a more efficient process by thoroughly re-judging their market strategies and re-modeling their operation procedures. The main purpose of this research was to adopt ARIS, comprising organization, information flow, and function integration, to restructure the system flow of enterprise information. The ARIS simulation results revealed that the efficiency increased by 19% up to 71% after adopting the electronic managing system. Moreover, it is suggested that the company could introduce contract purchase items to purchase flow, following the key flow analysis. It would help to increase process efficiency by 4% and shorten the time required for inquiry and negotiation. It is hope that the result obtained from this research could provide a convincing example for industry to build up a relatively systematic process flow, which is beneficial for shortening process time, diminishing error, and enhancing competitiveness.

If the enterprises want to make highest profit and continues to develop. Cost down is very important. Inventory is very high rate in the cost for the proportion. If we want to meets the demand of customer, but don’t to store too much inventory, increase the cost of inventory. The inventory management is very important. The demand of market is indefinite, and influence of the effect for retailer promotion. Suppliers will have situation that out of stock and lose business, or stores too much inventory increase the cost of inventory, or insufficient of the warehousing space influence the efficiency of inventory management. Service level is the supplier when the delivery date, their ability of meets the demand of customer. If the service level is higher, the ability of demand of customer will better, but that will stores too much inventory increase the cost of inventory, insufficient of the warehousing space influence the efficiency of inventory management and inventory of the cost. If reduce the inventory, may reduce the cost of inventory, raises the efficiency of inventory management and inventory turnover. But will cause the service level to reduce, because out of stock, instead increase the cost, and affect the goodwill. Therefore, it is an important topic to balance between the service level and the inventory. This research chooses a technique company that production the cleanser by Sapindus mukorossi to conduct the case study. Resort to collection data, depth interview, observation, and related literature discussion. To analysis the inventory by related analysis method, then figure out a applicable inventory management model. According to improves the inventory management of the case company, then raises the efficiency and reduces the cost, to make highest profit for enterprise.

ABSTRACT 「Digital convergence」-which is normally being regarded as integrate telecommunication、internet and cable television industries these 3 originally independent industries,had caused structural changes to related industries such as Information Technologies (IT)、telecommunication、consumer electronics and entertainment medias。Due to this new technology’s innovation,changes not only happened on the company’s developing policy and core product but also impacted to company’s’ internal organizational structure 。 In order to react to these challenges coming with digital convergence age, F. telecommunication company that I work in decided to launch an organization integration to conform the related mobile telecommunication、fixed cable line and internet industry within our business group to get the new growth resource。 In fact this organizational integration has same meaning as outside business merge though we all belongs to the same business group since old burden problems of different business culture、process management and organizational conflicts that originally existed , the purpose of organizational integration can not be immediately reached obviously。 However Network Technology (NT ) - my working department – have a implementation plan name “ I-Care project “ in this turmoil period ,hopefully mold new NT organization into Customer-Accountability-Responsive-Execution caring core values,which emphasis mindset change evolution form inside to outside opinions。 This study research focus on “ i-Care’ project – an organization learning model - how employees look at this mindset change evolution while working scope change substantially after organization integration . During the research process, I worked out the root reason why NT insist on ‘ i-Care “ plan that organizational conflict happened between NT and Sales department, it caused customers’ satisfaction descend 、cognitive divergence on department value and confronting position on daily working process durther problems 。After 1 year implementation of “ i-Care “, the achievement includes NT employees not only clarify their technical value but also service and making new added value,learned how to make efficient communication with interior customers- sales and exterior customers,attracted new organizational centripetal force quickly,and provide mitigation to organization conflict solution to make greater customer satisfaction 。Finally , provide few opinions of key successful points on organization learning like “ i-Care “ from my research observation for this study conclusion。 Key words : Digital convergence、organization integration、I-Care project、mindset change、organization learning

In recent years, the rise of global entrepreneurial ethos brings up the establishment of the accelerator starting from 2015, and hope it could be able to get feedback form investment and nurturing a new career. It is found that new business can acquire resources and reduce the cost of resource construction in the initial stage of start-up by accessing the accelerator. Especially the network resources, through the public fund-raising and dynamically harmonic development of enterprise resources, it will assist the new team to achieve the process of harmonic resource. As for the conditions of the successful fund-raising, it is considered to the product innovation of a new team, the stage growth of a new team, the risk of a large environment in this thesis. There is the fundamental difference between public fundraising and angel investment, and there are different business models. This research is to make new companies understand: How does the incumbent screen out new teams, how does it help the new team to plan the market communication, and how does it help the new team to do channel planning. And study that F Enterprises helps the new company to speed up the acquisition of resources in China, such as funds, technology, production, and sales. This researched data mainly sources from knowledges and experiences of experts and researchers dedicated in related works, makes analysis and advises in the base of AHP. The conclusions of the results from the operation analysis and integrations will be provided to the new company as a reference for future crowdfunding decision, and others.

‘Could corporate social responsibility act as a marketing strategy?’ This these aims to answer this question using corporate social responsibility theory and target arketing theory with the case study of two real estate development companies: F company and H company. A theoretical ramework was developed as a result of the case study. It concludes that corporate social responsibility is capable of ecoming one of the influential factors of market segmentation strategy and facilitates the corporate to define the target market. Ultimately, it leads the corporate to gain a unique position in competitive market and to win the recognition from the consumers. In general, corporate social responsibility could no longer be considered a duty for a corporate to fulfill in addition to making profit. On the contrary, fulfilling corporate social responsibility may help the corporate make reasonable profit at the same time. In the end, the thesis proposes future research direction and references for practice.

In previous studies, most of studies focused on Taiwan local Optical stores, include of chains stores and independent stores. The history of Taiwan Optical industry has been over 70 years. It starts from small chain stores, but until now, we estimate around 7000 stores in Taiwan market. However, the business model and marketing strategy on both chain stores & independent stores are very similar. In 2004, fast fashion Japanese Optical Chain stores joint into Taiwan Market and built up strong brand awareness successfully by different business model and marketing strategy. The objectives of study is to compare with Business Model, Marketing Mix – 4P, Value Fit, and figure out the differentiation between these two channels. According to the theory of Strategic Management and consumer survey, we have figured out the difference. Based on analyzed data from consumer insights survey, the results are: 1. On website traffic analysis, Japanese Optical is significant stronger on website ranking, everyday review, average watching time, and brand exposure via different social media.。 2. According to consumer analysis, Japanese chain store are weaker than Taiwan Optical Chain Store in professionalism part. 3. The diversify direction of Taiwanese Optical Store F is focusing on Optical/Glasses related services due to its’ traditional business Model and Value Proposition. But Japanese Optical Stores O is able to link with Fashion due to its’ fast fashion image and business model. 4. In results of Marketing Mix - 4P survey, it showed Japanese Optical store is much better on Marketing Mix - 4P 5. Still have weakness and strengths between these two channels. No one can totally meet Customer Value Fit evaluation, but Japanese Optical store is much fitter than Taiwanese.

Value at Risk uses an absolute amount to determine the degree of risk take, enable the administrator to know the degrees of exposed risk in a short time, utilize the concept of risk value to simulate the risk that the financial circles may face, and use it to manage the risk. It has already been accepted by academia and insurance industry extensively at present, but to consider the characteristic of all financial assets for increase and decrease materials, the way to estimate risk value is also different. Risk value of the extreme value theory while estimating, the result of research is good and obvious that it shows this has been studied by many scholars both in local and abroad. This essay studies the domestic commercial fire loss data in the past five years of F insurance company as the research object. And use the peak-over threshold method to be the model of Value at Risk, to simulate the possible maximum loss amount which offers a reference when F insurance company bring up reserve in special large loss. Observing the real example simulation of this study, the results are as follow: 1. The estimated value at risk under 99.6% of the confidence level is almost bigger than the reserve in special large loss in nearly three years of F Company in average. 2. Estimate its trust level of affording the risk with this conceited volume after the insurance policy coverage at present again of company it is 99%, less than this company’s credit and comment etc. 99.6% of the confidence levels that should possess.

EAI(Enterprise Application Integration), an architecture seen in the 90's to address the information exchange and integrate among applications which developed at different times, with different needs, different technology and different specifications. It had played an indispensable role in the process of response to monetary policy innovation, changes in market demand, changes in consumer behavior. The concept of information integration did not begin in recent days, it is based on the Related management considerations that nothing more than the cost, efficiency and maintenance. However, the timing of the integration, consolidation and integration of the target and the way, which decision is the key to the success of integration. Compared to financial institutions for the development, it had correlations and a sense of distance with the technology development and application of EAI. EAI technology upgrade and the point of use is derived from the integration of the concept in change, and the integration of the concept in change is based on the needs of the environment. With the financial institutions continued to carry out the constitution to strengthen、strategic alliances and acquisitions、the re-organization, information integration will be greater and more diversified, and EAI in the use of the structure, will provide a look at different levels. This study that is based on the EAI platform import the concept of development and design with SOA(Service-Oriented Architecture),to build a more high-level integrated platform. Be directed against the cases in financial holding company as a research subject of integration.A view to be able to play a more active role in the integration in order to face current and future challenges.

Since Financial Holding Company Act was passed in 2001, all the related channel systems have been eager to dominate the non-life insurance market. Currently, the annual sales revenue of non-life insurance is more than 100 billion NT dollars, and all the related channel systems account for more than 60%, which is a high-cost burden on the management of non-life insurance business. Therefore, almost every non-life insurance company has spared no effort to increase their existing business ratios, reduce operational cost, and applied integrated marketing communication (IMC). IMC aims to use synergy integration to provide consistent messages to consumers and further maximize the effectiveness of communication, so that consumers and non-life insurance companies can achieve win-win situations without any dependence on channels. Based on the applications of IMC by F Non-life Insurance Company reduce the dependence on channel systems, this case study focused on “consumers” to investigate the “cross-industrial alliance” and “database construction and analysis as well as database marketing” dimensions of the case company. This study expected to get rid of the marketing module of channel systems and help non-life insurance companies effectively exploit IMC. Finally, through the proposed ICM model, this study also aimed to solve the predicament facing non-life insurance companies.

The development and production of SMT included the material substance, mechanical action and physical principles. So that the production process is full of many production variables combination, Instability of caused by quality. In this study, Company F the welding quality of production process to discuss, In the printing pressure, mounter height and oven temperature for three factors. After using design of experiments and Minitab software to analysis, The results of the experiment of imported parameters production, Bad welding quantity decreases from 257 points to 23 points, 91% improvement in the number of adverse, it's really exclude abnormal Flexible Printed Circuit as welding, Improve product the quality, reduce the risk of subsequent abnormal production of customer complaints

Many large-scale enterprises employ the automated goods-to-man storage system to improve consistency in logistics and data flow, and also to reduce the cost associated with warehouse management.Based on the correlations between the records of stored items, ERP data in the main corporate system and storage location data, we introduce a storage location management system (SLMS) in this study to eliminate the deficiencies of single system management. It uses MES barcode labeling and storage location code, in combination with the integration of information from various systems, to build the SLMS; and abnormal control mechanism to achieve dynamic control. Finally, by comparing with ERP data in the main system, data consistency and transparency of storage information is achieved. In the case of F company, after the implementation of the SLMS, there was a noticeable improvement in management indicators including inventory accuracy, timely notification of errors, number of workers in the warehouse, productivity, etc. Regarding the control mechanism, the SLMS has a number of confirmation mechanisms and abnormal control mechanism in place. A comparative report is generated each day to update the storage manager on the inventory status. Compared to the plant without the SLMS, indirect support workers is about 5% less regarding human resource scheduling, and productivity is approximately 2.6 times higher to increase the flexibility of human resources management. Data consistency and first in first out can also be achieved without investing heavily in an automated storage/Retrieval system.

Abstract The development of Taiwan’s semiconductor IC industry commenced from the investment of foreign manufacturers by setting up their factories in Kaohsiung for transistor’s assembly business. They started the semiconductor’s assembly production in Taiwan and more and more 4”, 5” and 6” DRAM factories were then established. In 1994, Vangard officially began the mass production of their 8” DRAM while the local DRAM manufacturers like Promos. PSC and Inotera started the mass production of their 12” products in 2002. After 40 years of development of the assembly and test business, the total number of participants reached a maximum number of 44 in the year of 2000. However, due to the recession in semiconductor’s business the following years, a lot of assembly and test manufacturers quitted the market one after one. Since then, an average of two manufacturers withdrew from the industry every year and there were only 35 of them left in 2004. The aim of this research is to analyze the firm in the case study of the latter semiconductor production industry, i.e. assembly industry and test industry. Through the study of the product diversification management and strategic alliances with upstream DRAM factories & IC designers,this research tried to understand the motives, the effectiveness and the efficiency of the diversification within the industry and the motives, the status and the effectiveness of strategic alliances of the relevant issues. The research has proved the following findings: 1. The idea of the relevant diversification was originated from the satisfaction of external customers’ needs & wants and the seeking for growth by changing the internal investment direction. 2. Appropriate vertical diversification helped in providing customers comprehensive services and shortening the delivery time of latter IC production, reducing the customers’ internal management cost, increasing the factories’ production capacity usage rate, and enhancing the competitiveness in getting orders, promoting growth and avoiding financial risks. 3. DRAM assembly and test manufacturers needed to hold the majority of the shares of the DRAM factories directly to establish strategic alliances and also hold the shares of IC designing firms set up by other DRAM factories (and then / in order to ) establish a network relationship with the top management of their parent companies so as to gain more business opportunities. 4. By creating strategic alliances, organizations improved their learning capability and stabilize their quality in production. 5 When IC designing firms tried to compete directly with DRAM manufacturers for the ultimate market of the same assembly and test factories, their strategic alliance relationship with the latter woubld be affected.

So, the management risk is huge in a new start-up company. It will close by any mistake of management decision, and bring about irrecoverable crisis. It will make the employee lose their job, and add many problems in families and society. Therefore, How to manage a company and solve their problems and crisis? How to ensure their business strategy are correct and effective? How to create the high performance in a start-up company in the future and forever? It is an important and worthy research subject. In this thesis, I’m researching into the start-up company of Taiwan analog IC design House, and to find the relationship with business strategy and business operation performance. First, I found and read many theses from history or books or others documents, such as Poter (1980), Weihrich (1982), Finacial repot of F company etc.. Then, I used the interview method with F company, to find their business strategy when they facing problems and crisis. Finally, I analyzed the business operation performance in F Company when they implement the business strategies. There are 59 items have the positive relationship of 61 business strategies compare with business operation performance, the other 2 items are none. The study is focus on development process of officer’s managerial competency model. The research scenario was constructed from professional article discussion, experts interview , questionnaire survey . The whole process can be divided into three stages --- (1) Managerial Competency Model Construction. (2) Managerial Competency Model Confirmation. (3) Proposal for Managerial Competency Model Application. The research conclusions for each stage are listed as the following: (1) Managerial Competency Model Construction The Division head and Section manager’s Managerial Competency Model was formed by four clusters , and each cluster include four competency items. Each item was described the definition and key behavior clearly.. (2) Managerial Competency Model Confirmation After the analysis of Managerial Competency Model Questionnaire, we can easily judge whether every member form a highly common consensus or not. The analysis result has revealed ten high important and high common consensus items are choosed for division head, and nine items are choosed for section manager. High important and high common consensus items should be developed at higher priority. Low important and low common consensus items should be postponed to second stage. (3) Proposal for Managerial Competency Model Application Base on original planning, the Managerial Competency Model will be applied to Training and Development first. The proposal will setup a on-line competency assessment system and plan the training courses for managerial competency. This research not only indicate the restriction of the study but also provide some practical suggestions to the company and researcher which intend to build the competency model.

The concept of IT outsourcing has been slowly accepted in many Taiwanese enterprises. Since there are varied IT outsourcing services, this study focused on the cost-effectiveness of outsourcing the IT rooms, the feasibility assessment in the importing virtualization technology. The main purpose is helping company F control their IT cost. The motivation of this study is to study company F’s costs and benefits of outsourcing policy to provide practical information for academia and industry. The objectives of this study includes: 1. Evaluating IT outsourcing based on the point of information department; 2. Evaluating the feasibility of Company F IT room virtualization and outsourcing based on existing equipments; 3. Discussing the effects of integration of information human under long-term trends in outsourcing; 4. Providing successful suggestions for outsourcing by literature review. Results from the outsourcing company show that cost of personnel, hardware and software equipment and room facility were reduced significantly. For case companies, strategy of IT outsourcing can lead the internal resources to achieve better efficiency.

Innovation requires knowledge and knowledge comes from learning. Learning is the most important activity in a modern organization. To sustain organization competitiveness in a changing environment relies on the employees’ continuousness learning and applying their new knowledge to enable the organization to respond to the competition and challenges of future markets. E-learning provides the members of organizations with rapid and abundant resources through the network learning environment that enables them to acquire knowledge with better results. But the members of the organization need to apply different attitudes and different concepts in E-learning from those used in the past. This thesis studies the current E-learning application in enterprises via bibliographic resources and thorough market surveying. We anticipate that the study will provide a reference paradigm to every enterprise that wants to introduce an E-learning method, reduce the training cost, and acquire good results. According to the results of analyzing the information of all the cases, I have reached conclusions as follows: 1.Before enterprises apply the E-learning method, they have to review their practical needs and understand the characteristics of training activities then construct a digital learning blueprint. They also have to develop a strategy for applying the blue print, and take organizational reform and the company’s tactics into overall consideration. 2.E-learning can change the culture of an enterprise and the behaviour of the employees’ studying it. Human learning motives are complicated and diverse, so enterprises should provide suitable and efficient study environments for employees. Trainers should help employees to resolve problems and change their study attitude or habits in order to let them gain the pleasure of learning. For those employees who are willing to learn, they can improve their achievements and discover the pleasure of learning. 3.The enterprises should construct electronic surroundings so that the network becomes a part of the employee’s life. When members live in this kind of cooperative and interactive environment, it’s easy to introduce E-learning naturally. 4.E-learning is not only the lessons on the network, but also the platform for communication, cooperation and sharing of information. Through the communication and sharing between employees, they can grow together and reduce their study periods. The most important function of E-learning is the sharing and creation of knowledge. If an organization lacks the atmosphere of sharing knowledge, the organization has to establish encouraging measures which will become the major motivating power of knowledge sharing. 5.Technology is one learning tool but the most important part is the training program. In order to encourage employee’s learning motivation and reach the enterprise’s expectations, enterprises should try to design diversified training programs to meet employees’ needs based on their job functions, working environment and prospective need.

Nowadays, in the face of an international competitive market and business environment, the business environment will change with the economy, and the traditional industry will gradually move toward a small scale. The operators and high-level management will spend a lot of money on the relevant visions of the planning enterprises and the business performance of the enterprises. Work, so the way to comprehensively measure business performance to achieve the combination of management and strategy is a major issue facing the current business. In this study, the Balanced Scorecard developed by Robert S. Kaplan and David P. Norton was used as an evaluation performance tool. The research direction and theme were to use the balanced scorecard to explore corporate performance. A company listed in the optical industry, analyzes the development of Taiwans optical industry, and discusses the business performance F of the case F company, using the financial facet of the balanced scorecard, customer facet, internal process structure, learning and growth. The four facets of the facet are analyzed and researched, and the interviews of the financial department, personnel department, business department, and senior management of the case company are combined. The information discussed in the literature is analyzed, and each facet is imported into F company. Relevant information, as well as relevant content of the interview. The final research aims to enable F to use the Balanced Scorecard in combination with the actual strategy, and to use the Balanced Scorecard to explore suitable performance assessment methods, so that management decisions can be more directiond and will be studied. The results and recommendations are provided to F Company as a reference for future performance evaluation.

In the mid-20thcentury, the electronics industry gradually developed a professional OEM model, Taiwan due to a professional manufacturing capacity and production flexibility, so the value chain in the global electronics industry, occupies a very important position. Although the high-tech OEM industry to Taiwan has a "OEM kingdom," said, but in recent years with the booming economy, Taiwan's human wages, land acquisition costs gradually increased, has been unable to compete with other developing countries. How to handover new product from global brand company to distribute the factories around the world effectively for mass production, is the critical competitiveness of Taiwan OEMs. The key process is New Product Introduction (NPI). This paper focuses on the NPI at the pre-production stage. We discussed the relevant elements of NPI, collected the research reports through scholars at home and abroad, and then determined the categories and factors of the assessment by the focus group discussion method. The Analytic Hierarchy Process method determined the weight relationship between the factors. By the study result, supply management, design verification and production manufacturing are three categories of NPI. The results of the study provides an integrated reference model by which relevant stakeholders of NPI are able to clarify the relationship among factors that are related to trial production, and then improve the key issues which affect the NPI phase.

Marketing is one of the basic activities in which businesses are engaged and from which businesses create their profits. Marketing activities are planned to focus on consumers and to keep pace with the daily life of consumers in order to arouse their active response. With the rapid change of industrial environment, marketing strategies, consumer attitudes, and purchasing behaviors are also caused to change. As a result, marketing performance and profitability of businesses are further affected. Therefore, it is especially important to realize those factors which affect the strategies of business marketing. On the other hand, If the strategies of businesses can be exerted to affect the purchasing behavior and intention of consumers, such strategies will be regarded as being successful. This research adopts the occasion of the Tooth-Technician business Institution as a case study, which is designed to explore the key factors this institution has owned to lead to success by taking the marketing strategy held by F company in this case study for example. Currently and domestically, there are still very few researchers who devote themselves to the study in this field. Therefore, the theoretical basis of this case study is acquired from the method of qualitative analysis carried out based on profound interview with individuals, discussion with In-Depth Interview, focus groups and the collection of related information. The critical factors of success are thereby sought for and the operation plan of Tooth-Technician business Institution is thereby drawn up. The information collected includes the conclusions of interview and internal documents of the company on which this case study performed. In this case study, the people who were In-Depth Interview include users and producers of the products, experts, and scholars. Those members of focal groups to be discussed with are the main stockholders of the company. Documents and minutes of conferences were filed to establish as supported evidence of research. After above-mentioned information having been acquired, the analysis on those data was carried out and the conclusions are induced as follows: 1.The problems that exist in the overall market of Tooth-Technician business products include small market scale, low production capacity, and inconsistency in product quality. Moreover, the prices of artificial tooth products from Mainland China are even more competitive in this field, which imposes harsher competitive pressure on domestic market. The profitability of related businesses is severely compressed. 2.According to the analysis on related literatures and profound interview which has been done for this study, the nine key factors of successful performance by Tooth-Technician business Institution have been confirmed to include structure of stockholders, operational scale, product quality, recognition of ISO quality certificate, product diversification, product prices, product sales channels, product distribution and delivery, and the characteristics of main customers. 3.Through value-chained analysis, it is found that the competitive advantage and the successful pavement of sales channels of the company in this case study revealed that it has aimed at specific customer groups formed by dentists recommend by stockholders who are also dentists. The market targets are therefore achieved. Through the channel established in this way, the company not only owns a stable sales route but also is able to promote overall marketing prospect in dental field.

3D printing system belongs to accumulate a stack of forming technology, the use of materials in solid, semi-solid, liquid, powder of metal, plastic, plaster, paper and even food and other materials can be used to heat, ultraviolet light (UV), itself molecular bonding of technology accumulation layer by layer stacking the finished product. Previously used in the field of special mold manufacturing, construction and design models, is now widely used in high-value products or artwork (such as a space shuttle launch propulsion, human organs, etc.), meaning that 3D printing technology has become mature and popularity. In this thesis, the 3D printer manufacturing were taken as research filed. According to the research result, we can discussion in deeply that compare the 3D technology will leading the generation as Apple leading the 3C product as well. The purpose and content of this thesis can be summarized as follows:1) Select the suitable 3D printing technical and material for backlight module industry between Taiwan and worldwide. 2) Compare the difference of 3D printing and traditional process parts as experiment method and investigate other solutions for improvement. 3) Use Porter five forces analysis and SWOT analysis to find out the competitive and advantages about backlight module components developed by using 3D printing technology. 4) According to the research result, collecting market data to summarized and analyzed the 3D printing market product features and giving recommendation to 3D printing manufacturers for developments and marketing trend. Research findings: First, the development time can be shortening from two weeks to one week after use the 3D printing technology.Second, the product of 3D printing can’t use for backlight module cause of the precision were out of specification.

With economic globalization, talent management has become a major issue in relation to the ability of modern enterprises and organizations to develop and gain the competitive advantages. To some extent, the quality of employee performance affects a company’s performance. Therefore, companies should design and establish an appropriate evaluation mechanism. There are many perspectives to be considered when it comes to establishing fair performance evaluations. For example, there should be different methods of evaluation for a labor-intensive worker vs. a knowledge-intensive worker. The performance of the former-type workers can be measured based mainly on their production efficiency which can be assessed more objectively. In practice, the performance appraisal of a knowledge worker is more difficult to conduct. This study therefore targets on the IT professionals of a case company to investigate the effectiveness of its performance appraisal mechanism. Major findings of this study includes: 1. The case study company adopts two methods of performance evaluation, namely, management by objective (MBO) and critical incident method (CIM) and the two methods complement each other. 2. The interviewees suggest that more objective performance criteria should be adopted to prevent the subjectivity of evaluators from influencing the evaluation results; Timely feedback on the performance evaluation results should be announced to the employees; and performance-based rewards should be provided to encourage employees to work harder. Conclusion and implications of the study summarize this study.

Since the last 1980s, globalization and outsourcing business model boosted the rapid growth and the use of IT industry. Taiwan in this wave, he stood on the wave of globalization. Taiwan's land area was very small, but in the global semiconductor wafer manufacturing industry, plays an important role, called the world's highest density of semiconductor fabs country. Of course, each is a semiconductor equipment manufacturers battleground, as the Hon Hai Group's professional equipment foundry company, Taiwanese business strategy must also make use of this advantage, catch the trend of the semiconductor foundry industry equipment. F Company after fifteen years of operating in the low-end (six-inch and eight-inch) semiconductor wafer fab equipment parts OEM industry, accumulated a lot of experience. Hope this experience on the basis of close relationships with customers, the semiconductor foundry pushed to 12-inch wafer fabrication equipment. The main purpose of this paper is to F by the company's business model to review, and the ten year of accumulated experience and the ability to re-self-assessment to identify their strengths and opportunities to review and re-assessment of the company's constitution, further Reflection step in the direction of transformation. And the business case to do the analysis of the competitive strategy. The study found that the transition strategy to extend customer service, on the basis of OEM, the establishment of customer services, will bring more profit and turnover. "Low-cost strategy" OEM thinking converted into a further increase in value-added services. Industry environment and competitive position are constantly changing, then select the appropriate transition policy environment as the most important task.

This study is aimed at trucing the performance of foreign companies listed at Taiwan Stock Exchange during the period of May 2010 to the end of 2016. This study reaches five conclusions. First, 58 percent of all foreign companies outperformed their local rivals, 19 percent were equally good and 23 percent fell behind their local pairs. Second, foreign companies were blue chips in the conventional, electrical and machinery, and electronics industries. Foreign companies were equally good in comparison with local pairs in the services, biotech, and others industries. Third, there were four foreign companies being pioneers in their products. Fourth, there were two companies being the largest ones in the industry belonged. Fifth, two other companies were the world top two vendors in the field they belong.

With the progress in the science and technology and the reduction in the cost of the informatization, more and more information systems have been introduced into companies recently. An increasing number of internal operations and records of companies are executed and recorded in the information system. Although informatization brings many conveniences and efficiencies, it also creates many new problems. Compared with the traditional model of the transaction process, there are many written data and records that are saved. When the traditional auditors conduct inspections, the focus is on reading and reviewing the bits and pieces of written materials. However, up to now, the audit methods and internal controls have to be adjusted accordingly. And many frauds also occur in the information system, so the new audit methods need to dig out problems according to the fully use of the information technology. However, due to the continuous increase amount of data and the limitation of the manpower, how to dig out the most useful information from a large amount of data is the focus of this study. Therefore, this study used a traditional industrial company as an example, and the study divided the discussion into two parts: the planning of establishment of a data analysis system and the results of the system. However, even if data exploration technology is powerful enough, it is impossible to carry out random searches without purpose. Therefore, through case study of the company, it can be found that the operational risk points still need to be analyzed in the initial stage so that possible problems can be screened out from the massive data. However, afterwards, it is still necessary to analyze the information in depth to determine the risk or fraud problems. In addition, other related issues are in the direct relationships with people, but human behavior is very difficult to assess and predict. This is a major challenge that cannot be solved in current technology, only can be further explored by future researchers.

At present, in the supply chain of parts manufacturing of automobile and locomotive, the manufacturer is required to apply many quality management systems as the primary work tools for process improvement and cost control. Failure Mode and Effect Aanalyze (FMEA) is one of them. This quality management mode in the United States Chrysler, Ford, General Motors (GM), the three major automotive plants and Auto Industry Action Group(AIAG) has defined the use of various methods and guidelines. This dissertation takes F company as a case study, using Statistical Process Control (SPC) and the SIX-SIGMA concept to further analyze the occurrence of Failure Mode and Effect Analyze (FMEA) Set, the application of the actual processing of online automotive products statistical data analysis of its process capability, record its CPK value of the classification and stability to be used as F Company's internal reference guidelines.

As the scales of enterprises reach a certain size, enterprises will face the bottleneck stage of their business growths – either grow slowly or even decline in a downward trend. At this stage, enterprises often choose a way to break through the bottleneck by acquiring other companies, in an attempt to expand a new aspect of their business growths. However, mergers and acquisitions do not always succeed as expected. This study investigates the acquisition of company A by company F from the internal viewpoint of the enterprise, in order to deduce the key success factors and provide appropriate suggestions to business acquisitions. This study also examines the actual merging synergy and the performance of this merger case, through three synergy indicators: operating synergy, financial synergy and marketing synergy analyzed from the annual reports of company F.

This research approaches the development of financial holding company in Taiwan by case study, in which we discuss how the case company forms its strategies and shows its executive power. We analyze the inner and outer circumstances of the case company and conclude few points about the above main ideas: 1.Aiming the case company’s mission statement, we estimate its inner, outer and macro-circumstances and conclude few factors of forming its strategies as the references when necessary. 2.By financial innovation, company F reaches rapidly its mission statement ( becoming a financial institute benefiting customers, share holders and employees ). 3.Company F should continue its company government and obey the law related, reinforce the existing training of the employees, in the same time, execute risk management, investment merge and acquisition policies, provide excellent quality of service and organize new and innovative team, all of which could be the preparations for beccoming the leading brand and international financial holding company as well as achieving the goal of triple win for customers, share holders and employees.

Globalization is the trend of enterprise expansion. In the trend of globalization, enterprise will go towards to do vertical separation and horizontal integration. In the process of expansion, there will be mergers, acquisitions and divisions. In order to make the enterprise resources to maximum efficiency which includes capital, intellectual property and talented employees, enterprise must make adjustment by merging so they can be more competitive in the industry. The merger and division of a company involves many laws and interests of both parties. For the shareholders of the acquiring company, the value of the acquired company must be reasonable. For the acquired company, the management have to make sure the employees’ work must be guaranteed. This study will start from introduce the semiconductor industry and the industrial environment and then will discuss about the process and outcome of the mergers in the study. In this case, the merger of two companies is synergistic, but if after the merger, the management can consolidate company culture and sales working model, it will create a win - win situation as one plus one is bigger than two. And without question that requires professionalism and experience. In the study, I hope we can find evidence and basic theory perspectives in this case so it can offer supporting data to those companies which plan to merge and have higher success rate. In the study, I take other merge example in semiconductor industry to compare with and discuss the management performance change and what's the actual contribution from the merger. The research using a M&A case study of two Taiwan analog IC companies, A and F, to identify the motivation of the M&A and to evaluate its share exchange ratio rationality. The in-depth interviews and analysis results show that the changing industry and market structures, the domestic competition pressures and international growth opportunities are the main environmental motivations to the M&A. It also identifies the organization humen resource complementarity, industry horizontal integration, market and channel acquiring, business and product diversification and international expansion are the internal motives in two corporates. Furthermore, it is expected to create various synergies through the integration of two companies after the merger, and to improve business performance for enhancing the company’s return on equity and market capitalization of the enterprise. The result using the Discounted Free Cash Flow Method (DCF) to assess M&A’s share exchange ratio agreement shows that the value of Compant A is underestimate. It implies that the final agreement to the deal is not entirely based on the discretion on quantitative enterprises evaluation mothodes but rather on the expecting synergy and opportunity after consolidation.
