The policy about the corporate welfare in Korea, since the economic development plan started from 1960, was focused on stabilizing the employee's livelihood and permitting only a few percentage increase annually. However, the corporate sector experienced considerable expansion of welfare needs in the latter half of the 1980s, which consequently became a burden to the corporates. This paper is prepared for the proper handling of the welfare problem each of the Korean corporates faces these days. In preparing this paper, the Japanese "synthetic welfare plan for employee's lifetime" was very helpful and many of the terms and contents of the plan were cited for the purposes of analysis and adaptability to Korea. The welfare plan proposed herein is designed in details so as to satisfy each employee generation's welfare needs and to provide the management of the corporate with the ability to control the overall welfare cost. With this new plan, we believe Korea Telecom would enhance the productivity of its labor force at the reasonable cost.

We investigate whether the corporate social responsibility (CSR) of Chinese companies has a certain impact on firm value, and further, depending on the level of corporate governance, how the impact of CSR on firm value changes. First, CSR activities generate a positive effect on firm value suggesting that companies may have an incentive to be willing and to continue to perform their CSR activities. Second, if the ratio of the largest shareholder`s stake is low (high) or the gap between the largest and the second-largest shareholder`s stakes is small (large), CSR activities lead to a significant positive (negative) impact on firm value. Third, we find a positive impact for firms with high management or auditor ownership and for firms whose CEO and chairman of the board are not the same person. Interestingly, due to the fact that significant numbers of outside directors of Chinese companies are appointed by the largest shareholders in China, CSR activity may be used to better align the company with the private interests of the largest shareholders than with the interests of other shareholders, thus lowering firm value. Lastly, if the company`s largest shareholder is the country government, CSR has a positive impact on firm value. In this case, the largest shareholder―the country government―carries out CSR activities for social benefit because such a benefit is naturally aligned with the country`s interests in the company. This paper also sheds light on Chinese companies` corporate governance structure that enhances socially responsible activities and firm value. Our results suggest that good governance provides incentives to voluntarily and continuously perform socially responsible activities.

Prior to the start of the colonial era in Africa in the late 19th century, European states conducted relations with African rulers through a variety of means. Formal diplomatic exchanges characterized relations with polities that Europeans recognized as states, between European diplomats and officials of the Congo Kingdom of present-day Angola, Ethiopia, and Liberia, for example. Other African authorities occupied intermediate positions in Europeans’ views of international relations, either because these authorities ruled very small territories, defended no fixed borders, or appeared to outside eyes to be more akin to commercial entrepreneurs than rulers of states. Relations between Europe and these authorities left much more room for proxies and ancillary groups. Missionaries, explorers, and chartered companies commonly became proxies through which strong states in Europe pursued their relations with these African authorities. So too now, stronger states in global society increasingly contract out to private actors their relations toward Africa’s weakest states. Especially in the United States, but also in Great Britain and South Africa, officials show a growing propensity to use foreign firms, including military service companies, as proxies to exercise influence in small, very poor countries where strategic and economic interests are limited. This privatized foreign policy affects the worst-off parts of Africa—states like Angola, the Central African Republic, Liberia, Mozambique, and Sierra Leone—where formal state institutions have collapsed, often amidst long-term warfare and disorder.

The article deals with the influence of ownership relations on the elements of corporate governance in modern Russian companies. The assessed parameters that help to reveal the rela-tion have been offered: shareholder influence, notice of a general meeting of shareholders, infor-mation in notifications, availability of general meetings of shareholders, proxy voting, financial re-porting standards, access to documentation, etc. The analysis of the specific features of corporate governance in the Russian public joint-stock companies on the basis of open sources of information has been carried out. The study was conducted using the GAMMA method developed by the rating agency Standard & Poor’s. The main results of the study showed that the greater the representation of minority shareholders and/or higher their activity, the more independent directors in the company, the higher the level of disclosure. If there is one large private shareholder in the company, he can also act as chairman of the board of directors. It is difficult to assess the impact of ownership relations on corporate governance in state-owned companies. If the company has a small number of minority shareholders and their activity is low, transparency is limited only by disclosure of mandatory information. It has been inferred that the peculiarities of relations between shareholders, as well as relations between shareholders and hired managers indirectly affect corporate governance’s elements. Models of the corporate control in the Russian Federation have been given (private enterprise model, managers' collective ownership model, concentrated ownership corporate control model, dispersed ownership corporate control model). More research is needed to identify a more evident relation. The article has been written in the framework of the research work “De-velopment of property relations in a modern society”.

The relevance of the study lies in the need to introduce corporate culture in the field of preschool education to improve the managerial level and pedagogical compliance of employees who influence the development of preschool children as individual members of society. The purpose of the study is to analyse organisational culture in the administration of preschool institutions, based on a comparison of Asian and European cultural paradigms. The research consisted of two stages, namely theoretical and empirical, and involved the use of general scientific research methods, including analysis, synthesis, comparison, systematisation, questionnaires, surveys, and statistical data processing. In the course of the study, foreign scientific literature was analysed in order to determine the phenomena of preschool institution administration and its corporate culture. An empirical study was conducted, the essence of which was an online survey among kindergarten administrators in Germany and Kazakhstan. It is determined that both the German and Kazakh corporate administration cultures have weaknesses, common to which is the lack of full-fledged freedom in decision-making and conducting activities. It was discovered that the two countries have a common view on the development of administrator's corporate competencies, including strategic importance, change management, leadership, performance management, learning orientation, responsibility, focus on results, activity, and social intelligence. It is confirmed that German kindergarten heads are distinguished by their productivity and focus on learning, while Kazakh ones attempt to pay attention to responsibility and thoroughness. The practical value of the research is to compare two views on the corporate administration culture in preschool organisations in the context of European and Asian paradigms

Investigation of relationship between corporate governance and creative accounting came to the front after some accounting scandals (like Enron, WorldCom or Satyam). Corporate governance is an actual topic to discuss due to the its correlation to creative accounting. Application of creative accounting techniques might suggest some weaknesses of a company. In this study we investigate the relationship between corporate governance and creative accounting by applying Transparency and Disclosure Index (TDI) method, which enables to evaluate corporate structure, transparency of operation and disclosure of company related information, based on publicly available data. Then, in order to measure the accounting manipulation, we analyse financial performance measures. Furthermore, we perform a correlation analysis to assess the strength of relationship between corporate governance and creative accounting. As a conclusion, we are able to describe a medium negative correlation between the two aspects under investigation.

Purpose: This paper is an exploratory work focusing on university administration in practice. The study interrogates ethics and practice of university administration in Nigeria, vis-à-vis service-delivery. It captures and exemplifies the nature and elements of university administration as experienced in the contemporary Nigerian polity, making references to aspects of industrial and organizational psychology, human factor psychology, and others, in the context of diverse interrelationships between theory and practice. It reverts to antecedents of administrative practice, tracing the primal formation of organizational styles to the colonial era in British tropical dependencies, and deftly concludes that the contemporary administrative policies were direct derivatives from the political culture of the colonial masters who sought to enforce “law and order” and through a self-imposed dual mandate sophistry. It concludes by drawing attention to observed infractions in the contemporary practice, and emphasized on the need to upgrade ethics, practice and corporate governance. Contributions on the socio-politics of corporate practice in Nigerian universities is paltry, and more research could be initiated in this area to complement our effort. Methodology: The research design is descriptive, focusing on answering the how, what, when and where, (i.e. in addition to why) thus, providing rooms for examination of historical evidences, theoretical relevance and practical algorithms. The study used qualitative research method to properly describe the research problem and analyzed the problem based on observed characteristics, behaviours and reactions. The researcher being an active participant in the system, used the instruments of interactive sessions, seminars, workshops and interviews. The study was carried out among a cross-section of administrative class who are employees in renowned government-run public universities in Nigeria and are being governed by the same regulations under the jurisdiction of the National Universities Commission and the Federal Government of Nigeria.The target population of the work are the academic administrators, the professional administrators, as well as scholars of educational studies in HEIs. A survey is conducted to validate our stance on compromised standards, and to posit measures that re-assert good practice, using the qualitative research method to succinctly describe the research problem by observing the dialectical nuances of the work environment and drawing far-reaching conclusions on the contemporary state of management and administration in our universities. The research is hinged on social exchange theory (SET) which overtly describes the relationship between an organization and its employees in a social context (Blau, 1964; Molm and Cook, 1995; Azim, 2016), while at the same time, extending the social interface description to the individual level to describe relationships between supervisors and subordinates in a leader-member exchange (LMX theory) background (Manzoni and Barsoux, 2002). Results: The study revealed that ethics and corporate culture have become compromised due to decades of abstruse practices, and that there was the need to urgently revamp work ethics, re-align values and re-orient practice in order to catch up with the meteoric speed of the global space. The nuances and intricacies involved in creating and maintaining standards, and the necessity of recreating a virile work culture is incontestable, not forgetting that our colonial antecedent also provided a skewed background for the practice. Unique contribution to theory, policy and practice: It was recommended that negatives like excessive bureaucracy should be jettisoned, and open-door policies should displace shoehorned policies of government. Our universities should be nurtured and encouraged to self-regulate, while modern management technique should be entrenched in the system. In order to be able to effectively deliver on their triadic mandates of teaching, research and community services, the workforce in the universities should be adequately motivated and a strong reward system should be put in place to galvanize excellence. The National Policy of Education should be constantly reviewed in tandem with new-age realities, while aggressive digitization should be introduced to simplify operations, reduce stress, and maximize service-delivery.

Purpose: This paper is an exploratory work focusing on university administration in practice. The study interrogates ethics and practice of university administration in Nigeria, vis-à-vis service-delivery. It captures and exemplifies the nature and elements of university administration as experienced in the contemporary Nigerian polity, making references to aspects of industrial and organizational psychology, human factor psychology, and others, in the context of diverse interrelationships between theory and practice. It reverts to antecedents of administrative practice, and draws attention to observed infractions in the contemporary devoir, and in corporate governance. Methodology: The research design is descriptive, focusing on answering the how, what, when and where, (i.e. in addition to why) thus, providing rooms for examination of historical evidences, theoretical relevance and practical algorithms. A survey is conducted to validate our stance on compromised standards, and to posit measures that re-assert good practice, using the qualitative research method to succinctly describe the research problem by observing the dialectical nuances of the work environment and drawing far-reaching conclusions on the contemporary state of management and administration in our universities. Results: The study revealed that ethics and corporate culture had become compromised due to decades of abstruse practices, and that there was the need to urgently revamp work ethics, re-align values and re-orient practice in order to catch up with the meteoric speed of the global space. The nuances and intricacies involved in creating and maintaining standards, and the necessity of recreating a virile work culture is incontestable, not forgetting that our colonial antecedent also provided a skewed ‘law and order’ background for the practice. Unique contribution to theory, policy and practice: It was recommended that negatives like excessive bureaucracy should be jettisoned, and open-door policies should displace shoehorned policies of government. Our universities should be nurtured and encouraged to self-regulate, while modern management technique should be entrenched in the system. In order to be able to effectively deliver on their triadic mandates of teaching, research and community services, the workforce in the universities should be adequately motivated and a strong reward system should be put in place to galvanize excellence. The National Policy of Education should be constantly reviewed in tandem with new-age realities, while aggressive digitization should be introduced to simplify operations and maximize service-delivery.

Taxpayer compliance is a condition that shows the taxpayer fulfills all tax obligations and carries out his tax rights. This study aims to examine and analyze the effect of service, supervision and tax audit on corporate taxpayer compliance which is moderated by digitalization of tax administration. The type of research used is quantitative research, with primary data collected through questionnaires. Respondents from this study were corporate taxpayers who were at the Cengkareng Tax Office. The method of determining the sample using purposive sampling method. The samples that were processed were 100 questionnaires using the Smart PLS 3.0 program. In previous studies, digitizing tax administration as an independent variable and there has never been a study using digitization of tax administration as a moderating variable. The results of this study indicate that tax services and audits have a positive effect on corporate taxpayer compliance, while tax supervision has no effect on corporate taxpayer compliance, and digitalization of tax administration does not strengthen the effect of tax service, supervision and audit. Further researchers can further examine the causes of the lack of effect of tax supervision on taxpayer compliance and the causes of digitalization of tax administration not strengthening the effect of service, supervision and tax audit.

The present paper focuses on corporate social responsibility in public administration. The subject of interest is the South Moravia Region and enterprises seated there. The subject of the present research includes overall awareness of the inquired enterprises about corporate social responsibility and activities of the South Moravian Region Authority related to corporate social responsibility of the institution. The research has brought conclusions testifying a certain level of knowledge of the CSR concept among enterprises, albeit on the basic level only. The awareness of socially responsible activities of the regional authority was very low and therefore further steps of this institution must be considered to improve communication of CSR activities and develop an environment for better cooperation of the public and the private sector in this area. The research was based on secondary data drawn from annual reports of the South Moravian Region Authority and on primary data obtained by questionnaire-based inquiry among 384 enterprises doing business in the South Moravia Region.

This paper offers a typology of university management roles in the age of permanent austerity. The repackaging of every function within the university administration as a cost centre – meaning of course a potential profit centre – has long been seen as an unsustainable market model. Yet perversely it persists, and we would do well to name the hyperbolic functionaries of this administered institutional reconstruction, in a place where a humourless credentialism prevails. The paper revives the work, and temperament, of the early 20th-century sociologist Thorstein Bunde Veblen as a heuristic aid. With Veblen, the protocols of commercial imperative in the state education sector masquerade as education as a social good while the ‘university’ itself is skewered with the tragic realism of forms.

The historical way of development of the corporate way of social activity as a practical need of socialization of human work and voluntary association of people for realization of joint economic affairs is considered. It is emphasized that theoretical research and well-founded legislative support for the development of corporate governance appeared later, although their directions continue to deepen. It is noted that corporatism has been actively used in foreign countries in recent years. It is noted that in modern Ukraine the corporatization of activity is concentrated in the public sector of the economy, mainly in public joint stock companies, although the efficiency of their activities does not meet expectations. It is emphasized that there is a need to strengthen state control over the development of the corporate sector of the state, increase accountability for compliance with legislation and find further ways to develop the corporate sector, which has proven its effectiveness in foreign countries. The research is aimed at finding new opportunities for the application of this method of management in the municipal sector of the economy - local communities. It is noted that the corporate organization of economic activity at the present stage is under the influence of transformational changes in society, when there is an integration of different forms of ownership. The characteristics of municipalities as natural corporations are given. The directions of legislative and normative support of formation and use of corporate way of management in the organizational and legal form - municipal corporations taking into account the form and components of communal property, and also features of corporate rights of inhabitants of territorial communities are substantiated. The tendencies and directions of development of the corporate way of managing in territorial communities are considered, the factors are defined and the measures which will promote development of the corporate sector of municipal economy and institutionalization of corporate management at this level are offered.

In an organizational setting, the board members are the persons in whom power is entrusted by the principals to act as fiduciaries and to guide the organization. A main cause of concern originates from the elassical problem of the separation of ownership and control. Although agency theory, the dominant approach to research on corporate governance in particular, holds that the separation of ownership and control constitutes an efficient division of labor, there is widespread awareness that managers and boards may take actions that hurt principals or constituencies they are meant to serve. An agency problem can manifest in several ways. First, managers and boards exert insufficient effort while overcommitting themselves to external activities. Secon, they might reap private benefits in the form of perks. Last, they may take unnecessary risks by committing to mature projects. This basic agency problem suggests a possible definition of corporate governance and nongovernmental (organizational) governance as addressing both and adverse selection and a moral hazard problem. A good governance structure is then one that selects the most able managers and makes them accountable to relevant constituents. Moreover, strengthening board performance in NGOs and thus their governance structure is widely recognized as being a major requisite for the improvement of community services that NGOs provide.

However, other problems concerning the implementation of a harmonized corporate income tax should be taken into account. Firstly, genuine fiscal neutrality ought to be established. Implementing a corporate income tax able to reach the objectives of tax revenue is crucial, even more given the different needs of the various Member States (hereinafter MS) by using a fair and objective system besides the relationship between taxpayers and the administration should be regulated. At the same time, articulating the relationships between different administrations to the existence of a uniform interpretation is a must. Finally, designing a conflict management system to apply equally to all citizens is essential.

This article analyzes corporate governance reform in Britain from the viewpoint of historical institutionalism. There have been three stages of reforms since the early-1970s: pure self-regulation, semi-statutory self-regulation and statutory regualtion. Despite these changes, however, there appeared institutional persistence, the maintenance of the Anglo-Saxon Corporate Governance Model. Although there had been several movements that had intended to introduce the Germany-originated Rhine Model to Britain, they all failed. This phenomenon resulted from three institutional structures: the Outside Initiative Policy Agenda-Setting Model, finance-dominating finance-industry relationship and the relatively strong and autonomous status of the British economy within the world economy.

The article aims to show that, currently, the concept of Corporate Social Responsibility (CSR) shall not be associated solely with business, but has been successfully absorbed in public administration. Theoreticians' views as to the possibility (or even necessity) of applying the concept of social responsibility in public administration are confirmed by the activities of public administration institutions at the central level in Poland. The subjects of the study were manifestations of the implementation of the CSR concept on two levels: 1) policy planning (based on the example of selected key strategic documents in the field of development policy from the last decade) and 2) operational activities of public administration. The article analyses the database on Good CSR Practices of Public Administration, gathered at the forum of the Working Group on Corporate Social Responsibility of Public Administration, operating at the Ministry of Funds and Regional Policy since 2018. The article also presents pioneering CSR reports published by three central public administrative institutions, whose representatives participated in the work of the group. The results of the analysis of the database and reports lead to the conclusion that, in Poland, the concept of CSR at the central administration level is implemented by institutions, although only occasionally reported. CSR should be considered an inherent part of modern public governance models constituting the paradigm of public administration activity.

AbstractAccording to the agency theory (Jensen & Meckling 1976), it is expected that there exists a positive relationship between corporate governance and company performance which is also generally assumed in recent research (Dignam & Galanis 2016). This relationship is investigated in the study performed by the author of this paper. Two different approaches were chosen in parallel: (1) quantitative data analysis, based on financial figures and corporate governance variables, and (2) a survey of supervisory board members of listed German companies. This paper is about the results of structured interviews with 30 supervisory board members. The survey confirms that corporate governance regulations have an important influence on the administration of supervisory board activities and on board competence. Many supervisory board members stated that the German Corporate Governance Codex leads to extended meeting time to fulfil regulatory requirements, more data requirements to identify and estimate risk issues and to rising risk awareness. The interview results converge with the results from the multivariate analysis.
