Testo completoWith the globalisation of the increasingly competitive maritime freight transport market, commercial seaports have become more and more increasingly economically sensitive areas. While governments have always taken a major interest in their ports, this interest has grown both for governments and for port economic operators such as stevedores, shippers, carriers and shipowners, precisely because of the development of international trade, which favours transport by sea, which is highly adapted to change.The collaboration between the State and these essential actors in the port area, who are generally legal entities under private law, raises questions about the legal framework of the partnership that is best suited to the economic, financial and port activities development stakes of each party. With a view to improving the efficiency of the management and operation of the Major Seaports and the Autonomous Port of Lomé, the french and togolese States have carried out successive reforms and adopted port policies in order to turn these ports into hubs of the global trade of goods. In France, the most important port reform to date is law no. 2008-660 of 4 july 2008 on port reform. In Togo, we can cite decree no. 91-027 of 2nd october 1991 transforming the Autonomous Port of Lomé into a State-owned company, or law no. 2021-034 of 31st december 2021 on public-private partnership contracts.Through these port reforms and policies, France and Togo have aimed to improve the performance, attractiveness and, by extension, the competitiveness of their commercial seaports on a regional and international scale. However, the results achieved have always been insufficient and have never lived up to expectations. Indeed, analysis shows that the level of competitiveness of the Major Seaports and the Autonomous Port of Lomé remains well below expectations. The reports of the french Court of audit, in this case that of 2017 entitled ‘ʻAssessment of the reform of the major seaports : uneven implementation, modest effects, insufficient attractivenessʼʼ is illustrative. The same is true of the historical report of Togo's Court of audit in february 2015 entitled ʻʻFinal observations report on the management control of the Autonomous Port of Lomé (PAL) : financial year 2008, 2009, 2010''.This situation raises questions about the efficiency of the legal, political and strategic arsenal relating to the management and operation of these ports. This thesis therefore sets out to make a legal diagnosis of the underlying causes of the lack of competitiveness of the Major Seaports and the Autonomous Port of Lomé, marked by the very active interventionism of the State in port affairs.Keyword : Seaports ; public companies ; governance ; public domain ; public contracting ; public-private partnership ; environment

Testo completoThrough this PhD thesis, our initial objective was to understand the control exercised by the government on their private partners in the Public-Private Partnerships. This was necessitated by the differences in objectives of the partner institutions and their different characteristics.This is why it has been the question for us to understand how the authorities through the institutional and contractual arrangements exercised this role of control over the private partner.On the basis of such an approach, it was subscribed to qualitative methods including case study to understand the control on the PPP.On the institutionalization, axis such as the inclusion of all the stakeholders, the differences in objectives, the roles and responsibilities, the lack of hierarchy were alternately analyzed. This allowing to make them prerequisites to PPPs.With respect to contracting, we had to look at the control models which were based on the need to correct the system and on those which create the conditions of accountability. To conclude this point, it will appear that contracts should be based on elements of performance.Finally, on the treatment of the differences between partners, the differences in goals, values and characteristics, the opportunism of partners especially the private ones, the need for an alliance and cooperation, the pragmatism of partners have been highlighted. In other words in the PPP, it is necessary to manage such differences

Testo completoThe significance of public contracts amongst the economic activities of the modern state's administration, has led the European Union- for several socio-economic rationales- to establish a uniform regulatory framework so as to ensure fair and unbridled competition between the economic operators of the different Member States. To this end, in addition to the provisions of primary law, the EU has further enacted secondary legislation in the form of exhaustively detailed directives. In order to achieve the effective application of EU law in several public contracts a broad interpretation of the public contracts concept was developed, persistently encouraged by the Court's case law, and a categorisation of the public procurement types was adopted. Furthermore, European procedural rules were introduced with the aim of safeguarding rights that individuals derive from that law. The question thus is what is the impact of this comprehensive regulatory framework on the Greek public law considerations on the subject. It is in the context of national laws' harmonisation on the matter, that EU law is inserted in the Greek legislation ; this insertion is carried out via national regulatory authorities, the legislator and the administration ; moreover, in the procedural field, both the European and the national judge exercise judicial control over the reception of the EU law in the national legal order. By way of the aforementioned structure the contractual discretion of the Hellenic public authorities in the course of fulfilling the requirements imposed by EU law can be thoroughly explored

The global financial crisis, which was unique in its magnitude and after effects, has generated significant interest in Public Private Partnership (PPP). Lack of investments and deteriorated infrastructure challenges economic competitiveness of countries in global market and forced governments to look innovative ways to fund the projects. PPP is a successful model in many developed economies. Availability of funding, efficiency, timely completion and regular maintenance in PPPs are main attraction for governments. While misallocated and mismanaged federal funds, inefficiency and trust deficit are key concerns when government build & finance infrastructure projects. This study explores pros and cons of PPP in challenging economic environment, evaluate key success factors and provide review of few case studies.

A definição, conceitos e os objectivos das parcerias público -privadas serão abordadas na generalidade da tese. A taxa de desconto que o sector público deverá adoptar numa parceria deste tipo é uma discussão global e a questão principal abordada nesta tese. Não será concluído se a parceria público - privada deveria ser ou não realizada. Há muitas perspectivas diferentes relativas às várias taxas de desconto a utilizar, mas, neste caso, apenas serão abordadas três taxas distintas e será construída e analisada uma estimativa relativa ao valor actual dos pagamentos futuros efectuados pelo Governo às empresas privadas que têm contractos no formato de parceria público - privada.
The concept of Public Private Partnerships has brought attention to the economists and Public Parties on the last few decades, where success and failure have occurred all over the world, where Governments search for the objective of Value for Money. We will define what a Public Private Partnership is and what are their main goals and conceptions. What discount rate should the Public Sector adopt in a Public Private Partnership is a global discussion nowadays and the main issue on this paper. We will not consider if a Public Private Partnership should or should not be realized, on the other hand we will try to create some scenario basis for the Portuguese experience. There are many different approaches and in this paper we will take a look to three different approaches and develop an estimate through the future payments in the next 50 years of Portuguese governments' payments to the private sector.
