Credit Lyonnais Securities Asia (CLSA) publish the corporate governance reports in emerging markets in recently years. In CLSA 2001 and 2002 reports, Hong Kong and Singapore got the highest corporate governance ranking. The concentrated ownership of Hong Kong and Singapore are similar to other East Asian countries. Both in Hong Kong and Singapore, the most ultimate owner is family-controlled. We collect the ownership structure, board composition, audit committee members data of Hong Kong and Singapore in 2000. Then we investigate the relationship among ownership structure, board composition and audit committee and try to provide some patters for the countries that are doing corporate governance reform in emerging market. The empirical results find there are less excess control, more independent directors in Singapore than in Hong Kong. In 2000, all of Singaporean listed companies have an audit committee on company boards. However, there are still 20% companies do not have an audit committee in Hong Kong listed companies. Besides, the corporate value in 2001 of companies with the audit committee all composed of independent directors is higher than it of companies without the audit committee all composed of independent directors. Both in Hong Kong and Singapore sample, based on the substitute effect, we also find the controlling shareholder would have less cash flow rights or use more pyramid when there are more than two independent directors on the boards. When the companies board has more than two independent directors, the board composition is more monitoring. That is a good signal that may reduce the controlling shareholder’s tend to wealth expropriation that reveals by the less cash flow rights and more pyramid.

Testo completoThe separation of ownership and control in modern corporations has given the manager the incentives and opportunities to pursue their interest at the expense of the owners, explained by the agency theory. To reduce the agency problem, the board of directors, and in particular, the Independent Non-executive Directors (“INEDs”) who have no business affiliation with the listed companies are introduced to monitor the management decisions. Hong Kong has a business environment in which many companies are dominated by concentrated family ownership. It is argued that the presence of family ownership and control may reduce the ability of the managers to hide their poor performance and this enhances firm performance. The effectiveness of the INEDs to monitor firm performance given the unique institutional environment of Hong Kong is the main area of research interest here. Moreover, the research topic is triggered by a recent corporate governance reform in Hong Kong. The Listing Rule of the Hong Kong Exchange and Clearing Limited (“HKSE”) was amended in 2012 to require that all listed companies must have INEDs representing one third of the board by the end of 2012. At least one of the INEDs needs to have a professional background in accounting and financial reporting. The qualification and expertise of the directors, as well as their proportion on the board, may possibly influence how effectively the board can function. Thus the author is interested to investigate whether the INEDs are effective given this regulatory context and whether the qualifications of the INEDs do make a difference. This research was done by using secondary data. The information about directors and shareholding is collected manually from the annual reports of the listed companies and the financial data are downloaded from the financial database. The data cover a three year period from 2009 to 2011. The final sample consists of 308 firm-year observations which cover most of the top 100 listed companies for each year. The analysis result shows that the presence of INEDs is positively related with firm performance for both market-based measures and accounting-based measures. Furthermore, the presence of family control and ownership is found to be positively associated with firm performance, supporting the conjecture that family ownership concentration enhances firm performance. However, it is inconclusive whether the presence of family ownership weakens the positive relationship between INED’s proportion and firm performance, suggesting no conclusion is drawn on if INEDs are working as effectively in a family dominated business. Lastly, the qualities of INEDs, proxied by the proportion of INEDs with higher degrees, are also confirmed to have a positive effect on firm performance. The findings from the thesis have some implication for the researchers and policy makers. Firstly, the results confirm the effectiveness of the INED system in Hong Kong. So more effort could possibly be made to continuously improve this system, for example, by turning an eye to those companies not observing the regulations and not upholding requirements on the appropriate qualifications that the independent directors need to possess.

This study adopted content analysis to conduct assessment and analyze the websites of independent, general chains and multinational chain hotels in Taiwan and Hong Kong. The study integrated related literatures to build the features of assessing websites including breadth of websites, development degree of websites and content richness of website. The study explored the characteristics and differences of various types of hotels through descriptive statistics, one-way ANOVA, multiple correspondence analysis and principal component analysis. The results showed that Taiwan hotels performed more excellently than Hong Kong hotels in the same level of size, while in different sizes, the international chain hotels are superior to general chain hotels and independent hotels. In the functional breadth various types of hotels have significant differences. In the development degree, except for high interactivity stage, the others reached significant differences. In website richness, except for audio and video, the others showed a significant difference. All type of hotel website contents are significantly different. We summarize as the follows. (1) The international chain hotels in Taiwan tend to adopt high technology to build client information to grasp the needs of customers. (2) The international chain hotels in Hong Kong tend to adopt high technology for sales and marketing. (3) The general chain hotels in Taiwan link all hotels of the same group to plan tourism line with related nearby attractions. (4) The general chain hotels in Hong Kong tend to focus on business customers, convenience. (5) Taiwan independent hotels mainly adopt the open animation to attract users to enter their websites, where the hyperlinks of related tourist attractions to promote. (6) Hong Kong independent hotels are the worst among all types of hotels, for there is only basic information on the website without obvious characteristics. Finally, according to the findings, conclusions and related discussions on the shortcomings of the websites are summarized.

Testo completoThe aim of this research is to examine the relationship between board independence and firm financial performance found in the sample of 109 H-share companies in Hong Kong from 2008 to 2010. The objective of this study is to gain a better understanding on whether there is a relationship between board independence and firm performance measured by return on equity, Tobin‟s Q and price-to-book ratio. This is undertaken by considering the impact on performance of: percentage of independent directors, leadership structure in terms of CEO duality, and board composition in terms of board age, board size and gender diversity. The results show that the H-share company‟s market value is positively and significantly associated with the percentage of independent directors. The results support the proposition that the age of directors is positively and significantly related to both company profitability and market value. This implies that companies with a higher percentage of independent directors and higher director ages are associated with higher market values. Board size is shown to be positively and significantly correlated to profitability, but is negatively and significantly associated with market value. This implies that companies with higher director ages and larger board size are associated with higher profitability. This result indicates that investors should be concerned with the number of independent directors and board size of H-share companies in Hong Kong. As one of the mechanisms of corporate governance, the independent director system does not completely improve corporate governance and the interests of minority shareholders in H-share companies. However, investors equate the increase in the number of independent directors with market value. To protect all shareholder interests, the regulators of Hong Kong need to seek a governance system that addresses the deficiencies of the independent director system. This research highlights the policy issue of which board attributes concern most investors in the case of H-share companies.

Testo completoIn the last decade, the global financial crisis, triggered by bankruptcy of poorly governed companies such as Enron, AIG, Lehman Brothers and Merrill Lynch led the U.S. and other nations including Hong Kong to introduce stricter corporate governance rules and regulations in order to protect the interests of stakeholders. Hong Kong Exchanges and Clearing (HKEX) Main Board Listing Rules Appendix 14, issues a number of changes to Code of corporate governance in January 2005, covering five major areas. The main area that attracts the most attention from people is the number of Independent Non-Executive Directors (INEDs) in the new Code of corporate governance practices (HKEX, 2005). This Code takes into consideration the latest development in corporate governance, and is benchmarked against the revised UK Combined Code. In Hong Kong, prior to 1st January 2005, the Code of corporate governance on board composition only requires a listed company to have at least two Independent Non-Executive Directors (INEDs). However, with effect from 1st January 2005, the new Code of corporate governance requires a balanced composition of INEDs and Non-INEDs so that there is a strong and effective leadership. As a result, the new Code requires listed companies to include at least three INEDs or one-third INEDs on the board. Furthermore, the roles of Chairman and CEO should be separate and should not be performed by the same individual (HKEX, 2005). One of the driving factors, which forces Hong Kong to adopt a new Code is that poor corporate governance weakens a company’s financial performance and causes financial difficulties and even fraud (OECD, 2004b). It is widely believed that good corporate governance adds value to a company. A good corporate governance practice is a necessary condition but not a pre-condition to better financial performance. Since board composition plays a vital role in corporate governance (Brennan, 2006), the aim of this study is to answer two major questions: Does board composition affect financial performance in Hong Kong listed companies? The general view is that corporate governance in Hong Kong is easy to comply with, just like another “box ticking” exercise to check compliance simply to meet the regulators’ requirement. This leads to the second question of the study: Does compliance with the Code of corporate governance on board composition improve financial performance of Hong Kong listed companies? These two questions are addressed by using a sample of Hong Kong listed property companies on the Main Board of the Hong Kong Stock Exchange. The study examines: (a) the correlation between board composition and financial performance in Hong Kong listed property companies; and (b) the correlation between compliance with the Code of corporate governance on board composition and financial performance in Hong Kong listed property companies. The board composition in this study includes four key elements: board size, percentage of INEDs on the board, CEO-duality and percentage of women on the board. The sample consists of 66 out of a total of 108 Hong Kong listed companies under the “Properties” industry classification on the Main Board of the Hong Kong Stock Exchange (SEHK) over the period 1999-2010 (approximately 792 firm years). The results of the study confirm that there is a positive association between board size and financial performance. There is a positive association between the percentage of INEDs on the board and financial performance. There is no association between CEO-duality and financial performance. There is no association between the percentage of women on the board and financial performance. And finally, there is no association between compliance with the Code of corporate governance on board composition and financial performance in Hong Kong listed property companies. In the Hong Kong context, there are a few studies on corporate board practices and corporate governance. However, there is a lack of empirical evidence on the relationship between corporate governance and performance of family-controlled companies in Hong Kong (Ho, 2003). A recent study finds more than 90 percent of the property companies listed on the Main Board of Hong Kong Stock Exchange is under family control (Jordan, 2008). This study extends the literature on board composition and financial performance by providing empirical evidence from Hong Kong listed property companies over the period 1999-2010.

The rapid improvement in Internet makes travel information easily reach, so it is more convenient for travelers to collect the information about the travel destination; besides, traditional travel agency starts expanding business through internet such as selling airline tickets and providing independent travel. With the visa free (According to the statistics from Ministry of Foreign Affairs, Republic of China (Taiwan) There are 124 countries are visa free.) and the popularity of independent travel, lots of young people engage the overseas independent travel. Independent travel also brings opportunities in business to the travel destination, and travel agencies need to organize the reacting strategy. Both sides should take this into consideration. This study adopts what Foster mention about the Travel Decision Process, and discuss independent travelers’ motivation, information searching and considering the destination attributes before traveling; also develop an independent travel model. Moreover, traveler’s revisit intention is important to the travel destination, so this study analyze the affection of independent travelers’ perceived value and satisfaction toward revisit intention. The result shows that satisfaction is more important than perceived value toward revisit intention. Among the satisfaction dimension, travel environment satisfaction is the largest factor. Next one is the public transportation and scenic spots; perceived value is still important, when the emotional value and functional value increase, independent travelers would revisit. In addition, the study analyzes the demographic factors to independent travel model, and depicts the background of independent traveler. At last, this study summarizes the findings and gives some relating suggestion to travel agency and travel destination.

Testo completoCorporate governance is a critical issue and draws attention from companies, government, investors, and public alike. Corporate management executives recognise the benefits prevailed from the implementation of good practices of corporate governance. Besides, Hong Kong regulatory authority has put in considerable effort to increase directors’ accountability due to recent scandals in Asia. As a result, Hong Kong regulatory authority revised the Listing Rule to enhance corporate governance by increasing the number of Independent Non-Executive Directors (INEDs) on the board of directors and also revised the code of conduct and accountability of INEDs. To perform their duties effectively, INEDs must have relevant industry experience and professional knowledge. However, the regulators have not yet formulated any qualification requirements and criteria for INEDs. Hong Kong listed companies usually appoint their INEDs based on their preferences and likings without standard judgement and appointment process. Eventually, this leads to chances of poor performance among incompetent INEDs due to lack of professional knowledge, experience and competency. The key objective of this study is to analyse the relationship between the profiles of INEDs and best corporate governance practices in Hong Kong listed companies so as to assess how educational level, tenure of service in the company, industry experience, and remuneration of INEDs affect the corporate governance practices. In addition, this study also analyses whether the proportion of INEDs on the board has any moderating role in influencing the relationship between INED’s profiles and the adoption of the best corporate governance practices. The hypothetico-deductive method, with positivist research paradigm, is adopted in this research. Quantitative research methods, using correlation and multiple regression analysis, are used to analyse the sample of 73 listed companies in the Hong Kong Main Board. Data sources used are secondary databases, annual reports, company websites and corporate governance reports of the sample companies. The empirical evidence shows that educational level, relevant industry experience, and remuneration of INEDs are positively related to good corporate governance practices. A higher educational level of INEDs, more relevant industry experience of INEDs and higher remuneration of INEDs positively correlate to better corporate governance practices. Tenure of INEDs, however, is not related to better corporate governance practices. The proportion of INEDs on the board does not affect the association between the profiles of INEDs on the board and adoption of the best corporate governance practices. Greater relevant industry experience of INEDs is associated with higher remuneration of INEDs. When listed companies plan to appoint their INEDs with more industry experience and/or retain INEDs with more industry experience, this could be done by offering a higher and attractive remuneration to INEDs in order to attract appropriate INEDs with more relevant industry experiences to continue working on the board. The finding of this research has implications for Hong Kong regulatory authorities and Hong Kong companies moving ahead to enhance corporate governance by improving INEDs’ profile (education level, relevant industry experience, and remuneration) instead of only increasing the number of INEDs on the board. This research provides information to government regulators, policy makers, and the corporate sector with regard to the appointment of appropriate INEDs so as to improve corporate governance practices. This indirectly helps to increase company’s value and maintain Hong Kong’s reputation as the financial centre in the world. In addition, increasing the proportion of INEDs on board does not affect the association between the profiles of INEDs on the board and adoption of the best corporate governance practices. The findings of this research provides a reference to regulatory authorities and listed companies that merely increasing the number of INEDs on the board may not an effective way to enhance corporate governance.

Testo completoMany corporate scandals have broken out all over the world in the past decades. Researchers blame poor corporate governance (CG) as the major cause and study the relationship between the quality of CG, measured with a CG index (CGI), and corporations’ performance. Complicated CGIs have been developed but the research results vary from weak to non-existent or even inverse, leading to no consistent conclusion. This study takes an alternative approach by constructing a corporate governance disclosure (CGD) score system based on the Hong Kong Stock Exchange (HKEx) code on CG 2005. It attempts to measure CG disclosure, instead of the quality of CG. The purpose of this study is to investigate whether this CGD score can show a significant relationship to firms’ performance, work as a proxy to CG quality and function as a tool for investment decision making. 65 property and construction companies listed in HKEx in FY 2010-11 form the sample to test the new CGD score system. Companies under different groupings such as sizes, country of origin and familial control are analyzed for any significant differences in CGD scores using the statistical tool ANOVA. The following are analyzed with statistical tools such as Multiple Regression: the relationship between the CGD scores and firms’ performance; CGD scores and other independent variables such as INED percentage and firms’ size in term of market capitalization; and dummy variables like the appointment of a non-executive chairman, whether or not the company is a PRC one or trades as ADR. The CGD scores are found to have a significant positive relationship with firms’ performance, especially their market to book value (MTBV), and be comparable or even stronger than the results of similar studies with CGI. In other words, companies with higher CGD score are showing better financial performance. Bigger (in term of market capitalization) firms are displaying higher CGD scores. All the sample companies show weak scores in the optional disclosure items but still bigger companies are achieving higher scores. PRC companies are showing lower scores but companies with non-executive chairman and separate CEO are showing higher scores. CGD scores are not affected by factors like familial control or the percentage of INED, ROA, ROE, leverage, and dividend payout. Moreover, the length of the CG report is found to be positively related to the CGD scores. All the results indicate that a CGD score can serve as a proxy for CG quality, which means it establishes a positive relationship with corporate financial performance. In other words, CGD scores can serve as a tool for investors’ decision making support. This dissertation concludes with suggestions for further research and recommendations for the improvement of CG and CG disclosure for HKEx, focusing on practical reporting practice and improvement in inferability.
