Testo completoENGLISH ABSTRACT: “Africa’s not for sissies” is what one often hears when discussing business conditions in sub-Saharan Africa (SSA). For purposes of this study, the relatively well-developed country of South Africa has been excluded from the definition of SSA. The region boasts some of the lowest human development index scores and economic growth levels in the world, while enjoying the unenviable reputation as one of the most corrupt places on earth. The fact that SSA fares poorest of all when it comes to attracting foreign direct investment (barely 1% of global inflows), is due to foreign investor perceptions of unacceptable levels of country risk that keep them from investing in the region. Reasons for SSA’s malaise are instructive as context for the status quo and include the aftermath of colonialism, continued flare-ups of ethnic-induced civil unrest, the lingering effects of a disastrous flirtation with socialism and a recent generation of corrupt and incompetent leaders. However, the good news is that the new millennium increasingly exhibits significant trends in support of the notion that a reversal of SSA’s fortunes is underway: annual GDP growth in the region is well ahead of the global average, civil wars in the region have largely come to an end and, for two years running, private equity investment flows into the region have surpassed that of foreign aid, Africa’s traditional ‘crutch’. Importantly, a small band of early-mover Multinational Corporations (MNCs) are making their presence felt in the region and beginning to make good profits. These firms include the likes of Diageo, The Coca-Cola Company, MTN and SABMiller. Still, today’s business environment in the small, impoverished markets of SSA remains extremely challenging, characterised by poor infrastructure and skills, coupled to an unhelpful officialdom. The purpose of this study is to research the impediments to investing in SSA, both real and imagined, and then to discuss ways of overcoming these. By applying a qualitative research methodology, including the use of case studies and structured interviews with selected executives of the MNCs active in the region, key success factors for investing and operating in the region will be identified and explained.
AFRIKAANSE OPSOMMING: Enigeen wat ‘n besigheid in Afrika bedryf is dit eens dat ‘n mens hare op jou tande nodig het om hier sukses te behaal as gevolg van die aansienlike aantal struikelblokke wat ‘n mens te wagte moet wees. Hierdie studie is gemik op die onontwikkelde Afrika lande, suid van die Sahara woestyn (ASS). Suid Afrika word vir doeleindes van hierdie studie uitgesluit uit die definisie van ASS, weens die land se relatiewe gevorderde besigheidsklimaat. Ongelukkig word die lande van die ASS streek oorwegend gekenmerk deur lae peile van ontwikkeling, asook lae ekonomiese groeikoerse. Die streek word boonop beskou as die mees korrupte plek op aarde. Dit is dus geen wonder nie dat ASS die slegste van alle streke vaar wanneer dit by besteding deur buitelandse beleggers kom nie – laasgenoemde glo eenvoudig dat die gepaardgaande risiko verbonde aan die maak van ‘n belegging in die streek onaanvaarbaar hoog is. Sommige van die redes wat aanleiding gee tot hierdie teleurstellende toedrag van sake is insiggewend as konteks vir hierdie studie, insluitend: die nagevolge van die era van kolonialisme, sporadiese uitbarstings van etniese geweld, die negatiewe gevolge veroorsaak deur die onlangse beheptheid met sosialisme onder baie van die streek se lande, asook die uitwerking van uiters swak leierskap in die streek gedurende die tweede helfte van die 20ste eeu. Die keersy van hierdie swak beeld is dat ‘n aansienlike verbetering in toestande te bespeur is sedert die aanvang van die 21ste eeu. Die Bruto Nasionale Produk van ASS lande groei nou vinniger as dié van enige ander streek op aarde. Die voorkoms van burgerlike onrus en geweld in die streek toon ‘n beduidende afname. Vir die eerste keer ooit is die waarde van buitelandse beleggings in ASS groter as die waarde van hulp en ondersteuning wat die streek van die buiteland ontvang (en waarop die regerings van die streek tradisioneel staatgemaak het om basiese dienste aan hul inwoners te verskaf). Dit is ook verblydend om te verneem dat ‘n klein groepie ywerige internasionale maatskappye besig is om hulself toenemend in die gebied te vestig en dat hulle goed geldmaak daaruit. Voorbeelde van suksesvolle maatskappye sluit Diageo, Coca-Cola, MTN en SABMiller in. Nogtans bly die besigheidstoestande waarin maatskappye hulle bevind ongunstig in die brandarm markte van ‘n streek wat verder gekenmerk word deur gebrekkige infrastruktuur, onvoldoende vaardighede en onbehulpsame amptenare. Die doel van die navorsing is eerstens om die daadwerklike toedrag van sake vas te stel i.v.m. die omgewingsfaktore wat verhinder dat maatskappye vrylik hul doelstellinge in ASS mag najaag. Daarna word die fokus verskuif sodat oplossings geformuleer mag word ten einde hierdie struikelblokke uit die weg te ruim. ‘n Kwalitatiewe navorsingsmetode word nagevolg. Dit sluit die gebruik van gevallestudies en gestruktureerde onderhoude met senior verteenwoordigers van internasionale maatskappye met filiale in ASS in. Die vernaamste uitslag van die navorsing is die daarstelling en verduideliking van ‘n stel kritieke suksesfaktore wat as handleiding mag dien aan diegene wat besighede in die streek bedryf.

Since 2008, the Taiwan government has deregulated and encouraged foreign companies to initial public offering in the Taiwan exchange market. There are several scandals because of incompleted supporting measures. The government attempts to update the chapter of foreign company in the securities laws to prevent malfeasance. However, there are still some companies using false financial statements to raise funds from the market. Therefore, according to the market chaos in Taiwan, the objectives of this study are to discuss the following isues in terms of practical and theoretical aspects. The supervision of the listed companies in Taiwan generally is more stringent than the other countires. However, why does listing in Taiwan by foreign issuers have higher risk? How do investors make the decision from the available financial statements? Are the current laws enough to protect the interests of investors? How do other countries supervise and regulate the listed companies by foreign issuers? If there are illegal issues of the foreign companies listed in Taiwan, in terms of the international status of Taiwan, will trans-national litigation legal assistance feasible? Based on the above puzzles, this study employs the the literature analysis, regulatory research and cases study to discuss the issues. This study takes advantage of the case of ABC Holding Limited to discuss the related issues. After the proposed amendments of the Acts and the make up of the related potential problems, thie study comments on the related regulatory and supervisory systems and provide some constructive suggestion for the future improvement. In addition, in line with globalization of the securities markets and enhancement of the competitiveness of capital markets and economic development, Taiwan can follow the example of other countries to attract internationally renowned enterprises listed in Taiwan exchanges without raisng funds. Therefore, it can make Taiwan market more active and integrated with international standards

Taiwan is an export-orientation country. The frequency of international trade in Taiwan is quite high. So it increases the enterprise exchange rate risk that generate by holding foreign currency assets and liabilities. The import and export-oriented cor-porations will generate a huge amount of exchange gains and losses. So violation of exchange rate is one of the main reasons to affect the corporations’ earning. A lot of corporations will forecasts the trend of foreign exchange rate to reduce the exchange rate losses. This forecast can use as a reference value on corporations’ earnings management. First, we must predict the exchange rate and found a clear trend of the future exchange rate. Then chooses the advantageous transaction price, this deal will affect the exchange rate gains and losses. The purpose of this study is the deci-sion-making and impact on foreign exchange earnings forecasts to corporations’ earning management. For match humanity's thought in study method. Such as weather reports is based on a range of notes. For example, the temperature is 20-28 degrees tomorrow in Tai-pei. This study was the use of fuzzy theory research methods to build the model. While in trend research model is based on General Autoregressive Conditional He-teroskedasticity (GARCH) model for the future trends in research and analysis. The main of decision-making model based on fuzzy theory to study the trend for the ex-change rate. As well as the transaction price of the surplus resulting from the decision-making performance management issues to be addressed. This study uses Fuzzy Theory to construct the model of research method. On the trend research model is based on General Autoregressive Conditional Heteroske-dasticity (GARCH) model for the future trends to study and analysis. We are focusing on forecasts the range of exchange rate for corporations and help to solve problems resulting from decision-making performance management.

Knowledge management is an important strategy for corporations to set up competitive advantage in the society of knowledge economy. When the multinational corporations are growing up in Taiwan, the international knowledge management should be viewed as a priority issue. This research is about empirical studies of foreign multinational corporations, which invest in Taiwan. In addition, this thesis presents a test on a conceptual model which involves the organization culture, the culture of parent company''s geographic area, the knowledge characteristics, the knowledge management characteristics, the methods of knowledge management, the characteristics of organization''s worker and the degree of organization knowledge management''s satisfaction. Then this thesis can help Taiwan''s corporations to build the suitable knowledge management strategy and enhance their competitiveness. This research applies multivariate analysis to get the findings of organization culture and the culture of parent company''s geographic area that will affect the degree of knowledge management''s satisfaction and the knowledge management characteristics. The organization scale and the methods of knowledge management will influence the degree of knowledge management''s satisfaction. This study also presents that knowledge management characteristics are the moderators of the organization culture''s and the culture of parent company''s geographic area''s affects to the degree of knowledge management''s satisfaction. Besides, the influence of the organization culture to the degree of knowledge management''s satisfaction will be affected by knowledge characteristics. Another conclusion is the knowledge characteristics influence the degree of knowledge management''s satisfaction through knowledge management characteristics. Conclusively, for building the competitive advantages of the company, the multinational corporations can adjust their organization culture, the knowledge management characteristics and the methods of knowledge management to improve the satisfaction of knowledge management.

In recent years, businesses of mid to large size have gone beyond domestic markets when considering capital raising options. Due to expansion necessity, businesses engage in various pre-planning events before timely executing capital raising activities. Such pre-planning events include conducting investigation on both domestic and international economic trends; considering pros and cons of various capital injection tools; taking into account of its own financial structure; and of course, the actual capital needed. Indisputably, recent trends have made “Euro Convertible Bond” (ECB) one of very popular and important tools when businesses consider capital injection. This trend does not only impact domestic economic condition as a whole, it also impacts individual businesses immensely. The main purpose of issuing ECB is to raise capital. However, because ECB raises capital in foreign currencies, exchange gains and losses are inevitable, as businesses’ financial and accounting systems are based in NTD. Generally speaking, businesses pay great attention and manage these types of foreign exchange risks and impact on overall foreign exchange very carefully. They would also utilize “forward exchange”, “options”, and other types of financial tools to minimize ECB risks, or using foreign asset and liability accounts to control and regulate the impact. In addition, governmental authorities would require businesses to well implement relevant risk-prevention measurements when issuing ECB. To better understand various risk-prevention measurements that businesses take when issuing ECB, and also their management on common foreign exchange risks, this thesis focuses on five different companies in electronic industry. One-on-one interviews were conducted with each of the companies to further recapitulate how companies in electronic industry handle ECB and foreign currency exchange issues. The five companies are Delta Electronic Inc., Compal Electronic Inc., HannStar Display Corp., AmTran Technology, and Silicon Integrated Systems Corp.. According to research, most companies do implement some kind of preventive measurements on ECB and foreign exchange dealings. However, there is still lacking of common guidelines. Specific types of implementation actions businesses take depend on their level of risk endurance, and also the goals on foreign exchange management.

With the booming development of international trade , enterprises mostly adopt the mode of the multinational operations through the cross-border operations, foreign direct investment or indirect investment in ways to reduce the risks and uncertainties in domestic business based on the global layout. The most common pattern of tax avoidance would be setting up subsidiaries in tax haven and shifting the income to low-tax regions in order to reduce the group’s tax burden and maximize overall profits; Or use a tax haven to set up a paper company to convert the occupant’s identity and avoid the tax burden of the home country. In response to the trend of enacting general anti-avoidance rules in other countries, policy makers in Taiwan amended the Article 43-3 (Controlled Foreign Corporation Rule) and Article 43-4 (Places of Effective Management Rule) of Income Tax Act on July 12, 2016. In coordinate with the OECD “Common Reporting and Due Diligence Standard”, the Ministry of Finance issued the “Common Reporting and Due Diligence Standard” on November 16, 2017. Taiwanese companies used OBU accounts for earnings allocation and concealed assets. After the overseas funds are exposed, the Taxation authority can conduct the check of the Controlled Foreign Corporation Rule and the Places of Effective Management Rule, which will help to restore the loss of tax base. In this study, specifically analyzes the Controlled Foreign Corporation Rule and the Places of Effective Management Rule, and proposes relevant recommendations for future adoption.
