This chapter describes how social enterprise founders and investors can use financial instruments to credibly signal their double-bottom-line commitments to each other. Its main example is a contingent convertible debt instrument that would constrain both investors and entrepreneurs from unilaterally abandoning social mission in favor of profit. The instrument’s low yield and long term would reassure entrepreneurs by screening in only investors willing to sacrifice profit for social mission for a considerable period. Conversion rights triggered on the sale of founders’ equity would allow investors to trust founders not to sell out. In an IPO or sale before the instrument’s maturity, founders would lose a significant share of any profit to debtholders unless these lenders agreed to its terms. Through this example and others, the chapter shows how social entrepreneurs and impact investors can craft sophisticated financial instruments to overcome the trust deficit that would otherwise keep them apart.

Gospel music was integral to the culture of many black churches, but gospel singing offered pleasures to its practitioners and fans that extended beyond musical worship. In the late 1940s, Jackson’s career was interwoven with two phenomena that nudged black gospel singing toward the realm of popular culture: the “song battle” and the high-profile programs of religious music presented at Harlem’s Golden Gate Auditorium by promoter Johnny Myers. Pitting Jackson against such rivals as Roberta Martin and Ernestine Washington, the battle of song offered gospel singers alternate forms of prestige and extended to gospel audiences opportunities for active and engaged participation. Myers made instrumental use of the song battle format, deploying a roster of local talent and national stars and connections with New York–based independent record labels. It was through this Myers “syndicate” that Jackson was introduced to Apollo Records, launching her career as a recording artist.

This chapter tells of a moment when the artistic value of the accordion came into greater focus. From conservatories to concert halls to competition stages, the absence of the accordion was touted as evidence of injustice. What's more, the improvement of the accordion's repertoire, pedagogy, and physical construction were prescribed as an urgent undertaking—and as vital contributions to the elevation of American cultural sensibilities. This chapter discusses the work of some of the accordion's most outstanding midcentury practitioners and promoters and the importance of innovations such as the free-bass converter system—the accordion's bid to be recognized not only as a legitimate instrument but an artist's instrument, worthy of the concert hall. It then concludes with a profile of Guido Deiro's younger brother Pietro Deiro (1888–1954), the self-described “Daddy of the Accordion.”

Risk measurement and management is an important and complex subject for hedge fund stakeholders, managers, and investors. Given that hedge funds dynamically trade a wide range of financial instruments, their returns show tail risk and nonlinear characteristics with respect to many financial markets that require advanced downside risk measures, such as value-at-risk, expected shortfall, and tail risk, to capture risk adequately. This chapter reviews the nature of these risks and presents the measurement tools needed, focusing on fixed-income instruments, derivative securities, and equity risk measurement, and stressing the importance of frequent assessment to capture the possibly rapidly changing risk profiles of hedge funds. This chapter also provides an overview of the linear factor models that investors often use to measure hedge fund risk exposures along many risk factors.

Social Enterprise Law presents a series of audacious legal technologies designed to unleash the potential of social enterprise. Until now, the law has been viewed as an obstacle to social entrepreneurship, too inflexible to embrace for-profit businesses with a social mission at their core. Legislators have poured resources into creating hybrid corporate forms such as the benefit corporation to eliminate barriers to the creation of social enterprises. That first generation of social enterprise law has not done enough. The authors provide a framework for future legislation to do what benefit corporations have not: create durable commitments by social entrepreneurs and investors to balance financial gains and social mission by putting a speed limit on profits. They show how sophisticated investors need not wait for the advent of these legislative changes, outlining a contingent convertible debt instrument that relies instead on financial engineering to build trust between those with capital and those ready to use it to nurture a double bottom line. To allow social enterprises to harness the vast power of the crowd, they develop a tax regime that would provide crowdfunding platforms the means to screen the commitment of for-profit startups. Armed with these tools of social enterprise law 2.0 and the burgeoning metrics of measuring public benefit, entrepreneurs and investors can navigate even the turbulent waters of exit without sacrificing mission, so that a sale need not mean selling out.

This chapter examines the accuracy of the quote “behind every great fortune is an equally great crime”, attributed to Balzac. In our times great individual fortunes are generally generated via the instrument of the business firm. The question then becomes when are firm profits a crime? Firm profits are, in general, explained by one or more of three factors: luck, efficiency, and collusion. While it is difficult to regard luck as a crime, luck does not reflect merit. Profits due to efficiency seem like the least problematic case, and collusion seems the clearest case of when fortune coincides with crime. A variety of cases lie, at least in a dynamic sense, at the intersection of the three conditions. Unfortunately, history suggests that big business and big government can collude to keep profits flowing to the former and contributions flowing to the latter. While luck and efficiency may help initiate wealth, the system tolerates connivance, making Balzac’s statement more plausible than it ought to be.

Elevator music—or the easy—listening instrumental-has been a target of ridicule and suspicion for decades, often because people have accused it of being intrusive and manipulative. As a result, companies have attempted in recent years to replace such traditional programs as “Music by Muzak” with “foreground music” or selections by original artists that are supposed to give an establishment more personality. This chapter argues that this practice has yielded the opposite result: foreground music, when used as an environmental tool, is much more intrusive and manipulative, drowns out individuality, and flattens the public into passive consumers who are expected conform to what many in advertising call “psychographic profiles.”

In this chapter the main changes to the scope of MiFID in MiFID II are listed and discussed. MiFID II changes the scope of the supervision of investment firms and business related to this industry. The revision and—in some cases—extension of the definition of ‘financial instrument’ affects the scope of MiFID II supervision. Advisory and distribution services for structured deposits by investment firms and credit institutions have been brought within the scope of MiFID II. The scope of some exemptions to MiFID II has been revised. The broader scope of MiFID II has an effect beyond the applicability of MiFID II regulation: the prudential requirements are as a starting point linked to the MiFID II qualification, although with specific exemptions. Linking prudential supervision to the MiFID II qualification, rather than to the prudential risk profile of the underlying services and activities, is subject to review and reconsideration.

This chapter discusses logistic support arrangements. When properly orchestrated, logistics arrangements can be conceived as a decisive instrument of multinational warfare and champion the change from a military coalition to an alliance. Nevertheless, logistics is a low-profile discipline that only comes to light when it fails. In this regard, looking for market-oriented efficiencies should never result in a gap on strategic projection. It is by creating and sustaining superior performance that an organization will dilute costs due to a greater value of its overall activities. Very great attention is paid to short-term cash economy in detriment to long-range military planning benefits. Tactical logistics are well monitored: everyone understands the importance of not running out of fuel during combat and it is not difficult to flag the problem. On the other hand, strategic logistics and its implication on support arrangements are frequently neglected during peacetime.

Antenatal and intrapartum fetal monitoring aim to identify the beginning of the process of fetal hypoxia before irreversible fetal damage has taken place. Fetal movement counting by the mother has not been reported to be of any benefit. The biophysical profile score, incorporating ultrasound and fetal heart rate monitoring, has not been proven to reduce perinatal mortality in randomized trials. Doppler ultrasound allows the exploration of the perfusion of different fetal organ systems and provides data on possible hypoxia and fetal anaemia. Maternal uterine artery Doppler can be used to select women with a high risk for intrauterine growth restriction and pre-eclampsia but does not directly provide information on fetal status. Umbilical artery Doppler has been shown to reduce perinatal mortality significantly in high-risk pregnancies (but not in low-risk women). Adding middle cerebral artery Doppler to umbilical artery Doppler does not increase accuracy for detecting adverse perinatal outcome. Ductus venosus Doppler demonstrates moderate value in diagnosing fetal compromise; it is not known whether its use adds any value to umbilical artery Doppler alone. Cardiotocography (CTG) reflects the interaction between the fetal brain and peripheral cardiovascular system. Prelabour routine use of CTG in low-risk pregnancies has not been proven to improve outcome; computerized CTG significantly reduces perinatal mortality in high-risk pregnancies. Monitoring the fetus during labour with intermittent auscultation has not been compared to no monitoring at all; when compared with CTG no difference in perinatal mortality or cerebral palsy has been noted. CTG does lower neonatal seizures and is accompanied by a statistically non-significant rise in caesarean delivery. Fetal blood sampling to detect fetal pH and base deficit lowers caesarean delivery rate and neonatal convulsions when used in adjunct to CTG. Determination of fetal scalp lactate has not been shown to have an effect on neonatal outcome or on the rate of instrumental deliveries but is less often hampered by technical failure than fetal scalp pH. Analysis of the ST segment of the fetal ECG (STAN®) in combination with CTG during labour results in fewer vaginal operative deliveries, less need for neonatal intensive care, and less use of fetal blood sampling during labour, without a change in fetal metabolic acidosis when compared to CTG alone.

Psychodrama is a method of research and intervention in interpersonal relationships. Objective: The aim of the present study is to investigate and train group relationships in a multidisciplinary healthcare team. Material & Methods: Participants: The study population included employees who work in a Basic Family Health (UBSF), which was randomly selected. This facility was located in a medium-sized city within the state of São Paulo. We used the following tools: Form of Profile Survey and Interview Guide associated to Socio-demographic Data, Relational Functioning, and the team’s Sociometric choices. The researchers designed other Instruments of Protocol. Procedure: The participants responded to the study instruments and subsequently they underwent the Role Playing Program. They were re-evaluated at the end of the Development and Training Roles Program and reassessed at the end of the program. Patients show good clinical evaluation free of complications in a 60-day follow-up. Conclusions: The results show changes and improvements in the personal lives of those involved in their performance at work, and in the creation of coping strategies due to the professional role. Our results also indicate the importance of continuous and permanent training to maintain the properly functioning of the team. The participants also need a greater time to achieve internal and subjective changes identified with the intervention. We achieved the proposed objectives, which were as follows: effectiveness of the sociopsychodramatic methodology in groups regarding training and role play and changes in interdisciplinary relationships. However, more research on a case by case basis is recommended in order to generalize the results.

This chapter focuses on the immense work of refoundation of political language and culture carried out by two groups in the communal age: the experts of the Ars dictandi and the jurists. The former, through the reworking of materials from the distant past (ancient republicanism, Cicero, then, from the end of the thirteenth century, also Aristotle), came to identify the essence of politics in the government of the community through justice, which alone could guarantee peace and collective profit. The latter, meanwhile, developed the instruments to affirm the primacy of the commune both within and outside the city. The effect was twofold: to legitimize the efforts of the commune, committed to promoting itself as a public power, and to lay the foundations for a relationship with the jurists that would become osmotic and pregnant with consequences.
