Based on the questionnaire survey which aimed to analyse the level of application of knowledge in the corporate governance in companies in the Czech Republic and on the study of available information sources, three-level knowledge model of Corporate Governance in the Czech Republic was proposed. Expertise using the concept of holistic management and knowledge of current management trends are considered as a basic level of knowledge in corporate governance. Knowledge in the field of strategic and knowledge of the principles of corporate governance are considered as a higher level of education of members of corporate governance bodies. Advanced level of education in the field of corporate governance represents the national certification programme of corporate governance.

In 2014, the brand-new Civil Code and the Corporations Act took effect in the Czech Republic and introduced innovations to corporate governance of Czech companies which could be considered revolutionary for Czech corporate law. Six years later, Czech lawmakers decided to reflect practical experience with the new law and adopt the first major amendment to the Corporations Act, which took effect last year. This article outlines the most significant changes provided in the amendment (namely in respect of the one-tier management system in a jointstock company, new regulation of legal persons who are board members, new regulation of shareholders’ right to appoint/remove board members or new regulatory framework for shareholders’ say on fundamental transactions), as well as practical consequences that are associated with the new regulation. corporate governance, general meeting, the one-tier management system, fundamental transactions

The issue of family businesses is currently a very topical theme in the academic world. The importance of family businesses increases with internationalization and is associated with business success in global market conditions. A fundamental part of business activities abroad is the correct application of the corporate governance of subsidiaries of multinational family businesses. The available findings do not cover this area sufficiently, especially in the context of transformed economies in CEE. In view of the nature of foreign business activities, the degree of centralization of competences transferred between subsidiaries and headquarters and the presence of expatriates from the headquarters of multinational companies represented by the family firm in statutory bodies can be regarded as important variables. The main aim of the present paper is, based on research carried out, to describe and analyze the degree of centralization and presence of expatriates in the corporate governance of subsidiaries of multinational family businesses operating in the Czech Republic. The paper presents the results of an empirical investigation with a description of the presence of expatriates in the statutory bodies of subsidiaries of multinational companies in the Czech Republic. The results obtained present the number of subsidiaries corresponding to the definition of a family business with an emphasis on SMEs of up to 250 employees and the degree of centralization and presence of expatriates in administrative or executive authority, or in other positions. The sample which was used to research the family business comprised 214 subsidiaries of multinational companies from the most important sectors of the Czech economy.

The discussion on corporate governance has oriented on practical problems, including corporate fraud, the abuse of managerial power and social irresponsibility. Contemporary cognition implicates the fact that the questions regarding to corporate governance are very actual especially in relation to company competitiveness, company performance and sustainability of success (long term viability). Paper is focused to the current questions regarding to the definition of corporate governance, looking for the appropriate conceptual framework and identification of key corporate governance indicators in selected industrial market in the Czech Republic via cluster analysis. The scientific aim is looking for the appropriate key indicators in processing industry as a base for the corporate governance performance measurement. The presentations of the results in the paper are just part of selected results in the framework of the elaborated research project titled “Construction of Methods for Multifactor Assessment of Company Complex Performance in Selected Sectors”.

The paper presents main results of the research financed the Ministry of Environment of the Czech Republic in the project No. SP/4i2/26/07. It discuses the corporate key performance indicators for Environmental Management Systems certified by standard ISO 14001:2005 or/and by the Regulation (EC) No. 1221/2009, about voluntary participation of organizations in the Community Environmental Management and Audit Scheme (EMAS). These are used in an annual corporate environmental reporting of organizations with Environmental Management System and also in the annual statements of organizations with Environmental Management and Audit Scheme. It introduces key performance indicators and framework of corporate environmental reporting are based on the Methodical Guideline of the Ministry of Environment of the Czech Republic developed in the project No. SP/4i2/26/07. They are enlarged to economic and social area with using Global Reporting Initiative and RICON Group guidelines. The paper also introduces the proposal of further research in the development of corporate environmental, social and governance (ESG) performance indicators.

The goal of this dissertation thesis is to expand the current knowledge in the area of corporate governance in the Czech Republic. The document consists of several parts. First, a brief introduction to the field of corporate governance is provided. The introduction is followed by the analysis of the data sample in the context of corporate governance, and the search for a potential relationship between the implementation of the principles of corporate governance and financial performance of companies. The next part offers a theoretical introduction to the theory of networks with an emphasis on social and economic networks. In the final part, the empirical network of interlocking directorates in the Czech Republic is presented. The discussion is focused on the structure of the network and its comparison with structures in real business environment in the Czech Republic, and with similar networks from other countries.

The objective of the thesis is an impartial definition of elements that make up the image and identity of the Telefónica Czech Republic, a.s. company. The work is divided into theoretical and analytical part. Introduction of the theoretical part clarifies concepts such as company image and company identity within various factors of management of profit-making organizations. The theoretical part of the thesis seeks to draw on available, especially foreign literature. The subsequent analytical part is exclusively devoted to the central theme of the thesis, i.e. detailed analysis of corporate identity and corporate image of the Telefónica Czech Republic, a.s. company with the emphasis on their mutual differences. After several chapters, followed by a part focusing on active research with the help of a questionnaire survey. Here, the thesis analyses and consequently summarizes data obtained from the questionnaire survey of the scope of image and identity of Telefónica Czech Republic, a.s.. The partial objective of the analytical part is also a comparison within the competitive telecommunications market in the Czech Republic. The main aim of the thesis is to try to find possible activities leading to continuous positive development of the image and identity od Telefónica Czech Republic, a.s..

Corporate culture is considered as an important idicator of firm's long-term performance. It represents a collection of values, norms and attitudes that are shared in people in organization and that control the way they interact with each other and with stakeholders. First part of the thesis describes corporate culture from theoretical point of view, concretely definition, characteristics and typology of corporate culture, its relation to company's control processes and its changes. Second part of the thesis concentrates on analysis of corporate culture of Vodafone Czech Republic a.s. I paid attention to linkage between corporate culture and company strategy, elements of corporate culture and to its manifestations in internal communication and employees questions. Corporate Social Responsibility issue as an inseparable part of company's culture is analyzed as well. Final part of the thesis belongs to a review of Vodafone's corporate culture with focus on its strength and pros and cons implied.

The aim of this thesis is to present the top management of 3M Czech Republic with a comprehensive solution to their CSR implementation task. The thesis starts by giving the reader an insight into the today's forms of business ownership including corporations and by covering the issue of governance explains why corporations need a solution like CSR. Subsequently, the theoretical foundations of CSR are presented, followed by an explanation of the actual business tool. Additionally, a generic implementation roadmap is devised together with key success factors of this process identified. Based on this generic roadmap, a tailored solution for 3M Czech Republic including specific recommendations on measures and key performance indicators is developed.

The Master's thesis deals with a question of corporate social responsibility. The thesis is divided into two main parts. The theoretical and methodological part explains main terms related to CSR, introduces important organizations oriented on CSR and describes standards of corporate social responsibility that can be followed. The first part is also supplemented with interesting data gained in public opinion research on the theme of CSR and its public perception. In the practical part, there are analyzed CSR strategies of two companies: T-Mobile Czech Republic, a.s. and IBM Czech Republic, spol. s r.o. Individual activities are classified into three basic pillars of corporate social responsibility. Approaches of these two companies are compared and in the conclusion of the thesis there are recommended steps to make corporate social responsibility of the two companies more effective.

This thesis aims to ascertain which method is the most appropriate to measure impacts of Corporate Social Responsibility and also specifically Corporate Community Investments as a part of Corporate Social Responsibility. Various methods were used in the Master's Thesis, such as analysis, comparison, several personal as well as phone interviews or questionnaire. Section 1 provides overview of Corporate Social Responsibility from various perspectives. Sections 2 and 3 focus on measuring impacts of Corporate Social Responsibility and particular measurement methods. Section 4 provides a comparison of existing methods. In section 5, Case Study on projects of ČSOB regarding Financial Literacy in the Czech Republic is being solved, including analysis of Financial Literacy in terms of "Need" and "Supply" as well as the application of measurement methods. As of the results, Global Reporting Initiative proved to be the most appropriate method to be used for Corporate Social Responsibility/sustainability measurement in general while London Benchmarking Group methodology is the most suitable within Corporate Community Investment. However, both methods should be supplemented when being applied as they are not exhaustive.

Résumé :
The aim of this paper is to determine the impact of funding sources on liquidity of companies in energy sector in the Czech Republic. With the purpose to fulfill the aim, we examine existence and character of relationship between selected financial factors (debt equity ratio, share of capital for consideration to total assets, return on equity, share of fixed assets to total assets, share of earnings before interest and taxes to total assets, equity ratio) and liquidity of the companies in energy sector in the Czech Republic. The existence of relationship between financial factors and liquidity of companies is tested by correlation analysis and generalized method of moments called GMM method. It is expected a positive relationship between liquidity and funding sources in energy sectors in the Czech Republic. Companies with high liquidity are more credible and less risky clients for creditors and can obtain the necessary financial support under more favorable and cheaper terms.

The Democratic Republic of the Congo (DRC) consistently scores in the lowest rungs of global indexes on corruption, integrity and wider governance standards. Indeed, corruption of different sorts pervades public and corporate life, with strong ramifications for human development. Although the DRC is one of the richest countries in the world in terms of natural resources, its people are among the globe’s poorest.Corruption in the extractive industries (minerals and oil) is particularly problematic in terms of scale and its centrality to a political economy that maintains elites and preserves the highly inequitable outcomes for the majority. The politico-economic elites of the DRC, such as former President Joseph Kabila, are reportedly significant perpetrators but multinationals seeking valuable minerals or offering financial services are also allegedly deeply involved. Corruption is therefore a problem with national and international roots.Despite national and international initiatives, levels of corruption have proven very stubborn for at least the last 20 years, for various reasons. It is a structural and not just a legal issue. It is deeply entrenched in the country’s political economy and is driven both by domestic clientelism and the fact that multinationals buy into corrupt deals. This rapid review therefore seeks to find out the Corruption challenges and responses in the Democratic Republic of Congo.Grand level corruption shades down into the meso-level, where for instance, mineral laden trucks are systematically under-weighted with the collusion of state officials. With severe shortfalls in public funding, certain public services, such as education, are supported by informal payments. Other instances of petty corruption facilitate daily access to goods and services. At this level, there are arguments against counting such practices as forms of corruption and instead as necessary survival practices.To address the challenge of corruption, the DRC is equipped with a legal system that is of mixed strengths and an institutional arsenal that has made limited progress. International programming in integrity and anti-corruption represents a significant proportion of support to the DRC but much less than humanitarian and governance sectors. The leading international partners in this regard are the EU, US, UNDP, UK, African Development Bank, Germany and Sweden. These partners conduct integrity programming in general governance issues, as well as in the mineral and forest sectors.The sources used in this rapid review are gender blind and converge on a very negative picture The literature ranges from the academic and practitioner to the journalistic and investigative, and taken as a whole, is of good quality, drawing on different types of evidence including perceptions and qualitative in-country research. The sources are mostly in English with two in French.
