Section 7.3 of the UNIDROIT Principles of International Commercial Contracts (PICC) deals with the aggrieved party's right to terminate the contract if the other party does not perform. However, the PICC also severely restrict the scope of termination as a remedy. The crucial question is not whether there is a right to terminate, but rather when it will be available to the aggrieved party. Art 7.3.1(1) accepts the doctrine of fundamental breach as the basic rule for the availability of termination. For cases of delay, Art 7.3.1(3) introduces the Nachfrist mechanism. The basic structure of the system of remedies in Section 7.3 bears a strong resemblance to both the Commission on European Contract Law, Principles of European Contract Law (1998), and the United Nations Convention on Contracts for the International Sale of Goods (CISG) regimes.

This commentary analyses Article 7.3.2 of the UNIDROIT Principles of International Commercial Contracts (PICC) concerning notice of termination. Under Art 7.3.2, termination of the contract has to be made by notice to the other party and sets a time limit for giving notice in certain cases of breach. The provision serves two objectives: first, it aims to prevent the aggrieved party from speculating on market fluctuations by postponing its decision on whether or not to terminate and, secondly, it allows the non-performing party to avoid any losses due to uncertainty as to whether the aggrieved party will terminate the contract. This commentary also discusses time limits for the exercise of the right to terminate and the burden of proof concerning notice of termination.

This commentary focuses on Article 2.1.18 of the UNIDROIT Principles of International Commercial Contracts (PICC) concerning contract modification in a particular form. International commercial contracts often contain a ‘no oral modification’ clause (or ‘no variation except in writing’ clause). Such clauses require that subsequent agreements to modify the terms of the contract or to terminate the contractual relationship be in a specified form, normally in writing. The purpose of ‘no oral modification’ clauses is to protect the integrity of the writing even after the contract has been concluded. Art 2.1.18 stipulates that a contract in writing which contains a clause requiring any modification or termination by agreement to be in a particular form may not be otherwise modified or terminated. This commentary discusses an exception from the strict enforcement of ‘no oral modification’ clauses.

Chapter 53 concerns express conditions. The term express condition refers to an explicit contractual provision under which either: (1) A party to a contract does not come under a duty to perform unless and until a designated state of affairs occurs or fails to occur, or (2) If a designated state of affairs occurs or fails to occur a party’s duty to perform a contract is suspended or terminated. The normal sanction for breach of a promise is damages. In contrast, the normal sanction for nonfulfillment of an express condition is suspension or termination of the contract by the party in whose favor the condition runs. If a promise is substantially performed, then even though the promise is not perfectly performed the promisor normally can sue for expectation damages, with an offset for damages resulting from the breach. In contrast, if an express condition is not perfectly fulfilled then even though the condition is substantially fulfilled the traditional rule is that the party in whose favor the condition runs has the right to terminate the contract.

This commentary analyses Article 6.2.3 of the UNIDROIT Principles of International Commercial Contracts (PICC) concerning the effects of hardship. In case of hardship, Art 6.2.3 stipulates that the disadvantaged party is entitled to request renegotiations. The request does not entitle the disadvantaged party to withhold performance. Upon failure to reach agreement within a reasonable time, either party may resort to the court. If the court finds hardship it may either terminate the contract at a date and on terms to be fixed or adapt the contract with a view to restoring its equilibrium. This commentary also considers the burden of proof relating to hardship.

This commentary analyses Article 7.4.6 of the UNIDROIT Principles of International Commercial Contracts (PICC) concerning proof of harm by current price. If the aggrieved party has terminated the contract and has not made a replacement transaction but there is a current price for the performance contracted for, Art 7.4.6 stipulates that it may recover the difference between the contract price and the price current at the time of termination as well as damages for any further harm. The aim of Art 7.4.6 is to provide a measure of certainty by stipulating the measure of damages recoverable in the case where the aggrieved party has not entered into a replacement transaction. The burden of proof is upon the aggrieved party to prove that it was entitled to terminate the contract between the parties and that there is a ‘current price’, and upon the non-performing party to prove that the aggrieved party did enter into a replacement transaction.

This commentary analyses Article 7.1.7 of the UNIDROIT Principles of International Commercial Contracts (PICC) concerning force majeure. According to Art 7.1.7, force majeure can be broadly defined as ‘the result of an impediment beyond a party's control and which that party could not reasonably have taken into account at the time of conclusion of the contract, or have avoided or overcome it or avoided or overcome its consequences on the ability to perform’. In other words, when non-performance is triggered by an event which could be qualified as force majeure, the obligor is no longer liable for damages. However, force majeure does not remove the ‘non-performance’ as such; as a consequence, the aggrieved party still has the right to terminate the stranded contract. This commentary discusses the relationship between the application of force majeure clauses and contractual practice, Art 7.1.7(1) as a default rule, consequences of force majeure, and burden of proof relating to force majeure.

"Nella lunga vita di molti contratti, possono verificarsi eventi imprevisti che incrinano l’equilibrio, soprattutto economico, delle reciproche prestazioni. Il discorso intorno al diritto-dovere di rinegoziare gli accordi esposti a sopravvenienze è ormai un tema classico del diritto civile, che rispunta ciclicamente in occasione di eventi di rilevanza mondiale capaci di compromettere la tenuta di innumerevoli contratti in corso. La pandemia di COVID-19 è solo l’ultimo esempio in ordine di tempo. Questa ricerca si propone di individuare il miglior approccio giuseconomico per affrontare il dilemma della rinegoziazione, in prospettiva strutturale, cercando di coniugare le soluzioni proposte dagli interpreti del diritto civile con i contributi di analisi economica del diritto, nella prospettiva della riforma del codice civile italiano e della progressiva armonizzazione del diritto privato europeo e internazionale. In questo percorso, l’individuazione di una regola di default stabile e duratura per un contesto mutevole e multiforme è forse la contraddizione in termini che più vale la pena affrontare. Matteo de Pamphilis, dopo la laurea in Giurisprudenza e il conseguimento del dottorato di ricerca in Diritto civile nell’Università di Bologna, collabora con la stessa Alma Mater come professore a contratto e tutor didattico in materie privatistiche. This chapter provides an introduction to problems of performance, which for the most part concern post-contract formation issues, such as a promisee’s rights where the promisor has rendered a performance that is imperfect but substantial. Generally speaking, problems of performance concern sanctions for breach other than damages or specific performance, such as suspension of performance or termination of the contract by the aggrieved party. These sanctions are often much more severe than damages. For example, if a promisee has the right to terminate a contract the promisor may lose the profits she would have earned if the contract had continued in force, as well as the value, or at least the contract price, of the performance she rendered before the contract was terminated.

Section 7.1 of the UNIDROIT Principles of International Commercial Contracts (PICC) deals with the concept of non-performance. It first presents a definition of non-performance before discussing the three main remedies: the right to performance, the right to terminate the contract, and the right to damages. It then outlines the conditions under which the parties can react to non-performance before any of the main remedies are invoked. First, the aggrieved party (the obligee) may withhold performance temporarily and it may fix an additional period of time for performance. Second, the non-performing party (the obligor) may have a right to cure non-performance and it may object to its liability for non-performance because of an exemption clause, interference of the obligee, or force majeure. This introduction to Section 7.1 discusses the relationship between the different remedies, with particular emphasis on the choice of remedy, accumulation of remedies, and non-performance and mistake. It also considers the general limitations to remedies for non-performance.

One of the features which distinguish a contract of employment from other contractual situations is that a contract of employment is one of continuous obligation, with, generally speaking, no specified time for its ending. If either the employer or employee wishes to terminate the contract, notice of such termination must be given. This chapter explores the rights and duties of both the parties to give and receive lawful notice in the event of a termination, i.e. if there is a dismissal or resignation.
