Texte intégralThe cooperation contract is a legal type common to the three European directives on concessions (art. 17, para 4, dir. 2014/23/EU), procurement in the public sector (art. 12, para 4, dir. 2014/24/EU) and utilities (art. 28, para 4, dir. 2014/25/EU), which never introduced before, but established by the case law. Essentially, such contract is aimed to the cooperation in the public services in common through the sharing of activities exposed to the open maket, and configures, at a formal level, (i) an arrangement concluded exclusively between public bodies, (ii) exempt from the obligation to follow the competitive procedures. The research focalizes both the characteristics of the legal type and aims a twofold objective: on the one hand -structurally-, criticizing the adequacy of the concept of public agreement in order to qualify the nature of that contract, and on the other hand -functionally-, extending the scope of that exemption beyond the classic freedom of cooperation and organization of public services in aggregate form, provided by art. 2, para 1, second sentence, dir. 2014/23/EU). This entails the following two questions: whether the cooperation contract resolves essentially in the codification of European law in the context of a purely internal situation (the cooperation agreement) and, if not, this type of contract involves the exemption from the obligation to follow the competitive procedures of a situation that in any case does not fall within the scope of the fundamental freedoms (as an instrument of in house providing in a broad sense). To this purpose, I will delve into the jurisprudential origins of the present legal type, in such a way to reconstruct the logical and chronological path which leads to differentiate such a cooperation contract from the public-public partnership, from the in-house contract and, finally, from the cooperation agreement, by means of the comparison with the legal types of inter-administrative arrangement provided by the domestic law, which the European law takes into account without a full harmonization. In the light of this analysis, I will seek to point out the codified notion of cooperation contract represents the evolved version of the collaboration agreement, with which are exempted public contracts and concessions relating to economic activities exposed to the open market, aimed to the provision of public services and exchanged in cooperation within the public sector. At the core of this interpretation is the provision, introduced in innovative way than the previous case law, that allows the performance in cooperation of activities exposed to the open market, as provided in subparagraph c) of the cited articles. Furthermore, with regard to structure yet, it will observe that the cooperation contract does not overlap or interfere with the in house providing in a narrow sense, even if this kind of contract is inserted in the same statutory package. Turning to the scope of the exemption from the functional point of view, it should be noted that as part of the contractual cooperation was allowed, in the recitals of the 2014 EU directives, the integration between public bodies to carry out complementary activities. In summary, I want to argue that the cooperation contract is formally an inter-administrative arrangement and essentially a public contract as, structurally, may relate to activities ancillary to the public service, and does not imply any in house relationship, and to demonstrate that, functionally, the exemption of that contract goes beyond simple service aggregation and is extended to cases where there is the sharing of performance by carrying out complementary activities.

Texte intégralThe social services sector has always been, by virtue of the specific features that distinguish it, the subject of doctrinal reflections and of a regulatory regime that are separate from other public services. Moreover, from a historical point, as already evidenced by the law 17 July 1890 n. 6972 (the so-called Crispi Law), the presence of private providers has always distinguished it for its particular size and arrangements in the sector. The recent importance of such activities in European Union law, whose purpose it is to promote and guarantee the competitive dynamics also in this domain, cannot fail to be affected by these said characteristics. It follows that the category of social services of general economic interest requires specific adaptations of those principles and rules developed for the broader category of services of general economic interest. The search for traces of regulatory specificity in this sector, even within supranational law, has thus been the main theme of this research. We have, in fact, tried to reflect on the impact of European Union law on nationally developed social services delivery models that provide for the involvement of privately disbursed services. All this is with particular reference to the area of freedom of establishment, the Services Directive and public contract law. This reflection, especially contained in the third chapter, has been the culmination of a journey that has developed along two directions. On the one hand, we tried to reconstruct the evolution of the very notion of social services and the legal morphology of social services in national law starting from the above mentioned Crispi law of 1890. In particular, the research has focused on the role given to private operators in the provision of welfare services on behalf of the public administration. In the first chapter we give account of the conformative impact of different constitutional provisions on these profiles (art. 2 and 3, clause 2, art. 38, last clause paragraph, but also art. 41); the effects resulting from the allocation of competences and responsabilities vis-a-vis this matter at regional and local levels; the role of the principle of horizontal subsidiarity; as well as the process of integration between social services and health services (thus becoming health-and-social services), which has led to the emergence of organizational solutions not always completely referable to those "typical" of the two original fields. For this reason, even the delivery models of health-and-social services have been analyzed in the light of EU law. On the other hand, in the second chapter, it was decided to "place" the research scope in the context of European legal system due to the necessary reference of the subject matter of social services to such system. Subject of analysis has been both the category of services of general economic interest, its evolution and all the concepts / institutions connected to it (economic importance activities, act of assignment, the mission of general interest, etc.); as well as the category, more specifically, of the social services of general economic interest. Revisiting this was an opportunity to try to systematically frame the different, and, in some ways, fragmented interventions of the European institutions regarding social services. The thread that holds together the three parts of the research consists of the constant effort to figure out what is, at the present state of play, the subtle but consistent plot that connects - more than what appears at a superficial level - disciplines that seem to be inspired by principles and values traditionally considered in contrast: solidarity and competition, social issues and market rules. If the entire European building is based on a oxymoronic statement of a “social market economy,” the investigation of the social and socio-and-health services sector has sought to show that this is in fact not oxymoronic, given that it was able to generate a regulatory fabric that is not only hybrid and complex, but which is testimony of a new regulatory dynamic ; this will hopefully be able to build a connecting bridge and not erect a wall of separation and incommunicability between values and principles considered irreconcilable.

Texte intégralPurpose of the job is to closely examine the theme of the concession of services, in the light of influence exercised by law and jurisprudence, in consideration of the enormous economic affairs involved. The EU and National regulations were analyzed, as well as pronouncement by the Court of Justice and the domestic Tribunal. Neither was a necessary background excursus neglected. The study revealed that up to today this kind of public contract has no precise and comprehensive disciplinary regulation at either community or National level. Nevertheless, National regulations adopted in implementation of directives and principles ratified through sentencing, do nowadays guarantee a greater transparency, publicity and ‘par condicio’ in procedures for tenders and have an important impact on the Italian judiciary sector: ordinary judge or administrative judge. The result of the search constitutes a meaningful contribution.

Texte intégralThe aim of this job is showing the innovations brought by 2014 European Directives in the field of public contracts. Particularly, this elaborate underlines the change of perspective regarding the identification of some new principles with particular attention on how to improve the public spending. This reform wants to question the importance of the competition principle, which was previously considered the only cornerstone subtended to the public procurement market. This work highlights the historical origin of the competition principle, its fundamental role and its evolution through the European Union. It also focuses on its important “ruling” regarding the principle given by the Italian Constitutional Court and by the Court of Justice of the European Union. It analyses the principles deriving therefrom, particularly on those of equal treatment and non-discrimination and on those of transparency, traceability and proportionality of the process. The purpose here is to underline the novelties pertaining to their application brought by the new directives, through an analytical comparison between directive 24/2014 and the previous directive 18/2004. Subsequently, this elaborate focuses on the transposition of the recent directives into the Italian law, highlighting the intent of the reform to simplify, clarify and reorganise the Italian legislation on public contracts. This appears betrayed by the new normative text through different points of view. Furthermore, the contribution analyses in detail, through the study of the single dispositions of the new Italian Code, the innovations introduced in order to satisfy the purpose of the European legislator – and, consequently, also the one of the Italian legislator. This is adding the principle of the efficiency of public spending and the one of "value for money". In this perspective this job focuses in the first place on the criteria – whose selection has been, on the push of the 2014 Directives, deeply revisited in the new Code. Furthermore, on the institute of the “soccorso istruttorio” – it has also deeply changed in comparison to previous disciplines and on the measures aimed to facilitate the participation of small and medium-sized enterprises (SMEs) in public procurement and on those aimed to promote the sustainable development and the protection of the environment. Lastly, this contribution highlights the principal innovations brought by the new Italian Code to public procurement judgement, underlining its greatest problems – related to the unfair consideration of the Italian administrative justice as the principal factor of the deceleration of public contracts –, and the introduction of a specific discipline about concessions, that is an absolute “novum” for the Italian law, delineating the essential features of it.

Texte intégralThe thesis, after a reconstruction of the present legal framework on temporary contracts in Italy and major European jurisdictions (Spain, France and England), addresses the most important problem areas of the institute. Particular attention is devoted to issues that have arisen as a result of recent legislative changes referred to Connected work (Law n. 183/2010), until the decisive intervention of the Constitutional Court, by judgment no. 303 of 9 November 2011, which declared the legitimate compensation for damages, additional to the conversion of the contract. All the issues addressed have highlighted the difficulties for the Superior Courts, as well as Community and national courts, to find unique and shared a line in resolving controversies on the subject. The paper concludes with some reflections on the issues of flexibility and precariousness in the labor market, through a quantitative and qualitative assessment of the institution in order to provide an answer to some questions: flexibility is necessarily precarious and can be read as special form of employment? What are the possible antidotes to insecurity? In conclusion, it is shown how flexibility can be a problem for businesses and workers only in the long term. The solution was found in the opportunity to invest in training. It is thus assumed a new "flexible socially and economically sustainable", to be achieved through the use of regions and, therefore, the contributions from the European Regional Development: the worker, thus, can be ensured continuity with the work through targeted training and, on the other hand, the employer shall not be liable for costs for the training of temporary employees.
