The textbook presents an up-to-date view of the history of the law of foreign countries through the prism of identity, equivalence and diversity of legal traditions of the peoples of the East and West. The subject of study is the content of the leading legal traditions that give an idea of the range of historical types of law, the trends and conditions of their development from archaic forms to more complex ones, the possibilities of their renewal and reception when changing social patterns. Each legal tradition is considered according to a common analytical model: 1) historical context and bearers of tradition, 2) forms of law, the basis of its understanding, interpretation, application, 3) characteristic institutions in the most important areas of legal regulation. The first volume of the textbook explains the theoretical foundations of the historical and legal narrative, as well as the legal traditions of agrarian societies of Eurasia from the perspective of three ideal types: "the law of judges" (a means of resolving disputes in Mesopotamia, republican Rome, medieval England), "the law of scientists" (the path of righteous life in India, Islamic countries of the Middle East, medieval Western Europe), "the right of the ruler" (a means of managing society in imperial China). The textbook meets the requirements of the Federal State Educational Standard of Higher Education and the educational standards of MGIMO of the Ministry of Foreign Affairs of Russia in the field of "Jurisprudence". Abstract This book details both the intellectual and social history of American legal rules, institutions, ideology, and culture that had a foreign component, either by import or after 1900 also by export from the United States to other legal systems. Combining legal history and comparative law, the volume proceeds chronologically through seven historical periods. These begin with the religious and cultural diversity that existed in the 13 British colonies and its relevance for legal development, especially involving Roman and natural law. The legal foundation for the new American republic established a golden age for comparative law, followed by the formative era for its law, characterized by a shift from public to private law, territorial expansion, resistance to English law, and interest in codification. German historical jurisprudence and learned law then took hold in the United States after the Civil War. The twentieth century saw sustained scholarly comparative law. Motivated by idealistic as well as practical concerns, U.S. jurists began to export American legal ideas about law and government, an effort that re-emerged after World War II. Comparatists established a scholarly organization that considered a variety of issues ranging from private international law to comparative legal sociology. The 1990s, a decade of opportunities for comparative law, reflected accelerated globalization following the collapse of the Soviet Union. This, and the later return of nationalism, presented jurists with new challenges in understanding the place for rule of law and other legal transplants among the world’s nations. Interest in legal cultures and interdisciplinary methodology aided the inquiry.

This book provides an exposition of company law from a comparative perspective. It analyses important policy issues in the area of company law, including the emergence and nature of the business corporation, EU company law, incorporation and corporate representation, agency problems in the firm, rights of stakeholders and shareholders, minority shareholder protection in corporate control transactions, legal capital, and piercing the corporate veil, as well as corporate insolvency and restructuring law. The book’s main focus is the law of public and private companies in the common law sense (the law of partnerships is referred to and taken into account as necessary). The book’s analysis encompasses the corporate laws of the US, the UK, Germany, and France, as well as the legislative measures adopted by the EU and the relevant case law of the Court of Justice of the EU. It includes edited and, where necessary, translated extracts from leading company case law. The cases are discussed and interpreted in the context of the national and European regulatory frameworks and in light of economic and legal theory, as well as legal history.

This chapter considers the history of comparative law. The birth of comparative law as a discipline can be traced back to the year 1900, when the Congrès International de Droit Comparé in Paris raised it above the level of singular, disparate, albeit remarkable studies and treatises to a collective, concerted venture guided by theories, methods, and projects. Before 1900 there was little interest in systematic legal comparison. Comparative law was marked, in the Western comparative community, by a significant inferiority syndrome. Comparatists felt neither adequately recognized by their academic peers nor sufficiently represented in the law school curriculum. Today, the (changing) reality of curricular marginality and comparative law’s growing popularity appears to nourish the hope for the well-deserved invitation to the field of the legal sciences.
