This commentary focuses on Article 5.1.3 of the UNIDROIT Principles of International Commercial Contracts (PICC) concerning co-operation between the parties. Art 5.1.3 imposes a general duty of co-operation on the parties. The duty applies to all types of contract, although it is particularly important in long-term contractual relationships where the parties have to collaborate throughout the life of the contract to make it work. Art 5.1.3 requires each party to cooperate with the other party when such co-operation may reasonably be expected for the performance of that party's obligations. This commentary discusses limits to the duty of co-operation, legal consequences of a violation of the duty of co-operation, and burden of proof relating to the duty of co-operation.

Chapter 11 concerns behavioral economics. Classical contract law was implicitly based on a rational-actor or expected-utility model of psychology. Under this model, actors who make decisions in the face of uncertainty rationally maximize their expected utility, with all future benefits and costs properly discounted to present value. Rationality, in turn, requires that when consequences are uncertain their likelihood must be evaluated without violating the basic rules of probability theory. Within the last half century a great body of theoretical and empirical work in cognitive psychology, known as behavioral economics, has shown that due to the limits of cognition the expected-utility model often diverges from the actual psychology of choice. Some of the decision-making rules that people use yield systematic errors, and other aspects of peoples’ cognitive capabilities are also systematically defective.

How can international organizations (IOs) like the United Nations (UN) and their implementing partners be held accountable if their actions and policies violate fundamental human rights? Political scientists and legal scholars have shed a much-needed light on the limits of traditional accountability when it comes to complex global governance. However, conventional studies on IO accountability fail to systematically analyze a related, puzzling empirical trend: human rights violations that occur in the context of global governance do not go unnoticed altogether; they are investigated and sanctioned by independent third parties. This book puts forward the concept of pluralist accountability, whereby third parties hold IOs and their implementing partners accountable for human rights violations. We can expect pluralist accountability to evolve if a competitive environment stimulates third parties to enact accountability and if the implementing actors are vulnerable to human rights demands. Based on a comprehensive study of UN-mandated operations in Afghanistan, Bosnia, and Kosovo, the European Union Troika’s austerity policy, and global public–private health partnerships in India, this book demonstrates how competition and human rights vulnerability shape the evolution of pluralist accountability in response to diverse human rights violations, such as human trafficking, the violation of the rights of detainees, economic rights, and the right to consent in clinical trials. While highlighting the importance of studying alternative accountability mechanisms, this book also argues that pluralist accountability should not be regarded as a panacea for IOs’ legitimacy problems, as it is often less legalized and might cause multiple accountability disorder.

This chapter examines how the Peruvian Truth and Reconciliation Commission (PTRC) treated the issue of sexual violence committed within the internal armed conflict, both in the preparation of an emblematic case and through its final report. Although the PTRC was not mandated to investigate sexual violence, it included the violation under the umbrella of torture and other grave violations in compliance with international human rights law. Of the forty-seven legal cases that the PTRC prepared for prosecution and passed to the state prosecutor, two cases address rape. The PTRC labeled the Manta and Vilca case as emblematic of sexual violence as it took place in the rural context by military personnel. This chapter considers the binary of consent/coercion and conceptual myopia around sexual violence as the two most significant limiting factors regarding the implementation of the international human rights regime to investigate and prosecute sexual violence.

Women’s Human Rights: A Social Psychological Perspective on Resistance, Liberation, and Justice contributes to the discussion of why women’s human rights warrant increased focus in the context of globalization. It considers how psychology can provide the links between transnational feminism and the discourse on women’s human rights and neoliberalism by using activist scholarship and empirical findings based on women’s grassroots resistance. The book takes a radically different approach to women’s human rights than disciplines such as law, for example, by developing new ideas regarding how psychology can be relevant in the study or actualization of women’s human rights and by making clear how activist-scholarship can make a unique contribution to the defense of women’s rights. This radical departure from using a legal framework, or examples that have been sensationalized throughout academia and advocacy (e.g., genital cutting), provides a route for better understanding how the mechanisms of violation operate. Thus, it has the potential to offer alternatives for intervention that extend beyond changing laws or monitoring international human rights treaties. The perspectives offered by the authors are largely informed by feminist liberation psychology, women of color, and critical race and queer theories in an attempt to demonstrate how research in psychology can shed light on the diverse experiences of women resisting human rights violations and to suggest means by which psychological processes can effectively challenge the broader structures of power that exacerbate the violation of women’s rights.

This commentary analyses Article 9.1.9 of the UNIDROIT Principles of International Commercial Contracts (PICC) concerning non-assignment clauses. Under Art 9.1.9, the assignment of a right to the payment of a monetary sum is effective notwithstanding an agreement between the assignor and the obligor limiting or prohibiting such an assignment. However, the assignor may be liable to the obligor for breach of contract. The assignment of a right to other performance is ineffective if it is contrary to an agreement between the assignor and the obligor limiting or prohibiting the assignment. This commentary discusses rights to payment of a monetary sum and to a non-monetary performance, along with the legal consequences of violating a non-assignment clause.
