Texto completoThis essay tries to answer the following question: is it theoretically and practically correct to formulate a theory on “terzo contratto” with respect to the body of rules that regulate affairs between businesses with an unequal bargaining power? This three chapter long work begins with some considerations on the asymmetrical contract in the context of contractual jurisprudence and continues by examining the theoretical framework around the “terzo contratto”, with a special focus on the specific laws it hinges on (abuse of economic dependence, laws on late payments in commercial transactions and on franchising). Finally, the work focuses on the latest approaches in regulation, with a particular regard to agroindustrial business law. Both doctrinal and jurisprudential evidences are presented, for we believe that only a holistic approach can help fully present the subject. This especially holds with respect to the practical implications that arise to the attention of law operators. The work tries to understand the reasons behind the increasing safeguards for the business negatively subjected to disproportionate contractual power within the Italian and European legal framework; mainly for comparison purposes, the work will refer to the British framework too, drawing from the wealth of researching experience acquired during the visiting term at the Institute of European and Comparative Law at the University of Oxford. Finally, the work gets to a possible conclusion on the new governing bodies of the “terzo contratto”. The most recent developments of jurisprudence on the contractual relationships arising from the sale of agricultural goods and food processing creates enough background for a theory to be built upon. This is particularly true in light of the clause 62 of Italian bill “Cresci Italia”, which favours the approach not least for the renewed importance of the agroindustrial sector and its related food processing sector, of which the current Expo 2015 is a visible proof. The ultimate purpose of such a theory needs to be set clear: to protect one party from the inherent weak position arising from asymmetrical contractual relations, yet at the same time to safeguard general instances of contractual justice and its free market principles.

Texto completoIn the first chapter, we begin with a survey on Corporate Social Responsibility (CSR) in economics, management and business literatures. Then we identify the peculiarities of the agents operating in the social banking sector. Thereafter, we compare and contrast the contributions focused on the behavior of social banks with those available on traditional lenders. The second chapter compares the refinancing behavior of social banks with that of standard lenders when the former have inside information on the quality of the borrowers. This entails the renowned hold-up problem which, however, can be mitigated by the costs of the ethical screening and monitoring activities of social banks. As a result, standard banks may offer better loan contracts and attract high quality borrowers. The third chapter proposes a spatial competition model to investigate how standard and social banks set their interest rates when they compete in the deposit and loan markets. As the empirical evidence suggests, social depositors are willing to accept returns lower than the market level. Therefore we determine under which conditions social banks pay deposit rates lower than those of standard banks and when this is compatible with lower rates also on loans.

Texto completoIn Plautus’ theatre there are themes and stylistic criteria which come from the ancient traditional dramaturgy, and are ascribable both to the Greek Nea and to the Italian theatre of improvvisation. Furthermore, Plautus inserts in his characters’ speeches parodic variations which come from more elevated genres such as the tragedy (Euripide’s one in particolar) and the epic poem, in order to create a type of theatre scattered with literary references. Plautus’ production is indeed the result of a complex operation of contamination, original and innovative in all its parts; it operates on the structures of the plot and the dialogue, up until it determinates a proper metamorphosis in the singular personae and their way to manage relationships and interactions in which they are involved. In the analysis of the collision between two characters, in order to avoid inferential and discriminating blunders, it is required to try to understand if you are dealing with a “tout court” recall of situations which exist already in Greek scripts, or with contaminated forms, justified by dramaturgic and comical reasons, and for that created in order to make the public laugh, or again with proper and structured conflicts, which imply levels of criticality related to relationships and antropological connotations between the characters. In order to accomplish this, an in-depth analysis of the concept of conflict has been necessary, as well as trying to include within the modern categories of analysis, only those which got along with the Roman antropological code and with the perception of conflict according to the ancients; moreover, particular antropological criteria have been taken into account, those that Plautus give glimpses of from the conventional or unconventional forms of his personae. The dramatic text, ultimately, has been analized using the pragmatic of communication, whose categories allowed to give back to the theatre its performativity, shaped in different dialogic contexts, in step with the semiotic studies of the theatre. Regarding the conflict situations between Plautus’ characters, subject of this research, they are present in large numbers in Plautus’ corpus and for this reason it has been necessary to focus on the analysis of a few dialogues, which involve the main characters of one of the most important relationships of the Roman culture, the one concerning marriage, which consists of a wife and an husband as the main actors. The relationship between spouses appears rather unstable and swings back and forth between complementarity, imposed by tradition, and pseudosymmetry, determined by the new status of uxores dotatae, following the matrimonium sine manu spread in Rome. The conflictual dynamics in Plautus’ theatre, as it has been possible to deduce from the analysis of the conflictual interactions between husband and wife present in the Amphitruo, in the Asinaria and in the Menaechmi, appear to be swinging between farsical quarrels and proper conflict, which is produced by the collision between different willings and conceptions, or by the violation of the rules in the sphere of the social way of living.
