Texto completoThe thesis is intended to demonstrate the existence of a principle of solidarity in the new European legal framework, i.e. the European Banking Union, which has laid down innovative tools in order to best manage the banking crises. This work is divided into four chapters. The first chapter aims to retraces which are the various nuances that characterize the semantics of this concept; this operation served to seize the ideological matrix that has led the European legislator to adopt certain legal provisions in terms of solidarity. The second chapter is devoted to the assessment of the provisions of the Treaties which refer to the concept of solidarity. The third chapter aims to ascertain how the principle of solidarity was originally applied in the secondary legislation concerning the management of bank failures. Chapter four, finally, analyses how it is declined the principle of solidarity in new legislation (DGS Directive, BRRD Directive, SRM Regulation), which came into force between 2015 and 2016 and has introduced innovative methods to manage the resolution of a bank with a capital shortfall. In conclusion, the thesis tries to prove that also in this renewed legal framework, in accordance with the Treaties, the principle of solidarity has been implemented within narrow and well defined limits. Indeed, both in the Treaties and secondary legislations, the ‘rule’ continues to be the non-solidarity; by contrast, the ‘exception’ continues to be the solidarity as confirmed by the new tools introduced, which could be activated by the competent authority only in presence of serious difficulties in the banking sector.

Texto completoThis thesis aims to carry out a critical analysis of the philosophical debate on the problem of solidarity. The first section of the thesis is dedicated to the historical-conceptual analysis of the concept of solidarity. The first chapter develops a genealogical reconstruction of the concept, focusing on the crucial shift from the idea of fraternité to solidarité; on the role of the first social theory and the main “solidaristic” ethical-political traditions. In the second chapter, the genealogy is followed by a conceptual analysis, starting from solidarity’s main forms and functions and a rational reconstruction that distinguishes it from other related practices: charity, care, and loyalty. The analysis interprets solidarity as a symmetrical relationship of mutual support and risk sharing based on the recognition of a common cause. The second section focuses on the problem of normativity of solidarity and its relationship with the idea of justice. Given the difference between the two spheres and their apparent incompatibility, the third chapter explores a wide range of theories that may exemplify possible standpoints on this complex relation. In the fourth chapter, this literature review also leads a critical interpretation that aims at integrating Jürgen Habermas’ compatibilist thesis of solidarity as the “reverse side of justice” with Axel Honneth’s concept of social freedom. The third section is devoted to the institutional, political and cultural context of the European reality. The fifth chapter discusses the relationship between the spontaneous character and the institutional-legal aspect of solidarity in the European Union, with particular attention to the reasons for its institutionalisation. However, the chapter also defends a balanced and multilevel conception of solidarity: interpersonal, collective, institutional. Finally, the aim of the sixth chapter is twofold: first, it highlights the role of solidarity in his writings on Europe, from the ’90s to the coronavirus pandemic, and emphasizes its different semantic employments; second, it critically reads the recent Habermasian partial revision of the basis of solidarity. The concluding remarks include a quick overview of some theoretical perspectives on the global nature of solidarity and present some main practical challenges that the philosophical debate on the topic will face in the future. The normative premises and potentialities of an “applied” study can lay the foundations of a critical theory of solidaristic relations.

Texto completoIl lavoro si concentra su uno dei principi fondamentali delle politiche migratorie dell’Unione europea: il principio di solidarietà ed equa ripartizione delle responsabilità, sancito dal Trattato sul Funzionamento dell’Unione europea (articoli 67 e 80). Introdotto esplicitamente per la prima volta con il Trattato di Lisbona e dotato di valore giuridico vincolante, a distanza di diversi anni dalla sua entrata in vigore, il principio di solidarietà rimane ancora in larga misura non attuato. Questa conclusione è raggiunta attraverso l’analisi e la valutazione delle diverse misure adottate nel periodo recente dall’Ue. In questo senso, le misure e i provvedimenti posti in essere nel settore delle politiche migratorie dall’Ue possono essere classificati in tre categorie, individuando, per così dire, tre tipologie di solidarietà: una solidarietà economica, basata su risorse e strumenti finanziari messi a disposizione dall’Ue; una solidarietà operativa, basata su un sostegno pratico e concreto quale, ad esempio, quello fornito dalle agenzie Frontex e EASO; infine, una solidarietà umanitaria o personale, avente quale obbiettivo principale la distribuzione equa e bilanciata di richiedenti asilo tra Stati membri. Il quadro giuridico-operativo predisposto dall’Ue si è dimostrato largamente inadeguato per una gestione efficace dell’attuale crisi migratoria, evidenziando come, di fatto, si sia ancora ampiamente lontani da una piena e soddisfacente implementazione del principio di solidarietà. Il lavoro cerca di analizzare le ragioni alla base di questo esito, soffermandosi sui principali ostacoli alla realizzazione del principio di solidarietà ed immaginando possibili scenari futuri e soluzioni al problema.

Texto completoThis ethnographic research studies a rural valley crossed by the border between Italy and France – the Roya Valley – at the time of the "reception crisis", from 2017 to 2019. The research explores the effects of the “closure” of the political border throught systematic controls and militarization of the area, on the local social fabric. It shows how social boundaries are reconfigured through a study of the relationships between different cultural universes of the population. A network of inhabitants in solidarity with migrants – mostly a neorural population already active in cultural life and in the mobilization of the territory – emerge in the valley. At the same time, another part of the population, mainly made up of native familles de souche, stands up against solidarity actions. This antagonism gives rise to a series of consequences and social conflicts take shape in the territory. In this “social drama” the research analyzes in detail the neorural paths, the pre-existing social mobilizations in the valley and the solidarity with migrants. Drawing on social science literature on migration and borders, as well as rural studies, the research is guided by a series of research questions. What is the link between the commitment to an active rural cultural life, the mobilizations for the defense of the territory and solidarity with migrants stuck at the border? What meaning should be given to the expression “defense of the territory” claimed by various social parties in disagreement with each other? How are the pre-existing cultural universes of the valley and their social boundaries reoriented? To what extent and how does the rural characteristic of the valley influence the consequences of the migration question? How is this universe of solidarity practices taking shape and with wich registers of action? How do different rural areas, from multiple collective mobilization processes, participate in the processes of local resistance to neoliberal policies? The method that guided the research is inductive, oriented by these research questions, and developed through an intense ethnographic process, based on immersion in the studied territory, through techniques such as participant observation and collection of oral sources, in particular semi-structured interviews. The originality of the thesis is twofold: in primis, it accounts for the results of research on an effervescent rural territory, at a historic moment when certain marginal places seem to present themselves as scenarios of social and cultural transformation, through mobilizations and alternative life practices, until now little documented in the social science literature. Secondly, in a scenario where more and more sociological studies are taking over the multiplication of borders in Europe, this research observes the phenomenon through the lenses, hitherto little explored, of rural territories.
Cette enquête ethnographique étudie une vallée rurale traversée par la frontière entre l'Italie et la France – la Vallée de la Roya – à l’époque de la “crise de l’accueil”, de 2017 à 2019. La recherche explore les effets de la "fermeture" de la frontière politique sur ce territoire, par des contrôles systématiques et une militarisation de la zone, et sur le tissu social local. On montre comment les frontières sociales se reconfigurent à partir d’une étude des relations entre divers univers culturels de la population. Un réseau d'habitants solidaires avec les migrants – en majorité une population néorurale déjà active dans la vie culturelle et dans la mobilisation du territoire – prend forme dans la vallée; simultanément, tandis qu’une autre partie de la population, constituée principalement par les familles de souche, s’érige contre les actions solidaires, cet antagonisme donne lieu à une série de conséquences et de conflits sociaux sur le territoire. Dans ce “drame social” la recherche analyse en détail les parcours néoruraux, les mobilisations sociales préexistantes dans la vallée et la solidarité avec les migrants. S'appuyant sur une littérature en sciences sociales sur la migration et les frontières, ainsi que sur les études rurales, la recherche est guidée par un ensemble de questions de recherche. Quel est le lien entre l'engagement pour une vie culturelle rurale active, les mobilisations pour la défense du territoire et la solidarité avec les migrants bloqués à la frontière? Quel sens donner à l'expression "défense du territoire" revendiquée par diverses parties en désaccord ? Comment les univers culturels préexistants de la vallée et leurs frontières sociales se réorientent-ils? Dans quelle mesure et comment la caractéristique rurale de la vallée influence-t-elle les conséquences de la question migratoire? Comment se dessine cet univers de pratiques solidaires et avec quels registres d'action? Comment différents territoires ruraux, à partir de diverses formes de mobilisation collective, participent-ils aux processus de résistance locale aux politiques néolibérales? La méthode qui a guidé la recherche est inductive, orientée par ces questions de recherche, et développée au travers d’un intense processus ethnographique, basé sur l'immersion dans le territoire étudié, au travers des techniques telles que l'observation participante et la collecte de sources orales, en particulier entretiens semi-structurés. L'originalité de la thèse est double: in primis, elle rend compte des résultats d'une recherche sur un territoire rural effervescent, dans un moment historique où certains lieux marginaux semblent se proposer comme scénarios de transformation sociale et culturelle, à travers des mobilisations et des pratiques alternatives de vie, encore peu documentées dans la littérature en sciences sociales. Deuxièmement, dans un scénario où de plus en plus d'études sociologiques s'emparent de la multiplication des frontières en Europe, la recherche observe le phénomène à travers les lentilles, jusqu'ici peu explorées, des territoires ruraux.

Texto completoThe thesis aims to update the principle of “certainty”, as a corollary of the principle of legality, in order to outline the binding scope of the principle with respect to the decision of crimnal law. The first part of the paper develops a reconnaissance analysis of the doctrinal and jurisprudential debate, also by reviewing the most significant rulings of the Constitutional Court, on the evolution of the principle in the Italian legal system. The results of this survey lead to developing a dimension of the principle in a "broad" sense, ie as a criterion of adherence of the norm to the reality, both procedural and human, which it intends to define and regulate. The study then analyzes, in the second part, the foundation and the impact of political-criminal action from a criminological and cognitive perspective considering, first of all, the factors and the empirical variables of the choices of criminalization and, secondly, combining the results obtained with the most current research conducted in the cognitive psychology. The cutting of originality of the work lies in applying these results in the activity of choice of the legal asset and typification of the criminal case. The empirical / cognitive perspective of the principle is therefore declined from a critical point of view in the analysis of some cases of special part, with specific reference to crimes of concussion (in constructive and inductive form) and corruption. The deficits of the two cases reflect, in fact, on the regulatory and judicial level the difficulties of preparing effective strategies to prevent and combat the phenomenon of corruption. In this sense, the study proposes a criminal model law that is integrated by the study of cognitive sciences and that allows it to act as a valid tool for the legislator in the fight against corruption.

Texto completoThe first part of the study analyzes the public and private components of the U.S. Social Security System, represented respectively by the Social Security and Medicare & Medicaid Programs, as well as the Employment-Based Benefit Plans and the Individual Saving Accounts. The analysis focuses particularly on the discipline provided by the federal law (namely ERISA) regulating the Pension Benefit Plans, the Health Care Plans and the Welfare Benefit Plans. The second part of the study describes the Italian Social Security System in its general features and the problems of sustainability currently affecting the Public Pension Pillar, as well as the role played by the so-called Occupational Schemes to cover the shortcomings of the former. The latter is comprised by complementary pensions schemes and supplementary health care schemes, bilateral bodies, contractual dampers and the so-called Welfare Aziendale. In conclusion, the study highlights the consequences of the gradual shift from the Public Pension Pillar to Occupational Voluntary Schemes in providing pension and health care treatments, which suggests a progressive and worrying retrenchment of the State from the management of public affairs.

Texto completoThe purpose of this legal research is the examination of the discipline of the director’s revocation of Italian limited Company “s.r.l.”, regulated by art. 2476 Italian Civil Code, after the corporate reform of 2003. Such a matter has been subject of numerous interpretations by the Doctrine and Jurisprudence, as it raises many systematic problems not yet resolved. The Art. 2476 c.c. is one of the most controversial points of Italian corporate law; the legislator of the reform, in order to maintain the s.r.l. autonomy, has joined more legal institutions in the same article, with the intention of emphasizing the partner’s figure in the social contract, the organization and management of company. Making a parallel with the same German rules, more detailed and more systematic than the Italian ones, it is possible to notice some key differences and thus take any possible ideas for future reforms. The thesis consists of six chapters. The first chapter (“Historical and normative context”) is dedicated to the introduction of the birth of “s.r.l.” and the “GmbH”. After a brief history, there is a general comparison between the company types of two different systems, analyzing the salient features of both the company reforms: the Italian one, relative to s.r.l., in 2003; the German one, relative to the GmbH, in 2008 (the so-called Law MoMiG), with particular care of the responsibility in both the legal systems. The topic of the second chapter (“Directors’ duties and responsibilities”) is the issue of legal responsibility management activity, which plays a key role in the governance of Italian and German limited liability company and it is prodromal to remove the director from his office, if he’s soiled himself with acts of mismanagement. There is an overview of the ABSTRACT II Art. 2476, comma 1, c.c. with respect s.r.l. and § 46 GmbHG of the German system, analyzing the directors’ duties, diligence executable and the legal consequences of their violation. The third chapter (“Partner’s control rights”) is dedicated to information and consulting rights granted to the s.r.l. and GmbH partners, respectively by art. 2476, comma 2, c.c. and by § 51a GmbHG. Italian law sets the topic “Partner’s control right” in the rule with regard to the responsibility and to the removal of the director, who is guilty of acts of maladministration. For s.r.l. a novelty is represented not only by the more wideness of the aforesaid control rights, but above all by the title attributed to each member, regardless of the share capital owned. Therefore the new arrangement of controls predominantly is left to the partner’s individual initiative, approaching the s.r.l. to the model of the individual companies. Here the procedures are analyzed to the exercise of the right to information and consultation of both the partners, s.r.l. and GmbH, even by trusted professionals. The directors’ power, then, is examined to withhold the release of the requested informations, in order to protect the social interest from the disclosure of corporate data deemed private. In the fourth chapter (“The action of social responsibility and the removal of the s.r.l. director”) the liability action is analyzed towards the director, guilty of misconduct, in relation to precautionary action of removal, in conformity with the Art. 2476, comma 3, c.c. In this case the legislator has abolished the previous reference to the s.p.a. and he has introduced “also” the possibility to remove the individual director by a preliminary injunction. Extensive review is dedicated to the director’s diligence and to his exemption of liability, especially with regard to the manifestation of dissent. The same chapter examines the not so peaceful question of the procedural substitution, or if the individual s.r.l. partner acts in the proceedings in his own name, but for a right of the company, that becomes necessary joinder in the liability action. Then, other procedural aspects of the liability action are examined, such as the company possibility to disclaimer or to settle the action, the repayment of the costs of litigation due to the individual partner claimant and the limitation of actions. ABSTRACT III The fifth chapter (“The precautionary action of the s.r.l. director’s removal”) examines the many issues surrounding the precautionary action of the s.r.l. director’s removal, in conformity with the Art. 2476, comma 3, c.c. The s.r.l. director’s removal, in fact, has been inserted by the 2003 reform only as a precautionary measure. In fact, the legislator is silent about the possibility of the director’s removal through extra-judicial remedies, which, however, are analyzed in the search. During the essay one notes that the Art. 2476, comma 3, c.c. is a much debated issue by the doctrine and the jurisprudence, which have highlighted the gaps left open by the provision. In the same chapter there is the review of the conditions of the precautionary action of removal, that is periculum in mora and fumus boni iuris. Then one analyzes the possible relationship between the precautionary action of the s.r.l. director’s removal and the subsequent action for liability, an issue that has generated several lines of thought, conflicting with each other. In addition, there is the examination of the possible introduction of the precautionary measure ante causam, before introducing the action for liability. Finally, one mentions the remote possibility of the director’s removal through the Judge (in conformity with the Art. 2409 c.c.), disappeared after the famous judgment of the Constitutional Court n. 481/2005, which has categorically excluded the applicability of that provision to s.r.l., even to those ones supplied with board of auditors. The last chapter, the sixth (“The GmbH directors’ removal and feedback with the Italian legislation”), relates to the director’s removal in the German law, as regulated by § 38 GmbHG, comparing it with the Italian law. The cardinal principle of the German legislature in terms of the company director’s removal is the directors’ extra-judicial free revocability, with the exception of the restrictions contained in the articles of association. One analyzes the assumptions and mode of the removal procedure, with an emphasis on practical cases. Even the German legal system, like the Italian one, knows the precautionary action of the director’s removal, which is governed by the general provisions regarding the precautionary measures of the ZPO. With regard to arbitration, one analyzes the arbitrators’ power to removal the director with a precautionary measure. Finally, completing the ABSTRACT IV comparison with the German legal system, there are the gaps of the Italian law in terms of director’s removal, highlighting analogies and differences with the matching German rules. In conclusion, attention is drawn, through some examples, to possible changes in Italian legislation regarding s.r.l. according to the GmbH, in order to make effective the protection of partner and creditors of the company, to attract investors and to avoid the dreaded generalized drain to other company models, whether Italian ones or foreigner ones.
