By organizing the transparency of the legal relations between companies left to the future operation of concentration, the law on the new economic regulations of May 15th, 2001 did not limit to establish certain rules relative to the communication of the conditions of organization of the project of economic concentration. It organized a real procedure of formation and negotiation of companies grouping contracts with the authorities of competition. Also at the European level, the European Regulation number 139/2004 of January 20th 2004 came to reform the system of 1989 by modernizing the criterion of thorough analysis of the concentration operations according to the economic theory and to the reality of the market structures, by harmonizing the powers of investigation of the Commission with rules adopted in fight against the agreements and the abuses of dominant position and finally by softening the system of allowance of the cases between community and national authorities. One of the functions of transparency is to discipline the contracts of companies grouping to protect competition game effectiveness and efficiency. Its meaning of life is to resolve a fundamental paradox of the competitive legal order according to which the contract is both the essential engine of the competition and the main factor of its dysfunction. .

The research incorporated in this thesis focused on : 1. The identification and determinants of mergers and acquisitions waves on French market 2. The determinants of the success or failure of these mergers and acquisitions 3. The disciplinary role of mergers and acquisitions French market thus, two waves of mergers and acquisitions have been registred in france between 1959 and 1992. The first phase (1966-1972) is characterized by an equal split between transactions involving horizontal integration, vertical integration and the formation of conglomerates. The second wave (1986-1992) is different from the first one because of the comeback to specialization with moreover constitution of international groups. The analysis of mergers and acquisitions success and failure determinants is facilitated by an analysis grounded on a firm sectorial positioning. Furthermore, we point out that horizontal and vertical acquisitions are characterized by a higher success probability than conglomerates. The main conclusion revealed by an empirical test in the last part of this thesis show that : - On one hand, economic growth times associated to stock exchange increase, create necessary conditions but not sufficient to justify mergers and acquisitions waves ; - On the other hand, the disciplinary role of the mergers and acquisitions market is not ensured in France

Competition law plays a fundamental role in the proper functioning of markets subject to the principles of free movement of goods, services and capital. It was therefore relevant for the West African economic integration organizations, WAEMU and ECOWAS, which had both set up such markets in the 1990s, to adopt competition rules. However, these new rules were characterized by the duality of the competitive systems chosen. The institutional frameworks often turned out to be contradictory: while WAEMU member states opted for a centralized institutional architecture, ECOWAS member states preferred a decentralized system. However, all WAEMU member states are also members of ECOWAS. West Africa is thus experiencing a duality of competitive systems that is the source of legal insecurity. This prospective study is therefore a plea for the unification of regional competition laws, with the abandonment of bicephalism in favor of competitive monocephalism proving to be a necessary step to ensure the efficiency and legal security of the West African common market

As an organization which goal is to regulate international trade exchanges and to promote free trade, the World Trade Organization refers naturally to one of the main international structures or even the only one which can embody the multilateral approach needed to face the globalization of anti-competitive practices and concentration operations. The competition rules mentioned in its legal corpus as well as the case law from their implementation, are a primary competition law thanks to the existence of a coercing mechanism to solve problems in particular. However, a such rule only governs the states actors’ behaviours and is not directly apprehensive of the acting of the individuals. Therefore, it needs to be completed and adapted to the new realities of the situation by proceeding the globalization of the economies by means of the adoption of an multilateral agreement over the competition. The settlement of dispute system would need some change, by strengthening its technical punishments and by opening its gates to the private individuals

As part of a company’s development, the need for « transfers of assets and liabilities » is directly related to corporate life and even corporate survival. The complex reality of transferring assets and liabilities follows on from what is commonly called « restructuring ». These operations have economic, company relations, financial, legal and tax implications for entrepreneurs and company managers. The impact of taxation in these areas is a reality that is often perceived as a burden translating as a constraint for company managers ever seeking solutions that are optimal. The search for tax neutrality of the operation is therefore an aspect given priority in the decision-making process. Over and beyond this consideration, the notion of tax neutrality finds a broad, evolving definition reflected in various forms having regard to the benefits conveyed by its underlying economic principles. This neutrality can be qualified as acquired in principle at the time of asset and liability transfers conducted without any financial consideration i.e. mergers and related operations. In this era of interventionist policies, the boundary between public and private becomes blurred subsequent to tax incentives and the fiscal stance taken by the economy. By so doing, the State aspires to achieving one of its overriding interests: the development and safeguarding of national companies. The tax neutrality which applies to mergers and related operations is evidence of the existence of exceptional tax rules specially laid down to reach these objectives. Whereas provisions for transfer operations conducted without any financial consideration have been in place for some time, for operations which do entail a financial consideration (sales of securities and goodwill) dispensational « exemption » neutrality is newly introduced and favours this type of transfer. These recent developments have been prompted by the same reasons as previously, but they are also a response to international tax competition. Therefore, contrary to its conventional definition in which it was associated with liberal policies, tax neutrality can be reproduced by tax interventionism for some operations. Restructuring operations which require the transfer of assets and liabilities of companies liable for corporate tax are the reflection of this observation, in particular when the issue is one of regrouping and concentration

Economic patriotism is more a political speech than a legal concept. It refers to behaviors of citizens, companies and governments. Concerning States, this concept can essentially be defined as defense of strategic companies. In practice, this notion is reflected by the institution of national systems of foreign investments control, by stabilizing the shareholding of companies through strategic investment funds, or by granting exclusive or special rights. These behaviors can antagonize the European Union law. However, this law allows exceptions that offer opportunities to States. But the flexibility of States is close. This narrowness leds them to be constantly inventive to defend their strategic companies. Business law allows such an approach. But the protection of strategic companies without the exceptions or derogations permitted by the treaty, which reflects the persistence of domestic markets partitioning, is not without showing the limits of systematic opposition to national economic patriotisms. In addition, such a power may weaken the completion of the internal market. For these reasons, it is important for the authorities of the European Union, to initiate a dynamic that can permit to take better account of the States patriotic concerns. Aggregate to a coherent concept, namely the european economic patriotism, such an approach will permit to establish a common investment policy that can combine openness to foreign investments and preservation of strategic sectors. But, the effectiveness of such a policy is relative. That’s why, it’s crucial to add to it an autonomous control framework for investments coming from non-member countries
