Texto completoIn economy and more precisely industrial economy, there exists an endemic debate to which several authors are attempting to bring their answer : that of determining the most performing type of organization for companies. O. E. Williamson, who established a comparison of different types of economic institutions, came to the conclusion according to which the hierarchy (or m type) is the best productive resource coordination mechanism for companies that want to be profitable and/or competitive. But, this assertion is erroneous or even deceitful, for there are a number of types of institutions allowing companies to be performing. Furthermore, the functional crises inherent to coordination modes of economic activities prevent us from believing in williamson's conclusion. Besides, the latter forgets that at the end of each historic period corresponds a certain type of organization that can only be efficient, at least, as long as private transactions exist between companies. Thus, the market or the deal is a form of economic organization most efficient when the good exchanged is sufficiently standard so that its features may easily be specified and that the environment of the transaction is not submitted to strong uncertainties. The hierarchy or the do it yourself is a type of highly performing economic institution if the transaction costs are very high. Inter-company cooperation is one of the most efficient forms of economic organization when the market and the hierarchy are defaulting. All this leads us to think that the transaction cost theory is an incomplete paradigm for not only it does not take into account the socioeconomic reality of companies, but it also has difficulties in establishing a genuine experimental theory accepted by all

These kinds of contract have a particularity because they involve two contracting parties with different legal status. For the individuals, contracting with institution drawing membership states, having activities in several states, and whose members are held together by a formal agreement can be a delicate operation. On the contrary, international organization enter into contract with the intention of fulfill their mission and achieve their goals. These opposing interests are the focal point to which organization contracts try to respond. It appears that contract between international organizations and private persons are characterized by their adaptability. Through the contract, the contracting parties are trying to achieve different objectives: an objective of protection for the private persons and international interest for the international organizations

Texto completoThe economic analysis of the Law conceives the arbitration institutions as service providers that offer the service of the organization of the arbitration proceedings. Like any market, the market of institutional arbitration needs legal tools to regulate the outcome of its economic operations. Contractual technique is the most common way for the conclusion of economic transactions in the various markets of goods and services. In this context, the services offered by arbitration centers take the form of a contractual event that regulates the activity on the arbitration market. Thus, the service of the organization of the arbitration offered by the center to litigants leads to the conclusion of the contract of arbitration's organization. This contract will dictate the contractual relationship between the litigants and the arbitration institution. Identifying this contract allows us to present its concept and to analyze it through the prism of the "ensemble contractuel de l'arbitrage". Our contract derives from a main convention which is the arbitration convention. Ultimately, the contract of the organization of the arbitration is a contract by which the arbitration proceedings is integrated into a structure invested by the common will of the litigants with contractual prerogatives enabling it to impose institutional decisions ensuring an effective arbitration

Texto completoThis study concern a sample of one hundred and fifty-eight research agreements between public laboratories and industrial firms in biotechnology, first, research contracts are a part of an economy of creation as well as one of distribution of resources. The parties join not simply to exchange informations and materials but also to produce new knowledges and technical solutions. The duration of the contracts is critical insofar as the collaboration supports a learning process and a process of creation of science and technology. These contracts are incomplete ones and governed as and when the contractors get informations. Second, universities and industrialists build compromises between priority rules and access rights, in order to find an optimal path between diffusion and incentives for private investments. The contracts delivers public goods, as publications and ph. D, and privates ones, as industrial secrets and patents. Third, research contracts are not pure market relations. They involve as well as market ties, reciprocity and mutuality, and sometimes hierarchy. Reciprocal behaviour lower the high transaction costs generally associated with research contracts. Fourth, the multiplication of research agreements between university and industry is not only a matter of circumstances. Firms and scientific institutions are supposed to be more and more linked so as to develop both basic research and industrial innovations

We wonder about the nature and the area of their mission, on the powers of institutions and their borders, on the qualification of their reports with the parts, and on what arrives when these borders are exceeded?In these questions regularly put in front of the state judge, when he is seized with requests putting directly and personally in cause the permanent institutions of arbitration and the way they exercised or exercise their functions, the present thesis intends to bring answers and to define the mission of the institutions of arbitration
