Abstract:
The transfer or repatriation of funds provision in bilateral investment treaties (BITs) is at the heart of the object and purpose of an investment treaty. The main aim of BITs is to encourage investment by investors of one state into the other state. This chapter discusses the types of payments covered in the repatriation provisions in China's BITs. It includes the scope of the clause and whether it covers both outward and inward transfer of funds. It looks at the types of payments that are covered by the transfer provisions and whether it is an illustrative list or an exhaustive one. It then considers the important provision on convertibility and exchange rates, what they mean, and when they are designated. Finally, the chapter looks at provisions typical to China's BIT provisions on transfer of funds, in particular the limitation on monetary transfers to compliance with “domestic laws and regulations.” The chapter also considers briefly the impact of the pending litigation before the ECJ against several member states on the scope of the transfer provisions in some of their BITs (including some with China) entered into before acceding to the EC Treaty.

The “umbrella clause” takes its name from its main objective, namely to oblige the host state to observe any commitments it has entered into with regard to foreign investors. The clause brings such obligations of the state under the protection of an applicable international investment treaty, bilateral investment treaty (BIT), or multilateral treaty. This chapter begins by reviewing the evolution of the umbrella clause and how it has been applied by investment treaty tribunals. It then examines the main variants of umbrella clauses in Chinese BITs and discusses their legal effect in light of this recent jurisprudence. It moves on to analyze the impact, if any, of these clauses on investment contracts in China, including joint venture contracts, joint exploitation of onshore and offshore petroleum resources contracts, and build-operate-transfer contracts. The chapter concludes with an analysis of the implications of umbrella clauses and investment contracts on dispute-resolution planning for foreign investors.

This commentary analyses Article 9.1.9 of the UNIDROIT Principles of International Commercial Contracts (PICC) concerning non-assignment clauses. Under Art 9.1.9, the assignment of a right to the payment of a monetary sum is effective notwithstanding an agreement between the assignor and the obligor limiting or prohibiting such an assignment. However, the assignor may be liable to the obligor for breach of contract. The assignment of a right to other performance is ineffective if it is contrary to an agreement between the assignor and the obligor limiting or prohibiting the assignment. This commentary discusses rights to payment of a monetary sum and to a non-monetary performance, along with the legal consequences of violating a non-assignment clause.

This chapter studies the prohibitions on assignment. Depending on how it is framed, a prohibition on assignment can have a number of different effects. This will always be a question of construction. For example, a clause that appears to be directed towards prohibiting assignment may in fact prohibit only novation, or sub-contracting, or only outright assignments and not assignments that are executed by way of security. Likewise, a prohibition on assignment has been held to extend even to the grant of a charge, notwithstanding the fact that a charge is distinct from an assignment. In the specific context of prohibitions on assignment, at least four different types of term were identified. The chapter looks at these various possible terms, and their validity and enforceability.

This chapter examines the legal system governing the transfer of tangible movables, with particular emphasis on assignments inter vivos of isolated or individual movables such as gifts and mortgages. The transfer of tangible movables has been one of the most intractable topics in English private international law. A common, albet fallacious, assumption is that all problems must be referred to one single law. This chapter considers the various theories dealing with the question of transfers, including the law of the domicile, the law of the situs, the law of the place of acting, and the proper law of the transfer. It also discusses the modern law governing derivative claims, retention of title clauses, attachment of movables by creditors, goods in transit, gifts, and cultural property. Finally, it addresses the issue of human rights relating to transfers.

This chapter examines securities trading. Although securities are classed as choses of action, they have long been subject to special statutory schemes. In particular, the transfer of shares has long been subject to a registration requirement that importantly supplements the general law of assignment. The requirement for registration arose as a matter of historical necessity. Meanwhile, the modern statutory scheme relating to securities transfers was necessitated by the explosion of financial trading activity following the deregulation of the UK markets, or Big Bang, in the late 1980s. Almost all modern securities transactions are effected by means of electronic exchanges, which have replaced the open-outcry floor-based systems that operated in the past. The chapter then looks at the characteristics of these exchanges, the regulatory framework in which they operate, and the clearing houses on which they depend.

Abstract:
Capitalist transformation in postcolonial societies follows an altogether different path. The resolution to agrarian question no longer seems necessary for capitalism. This leaves a large number of petty commodity producers precariously surviving in agriculture in India. This chapter shows that this class and the area operated by them is increasing, in spite of the fact that their agriculture is essentially unviable. Farmer suicides reflect the distress faced by this class. However, this chapter also shows that this class survives through various strategies, including considerable diversification away from their dependence on farming. As a result, land becomes no longer central to their survival, while the post-colonial state manages their desperate condition through welfare transfers. This chapter provides evidence for the changing profile of rural farm households, land holding structure, farm and non-farm incomes of rural farm households, and welfare transfers. The changing portfolio of rural incomes brings out the shifts in dependence on agriculture for the rural households and their implications for the land question.

This chapter introduces the substantive obligations in investment treaties. Most offer a common core of six substantive protections to foreign investors. The chapter first considers the two ‘relative’ standards of protection—most-favoured nation treatment and national treatment. It then turns to four ‘absolute’ standards of protection: expropriation, fair and equitable treatment, umbrella clauses, and free transfer of funds. The third section examines carve-outs that remove certain state measures from the scope of application of investment treaties, defences that can justify or excuse breaches of investment treaty protections, and the standard of review that tribunals apply when examining host state conduct. The fourth and final section discusses the calculation of compensation or damages if host states have breached investment treaties.

The first RNA molecules to be discovered were those involved in protein synthesis, mRNA, transfer RNA (tRNA), and ribosomal RNA (rRNA). In recent years, a vast number of additional RNA molecules have been identified. ‘RNA’ explains that these are non-coding RNAs that are not involved in protein synthesis, but influence many normal cellular and disease processes by regulating gene expression. RNA interference (RNAi) as one of the main ways in which gene expression is regulated is described with applications to therapy.
