O desafio central deste trabalho é a compreensão do Direito aplicável às Startups de Software e Internet. Exploramos os desafios e obstáculos jurídicos do fenômeno econômico da empresa Startup diante do Ordenamento Jurídico Brasileiro. Primeiro, na dimensão coneitual histórica e jurídica, pesquisamos o contexto no tempo, selecionamos definições de Startup a partir de diferentes pontos de vista e elaboramos entendimento próprio, caracterizando a Startup enquanto um arranjo institucional complexo com características próprias. Segundo, na dimensão holística sistemática descritiva, identificamos e organizamos os institutos deste arranjo complexo denominado Startup em 6 áreas estratégicas. Terceiro, na dimensão visual estratégica pragmática, indicamos a via crucis jurídica de quem busca como atividade econômica a empresa Startup em nosso país e criamos um ferramental (desenho) para alinhamento das questões jurídicas aplicáveis às Startups. Ao final deste ensaio, concluímos que a Startup, enquanto fenômeno econômico recente, detém dinamismo próprio que o Direito Brasileiro rege mas desconhece.

Full textAlthough the title of the current research covers a wide field of observation, the fundamental intention of this paper, first, is to validate the effect of the factors associated with success in Chilean startups in an exploratory search for information on the Chilean ecosystem. Secondly, to determine if its application generates or is generating a positive impact on the development of the Peruvian ecosystem and the process of internationalization of its startups through a qualitative analysis. For this, in chapter I, the concepts "startups", incubators, accelerators, ecosystem, financing are defined. In chapter II, as a contextualization, the current situation of Chilean startups and their main success stories is described. Likewise, the current situation of Peruvian startups, their main success stories and factors associated with failure in the first year are mentioned. Then reference is made to the objectives of the investigation based on the problem posed and the respective hypotheses. In chapter III, the methodology used for the analysis and research proposal will be presented. In chapter IV, at a qualitative level, information is presented corresponding to in-depth interviews with CEOs of Peruvian and Chilean startups about the factors associated with performance and the internationalization plan. In chapter V, precise recommendations and recommendations of the present investigation are made.

Full textThis research work has the purpose of investigating the relevance of startups as dynamic agents for the development of incipient economies. For this reason, we seek to determine the useful value of startups in the financial development of incipient economies through bibliographic research of academic articles. In our study, we review some definitions and scopes of startups. We also determine the main characteristics of incipient economies and explain the main contributions of startups. In addition, we determine the financial relevance and impact of startups in these types of economies. The scope of our study addresses the advancement of the use of technology and innovation where an important growth of startups as business alternatives is observed. In recent years, startups have developed business models for solving social problems. However, incipient economies face some challenges to these changes, due to insufficient government policies, lack of business support, among others, for the creation of startups. This paper contributes to the limited current literature on the role of startups in developing economies and opens a debate on the real impact of startups on the economic development of countries. Finally, it is proposed that future research deepen this discussion and thereby build a theoretical framework that provides value to the decision-making of future entrepreneurs. Another contribution is to provide relevant information to those responsible for government policies to promote entrepreneurship in incipient economies.

Full textEl objetivo de este trabajo es reconocer los factores críticos en el surgimiento de una Startup, desde el análisis del Ecosistema en el cual se desenvuelven, destacando las características que determinan el éxito y fracaso en su desarrollo, asociando a las Startups con el fenómeno de la trampa del Boom and Bust, identificando para ello, los factores y las relaciones causales que detonan esta situación. Para esto se realiza una revisión extensa de la literatura actual y se construye un modelo de una empresa tipo para el análisis de los efectos cuantitativos de la modificación de variables fijas. Por medio de la utilización de Sistemas Dinámicos se logró observar resultados no lineales del aporte directo de entidades (privadas o públicas) a través de proyectos, afectando al desempeño de la Startup y la duración de la misma. También se observa el comportamiento de la Startup con diferentes niveles de inversión en innovación y exigencias de capital, demostrando que el modelo propuesto ofrece resultados que validan la noción de la existencia de un óptimo para variables que son de control interno. Además, se concluye que el crecimiento constante es posible siempre y cuando se logre alinear la capacidad de producción con el uso no intensivo de capital, ampliando el ciclo de supervivencia de las compañías.

Full textThis thesis develops research focused on the phenomenon known as start-ups, where Peru has been the scenario of the rapid growth of this type of innovation and how some of them are already reaching international markets. Precisely, the focus of this research is to know more deeply those factors that have managed to facilitate these entrepreneurs entering foreign markets. It is at this point that we seek to know the level of importance that each of these factors represents for start-ups. The research was developed considering different points of view. On one hand, there are experts from the entrepreneurial ecosystem, representatives of public and private institutions that are directly related to start-ups and the development of their ecosystem. On the other hand, we have the entrepreneurs who are the users of all these tools generated in this ecosystem and how that led some of them to achieve internationalization. Based on this approach, it was possible to identify a series of key factors that needed to be validated by the Peruvian start-up population through an opinion poll. This with the objective of identifying the main factors and having a contribution that serves as a guide for those who belong to the ecosystem. To know if there are relations or patterns between the factors and the characteristics of the start-ups, through quantitative methodologies. Finally, the thesis exposes all the obtained results, conclusions, recommendations and even limitations under which the research was developed, contributing in this way with the entrepreneurial ecosystem so that this document serves as a guide for deeper investigations about this phenomenon that it is increasingly important in Peru.

Full text"Proyecto Y" es una Empresa B, y este plan se basa en la creencia de que una empresa responsable puede usarse para incitar a un cambio social positivo. La economía chilena ha crecido fenomenalmente desde las políticas de los "tecnócratas", más familiarmente conocidos como los "Chicago Boys", completamente reacondicionado desde mediados a finales de los 70. Las políticas están basadas en gran parte en el espíritu del ganador del Premio Nobel, el economista Milton Friedman, cuyas visiones monetaristas convierten radicalmente a Chile en una economía abierta de libre mercado. El éxito radical de estas políticas fue subrayado por la aceptación de Chile en la OCDE en 2010. Lamentablemente, y a pesar de este meteórico crecimiento económico, este desarrollo no ha sido uniforme, lo que ha resultado en elevados niveles de desigualdad en el país (Ministerio de Desarrollo Social, 2012). Mientras que la reducción de la pobreza absoluta es claramente una prioridad, el economista Niall Ferguson argumenta que la desigualdad en sí misma es fundamentalmente problemática. Sin embargo, la movilidad social es el real problema, (Ferguson, 2012) como un país incapaz de maximizar el talento potencial de su población. El Maule, por ejemplo, tiene el promedio de ingresos más bajos del país, de sólo $340.877 (USD $488) mensuales (Instituto Nacional de Estadísticas (INE), 2014), versus 2014 $1210,70 USD de ingresos per cápita (Banco Mundial, 2015). Los artesanos en Chile sólo disfrutan de $ 347.500 CLP (USD 496) (Durán & Kremerman, 2015). "Proyecto Y" está diseñado para permitir al artesano chileno, especialmente en las zonas rurales donde la pobreza es mayor (Instituto Nacional de Estadísticas (INE), 2014), a utilizar sus talentos potenciales y habilidades para mejorar su condición económica. De manera de permitir al Artesano a mejorar su situación económica, "Proyecto Y" apoyará la cultura y las habilidades tradicionales, y al mismo tiempo, proporcionar importantes ingresos a esforzadas comunidades. El desarrollo económico sostenible está en el corazón de "Proyecto Y", permitiendo a aquellos que están decididos a ayudarse a sí mismos. A fin de lograr el éxito, "Y Proyecto" debe convertirse en un referente líder en el mercado artesanal de lujo. Los detalles de cómo ejecutar el plan, es mediante la construcción de una red de artesanos que funciona a la perfección, con una moderna y eficiente infraestructura, que está diseñada para actualizarse constantemente a las condiciones del mercado y proporcionar un impecable nivel de servicio al cliente. Para lograrlo, el plan se enfoca en alinear los incentivos de los empleados y socios estratégicos con las demandas de clientes, tales como envíos a tiempo y ofrecer bonos para entregar consistentemente lo mejor, por lo tanto, ayudamos a proporcionar los incentivos adecuados para llevar a cabo actividades de manera óptima para que el negocio tenga éxito. Este plan se orienta a áreas de negocios en crecimiento y estudios económicos intentando formular un plan integral, poniendo importancia en áreas como sesgos cognitivos y arbitraje de marketing. Pensar de manera creativa y proactiva es fundamental para la estrategia holística, ya que solo copiando a otros en el mercado no dará resultados suficientes para lograr nuestros objetivos. El plan requiere una inversión inicial de $240.500 USD. Un inversionista que pone $150.000 USD por 10%, podría obtener una TIR entre 196% y 216% basado en una valuación de ingresos 2x o 10x de utilidades netos respectivamente. Debido a su sensibilidad bajo el análisis financiero, este plan incluye una contingencia adicional en el flujo de caja de $90.000 USD. Dada la alta rentabilidad y la necesidad potencial de caja extra, puede ser razonable obtener más inversiones en el 3er -5to año basado en los requisitos en ese momento en el tiempo. Además, levantando un poco más en el financiamiento inicial, se podría hacer los flujos de caja del primer año menos riesgosos.

Full text[ES] El emprendimiento desde la universidad es una forma cada vez más observada en el plano internacional, para comercializar la investigación y contribuir a la sociedad y al crecimiento. Esta tesis ha investigado las capacidades de la universidad para fomentar dicho emprendimiento, dentro de la llamada tercera misión, centrándose en la arquitectura organizativa emprendedora (AOE) de diversas universidades. Nuestro objetivo es ver cómo influye dicha arquitectura emprendedora en la creación de nuevas empresas desde la propia universidad. Definimos la AOE como la estructura o contexto organizativo de la Universidad que, dentro de la tercera misión, está enfocada a promover el emprendimiento en los alumnos, completando así el papel de la transferencia por parte de los académicos en sus spinoffs (para explotar licencias, patentes u otro conocimiento no registrado). La presente tesis se centra en el estudio del fenómeno de emprendimiento, tratando en este caso el fomento a la creación de empresas nuevas por parte de profesores y/o alumnos vinculados a la Universidad, en el ámbito y contexto (físico) de la Universidad, de una manera amplia. Utilizamos metodología bibliométrica sobre referencias en el campo del emprendimiento, spin-off universitarias y tercera misión; y cualitativa entrevistando a un total de 54 personas de 9 universidades diferentes, 1 estadounidense y 8 españolas, incluyendo las 5 universidades públicas valencianas para realizar un estudio cualitativo sobre el método del caso (complementado con fuentes secundarias). Resulta relevante el plantearnos que la entrepreneurial university (Universidad Emprendedora) en el sentido de Audretsch (2014) debe generar y crear actitudes de emprendimiento, acumular capital emprendedor y, en consecuencia, cambiar mentalidades en lo que respecta al emprendimiento, sobre todo en los estudiantes (considerando dicho factor incluso en enseñanzas secundarias). El integrar actitudes emprendedoras, el introducir el emprendimiento y sus temas (generaciones de patentes, proyectos empresariales, etc.) en el currículo de los estudiantes y en el ADN de los temarios y cursos debería ser la primera prioridad dentro de una AEO.

Esta tesis ha investigat les capacitats de la universitat per a fomentar l'anomenat empreniment, dins de la tercera missió, centrant-se en l'arquitectura organitzativa emprenedora (AOE) de diverses universitats. El nostre objectiu és vore com influeix esta arquitectura emprenedora en la creació de noves empreses des de la pròpia universitat. Utilitzem metodologia qualitativa bibliomètrica sobre referències en el camp del empreniment, spin-off universitàries i tercera missió; i qualitativa entrevistant a un total de 54 persones de 9 universitats diverses, 1 americana i 8 espanyoles, incluint les 5 universitats públiques valencianes per a realitzar un estudi qualitatiu sobre el mètode del cas (complementat amb fonts secundàries). Full textRecently, more and more companies have come to exercise activities under the right of public access on land that belongs to whomever. The High Court has assessed that such use of land; channeling, is permitted, but in NJA 1996 s. 495 (“The Rafting Case”) also announced that this use is only allowed as long as the land remains unharmed. Since the question of damages in the context of the right of public access has not yet been treated in jurisprudence, the object of this thesis has been to investigate the possibilities to obtain restitution for damages via tort law, liability under the environment act as well as for proprietary intrusions under the expropriation act and restitution via insurance. Expropriation, however, cannot currently be made use of, since the right of public access is an intrusion which does not entail restitution. There are extensive possibilities for considering damage to the land as damage to property. However, there are ramifications for both the legal options for damages: the tort law and the environmental act. The tort law requires tortuous behaviour from the tortfeasor to be established, which is difficult when several persons stay at one place simultaneously. The canalizer may be considered tortuous under the principle of vicarious liability and cumulative or anonymous tort. According to these principles, the canalizer is responsible for the actions of certain individuals, even though they have not, individually, been negligent. The environmental liability for damage is based on restitution for disturbances that are not common to the place nor to the general public. This fact is difficult to establish in the context of the right of public access. The remedial responsibility of the environmental act is constructed for operations that are harmful to the environment, which is why it is dubious whether the responsibility is applicable to the canalizer’s activities. Currently, compensation for expropriation cannot result of use of land under the right of public access. This is peculiar, since many usufructs reminiscent of the right of public access, i.e. the easement, result in such compensation. Some forms of damage to the land can be insured. Although, most damage in this context arise from invasion, a cause of damage which is nearly impossible to insure. All forms of restitution have proven insufficient for compensating damage that is esthetic or otherwise non-pecuniary. Depending on if the right of public access is regarded as proprietary intrusion or something that exists alongside the right to property, one comes to different conclusions about the extent of compensation for damage. In the former case, only substantial damage is compensable. In the latter case, even the right to use the land occasions compensation. The liability which best meets the needs of the proprietor: compensation and restoration of damage to his property, is the remedial responsibility of the environmental code. This responsibility alone fully restores harm to the environment. However, the applicability of the remedial responsibility needs to be established in jurisprudence.

Full textThroughout time, finance has always been characterized by its reliance on technology. In recent years, after the financial crisis in 2008, in 2014 the emergence of new technologies became visible in the markets that have allowed the development of Fintech startups in an accelerated manner, especially in developed countries in Europe, North America and Asia. Fintech startups are disruptive ventures whose services are based on technological tools that allow people to become purely digital users. In Peru, the appearance of Fintech startups has been in the financial market for some years, but a greater force has been seen in the growth of this industry due to the participation of public and private sector entities within the entrepreneurial ecosystem. Within the region, the regional block that has managed to promote advances in the regulation of this industry is the Pacific Alliance. It is within this context that this research aims to determine whether the signing of the Additional Protocol to the Framework Agreement of the Pacific Alliance and the Peruvian entrepreneurial ecosystem have been factors that have influenced the export of Peruvian Fintech startups during the period 2014-2019. Therefore, in the investigation, qualitative techniques were applied based on interviews with entrepreneurs, experts and public officials related to the Fintech industry. Thus, with the result of the analysis it was concluded that the above factors were not determinant for the export of the Peruvian Fintech startups. In contrast, it was identified that the capabilities of the Peruvian entrepreneur, along with an effective network of contacts and an innovative and disruptive business model, allowed Peruvian Fintech startups to achieve rapid internationalization in countries of the region during the period defined. Finally, it should be noted that so far, this type of venture focused on offering disruptive financial services still maintains a low percentage of participation in the export supply of services.

Full textCompares globalization's impact on blue-collar workers in Poland and Russia, asking two major questions: Is conventional wisdom about globalization's impact on labor accurate in the Polish and Russian contexts? What shape has Poland and Russia's reintegration into the globalized system taken since the collapse of communism? Following the collapse of communism from 1989 to 1991, there was a great international effort to reintegrate Poland and Russia (and the whole of the former Soviet Union more generally) into the global system. Now, more than ten years later, there is some doubt about the success of this mission. Clearly, Poland and Russia are in different positions vis a vis the international system. While Poland is a member of NATO and has just joined the EU, Russia continues to struggle to find its place globally. It is part of the CIS and has obserer status in the WTO, but remains outside NATO and is conflicted about its relationship with its neighbors. The two countries in certain respects, then, represent the extremes on a scale of post-communist global reintegration. Labor, in turn, has been an historically important force for establishing and consolidating democracy. Therefore, it warrents scrutiny

Full textEl objetivo de este trabajo es una revisión literaria de la relación entre los sistemas de control de gestión y el porqué del uso de los mismos en las empresas de nueva creación. Con este fin, se han revisado 24 artículos publicados en 11 revistas en el período 1967-2015. Se definen los resultados en tres categorías: los motivos de la adopción, cuáles son y cómo actúan las variables de fomento de la adopción, y las consecuencias. Se analizan el estado actual de la investigación y las líneas de investigación futuras recogidas por la literatura recopilada.

Tecnologias móveis na saúde (mHealth) representam há alguns anos a força de transformação para melhorar problemas de saúde em países de baixa e média renda (LMIC). Embora vários estudos tenham identificado evidências inconsistentes e novos quadros de avaliação tenham sido propostos, poucos trabalhos exploraram o papel do empreendedorismo para criar mudança disruptiva em um setor tradicionalmente conservador. Defendo que a melhoria da eficácia dos empresários mHealth pode aumentar a adoção de soluções mHealth. Assim, este estudo tem como objetivo propor um modelo de gestão para a análise de soluções mHealth do ponto de vista empresarial no contexto de LMIC. Identifiquei o ‘Khoja-Durrani-Scott (KDS) framework’ como base teórica para o modelo de gestão, devido ao seu foco explícito no contexto de LMICs. Na pesquisa exploratória introduzida a seguir utilizei entrevistas semi-estruturadas com cinco especialistas em mHealth, os sistemas de saúde locais e de investimento para identificar as necessárias adaptações ao modelo. Os resultados das entrevistas propuseram que especialmente a questão econômica deveria ser clarificada, assim como a questão empresarial deveria ser adicionada. Além disso, foi proposto um questionário de avaliação. Na segunda fase, apliquei o questionário a cinco start-ups, que operam no Brasil e na Tanzânia. Realizei entrevistas semi-estruturadas com os empresários para obter insights práticos para o desenvolvimento teórico. Três dos cinco empresários perceberam que os resultados correlacionavam com as expectativas dos pontos fortes e fracos das start-ups. As principais deficiências do modelo foram relacionadas com a ambigüidade de algumas questões. Além dos resultados para o modelo, os resultados das pontuações foram analisados. A análise sugeriu que entre os start-ups que participaram os resultados ‘comportamentais e sócio-técnicos’ foram os mais fortes e os resultados ‘política’ foram os mais fracos. O modelo de gestão integra várias perspectivas, estruturadas em torno do empresário. A fim de validar o modelo, a pesquisa futura pode vincular o desenvolvimento de uma start-up com a evolução das pontuações em estudos de caso longitudinais ou testes em grande escala.
Since some years, mobile technologies in healthcare (mHealth) stand for the transformational force to improve health issues in low- and middle-income countries (LMICs). Although several studies have identified the prevailing issue of inconsistent evidence and new evaluation frameworks have been proposed, few have explored the role of entrepreneurship to create disruptive change in a traditionally conservative sector. I argue that improving the effectiveness of mHealth entrepreneurs might increase the adoption of mHealth solutions. Thus, this study aims at proposing a managerial model for the analysis of mHealth solutions from the entrepreneurial perspective in the context of LMICs. I identified the Khoja–Durrani–Scott (KDS) framework as theoretical basis for the managerial model, due to its explicit focus on the context of LMICs. In the subsequent exploratory research I, first, used semi-structured interviews with five specialists in mHealth, local healthcare systems and investment to identify necessary adaptations to the model. The findings of the interviews proposed that especially the economic theme had to be clarified and an additional entrepreneurial theme was necessary. Additionally, an evaluation questionnaire was proposed. In the second phase, I applied the questionnaire to five start-ups, operating in Brazil and Tanzania, and conducted semi-structured interviews with the entrepreneurs to gain practical insights for the theoretical development. Three of five entrepreneurs perceived that the results correlated with the entrepreneurs' expectations of the strengths and weaknesses of the start-ups. Main shortcomings of the model related to the ambiguity of some questions. In addition to the findings for the model, the results of the scores were analyzed. The analysis suggested that across the participating mHealth start-ups the ‘behavioral and socio-technical’ outcomes were the strongest and the ‘policy’ outcomes were the weakest themes. The managerial model integrates several perspectives, structured around the entrepreneur. In order to validate the model, future research may link the development of a start-up with the evolution of the scores in longitudinal case studies or large-scale tests.

Full textPsychosocial factors are not usually identified on physiotherapy assessment, what influences on low back pain prognosis. The questionnaire STarT Back Screening Tool\" (SBST) was created to identify patients with potentially treatment modifiable prognostic influenced by physical and psychosocial indicators which are relevant to initial decision making, classifying them into low, medium and high risk categories. Aim: Translation and cross-culturally adaptation of the SBST into Brazilian-Portuguese, assess its reliability and construct validity. Methods: The translation and cross-cultural adaptation process involved the steps of Translation, Synthesis, Back-translation, Committee Revision, Pretesting and Submission the documents to the Committee. The pre-final version was applied to two samples of 52 patients each, with low back pain, both sexes, aged over 18 years, from different education levels. After that, two interviews assessed intra-rater reliability on a different sample of 50 patients, and the quadratic weighted Kappa was used for statistical analysis. The Cronbach´s alpha was also calculated for internal consistency (n=105), standard error measurement (n=50) and construct validity (n=151) analyzing the correlation between the SBST-Brasil and the Brazilian version of Oswestry Disability Index (ODI), Rolland Morris (Brasil- RM) and Fear Avoidance Beliefs Questionnaire for work (FABQ-Work) and physical activity (FABQ-Phys). Results: Consensus was found on translations and back-translations processes, and only the item 6, which patients had some difficulty in understanding, was reviewed and re-applied to 52 additional subjects with no difficulties being reported. The reliability was classified as substantial (0.79 - 95% CI 0.63 0.95), the internal consistency acceptable (0.74 for total score and 0.72 for psychosocial subscale score) and a very good standard measurement error (1.9%). The correlation between the SBST-Brasil total score and Brasil- RM was high (r =0.61), moderate with ODI (r = 0.56) and with FABQ-Work (r = 0.3), and low correlation with FABQ-Phys (r = 0,18). Moderate correlation was found with SBST psychosocial subscale score and Brasil-RM (r = 0.49), also with ODI (r = 0.47), and low correlation with FABQ-Work (r = 0.24) and FABQ-Phys (r = 0.21). After that, the stratification of SBST-Brasil risk groups was compatible with ODI, Brasil-RM and FABQPhys classification for risk of poor prognosis. Conclusion: The SBST-Brasil has shown a reliable and valid tool to screen and identify low back pain patients influenced by psychosocial factors.

Full textThe paper investigates possible ways of optimizing the cold-start and warm-up performance of gasoline engines with secondary air injection. Due to its size, weight, performance capability, and especially its simple, thermodynamic operation the innovative secondary air injection system used for the investigations and featuring a secondary air charger has the potential to replace the secondary air pump used to date. The experimental investigations are preceded by the development of exhaust emission legislation and a theoretical analysis of the process leading to exhaust emissions. A simulation model is used to illustrate the dependencies of the secondary air charger on boundary engine conditions. Consequently it is possible to make a preselection for the air mass conducting properties of the secondary air charger in various fields of application. The results obtained by measurement in starting, warm-up, and in load changes, were used to analyze the emission improvement processes. The level of raw emissions is affected enormously by the time of injection of secondary air and the acceleration performance of the secondary air system. A comparison of all the measured variants with the secondary air pump and secondary air charger indicates that the secondary air charger system has a distinct emission advantage. In addition, by relieving the vehicle power supply the secondary air charger brings about a reduction in engine load, improved response, and higher secondary air mass flow. The result is a 20% to 30% reduction in raw HC emissions. The significant advantages over the secondary air pump are rounded off by benefits in terms of weight and bulk volume and a reduction in the amount of wiring. Tests conducted at low temperature (-7°C) and under high altitude conditions have also indicated advantages over the secondary air pump
