Abstract:
The chapter focuses on national security surveillance by spy agencies. The safeguards afforded for privacy under the law of national security surveillance in the U.S. and the EU appear to be motivated as much, if not more, by national self-interest as by a universal right to privacy. In the U.S., the law has traditionally protected the privacy rights of insiders far more assiduously than those of outsiders. In the EU, there is no power to act internally in the national security domain, but it has certain powers to regulate privacy externally, by setting the terms of intelligence-agency access to EU personal data. There are currently four such EU–U.S. agreements in place. Unsurprisingly, given the bilateral nature of these agreements, they reflect the traditional, self-interested logic of international law designed to further the interests of the parties to the agreement rather than the broader international community.

This chapter considers miscellaneous legal rights given to employees in the Employment Rights Act 1996 and other legislation. These are minimum standards which can be exceeded by agreement or negotiation, but they cannot be denied to an employee. The discussions cover guarantee payments (ERA, ss 28–35); suspension on medical grounds (ERA, ss 64–65) and time off work for various reasons, such as for public duties, study, or training, and for occupational pension scheme trustees. It also covers statutory sick pay; and the scheme surrounding the Working Time Regulations 1998, employment law, and looks at the provisions of the regulations and their enforcement.

Abstract:
This chapter looks at how the structure of bank groups is factored into the resolution process. In analysing the resolution of banks and other legal entities, a focus on the legal entities alone is a form of false consciousness. Instead, the focus needs to be on resolving the overall financial enterprise of which the bank is a part. By focusing on resolving groups instead of individual legal entities, financial regulatory authorities around the world have developed the single-point-of-entry (SPE) resolution strategy, which has been widely accepted as the most promising solution to the too-big-to-fail problem. When applied to a banking group with a holding company at the top and operating subsidiaries at the bottom, only the top-tier holding company would be put into a bankruptcy or resolution proceeding. The holding company’s assets would then be used to recapitalize the operating subsidiaries, perhaps pursuant to secured capital contribution agreements, and keep them out of their own insolvency or resolution proceedings. The recapitalized group would then be stabilized and its residual value distributed to the failed holding company's stakeholders in satisfaction of their claims.
