過去我國實務見解始終否認公司得發行複數表決權特別股,2015年公司法正式引進閉鎖性公司專節後,方承認閉鎖性公司得發行複數表決權特別股,更進一步,2018年修法時放寬至非公開發行之一般股份有限公司均得適用,逐步提供閉鎖性公司及非公開發行公司股權規劃上有更彈性的空間,以符合現今鬆綁管制之國際趨勢,並有利於新創事業籌集資金。本文首先介紹我國特別股規定之演進過程,並討論增訂複數表決權規定後於公司法後將發生之問題,進而介紹美國法相關制度之運作及公司實務之作法作為借鏡,最後歸納數項修正方向建議,以其複數表決制度之適用能更加完備。In the past, the opinions of the courts in Taiwan have always denied that the corporations could issue multiple voting rights shares. Until 2015, the Corporation Law in Taiwan finally amended to include “Close Corporation Section”, it was acknowledged close corporations could issue multiple voting right shares. Moreover, the rules applied to non-public corporations after the amendment of the Corporation Law in 2018, gradually providing more flexible space for the equity planning in close corporations and non-public corporations. The amendment of multiple voting right shares is also in line with the current trend of the world to ease restrictions. The article first introduces the evolution of the rules of preferred stocks, and discussed the problems that may occur after the amendment of multiple voting right shares. Furthermore, it would make a thorough inquiry into the practice of multiple voting right shares in America to conclude some suggestions for the legal system in Taiwan.

The Taiwan e-Learning and Digital Archives Program (TELDAP) is one of the few large-scale national programs focusing on cultural heritage among the world. It is unique due to its inter-disciplinary program that will enhance the cultural, academic, social-economic and educational values of Taiwan Digital Archives. TELDAP is archiving the repository to preserve culture heritage and to support innovative researches and applications. It is crucial that users be able to access the right content at the right context while ensuring the integrity and utility of data. How to sustain the accomplishment of TELDAP becomes an important issue. Linked data, sustainable business model and international collaboration are the keys to lead Taiwan Digital Archives to the next decade. Linking up with new data infrastructure such as DARIAH and RDA, digital archives in Taiwan could continue its work in new ways.

Abstract:
Covid-19, which has attacked the world since the end of 2019, has had a global impact both economically and socially to the world community. Taiwan is one of country categorized as quite successful in dealing with Covid-19. From December 2019 until March 2021 there were 177,578 reported cases in Taiwan with a total of 976 positive cases and resulted in 10 deaths. A very small number compared to other cases that occur in other parts of the world. However, behind all that successful story, migrant workers in Taiwan are still forgotten during the pandemics. Migrant workers, particularly Indonesian migrant workers, who make up the majority in Taiwan, receive the least sympathy and understanding from the community. Several human rights issues confronted Indonesia Migrant Workers during the Covid-19 pandemic, including discrimination, loss of spatial public space, strict mobility limitations, concern for the family in Indonesia, a higher burden of common mental health, and a lower quality of life than local society, difficulty accessing health services and masks, and difficulty returning home. The purpose of this paper is to demonstrate how Indonesian migrant workers' rights were violated in Taiwan during the two phases of the Covid-19 pandemic. The data was collected through interviews, observation, and then was analyzed using the "rights-based" approach. The first phase lasted from December 2019 to March 2020, when the pandemic was still in its early stages, and the second phase lasted from March 2020 to January 2021, after the Taiwan government succeeded in controlling the pandemic

The most typical and catastrophic car-motorcycle crash occurs when a car manoeuvres into the path of an approaching motorcycle at an intersection, which involves a car driver violating motorcycle’s right of way (ROW). In Taiwan, however, motorcyclists are frequently the ROW violator—they are observed to frequently infringe upon the ROW of oncoming vehicles at intersections. Such a ROW crash in which a left-turn motorcyclist crosses in front of approaching traffic appears to be a safety problem in terms of its frequency and accident consequence. Using the National Taiwan Crash Database, the present study estimates a logistic regression model to predict the likelihood of an approach-turn motorcycle-turning crash (relative to a car-turning crash). Results indicate that given a ROW crash where the rider was female, old, drunk, unlicensed, riding a moped, and on a NBU roadway, the likelihood of a motorcycle-turning crash tends to increase. Our study contributes to the existing motorcycle safety research by reporting the determinants of the unique crashes in which the motorcyclist is the ROW violator.

The Financial Supervisory Commission in Taiwan has advocated the importance of corporate governance for several years. The purpose of this study is to act in concern with the policy through the test of the relationship between the corporate governance mechanism, especially Board of Directors’ composition and ownership structure, and the involuntary delisted firms. The study extracts 58 involuntary delisted firms from Taiwan Securities Exchange (TSE) during 1997 to 2007 and matches with 112 similar control firms. The results from probit regression suggest that Board of Directors (BOD) with more number of outside independent directors, larger board size, lower ratio of shares pledged to the total shares, higher seats over control right, and lower control right over right for cash flow may reduce the likelihood of delisting. The study could become monitoring indices for internal examination system, the warning signals for investors, and the reference for the policy makers

Abstract:
A healthy and safe public health environment is a fundamental responsibility of government; achieving it requires collaboration across multiple sectors. Public health services include, forexample, vaccination and quarantine for infectious diseases; health promotion, such as anti-smoking campaigns for noncommunicable diseases; and health insurance for universal health coverage. All these services require intersectoral actions in which the government must play a fundamental role, either partially or totally. The Taiwanese outlook on governmental public health infrastructure and professionalization of public health is given in this paper. It also describes the national governmental public health measures that were employed during the Covid-19 pandemic and discusses the challenges ahead for the country’s governmental public health. Governmental public health is essential and should not be affected by changes in political forms or socioeconomic development. Instead, effective governmental public health will promote these developments while protecting citizens’ right to health.

The subject of this research is the theoretical and practical aspects of legal qualification of virtual property – digital online objects (cryptocurrencies, game property, user accounts, etc.) in Russia and abroad. Virtual property is viewed through the prism of the concept of “asset” / “economic asset”, established in the national and foreign legislation and doctrine. Real right to game objects in online games are considered through the lens of John Locke’s labor theory of property (acquisition), M. Radin’s theory of personality, theories of utilitarianism (deterrence of negative behavior and economic efficiency), law enforcement practices and legislation (South Korea, China, etc.). Real right to online accounts (Google, Yahoo etc.) are examined in the context of allowability of transferring personal and business accounts from the perspective of property and conventional law. The relevance, theoretical and practical importance of this research is are substantiated by supplementing the tangible objects of proprietary right with digital, created in modern reality with the use of digital technologies (cryptocurrencies, tokens, etc.), which requires clarification of their legal regime in the context of the effective legislation of the Russian Federation and foreign countries, ideas for its amendment, and law enforcement practice. The author concludes that the legal doctrine of a number of countries, distinguishing tangible and intangible, virtual objects (game objects, user accounts) recognized the existence and legal status of virtual property (Hong Kong, European Union, South Korea, Russian Federation, Taiwan), qualifying it as the analogue of digital information and content; legally - movable (Taiwan) or other (Russian Federation) property; property (the European Court of Human Rights) or utilitarian (mandatory) digital (Russian Federation) rights; economically – virtual (financial, in form of future income), and material (in form of commercial ties, domain names, etc.) assets (the European Court of Human Rights, Russian Federation).

Human rights indicators are tools developed by the Office of the United Nations High Commissioner for Human Rights (OHCHR) to monitor the fulfilment of human rights obligations of each country. Indicators are normative in that the conceptual framework aims to transform principles contained in the human rights conventions into measurable indicators. The purpose of this research is to analyze the possibility of applying this indicator in Taiwan. The first part of the study is contextualization of the “right to work” indicator developed by the OHCHR. The methods included legal analysis, consultation with experts, and focus group discussions among vulnerable populations such as indigenous peoples, recent immigrants, and persons with disabilities. Following consultations and discussions, suggestions for amending the OHCHR indicators included adding an attribute on collective labor rights, and adding some indicators: combining work and family life, workplace discrimination, and involuntary part-time employment. In addition, this research identified the shortcoming of performing data disaggregation using the currently available administrative data or national surveys; several methods of improvement were proposed. The second part of research was applying the OHCHR framework to develop a set of indicators for persons with disabilities. The UN human rights indicators were developed to cover the total population, and detect difference in the achievement of human rights among specific sub-populations by data disaggregation. However, because of the limitations faced by data disaggregation and the special needs of persons with disabilities, it seems reasonable to develop specific indicators based on the Convention on the Rights of Persons with Disabilities. This research borrowed OHCHR’s conceptual framework and methods, and developed three sets of indicators on discrimination, accessibility, and bodily integrity. The theoretical and practical limitations of the use of indicators were discussed, and some follow-up research were suggested. Despite these limitations, the study suggests that the government can make use of human rights indicators to collect and release information as tools to monitor the fulfillment of human rights obligations.

In a period of five year, seven month, and ten days begins in May 1, 1946, the Taiwan Provincial Assembly and its successor Taiwan Provincial Interim Assembly regularly held 11 semiannual meetings to review Taiwan Provincial Government work, to discuss the Province senator proposals, and to investigate on petition requests from public in Taiwan Province. According to the archive record published by the Secretary of Taiwan Provincial Assembly, a total of 277 petition cases was discuss, concluded and turned to the province administrative office to carry out the orders from Assembly. Taiwan Provincial Assembly tried hard in indemnifying people life and to protect human right of liberty. Under the framework of parliamentary democracy, the Assembly set up a committee with five to seven committee members to continuously take pubic petition request when regular Taiwan Provincial Assembly session were off. In this study, digitized archive of the Assembly history record is used to draw a picture of the development on Taiwanese People Petition Right. There are total of 1,743 petition cases, with 1,272 accepted, 194 dismissed, 277 were ruled favor to plaintiff. For example, in the eighth semiannual meeting of Taiwan Provincial Assembly, record shows that 44.51% of cases were accepted and ruled favor to plaintiff, 21.95% were taken into further investigation, 19.51% can carried out legally, and obstruct difficult transact cases were about 14.03%. In another words, about two third of all petition requests were successfully resolved or processed under supervision of Assembly. It has been a long way for Taiwan to learn the value of petition right. Recent history shows that Taiwan people experienced the transition of political power after World War II, the 228 society’s incident, ROC government relocation from Mainland China to Taiwan, temporary provisions effective during the period of Communist rebellion and strict authority govern. Aiming at stabilizing society, Taiwan Provincial Assembly senses the importance of giving people a way to petition. The development of the petition, democracy, and constitution in Taiwan is such a valuable history testimony, especially when society was under pain and strictly control.

AbstractThis chapter explains why National Health Insurance Administration (NHIA) decoupled the premium payment and right to health care to safeguard the medical right of the financially disadvantaged. Furthermore, various programs have been carried out to improve the accessibility and comprehensiveness of medical care for residents of remote and offshore islands. The National Health Insurance (NHI) has also progressively covered orphan drugs to meet the medical needs of patients with rare diseases.In addition to eliminating geographic and economic health disparity, the NHIA strives to improve health literacy and knowledge of the health insurance system of the public. “My Health Bank” was launched to enable its users to query personal medical and health information in real time to encourage self-health management and enhance the safety and quality of medical care. The NHI was introduced to elementary school pupils to acquaint the younger generation with its concept and have a more profound influence.

AbstractThe National Health Insurance (NHI) is compulsory and provides universal health coverage to all citizens of Taiwan and those who have had a registered domicile, as well as foreigners holding alien residence certificates in Taiwan for 6 months. The right of the insured to access medical care is protected, whether they suffer from illness, injury or require reproductive care. This chapter introduces the financial structure of the NHI, enrolment eligibility and how the premiums are calculated for different insured groups and their insured units. The collection of supplementary premiums, which correlate additional premium contribution with non-salary-based income, is also explained. To maintain the financial independence and liability system of the NHI, by law, the premium rate is reviewed annually. Hence, the actuarial calculation of the premium rate plays a crucial role.

Official statistics showed that more than half of level crossing accidents in Taiwan were caused by intrusion of road users violating the right-of-way of the railroad. Thus it is critical that addition measures be developed to prevent or mitigate the seriousness of intrusion incidences even though many warning facilities are already in place. In this paper we propose to use real-time crossing cite image to provide train drivers with more vital information than alarm signals. In addition, we also take advantage of the radio link capacity to display numerical information of train distance on the fly to deter potential intrusion attempts. The result of this project can be used as reference design for the augmentation of level crossing safety of rail systems facing similar intrusion problems.

Abstract:
Stock price synchronicity is used to explain the co-movement of stock price in the same direction over a certain period with the market price. The aim of this seminar paper is critically review literatures which investigated the association between firm specific information such as ownership concentration, foreign shareholding, audit quality and stock price synchronicity. Most of research used to measure stock price synchronicity either classical synchronicity measure, R-square measure or zero return measure. Studies show that stock price synchronicity high in emerging markets comparing to developed markets. Poland, China, Taiwan, Malaysia, Turkey, Columbia and Mexico are among the highest synchronized countries and the reason to their higher synchronicity is poor property right controlling. Ownership concentration, foreign shareholding, audit quality are among the main factors which affected stock price synchronicity. Most of research on this topic are conducted in case of China stock markets due to china is the second higher synchronized country. The finding of reviewed literature indicated that there are negative relationships between ownership concentration, foreign shareholding, audit quality and stock price synchronicity, meaning that low ownership concentration, low foreign ownership and low audit quality resulted in high stock price synchronicity and vice versa. The paper also empirically investigated the association between stock price synchronicity and corporate governance factors such as ownership concentration, foreign shareholding and Percentage of independent directors in the board for 15 companies listed in Borsa Istanbul 30 indexe (BIST 30) covering the period between 2016 and 2019. The finding indicated that only leverage positively associated with stock price synchronicity and foreign ownership, ownership concentration and market to book ratio are negatively associated with stock price synchronicity.

The plot of study is Cheboksary and its suburbans and located on the joint of two landscape zones: a forest zone and a forest-steppe zone. The border between the zones goes along the Volga River, which establishes favourable environment for recreation. There has been observed slope type of areas on the right bank of the Volga River of the Cheboksary and Kuybyshev Reservoir. It has 3º and more incline, with washed-off soil and broadleaved woodland (relict mountainous oak woods), subjected to considerable land-clearing. In the immediate bank zone of the Volga River, where abrasive-soil-slipping and abrasive-talus processes mostly develop, the main types of natural areas have been marked out: 1) Abrasive landslide cliffs at the original slopes of Volga Valley of 60º steepness, more than 15 m high, with permanent watering as a result of underground waters leakage; 2) Abrasive cliffs of terraces above flood-plains of 2 m high; 3) Abrasive cliffs of original slope of the valley of the river Volga of 2 m high, with distinctive abrasive niches in the lower part of the slope or temporary concentration of caving demolishing material. Left coast is lowland plain, the part of taiga landscape zone. Low terraces above flood plain of Volga are formed by sand with loam layers, with sod-podzol sandy and sandy loam soil in combination with marshy soil, with fir-pine forest, with from lichen bogs to sphagnum bog; in lowlands, on old felling plots, on abandoned peat mines deciduous forests with mostly birches and aspens prevail.
