Full textWelfare State is not (anymore) the legal form suitable for responding to the changing needs of a constantly evolving sector called “Third Sector”, that provides activities of general interest, social benefit and solidarity in its broad sense. In 2017, Italy has introduced the Third Sector Reform (d.lgs. 117/2017, cd. “Code of Third Sector” and d.lgs. 112/2017 about social enterprises); however, so far in Italy, the Third Sector was characterized by transitional and sectorial provisions. Thus, the non profit sector was highly inhomogeneous and chaotic concerning the taxation as well. For this reason, concerning the methodology, this research aims to deepen and analyze this world in the latest 20 years in Italy, comparing Italian tax system with others and checking its compatibility with EU principles of non-discrimination, prohibition of State Aid, freedom of establishment and free competition in the EU market. This paper asks whether Italian Tax Reform of the Third Sector really complies with its purpose, that is ensuring that different legal entities that carry out activities of general interest do not enjoy differentiated (de)taxation regimes, exclusively on the basis of the legal form chosen. My research proceeds to a brief historical-cultural excursus on the state of the art of the non profit in Italy, whose keyword is the passage from the Welfare State to the Welfare Society; from the point of view of taxation, “the public interest” is the hard core in order to qualify NPOs and to determine which fiscal regime is applicable. In conclusion, ethically oriented economy can implement both maximization of social welfare and satisfaction of individual needs. In this way, it is possible work for a rational and reasonable evolution towards social economy improving the efficiency of available resources and a better reallocation of the same.

Full textArticle 1381 of the Italian Civil Code provides the jurists with a rule that disciplines only a part of the total effects that arise from the promise of an obligation or act of a third person, thus posing serious problems for the systematic framing of it. The present article finds its origin in the corresponding dispositions of the Code Napoléon and of the 1865 Italian Civil Code. The promise of an obligation or act of a third person, has contractual nature and does not follow any pre defined form . It, is normally a “fragment of legal fact”, in form of a part of a wider contract where the promise is inserted as a single clause, or in form of a contractual link with the a further contract. In those cases the promise is characterized by the absence of an independent contractual cause. The promise of an obligation or act of a third person is normally structured as a contract with mutual obligations; in case of a lack of mutuality it takes the structure of the unilateral contract ex article 1333 of the Italian Civil Code. According to the past theories of jurisprudence and court cases, to the legal nature and the width of the promissor’s obligation, was of to a means’ obligation, since it was considered as a diligent facere aimed to the third party’s acceptance of the obligation or execution of it. According to a different opinion, the promise of an obligation or act of a third person should be intended as a result obligation because the promissor is requested not only to do a diligent effort but also to obtain the promised result, having the possibility to invoke as excusing fact only the intervened impossibility of the performance for a reason not ascribable to him. On the contrary, according to the most recent jurisprudence consider it is possible to split the third party’s promise content in a double obligation: the first one being a facere, consisting in the diligent aiming to assure the third person to adopt the promised action, thus satisfying the promissor’s primary interest; the second obligation being a dare, consisting in the payment of a compensation when, despite the promissor’s efforts, the third party refused to act as requested. The aforesaid analysis points out that if the promissor’s does not carry out his obligation of facere, the promissee could activate the normal default actions such as the contract early termination and the compensation for damages action. Main jurisprudence defines the promissor obligation’s object as a form of warranty that protects the promissee’s interests through a promissor’s goods use in the event of the third would not carry out the promised obligation. The features of the warranty as envisaged by the modern theory is different from the traditional one, according to which the the protection of the promissee’s interests was similar the fidejussione mechanism, because according the modern theory this warranty has not independent feature but is strictly linked to the principal obligation. In this sense the promise warranty is more similar to the insurance contract warranties or to the independent contract warranty (Garantievertrag).
