Abstract:
Project bonds issued in the international capital markets are used as a source of, or to refinance, project capital. Project bonds are securities and therefore subject to regulations requiring adequate disclosure for investors and restrictions on where and to whom the bonds may be marketed. Advantages of project bonds as compared to loans include improved operational flexibility and the potential for improved price, size, and tenor. Relative disadvantages include regulatory and credit rating requirements, consent and intercreditor issues, and the inability to have multiple drawdowns. The chapter describes the Rule 144A and Regulation S exemptions from US registration, their attendant selling restrictions, the due diligence process, and typical project bond documentation, including the offering circular, underwriting agreement, and indenture.

The second edition of this text on project financing continues to provide guidance on the legal and practical issues relevant to international projects. As well as addressing the basic principles which affect the structuring and documentation of project financings, the book also explains structural, legal, and contractual differences between the various sectors such as transportation, telecommunication,infrastructure/public private partnerships, conventional, renewable and nuclear power, mining, and oil and gas, the latter sector focus being new to this edition. The book considers the application of English and New York law in cross-border documentation and legal and practical matters associated with running financing projects in civil law jurisdictions. Different sources of funding are also examined, such as banking and international bond documentation, and Islamic financing practice, in particular the use of Murabaha financing techniques and with additional analysis in this edition of the growing sukuk (Isalmic bond) market. This includes the legal and documentation issues arising from the use of such financing techniques and how they interact with each other from a legal and contractual perspective. The book also provides analysis of project defaults and work-outs giving guidance on how to manage projects when these circumstances arise. The book also contains coverage of dispute resolution in international projects.

Abstract:
The Deshkan Ziibi Conservation Impact Bond (CIB) model was developed in Canada as a novel approach to conservation finance building on components of existing conservation funding models. The CIB model responds to the urgent need for piloting reconciliatory and cross-cultural ways of collaborating with Indigenous communities to diversify investment partnerships and redirect capital to conservation efforts that promote the regeneration of land and reciprocal and respectful relationships in southern Ontario. The CIB is a financial instrument that facilitates cross-cultural collaboration by providing a common goal amongst a diverse set of sectors, partners, and worldviews to promote healthy landscapes and empower relationships between people and ecosystems. By leveraging financial incentives, this model aims to engage partners who may not have otherwise been attracted to conservation efforts. By tying financial returns to impact metrics of holistic landscape health that incorporate Indigenous worldviews and values of nature, this innovative instrument seeks to contribute towards shifting the conservation finance paradigm more broadly by engaging in the ongoing process of decolonizing the financialization of nature.
