Full textIn the late 1980’s and the 1990’s one has been a witness to the biggest wave of merger and acquisitions (M&A) ever. However the results of those deals are often very disappointing. This paradox has shed light on the complexity underlining the M&A process, and has focused attention of managers and organisation researchers on the cultural dimension of post M&A integration. This Ph. D thesis belongs to this research field and is particularly interested in the role of occupational cultures. We use a three steps design to answer this question. We first conceive theoretical tools, in order to analyse the data (First part). These tools will then be used in two case studies, respectively dedicated to the integration of reporting systems and marketing strategies (Second part). At last, we generalise the results. Their epistemological status is also discussed (Third part). We first describe the research field, which this thesis belongs to. That way we show that M&A literature is inconsistent. No consensus emerges about the nature of the link between culture and integration, appealing for a more finely grained analysis. We then suggest a theoretical framework, which shows that a cultural analysis of post M&A integration cannot be conducted without taking into account the strong interleaving between different cultures. Consequently, the rest of the first part consists in conceiving a model of such an interleaving between national, organisational and occupational cultures. Qualitative data have been collected from two different firms: AXA, the French insurance group on the one hand, for its acquisition of Nippon Dantai, a Japanese society, France Télécom, the French telecommunication operator on the other hand, for its acquisition of TPSA (Telekomunikacja Polska SA), a polish company. After that the methodology has been described, we present our analysis in two case studies, respectively dedicated to reporting systems integration and offer policies integration (marketing). Case studies allow us to generate abductive hypothesis about the determinants of integration. Then, we question the theoretical concepts developed in the first part, under the light of our analysis. We introduce the concept of “occupational space” to describe our observations. At last, we show that if there exist some mental representations shared among individuals in such a space, they are not necessary synonymous with convergence in an integration perspective

Full textDespite the number of mergers and acquisitions (M&As), their high failure rate calls to continue research by proposing new reading keys. Many studies argue that M&As require new approaches to understand the organizational complexity and dynamism of these operations, and more specifically concerning post-merger integration (PMI) process. This phase is defined as a crucial one because it determines the success or failure of the merger. Our research provides an analysis of the dynamics inherent in the process, and especially during the PMI. This study is based on an integrative logic, considering the multiplicity of dynamics at work to understand how they engender or hinder the success of PMI. We use these dynamics as a means to capture the complexity inherent in the merger process, and as an opportunity to capture the dynamics of PMI. The concept of paradox allows us to make intelligible these inter-related dynamics within a defined temporal framework. Paradoxes provides a framework to decipher the dynamics inherent in organizations. The paradoxical reading allows a comprehensive analysis of the dynamics at work in the merger process. This leads us to ask the following research question: "How does the management of paradoxes benefits post-merger integration? ". The thesis is based on a qualitative methodology of a longitudinal and real-time case study of a 24-month merger, once the operation has been signed. It emerges from the thesis that the evolutionary nature of paradoxes during the post-merger integration, as well as their multiplicity (categories, actors, levels), allows us to understand how these dynamics interfere in the success of the PMI process
Grau, Nina. "Études structurales des conformations post-fusion des protéines d'enveloppe (E1) des alphavirus de la forêt de Semliki, du Chikungunya et de Sindbis : implications pour le mécanisme de fusion." Electronic Thesis or Diss., Sorbonne Paris Cité, 2017. http://www.theses.fr/2017USPCB141.
Full textBackground: Chikungunya virus (CHIKV), Semliki Forest virus (SFV) and Sindbis virus (SINV) are mosquito-borne alphaviruses. CHIKV has caused important outbreaks of severe disease during the last decade. Alphavirus are enveloped viruses that enter cells via low-pH triggered fusion in the endocytic pathway. The envelope protein E1 is a class II fusion protein and is responsible for driving membrane fusion for entry. The E1 ectodomain is folded into three structured domains (I, II and III), arranged as a rod with domain I at the center and domains II and III at either side. Domain II is elongated and exposes a hydrophobic "fusion loop" at its distal end. The fusion loop inserts into the target membrane, and a subsequent conformational change brings the fusion loop into proximity with the viral-membrane-anchored segment of the protein, via a relocation of the C-terminal domain III and the downstream "stem" segment, which connects to the viral trans-membrane anchor at the C-terminal end. This results in a "hairpin" conformation of the protein that draws the two membranes together for fusion. Methods : We made the recombinant E1 ectodomain using a mutant of the fusion loop, to allow for solubility, and determined the crystal structures under acidic conditions, in their trimeric hairpin conformation. Results : Our work shows that the post-fusion trimers of E1 from the three alphaviruses studied adopt a strikingly different conformation in spite of their high sequence similarity, a change that could not have been predicted by homology modeling from the available structure of E1 from Semliki Forest virus truncated of part of the stem. They show that while the internal trimer core, composed of domain I and the domain II base, is maintained in the same conformation, and domain III flips to the sides of the trimer to form the hairpin in the same way, the downstream "stem" region and the domain II "tip" pack in a different way, resulting in three alternative forms: closed, intermediate, and open, depending on the virus. Conclusion : E1 is a very conserved protein in alphaviruses, and the available structure was believed to be a model for all alphaviruses. Our results highlight the importance of carrying out comparative structural studies, and help explain contradictory results in the use of domain III and the stem region for inhibition of the fusion step with different alphaviruses. These results will have an impact to better understand the conformational change and the role of the "stem" region for membrane fusion, and allow the development of fusion inhibitors in the future
RAVIZZA, Gabriele. "Modal dynamic identification of civil structures via inverse analysis based on Heterogeneous Data Fusion and post-processing." Doctoral thesis, Università degli studi di Bergamo, 2021. http://hdl.handle.net/10446/183099.
Full textThe present Doctoral Thesis belongs to the Scientific-Disciplinary Sector of Mechanics of Solids and Structures (ICAR/08 - Scienza delle Costruzioni), and falls within the broader research field of Structural Health Monitoring (SHM), with specific reference to the civil engineering context. Nowadays, SHM-based approaches and the attached development of consistent numerical modeling, with related model updating, may constitute fundamental tools to pursue the goal of engineering structural safety, preventing possible causes of damage that may even lead to structural failure. In particular, this research work proposes complementary post-processing approaches to address the issue of noise cleaning on dynamic structural response signals typically encountered in structural engineering applications (specifically, acceleration and displacement signals). Two approaches are mainly presented, especially aiming at enhancing displacements response signals, since they are commonly affected by higher levels of noise, also due to the low-cost monitoring instrumentation that may possibly be employed. Heterogeneous Data Fusion (HDF) procedures, which involve a Kalman Filter (KF)-based implementation, are primarily investigated, by integrating data acquired from different types of sensors, so that the resulting information turns out to be characterized by a lower degree of uncertainty. A denoising approach is also inspected, as the process through which a source signal may be reconstructed, starting from a recorded, noise-affected one, by removing its noisy part, without losing the useful information incorporated within it. A HDF procedure and a denoising approach are then combined within an integrated strategy, in an effort to enhance the reliability of the monitoring process, for assessing the health conditions of bridges. Aspiring at providing a comprehensive research framework on these topics, both synthetic response signals and real response signals are considered, as well as signals displaying a different nature (non-stationary vs. stationary). These processed response signals are finally employed toward modal identification purposes, for extracting the modal properties of the monitored structure.

Full textTaking as a starting point the high failure rate of mergers generally attributed to culture shock, reputed to be the source of the human difficulties experienced during post-merger integration processes, this research proposes a model to analyse the underlying psychosocial dynamics. Some examples of approaches employed by firms to manage culture shock and favour integration are examined, with a view to developing some methodological insights to improve the management of integration processes and reduce their human and economic costs. A critical posture is adopted in order to go beyond the predominantly simplistic conception of organisational culture and even of integration itself. This research suggests that organisational culture is complex and fragmented and that the dynamics of the relationship between groups taking part in a merger cannot be attributed to value conflicts or language barriers alone. In addition, the concept of integration is highly ambiguous, particularly where one group takes a dominant position or tries to impose cultural re-engineering on the other. The thesis proposes a model to analyse culture shock based on four dimensions: 1) the acculturation process, 2) the dynamics of relationships between different groups, 3) organisational and individual crisis linked to the experience of the transition, 4) the political manipulation of mergers. The psychosocial mechanisms and processes at work in two merger cases are identified and interpreted. The research explores, in particular, the dynamics associated with the perception of otherness in a “hypermodern” company, and their destructive consequences. Based on principles inspired by the “transitional” approach to change (Winnicott, 1971; Amado & Ambrose, 2001), and in the light of the above-mentioned psychosocial analysis of post-merger culture shock, the thesis highlights the benefits, limitations and conditions of success of some of the approaches used by firms to bring about integration

Full textFew works were specifically centred on the analysis of technological mergers, in order to create a joint innovation i. E. , the creation of a new resource based on the pooling of the specific know-how of the companies. The object of this research is to understand how and why, evolves a process of integration post-merger in the sector of the TIC, in order to create a technological innovation. With this intention, it was selected a qualitative step resting on the study of a single case of a merger. The step suggested highlights two fundamental elements neglected up to now by research listed: the dynamics of the model of integration and the choice of the mode of integration more appropriate to the realization of an innovation. The first underlines the possible passage between various policies of integration during the same operation of merger. The second suggests a process of slow and progressive training, processes permitted by a co-construction of the change. This research contributes a major share compared to the process current, while making it possible to improve the design and piloting of the process of integration meeting an aim of innovation

Full textDifficult to express proteins: a bottleneck for most biologists. I have chosen to use Acanthamoeba polyphaga Mimivirus as my study model. This giant dsDNA virus possesses post-translationally modified proteins, multi-protein structures and enzyme pathways never before seen in a virus, which makes it ideal for refractory studies. The ultimate goal of my thesis was to produce the capsid proteins of Mimivirus. The role of the capsid protein in the assembly of the viral particle, its infectivity, and molecular features are of great importance. To go from gene to protein, I participated in the comprehension of what governs the post-transcriptional termination in Mimivirus and equally participated in the global analysis of the transcriptome during the infectious cycle of Acanthamoeba by Mimivirus. We have shown that the Mimivirus transcripts are systematically polyadenylated in the regions forming a stem-loop secondary structure; even when a canonical poyadenylation signal is absent We concluded that Mimivirus polyadenylation obeys a strict “Hairpin rule”. Moreover, the transcriptomic study revealed three distinct temporal phases: early, intermediate and late. The capsid transcripts are all expressed during the late phase but their expression profiles are not superimposable. The transcriptomic data also revealed the presence of several Mimivirus glycosyltransferases in the late temporal phase, concomitant with the capsid proteins. The expression data gathered throughout my thesis has contributed to the rational design of a protein production experiment to produce the major capsid protein and its three paralogs in eukaryotic systems

Full textAlthough CX steel has gained considerable attentions, a systematic research on the selective laser melted (SLM) CX steel is still lacking. For this reason, this study aims to fill this research gap by focusing on the material design, manufacturing process, microstructural evolution, post-processing methods and material properties of the SLM CX steel. Aiming to explore the effect of SLM process parameters and post-processing methods on the microstructure and properties of the CX steel, a systematic study on the microstructural evolution and material properties of the SLM CX steel was conducted. Under optimal linear density, SLM CX steel samples with good surface roughness and high relative density can be fabricated. In order to further improve the overall performance of the SLM CX steel, a thorough study was carried out on the SLM TiC/CX steel composites under different titanium carbide contents. Nearly full dense SLM 10wt.% TiC/CX steel with favorable surface roughness can be attained. Two types of surface modification methods were applied so as to ameliorate the surface quality of the SLM CX steel. High-performance LC 5wt.% WC/NiCrBSi-WC coatings with ultra-high hardness and exceptional wear resistance were successfully manufactured on the SLM CX steel via LC technology. Additionally, an advanced surface mechanical attrition treatment method was utilized to enhance the surface properties of the SLM CX steel. In short, this work will be useful for further research of the SLM CX steel

Full textThe world of the modern corporation is being transformed by mergers and acquisitions. During the last decade, acquisitions have become essential strengths of the firm strategy, reflecting economical, social and technological changes. The proposed research focuses on a particular acquisition model, called symbiotic acquisition in theoretical literature. The goal of this acquisition is to reach symbiotic goals, i. E to create new resources based upon specific firm qualities. As a matter of fact, the aim of this research is to identify success conditions of symbiotic acquisition in integration approaches. For that purpose, eight proposals - for instance regarding symbols protection, non clarification of goals, lack of mutual concession between parties - have been formulated and tested. Applied to compared case studies, the results of this step of refutation have showed a paradox to be managed by both acquiring and acquired firms. Such contradictory elements have led to a tentative theoretical elaboration focusing on: - the concepts of "osmosis" and "symbiosis" in operations during the process of integration; - the concept of "active minority" in the relationship between the acquired firm and the acquirer. Such research aims at a better understanding of the integration process of this specific acquisition and at a contribution to the explanation of the existence of stabilised hybrid forms rarely studied in the literature about acquisitions

Full textBackground: Multimodal analgesia is widely advocated for the control of perioperative pain in an effort to reduce the use of opioids. Duloxetine is a selective serotonin and noradrenaline reuptake inhibitor with efficacy for chronic pain states. The main objective of this study was to evaluate the efficacy of two oral doses of 60 mg duloxetine in terms of fentanyl submitted to elective lumbar spine arthrodesis surgery. Method: This study was prospective, double blind, randomized, and placebo controlled clinical trial. Patients received duloxetine 60 mg or identical placebo one hour before surgery and 24 hours later. The study subjects were divided into two groups: group C (control) of subjects who received placebo; and group D (duloxetine) from subjects received 60 mg. The total fentanyl consumption by the patient himself at 24 and 48 hours after surgery was measured. Secondary outcomes were pain scores and the presence or absence of adverse effects such as headache, nausea, vomiting, pruritus, dizziness and drowsiness. Results: Demographic characteristics did not differ between groups. There was a significant difference in fentanyl consumption in the first 24 hours between groups C and D (mean difference, 223.11 ± 39.32 ?g; p < 0.001). Fentanyl consumption also differed between groups C and D after 48 hours (mean difference, 179.35 ± 32.55 ?g; p < 0.00). Pain scores in more than 48 hours did not differ significantly between groups. The incidence of side effects was similar in both groups. Conclusion: Duloxetine was associated with reduction of fentanyl consumption in the postoperative period of surgeries on the lumbar spine, therefore, it was effective as adjuvant for postoperative analgesia and reduction of opioid consumption

The diversity of integration types reveals the significance of EMNE country-of-origin effect on their strategic decisions. This effect is investigated through EMNE administrative heritages, precisely their strategic and political imagination which influence their representation of the global geoeconomics context

Full textThis doctoral thesis focuses on two distinct themes: decision-making in situations of risk and economic efficiency. These two questions are treated in an empirical framework using unique databases. The first chapter tests the theoretical models of decision under risk on bets on horseraces to identify the theory that allows the best description of individuals’ choices. This chapter shows that behavioral theories of decision under risk (cumulative prospect theory and rank-dependent utility) are better suited to explain the behavior of bettors observed in the data than the expected utility theory. The second chapter estimates the effect of a merger between two large companies in the urban transport sector in France on their costs. The results show that the merger did not result in efficiency gains for the merging parties. This result can be understood in light of the context in which the merger was conducted, in particular the reasons for the choice of the target, the perception of customers and employees of the merger, the differences in culture between the companies and the operational preparation of the merger. The third chapter examines the impact of greater discretion in tendering procedures on the selection of operators, particularly their productivity. The main result is that the procedure that potentially increases the discretion of public purchasers leads to the selection of less efficient companies than a procedure involving little or no discretion. Further analyzes suggest that the result is due to the effect of greater discretion at the screening stage

The first chapter focuses on a microeconometric analysis of the strategic relationships between a firm awarded a public contract and the public authority responsible for regulating a public service. It exploits data on the French urban public transport industry to study the determinants of regulatory contract choices which in turn impact the cost efficiency of transport operators. The second chapter explores an ex-post assessment of a merger which took place between two major transport groups in France (Veolia Transport and Transdev), focusing on the possible existence of merger efficiency gains. Finally, the third chapter provides insight on the impact of merger when firms compete in quality and reposition their services by analyzing the French hospital industry

Full textThe thesis is a monograph of the integration process following the merger between a private company and a public company. It builds on an ethnographic approach, complemented by a literature review related to internal and external business environment, as well as a participant observation conducted in the HR department of a multinational industrial group's branch over a three-year period (late 2009-2012). The thesis studies the transformations and evaluations of the HR function. It seeks to understand how it faces the organizational dissonance and confusion and how HR professionals manage to keep their role. The survey highlights the transformation process. It shows that it is multiple and unachieved four years after the merger. It follows several contingent, structural, institutional, managerial influences: Europeanization and implementation of an Anglo-Saxon model of human resources management within French subsidiaries, privatization, and many changes of all kinds, economic and financial crises. Measuring devices are varied and unstable, highlighting what counts at any given time. These factors explain much of the confusion felt by HR professionals. Using four theoretical models from the neo-institutional theory and economic sociology, the thesis makes some assumptions about mechanisms implemented by HR professionals to deal with this confusion, to organize and be effective. These mechanisms, such as coordination, individual relations and cooperation, hierarchical power and control involved at several levels in the post-integration period

Full textThe research work presented in this dissertation is on keeping with the statistical integration of post -genomics data of heterogeneous kinds. Gene clustering aims at gathering the genes of a living organism -modeled as a complex system- in meaningful groups according to experimental data to decipher the roi es of the genes acting within biological mechanisms under study. We based our approach on probabilistic graphical models. More specifically, we used Hidden Markov Random Fields (HMRF) that allow us to simultaneously account for gene-individual features thanks to probability distributions and network data that translate our knowledge on existing interactions between these genes through a non-oriented graph. Once the biological issues tackled are set, we describe the model we used as weil as algorithmic strategies to deal with parameter estimation (namely mean field-like approximations). Then we examine two specificities of the data we were faced to: the missing observation problem and the high dimensionality ofthis data. They lead to refinements ofthe model under consideration. Lastly, we present our experiments both on simulated and real Yeast data to assess the gain in using our method. Ln particular, our goal was to stress biologically plausible interpretations of our results

Full textTechnogenia® is a French company, founded in 1979, specialized in hardfacing solutions based on tungsten carbide welding overlays. As part of the thesis, Technogenia® wishes to assess the suitability of using Additive Manufacturing technology to produce wear-resistant parts based on tungsten carbide. The company's primary objective is to use laser-powder bed fusion (L-PBF) technology to produce tungsten carbide-based parts that approach the mechanical characteristics of tungsten carbide-based parts made by conventional processes. The aim of this thesis is to study the feasibility of producing tungsten carbide-based parts, and to characterize the microstructures and mechanical and wear properties of parts produced by Additive Manufacturing. The properties of materials obtained using the L-PBF process will be compared with the known properties of parts produced by conventional processes. Firstly, two tungsten carbide-based powders with metal binders (cemented carbides) are selected for parametric optimization in the L-PBF process. This step is carried out by analyzing the influence of the main process parameters (laser power, scanning speed, scanning strategy, vector deviation, layer thickness, etc.) on the materials. An experimental design is defined in several steps, such as the production of beads, surfaces and cubes, in order to determine the main parameters. Two types of thermal post-treatment are carried out to study the influence on the materials and to eliminate certain structural defects. Microstructural differences between the two binders are analyzed and studied. Numerous phenomena due to the laser process are observed and commented on during sample analysis. Secondly, the samples successfully manufactured are subjected to mechanical and tribological characterization. Various mechanical tests (hardness, toughness, impact strength) are carried out to characterize and compare L-PBF materials with a reference material produced by conventional methods

The study aim is to investigate factors influencing the spondylolisthesis patients’ quality of life post posterior lumbar fusion surgery. The study is a descriptive correlational design. 94 patients with spondylolisthesis after receiving the posterior fusion more than six months were recruited to answer the study questionnaires. Data was collected from October 2009 until April 2010. The study questionnaires include basic information, Epidemiology Research Center, Depression Scale, social support, and SF-36 quality of life scale. Data were analyzed using SPSS 17.0 software. The statistical analyses included descriptive analysis, independent samples t test, ANOVA, Pearson product-moment correlation coefficient and stepwise linear regression. The results showed that the patients’ average physical dimensio of quality of life was 50.68 points (SD = 9.60). The average psychological dimension of quality of life was 51.76 points (SD = 9.37). Results of stepwise linear regression analysis showed that physical disability and depression explained 77% of the variance in the physical dimension of quality of life. Physical disability and depression explained 69% of the variance in the psychological dimension of quality of life. The results showed that physical disability is a major influencing factor for the quality of life of the spondylolisthesis patients post receiving lumbar fusion surgery. Health care professions should provide appropriate health education and rehabilitation for improving patients’ physical performance and be able to early detect mental problems in order to prevent its negative impact on patients’ quality of life.
