Full textOur study seeks to describe how the interactions between CSR and financial performance are affected based on the theory of resource-based view (RBV) and the instrumental view of stakeholder theory while considering CSR as a public good which constitutes a coherent extension of the general interest and which contributes to the maximization of social well-being. We are testing the role of corporate reputation concerning the relationship of CSR to financial performance. Empirically, we use panel data of 7 years (2006-2012) for 324 US companies. CSR is measured according to ESG performance criteria (environmental, social and governance) by the MSCI Extra-Financial Rating Agency. Regarding the financial performance, we use a market measure (Tobin's Q) and an accounting measure (ROE). The results emphasize the existence of a relation that has the shape of a virtuous circle between CSR and financial performance with the market measure of financial performance. As for reputation, the present study shows that it has a significant impact on the relation of CSR to financial performance. The results also emphasize that the significant positive relationship of CSR to financial performance can be found particularly in social performance and governance performance. Our study indicates the governance and environmental performances likewise the performance which can influence the reputation of the company

Full textThe purpose of this thesis is to contribute to the study of the role of State intervention in the Mediterranean countries, and this in the promotion of the responsible approach. This doctoral work provides a general review of the study of the role of environmental factors in the context of sustainable qualified development. It discusses, among other things, changes in the perception of CSR policy in the Mediterranean region. In our study on CSR, we focus our research on both voluntary and obligatory approaches, following institutional constraints, and subject them to comparison. In doing so, we focus in particular on how the CSR concept has been strongly related to the notion of environmental sustainability. The first part of this work presents an exhaustive and critical review of the literature on responsible approaches. In the second part, which is essentially factual, we frame the empirical and institutional foundations of a green growth model. Estimation and validation are presented at the last chapter level. The results highlight the relationship between CSR and governance as regards sustainable growth and sustainable environmental-friendly growth, at the macroeconomic level.The results obtained allow us to confirm that firstly, CSR plays a positive role in order to improve the quality of the environment. Secondly, various approaches overlap and tie together to propose environmental-performance scenarios throughout the Mediterranean.Thirdly, it appears that the restrictive intervention of the state weakens CRE efficiency, added to this the impact on -CSR- of the disparity at the institutional level and between countries of different development level. Finally, according to the results obtained, we believe that the interaction between the will and the duty to carry out responsible actions could in turn constitute/ lead to a perfection in terms of ecological sustainability for Mediterranean-bordering countries

Full textDemand variety and emergence of niche markets, accompanied by engagement of governments and society in sustainable development makes sustainable mass customization a promising strategy. According to which, companies should meet the needs of individuals on a large scale, while ensuring sustainable development. Thisrequires a continuous process of performance evaluation of thecompany to make sure it moves forward to sustainable mass customization. In this thesis, we focused on sustainable mass customizing enterprises’ performance evaluation, more particularly we addressed the question: how can we help sustainablemass customizing enterprises measuring and improving their performance? We have proposed a conceptual model of the sustainable mass customizing enterprise (SMC-E) where we grouped enterprise objects impacting enterprise performance. Such a model provided the basis for building a simulation model aimed at evaluating different improvement scenarios of the performance by using indicators. Improvement scenarios are identified with the help of an influence diagram which tracks the causal links between performance inductors and indicators. These latter are chosen and prioritized using a three steps method based on interviews. We have proposed a general methodology to put together coherently all the proposed tools and methods and developed a demonstrator as a first implementation effort. The proposition is illustrated with a case study inthe kitchen furniture sector that showed its usefulness and pointed out several improvement rooms

Full textThe thesis reveals the links between corporate social responsibility (CSR) and organizational knowledge, opting resolutely for a strategic perspective. Taking the model of social performance as a starting point, the research examines how theories of organizational learning and knowledge renew the strategic approach to CSR, hitherto focused on finding either a direct link between social performance and financial performance, or an indirect one between social performance, reputation and financial performance. The question of how knowledge is created during the processing of social demands, and what role it plays on business performance is the backbone of the study. The flavor and fragrance industry (F&F) deals routinely with issues of social performance. This qualitative study was conducted in six leading F&F companies, three of which are major cases. In this industry, where the core business is the design and manufacturing of fragrances and flavors, regulation is strict and customer requirements regarding product safety, process security and protection of the natural environment are high. This industry is a promising field of investigation for this research question. This exploratory study unveils numerous mechanisms of knowledge creation related to social responsibility, which emerge out of behavioral changes due to intense internal and external cooperation, and tacit and explicit knowledge transfers. The created knowledge increases individual skills, the collective expertise of the firm, and the organizational capacity for innovation and risk control. As a result, the organization develops its competitive advantage, provided that it manages the acquired knowledge to build inimitable dynamic capabilities

The government, the media and NGOs are now carrying this concept, which generates multiple pressures on the company to modify its behavior. The company must become more accountable. But beyond words, what does it do? Does it adapt its structures, its information system or its culture in terms of constraints? Are there different types of control systems? If so, why they occur and what are their impacts on corporate performances? To answer these questions, we will build a contingency model and we will offer a typology of corporate social responsibility control systems. Full textChina has experienced over the last twenty years unprecedented political and economic changes in which state-owned enterprises (SOEs) have played a major role.The purpose of the research focusses on proposing a model capable of improving the understanding of the performance of SOEs. The issue is then to identify the characteristics and the needs of SOEs in order to proposed a model adapted to them.For that purpose we have studied the political, economic and legal changes which have affected SOEs as well as the introduction of Western management concepts and models through the Chinese literature. Then we have outlined the factors of performance through the literature, governmental official reports thanks to a study of content and a quantitative survey thanks to questionnaires using factorial analysis.This has led to specifications, the basis of our proposal of a sustainable strategic dashboard founded on the stakeholder model and capable of integrating the notions of sustainable development, corporate social responsibility and territorial planning

Full textAt present, due to the rapid growth in the demand for transparency in corporate reporting, sustainability reporting (CSR reports) is becoming increasingly frequent and an important topic of modern corporate research theory. French law currently obliges companies to include information on environmental and social concerns in their annual activity reports.The objective of this thesis is to study the impact of the disclosure of CSR of CAC 40 listed companies on the Paris Stock Exchange (Euronext), on the corporate financial performance. In order to this, a statement on corporate social responsibility and social reporting is first presented using the content analysis method based on the Sustainability Reporting Guidelines (GRI-G3.1). Then, financial performance is measured by accounting measures (ROA) and market measures (TBQ) obtained from the Datastream database. These quantitative data were used in a panel data regression model to test the impact of social reporting on the return on assets (ROA) and market value such as Tobin's Q (TBQ) over a period of 4 years, from 2011 to 2014.The results of the study show that the trend in corporate social responsibility increased throughout the period, particularly regarding the disclosure of employment practices and the environment, which are the two most widely disclosed elements. The results of the empirical analysis indicate that this mixed relationship between CSR disclosure and financial performance exists for all companies whether industrial or non-industrial. This work contributes to the literature on CSR by elucidating the temporal impact of the disclosure of environmental and social information on corporate value

Meanwhile, the emergence of the concept of corporate social responsibility encourages companies to contribute to sustainable development goals. Thus, corporate social responsibility (CSR) approaches are implemented by a growing number of companies, including retailers, to integrate these issues into their business model.But how to evaluate the relevance of the actions against retailers' CSR issues? How to assess their contribution to companies' CSR goals? How to assess the multiple potential positive and negative effects of actions that are initially proposed to reduce one specific environmental impact? How to account for the multitude of stakeholders and issues, sometimes difficult to quantify, subject to uncertainty and changing over time? Despite the numerous existing methods, they do not adequately enable the identification and the assessment of these issues.Conducted within the Environment Department of a multinational retailer, this work tries to overcome these limitations by providing a methodological approach for a prior assessment of social and environmental impacts of actions both qualitatively and quantitatively on the basis of issues listed in the ISO 26000 standard. Full textThis thesis is composed of three chapters that examine corporate social responsibility (CSR) within firms in controversial sectors. In the first chapter, we evaluate patterns of investment in CSR for 565 US publicly traded companies in eight controversial sectors between 1991 and 2013 by assessing the relationship between CSR and Corporate Social Irresponsibility (CSI). We show that firms in controversial sectors compensate for their CSI by engaging in strategic CSR areas such as environmental protection and community development with a lack of engagement towards other areas, such as corporate governance. In the second chapter, we determine whether engagement in specific CSR activities for 499 US companies in controversial sectors decreases their financial risk. We show that engaging in specific CSR activities considered as strategic reduces idiosyncratic and total risk for some controversial industries; and that poor engagement in corporate governance activities increases firm risk. In the third chapter, we investigate CSR reporting as an important mechanism for stakeholder accountability in the context of an environmental crisis. We perform a case study analysis of the CSR strategies used by the Canadian oil company Enbridge in its response to the July 2010 Kalamazoo spill and revealed that Enbridge's CSR reports were frequently optimistic and failed to describe the company's inability to deal with known safety problems that led to spill; and underestimated both the volume of the spill and the difficulty of the cleanup, thus making it difficult to distinguish the effects of the CSR efforts from the effects of other contextual and external factors

Full textCorporate Social Responsibility (CSR) is defined by the European Commission (2011) as "the responsibility of companies for the effects they have on society". It is part of the approaches initiated voluntarily by the latter (driven by moral considerations or the ambition to improve their financial performance) but can also concern more constrained commitments, in response to external pressure (legal or from their stakeholders). Identifying and understanding the mechanisms that drive CSR investments are key issues to be able to promote and develop responsible behavior. This thesis, which is part of the RESET (Responsabilité Environnementale et Sociale des Entreprises du Territoire néo-aquitain) project funded by the Nouvelle-Aquitaine Region, proposes to study the determinants of CSR. The first part of the study aims to understand and evaluate the impact of companies' motivations on the intensity of their involvement in socially responsible practices, based on data collected directly from companies in Nouvelle-Aquitaine. The first chapter focuses on the measurement of corporate social performance and presents the methodological difficulties induced by the construction of a multidimensional indicator. A second chapter is devoted to studying the influence of different motivations to practice CSR on the extra-financial performance indicator we have constructed. The results indicate that altruistic behaviors, driven by moral considerations and which lead companies to sacrifice profits in the interest of society, are those that correspond to the highest level of involvement in CSR. The second part of this thesis questions the coherence of companies' actions by studying more specifically the compensation of irresponsible actions. The first chapter examines the relationship between the level of information on environmental, social and governance practices communicated on the websites of companies in the Nouvelle-Aquitaine region and the litigation to which they have been subjected. The results indicate that companies that have been at the origin of irresponsible actions have higher levels of communication. To complete this analysis, a final chapter examines the temporality between good and bad news. The objective is to determine whether companies engage in CSR to compensate for past bad actions, through a repair mechanism, or to mitigate the consequences of future irresponsibility, through a prevention mechanism. The results indicate that both mechanisms can exist simultaneously. The conclusions of this doctoral research are intended to provide recommendations that could help encourage socially responsible behavior in the territory of Nouvelle-Aquitaine in particular

Full textThis thesis deals with an evaluation framework and support of sustainable development projects in companies. First, a literature review on concepts, standards and tools related to sustainable development and Corporate Social Responsibility has been conducted. In this sense, the insufficiency of taking into account of stakeholders’ points of view in such a process has been highlighted. Moreover, the integration of sustainable development and methodological tools in project management represents a strategic imperative. Therefore, the implementation of an integration strategy of sustainable development in project management is necessary. Firstly, we have proposed a characterization model for overall performance, integrating the economic, environmental and social performances in corporate management. Secondly, we have associated a generic approach with this model in order to propose a methodology and complete support for decision-making throughout the project. Such an approach is based on the project life cycle which helps decision makers in their strategic orientations. Finally, the methodology is supported by an « informatics tool » which makes its integration simplified and allows better decision-makings

Full textThis doctoral thesis in management sciences questions the impacts of collaborations between companies and the non-governmental sphere. It takes into consideration the extent to which the NGOs contribute to the overall performance of firms through their social responsibility.The state-of-the-art of the key words with regards to our topic has highlighted a threefold expansion within companies: first, an openness of their governance which translates into the introduction of new stakeholders in the core of the society; secondly, a deepening of performance that is no longer observed solely from an economic and financial perspective but also from its social and environmental aspects; and finally, the development of performance measurement tools. As a matter of fact, economic reporting is now complemented by sustainable development reports. This expansion of measurement tools is sometimes characterized as an integrated reporting that systematizes the link between the financial and the extra-financial.The challenges of this qualitative research with an exploratory aim are threefold: firstly, it addresses understanding the involvement of the actors by characterizing their posture within partnerships but also by shedding light on their motivations to collaborate. Secondly, it is necessary to determine the modalities of the partnerships that exist between the firms and the NGOs, specifying the notion of "dialogue" and the characteristics of strategic partnerships. Finally, this research addresses measuring the contribution of NGOs to the overall performance by analyzing its impacts under the prism of a four-axial performance and more specifically using the methodology of Integrated Reporting.Our research has been materialized through a documentary and a statistical study of 301 companies and NGOs that revolved around their socio-economic sphere. Based on this sample, we further conducted 44 semi-structured interviews with companies and NGOs and completed our research with a case study on the strategic partnership between Michelin and WWF. In this case study we have on one hand interviewed internal stakeholders, such as those in charge of cooperation, and on the other hand, external stakeholders, such as the Deputy Managing Director of the International Integrated Reporting Council (IIRC) ) and the General Manager of the Union of Professionals for Tires (Syndicat des Professionnels du Pneu - SPP)

Full textThe Subject of this thesis is to analyze the determiners of the community involvement of a company (RSE) in an emerging country such as Morocco. The purpose of the present research is to analyze this relation empirically. In fact, the new international economic environment characterized by deep changes, particularly, economic and financial globalization as well as the important regulatory and technological modifications that are taking place nowadays tend to give the priority to other strategic orientations relating to the prospects of sustainable development, and clarifying the societal commitment in managerial practices. The main goal of any company is to ensure its sustainability to the benefit of its customers, its shareholders and its collaborators. A company can become a committed social actor and not simply content itself with being an economic agent generating wealth. It can also get involved and adhere to better positioning itself with regard to the sustainable development which requires the production and sale within the best economic conditions while keeping a good image, namely, its ethical behavior, and by guaranteeing that its products are socially humanly and ecologically correct. Thus it can reconcile the safeguarding of the environment, social equity and the financial and economic requirements. Therefore, two parts were devoted to elucidating the various questions raised in this respect: The first part presents a review of the theoretical and conceptual approaches of the social responsibility of a company and its overall Performance and the potential links between these two components. The general context of the study is the openness of Moroccan’s borders to European’s products in 2012, and the signature of the “Advanced statute” with European Union (EU) in 2008. In consequence of this, Moroccans firms will have to compete with European firms, which will impact their competitiveness, profitability and efficiency. The investment climate (IC) can therefore play an important role. In addition to that, Moroccanfirms will have to comply with European norms in terms of sustainable development and corporate social responsibility (CSR). In the first part of our study, we aim to identify the determining factors of the IC that impact the economic and financial performance of Moroccan firm. The results show that the taxation (in term of conformity) has a positive impact on performance while the fiscal’s iniquity has a negative effect. In addition, the disloyal informal sector competition has a negative impact on firms’ performance. The regulatory environment plays a role in a sense that firm’s performance is negatively associated with firm’s activity constraints, but positively related to firm’s export administrative constraints. Our results show also non significant link with the financing. In the second part, we measure the social and environmental engagement of Moroccan’s firms based on a measure of corporate social performance (CSP) created from perceptual data. We verified then the potential link existing between this CSP measure and the financialperformance. The results show that no consensus toward a theory is emerging: the stakeholder’s theory is validated for the social dimension (relation with employees) of CSP while the “classic” theory is validated for the other dimensions (environment, etc.). At last, the social commitment of Moroccan’s firms toward their employees seems to be an important dimension of the CSR, while the other dimensions are not

Full textMergers and acquisitions are a popular topic that has been always a subject undergoing intense study. Although the literature on US mergers is very rich, but no prior research has focused on post M&A performance of US firms in the technology sector one of the leading sectors in the country’s economy, in USA domestically and cross-border with an international approach covering 9 target countries from both developed and emerging markets and using 3 methods. First, through an event study analysis, we find that US M&A show the highest positive results in Australia whereas the worst negative results are in China. Second, based on accounting measures and using 11 financial ratios we find that US M&A have an absolute positive impact on Earnings per share following the mergers. The rest of the variables show an overall positive performance for US acquiring firms (20 significant positive observations versus 13 significant negative observations). Third, based on a regression of 11 CSR components on 9 financial ratios, we found that only Resource use has an absolute negative impact over financial performance and that all the other components of CSR show a dominance in having positive impacts over the financial ratios of US acquiring firms in the technology sector (54 positive observations compared to 21 observations). The thesis will serve as a reference for American companies interested in acquiring companies in the technology sector who want to determine their chances of success or failure based on the target country, on their CSR participation and on the components of CSR on which they are most focused on

Full textProduct market competition is considered, in corporate finance, as a governance mechanism. It indeed theoretically reduces managerial opportunism at the expense of shareholders. How is this phenomenon actually reflected in reality and what are the concrete consequences at the firm level? This thesis proposes an investigation of this transversal question through three studies. The first chapter reviews existing measures of competitive intensity, identifies their limitations and proposes an alternative method based on financial returns. The second chapter studies the effect of competition on mergers and acquisitions. The third chapter examines the impact of competitive pressure on corporate social and environmental initiatives. The empirical results suggest that -1- intense competition between two firms leads to negative correlations of their stock returns, -2- mergers and acquisitions are more efficiency-driven when competition becomes more intense, and -3- socially responsible initiatives are more strategic under competitive pressure. These conclusions support the theoretical argument that competition exerts a pressure on managers to make efficient decisions, and more specifically to act in the best interest of shareholders. Nevertheless, the third chapter of the thesis raises that intense competition is not statistically associated with better social performance towards the environment and society at large (peripheral stakeholders)

Full textThis work deals with the logic of action enabling Corporate Social Responsibility (CSR) to integrate the SMEs. Today’s society is evolving because of increasing social inequalities and the growing need for the reduction of negative influences of human activity on natural environment. At the heart of these social problems, there are the corporations, which are more and more obliged to integrate sustainable development matters in the way they operate. Since the SMEs represent a consequent part of the economic fabric, it is essential for them to appropriate CSR and assimilate it in their operating methods. However, SMEs operate in a particular way, notably because they are limited in terms of resource and because they have a strong proximity with their stakeholders, which they have to sustain. Nonetheless, just like big corporations, they want to improve performance through strategic choices. In that respect, we question ourselves on how CSR is integrated in SMEs through the implementation of sustainable practices as well as the induced performance. Literature gives two logic of action enabling the integration of CSR in corporations: sustainable entrepreneurial logic and sustainable managerial logic. Research in SMEs presents the sustainable entrepreneurial logic as a preferred method for the inclusion of these matters. Starting from these first elements, we elaborate a conceptual model that allows us to evaluate the importance of entrepreneurial initiative and sustainable entrepreneurial logic in the implementation of sustainable activity in the SME. This model also aims at clarifying the stakeholders’ role in the CSR procedure in SMEs as well as the impact on performance. Before we test this model, starting from an exploratory qualitative study and literature, we develop a measurement indicator of sustainable entrepreneurial logic. The conceptual model is then tested through the structural equation on a sample of 402 French SMEs. This data was gathered thanks to a questionnaire survey. We then highlight the importance of sustainable entrepreneurial logic in the implementation of CSR in SMEs, as a way of seizing opportunities, innovating or creating social and economic value. However, the study doesn’t show any of the positive effects that CSR has on performance, nor the influence of stakeholders on this relation

Full textThis thesis presents an individual level investigation of, on one side, the link between independent directors and corporate social performance (CSP) and, on the other, the association of institutional investors to, again, CSP. The real power and the genuine impact of directors on the performance of the firm have always been subject to a lot of discussion. This is even truer with independent directors. To give insight into this fundamental question, I look at a non-financial performance metric: the CSP. I investigate whether there is an individual a priori regarding CSP issues by independent directors. I use directors’ data for US firms in the 1999–2014 period as well as CSP scores (global, environmental and social). By using a two-way fixed effect for both firms and directors, I discover that there is an association between individual independent directors and the environmental dimension of CSP. However, I uncover the fact that this association is considerably weaker than the relation between inside directors and CSP. In a second set of tests, I link individual attributes to the independent directors fixed effects obtained before. In this second regression, I uncover the fact that observable characteristics of independent directors account for a very small part of the association of individuals to CSP. It underlines the fact that using observable characteristics, as it is often done in the literature, might not be sufficient to uncover the fundamental association between individuals and a given performance metric. However, the method used here accounts for both observable and unobservable characteristics of independent directors. I also investigate the behaviours of institutional investors when it comes to attain a specific CSP from the firms they are invested in or plan to invest in. As an investor-level ownership measure, I compute the proportion invested in a firm over the total declared assets of an institutional investor. By computing individual institutional investor effects (similar to fixed effects), I first test whether institutional investors care about CSP, which some do. I then test the two basic hypotheses proposed by Hirschman (1970) when it comes to institutional investors' ability to obtain a given level of non-financial performance: (1) they can either sell or buy shares (the feet approach) or (2) they can try to influence the executives by having (in)formal discussions (the voice approach). I estimate my individual effect in two ways: observing the shareholding variable prior or after collecting the CSP score of a firm. I find out that institutional investors as a group adopt both approaches. Nevertheless, a fair portion of them seems to choose only one (often the feet approach) according to their need in CSP.

Full textCorporate Social Performance (CSP) is part of an approach principles-process-results based on Stakeholder Theory. Its operationalization refers to difficulties particularly due to the concept of Sustainable Development: complex socio-technical issues, incompatible concerns (social, environmental and economic) ... To these difficulties, are added those of an stakeholder approach: identification, intra/inter-category conflicts, relationship dynamics, ... Accordingly, it is to coordinate the stakeholders to avoid conflicts. This engages the question of collective action on CSP operationalization. This "CIFRE-thesis" is particularly interested in the conditions for the emergence and sustainability of such action; these conditions emanating from the consultation of stakeholders and fundamentally the exceeding (compromise) of their conflicts. The tools offered by the theories of collective action is mobilized to overcome the difficulties in the CSP operationalization ; approaches in terms of "Economies de la Grandeur" to capture the conflicts and compromises; the theory of negotiated order to better identify the stakeholders moving between conflicts and coalitions, then enrolling in a dynamic. In the sector of real estate development, there is a deep crisis of confidence and - for collective action – rules are needed. Especially, the conflict based on value and its creation is deep; and the "écolo-marchand" compromise resulting is controversial. If collective action is therefore required "common", it cannot be an "action à plusieurs" and remains an "action ensemble"

Full textSocial responsibility standards voluntarily set by a company create obligations both in respect of their issuers and their receptors. Law operates a double movement of legalization (they shall become binding for employees) and control (this binding nature is to exist only if it satisfies the justification and proportionality criteria) to standards that create new constraints for employees. The employer may, espacially by means of a code of conduct, restrict the exercise of freedom of its employees provided that such limitation is justified by the interest of the company and proportionate to the aim pursued. In addition, under the influence of a renovated corporate governance, social interest is now open to the interests of stakeholders. This changes the responsibilities of executives and forces them to set up and report on their corporate social responsibility policies. Once acquired the idea that a company has to integrate social responsibility into its business, the question of the legal nature of the measures implemented comes into play. One may distinguish on the one hand unilateral initiatives of the company, usually by means of a code of conduct and, on the other hand, concerted initiatives taking the form of international framework agreements. Both of these CSR instruments are relatively foreign to lawyers. After comparing codes of conduct and unilateral commitments, I attempted to legally qualify international framework agreements through a contractual perspective. From these analyzes, it appears that commitments entered into by a company, whether unilaterally or adopted after consultation, generate binding obligations. Standards of corporate social responsibility are subject to a process of legalization and individuals can now usefully use them as part of a trial to assert their claims

Full textThis dissertation intends to explore commitment as a dimension of markets through the case of Corporate Social Responsability (CSR). CSR refers to the social and environmental initatives of firm that go beyond those enforced by the law. Based on a qualitative investigation in five french firms and on the analysis of CSR reports of the 40 main listed French companies, we will question CSR through the lens of the notion of commitment. First, we will analyse the first step of CSR practises. We will hence look at the processes of hitching up and weaving which are put to work when firms launch their CSR politicies. We will also insist on the tools and organization that companies adopt in order to accomplish CSR objectives. Then, in a second part, we focus on the militant character of CSR. We show the manysided ambiguity of CSR: underlining that CSR is playing with law and doesn't always go beyond, that there are many “Godsend effects” when companies undertake to CSR. Finally, we question the consequences of CSR on firms' environment. We propose more particularly a sociolgy of stakeholders in order to understand the social reality of this managerial theory

Full textThis thesis consists of three empirical essays (Chapter 2, chapter 3 and chapter 4, respectively) examining the impact of Corporate Social Responsibility (CSR) on market efficiency. We aim to contribute to the growing literature on the financial implications of CSR by exploring the subject through the role of CSR in shaping market efficiency. In order to explain this relationship, we first examine whether CSR impacts stock mispricing. Then, we focus on the two main sources of mispricing suggested by behavioral finance: investor sentiment which creates mispricing and limits to arbitrage which prevent arbitrageurs from exploiting mispricing opportunities (Jacobs, 2015). In chapter 2, we study the relationship between CSR and stock mispricing. Our findings are consistent with studies supporting the complex relationship between CSR and firm value (Servaes and Tamayo, 2013; Surroca et al., 2010) suggesting that CSR in not systematically related to firms’ fundamentals but seems to be associated with social and institutional dynamics unrelated to fundamentals. CSR information seems to be hard to understand and interpret objectively and not all information about CSR actions is equal in terms of value-relevance. Furthermore, the results show that CSR increases mispricing less in periods of crisis. We support, therefore, the prospect theory (Tversky and Kahneman, 1979) suggesting that in periods of negative shocks, “noise” traders limit their trading positions which decreases the likelihood of exploiting “noise” speculative trading. Investors are seeking an insurance or protection against their exposure to many dramatic and unexpected news in periods of high pessimistic sentiment. We support the findings of Lins et al. (2017) by confirming that CSR represents an insurance-like mechanism in time of crisis. In chapter 3, we investigate the impact of CSR on the first source of mispricing: investor sentiment. We find that CSR enhances mood effects and other “irrational” factors affecting the decision-making process of investors, in line with the socio-psychological theory (Orlitzky, 2013). The complexity of the CSR concept and its ambivalent impact on firm value and information asymmetry creates “noise” in financial markets which in turn leads to investor irrationality. The results in time of crisis show a significant and negative relationship between CSR and investor sentiment, which is in line with our previous results and with the empirical evidence of Lins et al. (2017). The relationship between CSR and investor sentiment seems to be more complex than we expected. When “all is well”, investors see CSR as an unnecessary drag to firms’ performance. However, when “things turn bad” they see CSR as an “insurance-like” protection (Godfrey, 2005). Finally, in chapter 4 we examine the impact of CSR on the second source of mispricing: limits to arbitrage. Our results support the shareholder theory (Friedman, 1970) suggesting that CSR is positively related to limits to arbitrage related to information uncertainty since it is a value destroying activity that generates additional costs and increases the volatility of future cash-flows. We also find that CSR may dampen limits to arbitrage related to transactions costs through its negative impact on market liquidity, supporting the agency perspective (Jensen and Meckling, 1976). Our results are also consistent with the overinvestment hypothesis (Barnea and Rubin, 2010) suggesting that CSR and firm idiosyncratic risk are positively related due to managerial entrenchment. Socially responsible firms exhibit a higher degree of limits to arbitrage, therefore making arbitrage more risky and costly. Overall, our results suggest that CSR performance is a significant determinant of market efficiency

These economic exchanges result in the establishment of commercial relationships, from which may emerge structures that are often complex and difficult to grapple with under the law: transnational corporations. While no satisfactory legal framework has yet been established to frame their work, paradoxically CSR gives rise to standards, tools and instruments to ensure their accountability. The study of the social responsibility of transnational corporations through the prism of the law actually reveals the emergence of a hybrid framework of regulation: CSR standards influence the law, forcing the law in turn to take note of these standards. This exchange allows us to handle a transnational business through a new approach derived from CSR standards, essentially through its organisation and functions. The relationship between a company and its business partners then becomes a potential basis for the law, rather than its status or its legal structure, from which can be derived responsibilities. Once a transnational corporation is seized, a legal framework adapted to its complex structure can come to light. The study of CSR standards reveals an enrichment of the rules applicable to transnational corporations and a potential strengthening of their legal liability, based on a preventive and joint and several approach of the law of responsibility. Ignoring the problems posed by the lack of legal status, CSR allows for the regulation of transnational enterprises through their commercial relations and provides a basis for the development of a new legal standard of social conduct, giving rise to individual and collective liability based on a duty of care

Full textThe contribution of the mining industry to the sustainable development of African States is a key issue of the mining codes new strategy of reform. Indeed, African states are looking for a new model of regulation of the mining sector that serves their interests. Although mining investments contributed significantly to the economic growth of many African States, they did not give impetus to their sustainable development. Faced with a mining regulation system considered mostly profitable for mining companies and unprofitable for the States, the need to reform the mining regulation system became a priority and gave birth to a new reform movement of the African mining codes. In addition to economic interests, ancillary interests such as the rights of local communities, the protection of the environment and human rights are at the heart of the current reform movement and seem to find remedy in the corporate social responsibility provisions of the mining codes of the new generation. The present thesis exploits both the contours, the content, and the legal effects of these provisions. It examines whether they are truly binding on mining companies and lead to an effective inclusion of sustainable development objectives in the African mining industry. With regard to the regulatory issues of transnational companies and considering the various points of weaknesses in the social responsibility regimes of the companies studied, this thesis proposes the international law as a tool to reinforce the internal systems of regulation in place. The internationalisation of African mining codes, the constant influence of international soft law on corporate social responsibility, and the possible advent of a transnational system of hard law regulation relating to corporate social responsibility, lead us to export the issue at the heart of the present thesis beyond the national borders of African States

Full textAs we are experiencing a major biological crisis, institutional actors and NGOs are calling on businesses to engage efforts aiming at halting biodiversity loss. The objective of the thesis is to analyze and evaluate the potential contribution of corporate social responsibility (CSR) to biodiversity conservation.A framework is developed to analyze to which extent a company takes in charge its ecological responsibilities. After characterizing CSR initiatives based on the case study of business commitments to contribute to the French National Biodiversity Strategy, a method is proposed to test whether business activities exert unsustainable pressures on ecosystems. It is assumed that compatibility with ecosystems’ carrying capacities is a prerequisite for effective biodiversity conservation. This method, adapted from the “absolute environmental sustainability assessment” (AESA) approach, is applied in the context of research-intervention projects to the food portfolio of the mass-market retailer Groupe Casino and to the life cycle of two facilities of SARP Industrie specialized in the disposal and storage of hazardous waste. The comparison of the company’s environmental footprints with the ecological constraints is used to draw a comprehensive strategy based on the mitigation hierarchy. As our results highlight the opportunity to strengthen the management of extended pressures through CSR, possible implications for sectors and public policies are discussed

Full textThis study analyses the conditions and circumstances that explain the absorption and development of the global concept of CSR in Israel. It examines the Glocalization process of the formation of a CSR field, by analyzing the case study of the Maala Organization, launched in 1998, as a social-business initiative, aimed at promoting CSR.The sociological study combines an explanatory structure with historical and documentary analysis of data relating to the Israeli market, as well as a retrospective evaluation of the subjective reality of the participating researcher.In analyzing the local field, the study presents an identity between the field and the Maala organization as its creator. The glocal institution determined the field’s entry gates, its values, symbols and language and served as a liaison to the global field. In relating to the built-in dissonances in the Israeli existence, the research presents the CSR concept as a bridging mechanism in the transition to a neoliberal system.The study reflects the multidimensionality of the CSR glocalization process. It presents the role of individual entrepreneurs and their networks in propelling the process. It points out the strategic importance the Israeli field possessed in the global field, as a model for responsible business conduct in a small emerging market. In contrast to the prevailing assumption, that regards globalization as blurring cultures and national values, the research deduces that in the Israeli case, the globalization process of the CSR idea and its integration, have spurred and strengthened national core values and provided expression channels for the patriotism of the Israeli business community

Full textThis thesis deals with the construction of Western companies’ responsibility regarding working conditions in the factories of their Southern suppliers. Since the 1990’s, new activist movements have emerged, calling on companies to ensure decent working conditions for the workers who produce the goods they sell. The first part of the dissertation focuses on the « demand for virtue ». First we analyse, from an historical perspective, the bases of companies’ responsibility for the well-being of their suppliers’ employees. Then, we examine how a French activist network organized the denunciation and sanction of firms. The second part dwells upon the main answer of companies to criticism, namely the implementation of social audits. This part is based on a case study of an initiative launched by European companies. We investigate the instrumentation of auditing, the practices of auditors, and how they are criticized by activist organizations. We intend to shed light on the moral values that underlie the technical choices made by actors involved in social audits. As an epilogue, the last chapter introduces the project of an Iso 26000 standard. This new arena has initially been conceived as an end to the dialectic movement of criticism and counter-criticism. At the crossroads of moral sociology, of economic sociology, of social movements studies and of the analysis of management tools, this thesis describes the first steps of a process that may lead to the development of a new mode of regulation of the working conditions in international trade exchanges

Full textThe study of the development of ESG performance in Lebanese SMEs proves its importance in the fact that these companies are looking for sustainable solutions to deal with the different political crises and their significant repercussions on the country’s economy. Our research is committed to highlight via a qualitative exploratory study of four Lebanese SMEs if these companies are aware of the ESG performance criteria, underline the role of managers, stakeholders, and the adoption of ESG standards in promoting responsible practices. Lebanese SMEs are often neophytes’ grounds for CSR. Their main challenges include improving their economic and financial performance and especially their survival. The ESG commitment of Lebanese SMEs is mainly justified by the manager’s beliefs and values, the improvement of economic and financial performance and sometimes by the adoption of ESG standards. There are many brakes especially the lack of financial resources mainly due to economic and political crisis

Full textThis Master’s thesis in Industrial Relations offers a reflection on societal human resource management (HRM) and sustainable development. It asks the following questions: “how are HRM practices, implemented by three French small businesses, shaped by sustainable development? And how can these practices contribute, in turn, to societal well-being?” This empirical study uses the theory of pragmatist institutionalism by John R. Commons and the concepts of trans-action and futurity. It is a multiple case study based on three French small businesses in the agricultural-food industry which offers an attempt to operationalize Commons’ theory. This research demonstrates that the HRM practices of these businesses were shaped by sustainable development through the will of the entrepreneurs committed as citizens and led by their personal convictions; as well as the will of other regional actors forged by the institution of sustainable development and by their desire for a social commitment. This research also demonstrates that it is possible to envision “responsible” HRM practices as a contribution to a better use of resources and societal well-being. What comes out of this study is a circularity in its results. It is therefore possible to consider the role played by the institution of sustainable development on HRM, but also the role played by HRM on sustainable development. This allows us to understand that HRM is not stranded or separated from the outside world inside its business, but rather exists in interaction with its institutional context. It is as much a subject as an actor of sustainable development. This allows us to envision HRM as a true force for change.
