La stabilité de notre climat est un bien public mondial dont les bénéfices dépassent largement le coût. Le problème du « passager clandestin » signifie ici qu'un climat stable est menacé par trois tragédies : celle des communs, celle de l'horizon et celle du passage d'un sentiment moral à un sentiment de marché. La préservation d'un climat stable nécessite une coordination entre les États-nations qui possèdent des intérêts, des ressources financières et des capacités différents. Cette coordination commence à se mettre en place dans le cadre du processus des Nations unies sur le changement climatique. En créant un consensus aux niveaux mondial et national sur la nécessité de préserver notre climat, le dynamisme du secteur privé est maintenant libéré. Lorsque la société fixe un objectif clair, il devient rentable de faire partie de la solution et coûteux de continuer à faire partie du problème. La transformation du secteur financier amplifiera et accélérera l'action publique en faveur du climat. La planification de la transition par tous les acteurs est essentielle. Dans le cadre de la dynamisation du marché financier des pays en voie de développement et le passage de l’économie d’endettement à la finance directe. La cotation de nouvelles sociétés en bourse contribue à l’accroissement de la capitalisation, révèle la transparence des entreprises, renforce leurs fonds propres et permet le financement direct des firmes. L’ouverture du capital au public par un ou plusieurs actionnaires augmente la part de financement de l’économie par le marché financier, permet de profiter des avantages de la cotation en bourse et leur offre une opportunité d’une plus value sur actions nette d’impôts (En Tunisie la plus value sur actions dégagée par les personnes physiques lors de la première cotation n’est pas imposable. Elle doit être seulement déclarée). L’appétit d’accroitre la plus value sur actions peut l’emporter sur les avantages intrinsèques de la cotation. Une surévaluation de l’action peut être constatée et peut nuire à l’avenir de l’action sur le parquet. L’objectif de l’article est de saisir une éventuelle surévaluation de l’action lors d’une introduction en bourse d’une société de droit tunisien, détenue en majorité par des personnes physiques de la même famille. Ces derniers ont cédé 10% du capita, à travers une offre publique de vente (OPV).
Notre méthodologie consiste à se référer aux modèles d’évaluation théoriques des actions pour les confronter aux modèles utilisés au niveau du prospectus d’admission en bourse. Partant des mêmes hypothèses avancées par les actionnaires de la société, nous allons réévaluer l’action, tester l’éventuelle surévaluation et son impact sur la pérennité de l’action sur le parquet de la bourse des valeurs mobilières de Tunis (BVMT). L’introduction en bourse vise la recherche d’un financement direct pour le renforcement des fonds propres de la société, la bonne image de l’entreprise et le désengagement de l’un ou de plusieurs actionnaires du capital social. La vente de titres de participation par les anciens actionnaires doit se faire tout en prenant en considération les intérêts antagonistes de tous les intervenants et fixant la juste valeur d’introduction, afin de réaliser un équilibre gagnants/gagnants. Une déviation par rapport à l’équilibre peut nuire à l’opération d’introduction, tout en induisant les novices de la bourse en erreur et éventuellement se retirer de la cote officielle. A ce titre, l’encaissement d’une importante plus-value de cession, peut nuire à la pérennité de l’action sur le parquet de la bourse pour un initiateur de l’offre publique de vente. Les résultats obtenus ont montré que l’actionnaire privé, notamment l’initiateur de l’introduction à la bourse des valeurs mobilières de Tunis cherche son propre intérêt en termes de maximisation du produit de cession, indépendamment des nouveaux entrants et de la continuation de la cotation. L’opération d’introduction en bourse a échoué à moyen terme et s’est terminée par une offre publique de retrait (OPR).
As part of the revitalization of the financial market in developing countries and the transition from the debt economy to direct finance. The listing of new companies on the stock exchange contributes to the increase of capitalization, reveals the transparency of companies, strengthens their equity and allows the direct financing of firms. The opening of the capital to the public by one or more shareholders increases the share of financing of the economy by the financial market, allows them to take advantage of the advantages of stock exchange listing and offers them an opportunity for a net capital gain on shares. Taxes (In Tunisia the capital gain on shares generated by natural persons during the first listing is not taxable. It must only be declared). The appetite to increase the capital gain on equities can outweigh the intrinsic advantages of listing. An overvaluation of the action can be noticed and can harm the future of the action on the trading floor. The objective of the article is to capture a possible overvaluation of the action during an initial public offering of a company under Tunisian law, majority owned by natural persons of the same family. The latter sold 10% of the capital, through a public offer of sale (OPV). Our methodology consists in referring to the theoretical valuation models of the shares to compare them with the models used at the level of the prospectus for admission to the stock exchange. Based on the same assumptions put forward by the shareholders of the company, we will revalue the action, test the possible overvaluation and its impact on the sustainability of the action on the floor of the Tunis Stock Exchange (BVMT). The IPO aims to seek direct financing to strengthen the company's equity, the good image of the company and the disengagement of one or more shareholders from the share capital. The sale of equity securities by former shareholders must be done while taking into consideration the antagonistic interests of all stakeholders and setting the fair value of introduction, in order to achieve a win/win balance. A deviation from equilibrium can harm the IPO trade, while misleading the exchange novices and possibly withdrawing from the official listing. As such, the receipt of a significant capital gain from the sale can harm the sustainability of the action on the stock market floor for an initiator of the public offering. The results obtained showed that the private shareholder, in particular the initiator
of the introduction to the Tunis Stock Exchange seeks its own interest in terms of maximizing the sale proceeds, independently of new entrants and the continuation of listing. The IPO operation failed in the medium term and ended with a public withdrawal offer (OPR).

La Sous Evaluation Initiale (SEI) est un moyen d’attraction des nouveaux investisseurs, en vue de la restructuration du haut du bilan d’une entreprise. Une plus-value réalisée attire les actionnaires à la participation à une augmentation du capital et la diminution du taux d’endettement, alors qu’une moins-value constatée suite à une surévaluation de l’action entrave la croissance de l’entreprise et démystifie l’image de marque de la société. Les objectifs de la cotation en bourse influent la fixation du cours d’introduction. En visant la transparence, la pérennité et l’image de la société. L’initiateur de l’opération fixe la juste valeur de l’entreprise et attire les potentialités financières. En visant la réalisation d’une importante plus-value, l’initiateur de l’offre publique de vente, risque de nuire à la croissance de la firme et échouer l’opération. Les résultats ont montré la divergence des objectifs de l’introduction en bourse. L’État cherche à dynamiser le marché financier, catalyser la finance directe, et appliquer la sous-évaluation initiale alors que le privé cherche à maximiser le produit de cession, réaliser la plus importante plus-value nette d’impôts, et appliquer une surévaluation initiale.
This paper focuses on determining the objectives of the IPO of the State and the private shareholder through the calculation of the initial undervaluation for two cases carried out on the basis of the Tunis Stock Exchange. The Initial Under Valuation (IUV) is a means of attracting new investors, with a view to restructuring the top of a company's balance sheet. A realized capital gain attracts shareholders to participate in a capital increase and a reduction in the debt ratio, while a loss in value following an overvaluation of the action hinders the growth of the company and demystifies the brand image of the company. The objectives of the stock market listing influences the setting of the IPO price. By aiming for transparency, sustainability, and the image of the company, the initiator of the operation fixes the fair value of the company and attracts financial potential. By targeting the realization of a significant capital gain, the initiator of the public offer of sale puts the growth of the firm at risk, thus failing the operation. The results showed the divergence of IPO goals. The State seeks to energize the financial market, catalyze direct finance, and apply the initial undervaluation, while the private sector seeks to maximize the sale proceeds, achieve the largest net capital gain of taxes, and apply an initial overvaluation.

Sommaire Cet article s’inscrit au sein des débats qui accompagnent le développement spectaculaire des marchés financiers et la naissance au cours des dix dernières années d’une industrie financière internationale. Notre recherche s’est construite à partir du constat de l’émergence d’une nouvelle catégorie d’acteurs, celle des analystes financiers opérant au sein des sociétés de bourse filiales de grandes banques d’investissement françaises, chargés d’analyser les sociétés cotées et d’émettre des recommandations d’achat ou de vente à destination des marchés financiers et dont beaucoup d’auteurs estiment qu’ils jouent un rôle majeur au sein de cette industrie. Elle repose sur une étude de la littérature historico-sociologique relative aux sociétés de bourse et aux analystes financiers. Cette analyse de la littérature, reliée à une analyse documentaire managériale (études de cas, enquêtes de rémunération...) vise à identifier les principales configurations de gestion des ressources humaines (GRH) en vigueur au sein des entreprises d’investissement opérant sur le marché financier français. La GRH des sociétés de bourse a été bouleversée en France par l’accroissement de la concurrence des structures anglo-saxonnes. C’est ainsi que les organisations au sein desquelles évoluent les analystes financiers français ont dû opérer une mutation de leur gestion du travail qui a pris principalement la forme de politiques de rémunération incitatives. Cet article montre comment, dans cette perspective, s’est structurée la fonction ressources humaines des activités de marché des banques françaises dans un processus de mimétisme des pratiques de GRH déjà existantes au sein des structures anglo-saxonnes.

Avec la mise au jour des récents scandales financiers qui ont ébranlé le marché des valeurs mobilières depuis le début des années 2000, la fiabilité de l’information financière et la qualité de la vérification sont devenues des sujets de préoccupation majeure tant aux États-Unis qu’au Canada. Dans les efforts entrepris en vue de rétablir la confiance des investisseurs, les autorités régulatrices ont réagi promptement pour proposer ou adopter divers projets de réforme en matière de gouvernance d’entreprise. Une des initiatives importantes prises en ce sens provient des législatures de l’Ontario et de la Colombie-Britannique qui ont modifié respectivement leur loi sur les valeurs mobilières en y intégrant un nouveau régime restreint de responsabilité civile en vue d’assurer la divulgation d’une information véridique et complète destinée aux investisseurs du marché secondaire. Dans la même perspective, les Autorités canadiennes en valeurs mobilières, incluant l’autorité québécoise, explorent la possibilité d’intégrer un régime semblable dans le projet d’harmonisation de la législation, intitulé Loi uniforme sur les valeurs mobilières, qu’elles ont présenté en décembre 2003. L’objectif de notre recherche est de mieux comprendre le sens et la portée de cette réforme majeure qui, si elle est mise en vigueur, s’appliquera à un grand nombre d’acteurs canadiens, notamment aux vérificateurs appelés à certifier les états financiers des sociétés ouvertes assujetties à la nouvelle réglementation. Cette analyse fait ressortir le désir des autorités régulatrices d’assurer un équilibre entre, d’une part, les intérêts des investisseurs qui recherchent une information véridique et complète, et d’autre part, les intérêts des défendeurs éventuels, incluant les vérificateurs qui, en l’absence des limites prévues pour le paiement des dommages, risqueraient d’encourir une responsabilité démesurée en raison des pertes considérables subies par les usagers de l’information. Abstract: This article starts out with asking the question of where lies the heart of private law. Core societal developments and theories (like the European Union or the so-called Private Law Society) would seem to indicate what virtually all private law theorists say as well: the heart of private law is party autonomy – and, one may add, regulation guaranteeing the pre-conditions of a meaningful use of such party autonomy. The article then analyses the fact that traditional areas of the civilian tradition – torts, property, family law, and wills and estates – are much less paradigmatic for this combination than contracts and that, contrary to what the idea of a law of obligations might insinuate, there is not a very extended common core of rules. This is different between contract and company – market and firm. These are indeed the two most important institutions and modes of organization based on party autonomy and, therefore, also subject to extended regulation. In a final section, the article then analyses the cross-roads between both types of institutions and thus sheds light on phenomena of high practical importance, which are, however, too little discussed, namely long-term relationships (so important in a services society), networks of contracts that dominate modern market economies, and third-party effects of the organization – the main problem in the world’s financial crisis. Seeing contract and company as companions helps modernizing both areas. Résumé : La question de départ de cet article est de savoir quel est le pillier central du droit privé. D’après les grands concepts de droit et de la société – l’Union Européenne et la théorie d’une société de droit privé – et la théorie de droit privé dominante, ce pillier est l’autonomie privée – et, également, les règles (‘regulation’) garantissant l’exercice de cette autonomie. L’article analyse ensuite des domaines qui sont traditionnellement considérés comme constituant le noyau de la tradition civiliste et constate qu’aucun d’eux – la responsabilité extracontractuelle, le droit de la propriété, de la famille et des successions – ne s’appuie autant sur cette combinaison, autonomie et règles s’y afférant, que le droit des contrats et que, en fait, les règles communes sont peu nombreuses. Ceci est différent s’agissant du contrat et de la société – les deux institutions qui sont en fait les plus caractérisées par la combinaison entre autonomie/règle. Pour cela, l’article analyse quelques parallélismes entre droit des contrats et droit des sociétés, notamment : le concept des relations de longue durée (essentielles dans une société de services), la notion de réseau (qui domine les économies de marché de nos jours) et l’idée que ces formes d’organisation ont des effets sur les tiers (la crise financière en a apporté clairement la preuve). Mettre à jour les parallèles existant entre les notions de contratet de société devrait faire avancer la discussion dans ces deux domaines.

Bien que les anticorps thérapeutiques existent depuis maintenant plusieurs décennies et que le marché associé (nombre de projets en développement, nombre d’anticorps mis sur le marché…) soit en croissance, un palier a été franchi au début des années 2010 pour faire de cette décennie celle de l’immunothérapie. Pendant ces 10 dernières années, 62 anticorps ont obtenu une autorisation de mise sur le marché et le nombre d’accords (acquisitions, participations, partenariats) annuels entre les différents acteurs a dépassé la barre des 300 (avec trois fois plus d’accords en 2018 qu’en 2009). La révolution de l’immunothérapie dans le traitement des cancers et la récente utilisation d’anticorps en première ligne thérapeutique dans celui-ci sont les tournants majeurs de l’oncologie. Les trois dernières années (2016-2019) regroupent d’ailleurs à elles seules les deux tiers des plus importants accords de la décennie impliquant des immunothérapies. L’immunothérapie connaît donc actuellement un âge d’or qui se traduit par de nombreuses success stories, notamment en France, où sociétés de biotechnologie et big pharma présentent des résultats très positifs au plan tant thérapeutique que financier.

L’objet de ce papier est d’analyser l’apport de la théorie de l’information à l’explication du comportement des marchés financiers. Nous avons dressé un état des lieux sur la théorie d’entropie de l’information et ses principales implications théoriques et pratiques, en termes de capacité à mesurer l’incertitude et à décrire les densités dans les marchés financiers. Un résultat fondamental de cette théorie est qu’elle ne repose pas sur un équilibre, contrairement à la théorie établie par Grossman-Stiglitz (1980). En effet, elle ne suppose pas qu’une société possède une certaine valeur fondamentale dans l’’attente d’être découverte par les investisseurs. Au contraire, le processus d’apprentissage de la valeur d’une entreprise par les investisseurs, accompagné du processus de compréhension de la technologie et des concurrents, permet de déterminer la valeur de l’entreprise. Le cadre entropique permet de définir les caractéristiques suivantes : un processus de découverte du prix explicite, l’asymétrie d’information, la communication via les prix des actifs informatifs, les croyances variées des investisseurs et l’acquisition de l’information coûteuse.

Abstract.This article examines the responses of Canadian business leaders, national newspapers, and governments to record numbers of foreign takeovers of Canadian-based firms in 2004–2007. It assesses the political, economic, financial market, and regulatory contexts for takeover activity in historical, macro-economic, and micro-economic contexts in light of Canada's historically firm-centred business culture. It summarizes five dimensions of policy and media discourse on the interrelated issues of foreign investment and corporate consolidation, including debates on “hollowing out” and “national champions.” It concludes that the limited influence of nationalist and related business interests on recent Canadian government policies reflects Canada's growing economic interdependence with other countries, particularly the growing role played by Canadian-based multinationals in foreign markets.Résumé.Le présent article examine la réaction des leaders du monde des affaires canadien, des journaux nationaux et des gouvernements devant le nombre record de prises de contrôle étrangères de sociétés exerçant leur activités au Canada entre 2004 et 2007. Résumé RÉSUMÉ L'anthropologie du travail au 21e siècle Cet article se propose d'examiner quelques traits fondamentaux de l'évolution du travail dans le contexte de la mondialisation pour souligner, paradoxalement, une tendance au renforcement de l'emprise des sociétés civiles sur le travail. Il défend la thèse que le paradigme individualiste de l'implication est réinterprété par les travailleurs sous une forme très différente, saisissable dans la durée biographique. En second lieu, il souligne le lien entre l'entrée massive des femmes sur le marché du travail et l'émergence du groupe domestique dans les villes, ce qui modifie substantiellement le rapport paternaliste au fondement des sociétés et, à travers lui, le rapport social capitaliste. Enfin, il montre que les efforts des sociétés civiles concernant la mise en place d'un label social de production, ainsi que l'action de certains mouvements sociaux innovants internes ou externes au syndicalisme introduisent une conception de « l'efficacité sociétale », observable à différentes échelles, qui s'inscrit en contradiction avec la stratégie du capital financier. Nous montrons que cette participation décroît si la retraite par répartition augmente. Nous montrons aussi qu'en cas de sous-accumulation, imposer une retraite précoce peut être socialement souhaitable.

La théorie de l’équilibre général (TEG) cherche à déterminer le concept de marché comme dispositif permettant l’affectation décentralisée des ressources disponibles pour la consommation et la production. Dans une économie caractérisée par une multiplicité d’agents individuels, cette affectation implique que soit résolu le conflit d’intérêts individuels susceptible de surgir dans une telle société. Le dispositif social dénommé «le marché» est destiné, en dernière instance, à réconcilier les intérêts individuels sans recourir à des mécanismes directement coercitifs pour les agents individuels. L’œuvre de Walras est, dans ce cadre, le point de départ de la théorie du marché décentralisé concurrentiel dans lequel les agents individuels définissent leurs plans d’activité (de production et de consommation) selon l’information sociale véhiculée par les prix dans leur fonction paramétrique.Les prix constituent la seule information sociale utilisée par les agents individuels pour définir leur comportement économique. En dehors de cet ensemble d’informations, il n’existe que des éléments strictement privés (domaines de préférence et fonctions de demande pour les consommateurs; ensembles de production et fonctions d’offre pour les producteurs). De plus, toute communication bilatérale entre les agents, préalable aux transactions, est exclue, étant donné la définition même de l’agent individuel dans une économie concurrentielle : leur comportement face au processus de formation des prix est passif. Ils sont des «preneurs de prix».

Les sociétés sont contraintes dans leur stratégie d’internationalisation par leur niveau d’endettement révélé par leur notation financière. En s’appuyant sur 402 changements de note de 182 firmes multinationales européennes annoncés par Standard and Poor’s, les résultats valident l’asymétrie moyenne de réaction des marchés d’actions : diminution du cours boursier suite aux dégradations de note mais absence de réaction consécutive aux relèvements. Cependant, les variations individuelles des prix des actions ne seraient fortement négatives que dans la moitié des cas pour les baisses de note et nulles voire positives dans l’autre moitié. Des résultats symétriques sont obtenus pour les hausses de note.

In total, over 2,300 senior managers from large organizations across 19 countries participated. We also supplemented the survey findings by conducting in-depth research and holding interviews with leading NGOs (Education Endowment Foundation, Transparency International UK and Walk Free Foundation) and the European Union’s law enforcement agency to gain perspective on the human cost of financial crime. This report specifically examines the findings in Europe.

Il montre que, dans le cadre d'une relative stagnation des ressources de travail et d'un sous-emploi chronique, les métamorphoses de la société salariale d'après-guerre étaient déjà en germe dans l'ensemble des pays européens en 1939 et que les modèles nationaux du rapport salarial étaient bien enracinés au point de résister partiellement aux entreprises de pacification sociale autoritaire des régimes totalitaires. Ainsi, de part et d'autre de la guerre, convergence des évolutions et profils nationaux coexistent et freinent l'émergence d'une identité sociale européenne.

Abstract: This article focuses on the question of whether allowing the extent of the protection afforded to an investor under the Markets in Financial Instruments Directive (MiFID) I and II to be largely dependent on the distinction between dealing on own account on the one hand and trading on behalf of the client (and other forms of investment service) on the other, is justified. The author submits that this question must be answered in the negative. Under a future MiFID III, an investment firm which acts solely as contractual counterparty should be required to observe the same duty of care as applies in the case of the investment service of execution of orders on behalf of the client. Résumé: Cet article traite de la question de savoir s’il est justifié de permettre que l’étendue de la protection accordée à un investisseur aux termes de MiFID I et II (NdT: Directives concernant les marchés d’instruments financiers) dépende largement de la distinction entre la négociation pour compte propre d’une part et d’autre part la négociation au nom du client (et d’autres formes de services d’investissement). L’auteur indique qu’il faut répondre à cette question par la négative. L'orientation du consommateur est associée au paiement direct et autres mécanismes qui appuient l'usager dans ses choix d'achat de soins, de prise en charge personnelle et d'indépendance. Pour illustrer les forces et les faiblesses de l'orientation du consommateur dans la pratique, les auteurs analysent des données d'entrevues menées auprès d'utilisateurs et de fournisseurs de soins dans lesquels les aîné(e)s et leurs familles ont choisi et/ou retenu, supervisé et géré leurs «propres» soignants à domicile, qui sont des travailleurs autonomes. Les entrevues, menées séparément avec les bénéficiaires et les fournisseurs de soins illustrent l'effet des pouvoirs structurels et interpersonnels reliés aux facteurs financiers, sociaux et géographiques sur la façon dont les arrangements de soins indépendants sont négociés et gérés. Les questions de pouvoir incluses dans les arrangements proposés suggèrent qu'il faut faire preuve de prudence devant l'adoption globale des principes du marché dans la provision de services de soins aux aînés.

Depuis le début des années 1990, la problématique des trajectoires d'évolution est au centre de l'analyse des transformations du tissu économique en République tchèque. La rupture politique majeure de 1989 et l'adhésion à l'Union européenne en 2004 ont conduit la société rurale tchèque à formuler une grande variété de réponses aux exigences imposées par Les nouvelles demandes du marché et les directives européennes en matière économique. Les profondes mutations sociales et culturelles, légitimées en partie par les projets politiques nationaux ou européens, ont modifié tant l'usage des campagnes tchèques - de plus en plus affectées, selon les régions, à la résidence, au loisir et au tourisme - que les regards portés par la société sur les espaces ruraux eux-mêmes. La diversification des activités économiques rurales qui en résulte ne s'inscrit cependant pas de la même façon dans l'ensemble des espaces ruraux. Si certains d'entre eux sont largement voués à la résidence et au tourisme, d'autres conservent une fonction de production agricole ou industrielle qui peut même s'accentuer. L'enjeu ici est d'étudier à l'échelle du pays, dans une dialectique local-global, les mutations des activités économiques et leur inscription territoriale. While thousands fall into a country demarcated below poverty lines, the world's top ten wealthiest men appeared to have more than doubled their fortunes during the epidemic. 'Davos Man: How the Billionaires Destroyed the World,' a book written by New York Times reporter Peter Goodman, explored how the ultra-rich are responsible for things like climate change, violence, and the collapse of democracy. Social workers seem to go along with fixing the society and reach the last impoverished man on the planet, unmindful of what appears to happen to resources. The following is a report on the topics that were discussed at a meeting of social workers from around the world on 15 March 2022, which the Brisbane Institute of Strengths-Based Practice organised. Journal Space and Culture, India was also a part of this endeavour. There were nearly one hundred social workers attending the conference and a few thousand through other social media outlets.

Par le contrôle qu’ils exercent sur la fiabilité de l’information divulguée auprès des investisseurs, ces professionnels sont présumés pouvoir rendre compte de la qualité de l’information des entreprises avec indépendance, objectivité et intégrité. Depuis la récente débâcle de plusieurs grandes sociétés américaines, la confiance accordée à la fonction des vérificateurs a toutefois été fortement ébranlée. L’objet du présent article est d’examiner l’environnement institutionnel et juridique dans lequel les vérificateurs évoluent actuellement au Canada pour faire ressortir les divers facteurs qui peuvent influer sur le comportement de ces professionnels, plus particulièrement au regard de leurs obligations d’indépendance, d’objectivité et d’intégrité. Cet examen met en évidence l’existence d’un grand nombre de variables d’ordre économique et juridique qui peuvent inciter les professionnels à se conformer ou non à ces obligations.

In this article I interpret 150 years of financial history with a focus on shifts in the role of finance in society. I argue that over time the role of finance has shifted twice from that of servant to that of master of society, and that this process has been driven by sense making through narratives that legitimized and shaped these changes. When finance became a master rent seeking, cultural capture and out-of-control financial innovation resulted in financial and social instability. Finance as a master was the characteristic of finance capitalism from around 1900–1931 and of financialization from around 1980 to today. Finance capitalism and financialization were enabled by a dominant narrative that legitimized the power of finance. The shifts in the role of finance happened when crises undermined the meaning of the existing narrative and created for a new narrative able to make sense of the crisis and point society in a new direction. This sense-making process stabilized when a new narrative was established that could explain the crisis and legitimize and shape a new role for finance. The article is based on my presidential address presented at the Business History Conference’s annual meeting in March 2014 in Frankfurt.

From March 2020 o the present day, Brazil has been affected by the pandemic and we are still going through a period we did not expect, in which a global pandemic changed the course of the world, changing the presente and raising a question mark about to the future of na entire society, from the people/companies that had a well defined planning prior to this unexpected event, but mainly the companies/people that did not a have a series os factors, from planning to a defined action plan for the most different situations that my arise. Before 2020, approximately 80% of micro and small companies closed their doors in the first five years. Such a frightening number tends to remain or even increase, now from 2023, when the world gradually returned to normal activities after the restorarion of normality. Through a deductive methodology, the article in question aims to show the importance of Financial Management, especially in the Post-Pandemic world, making a parallel between the so-called individuals and Legal Entities, suggesting a simplified step-by-step, in which its implementation will improve health financial both personal and business, thus establishing a financial awareness.

Depuis les récents scandales qui ont ébranlé les marchés financiers au Canada et aux États-Unis, les observateurs n’ont pas manqué de décrier le caractère excessif et parfois même frauduleux de la rémunération accordée à de hauts dirigeants de sociétés tout en soulignant du même coup le piètre rendement et la déconfiture de certaines d’entre elles. Malgré les efforts faits pour assurer une meilleure gouvernance des entreprises, les mécanismes internes de surveillance et de contrôle sont parfois insuffisants ou inefficaces pour prévenir les abus. En raison de ces défaillances internes, les tribunaux sont appelés à intervenir pour résoudre les conflits qui résultent de la mise en place d’un régime de rémunération prétendument excessif. Comme l’étude qui suit le montrera, l’action judiciaire représente un instrument complémentaire de gouvernance grâce au contrôle que les tribunaux peuvent exercer à l’égard de la direction de l’entreprise en vue de prévenir les comportements déviants. Dans sa recherche portant sur l’exercice du contrôle judiciaire, l’auteure fait ressortir l’importance de tenir compte des différences existant entre les sociétés fermées et les sociétés ouvertes et elle explore ensuite la possibilité pour les tribunaux d’adopter une approche différente qui prendrait en considération la spécificité des unes et des autres dans l’évaluation des régimes de rémunération.

Crisis management in the context of public institutions is particularly important, due to the extremely large possible impact of the consequences of systemic crises on society as a whole. Suboptimal or too slow decisions of public institutions usually affect a much wider set of people, entities, and economic and financial developments than when it comes to crisis management in individual companies, even if they are systemically important. This paper focuses on the activities of the Croatian National Bank and the Croatian Financial Services Supervisory Agency in dealing with the crisis caused by the coronavirus pandemic and presents the most important activities of the government, government agencies, and commercial banks that have had an impact on financial stability. The analytical part of the paper presents the effect of trading suspension on the Zagreb Stock Exchange on 12th March 2020 and its implications on the market. Although it is still too early to make final assessments, given the course of the pandemic, the available data suggest that the activities of domestic institutions have so far been effective in maintaining financial stability in Croatia.

The implementation of this community service the author uses in the form of community education, namely by providing socialization in order to increase understanding of the people of Pantai Sederhana Village, Muara Gembong District. Implementation of socialization activities that have been held on Thursday, March 9, 2023 at the Simple Beach Village office face-to-face. The socialization began with the provision of material "The Importance of Islamic Financial Planning in Efforts to Prosper the Family Economy". Based on the conclusions above, participants can appreciate the importance of implementing Islamic finance in order to create prosperous financial conditions in the family. The suggestions recommended for further service or the community are to be able to practice directly in the form of training in several sessions to improve the ability to implement prosperous family financial planning to the community.

L'Afrique intertropicale sert de cadre à notre réflexion bien que les autres continents tropicaux regorgent d'exemples tout aussi édifiants. Forêt naturelle et forêt plantée ont bien souvent été considérées comme deux pôles opposés de la foresterie, pôles entre lesquels les projets de développement effectuent un mouvement de balancier. Déjà en 1953, Alba1 écrivait : " Il semble inutile d'opposer la sylviculture basée sur la régénération naturelle et celle basée sur la régénération artificielle. D'une part, cela risque d'entraîner des querelles qui, quoique faites sur un ton toujours extrêmement courtois, peuvent blesser inutilement les uns et les autres qui croient le plus souvent, et en toute bonne foi, il faut bien le dire, détenir la vérité en la matière, ce dont on ne saurait les blâmer. " Cette mise en garde n'a pas empêché les deux " clans " d'être plus souvent en opposition qu'en synergie. Dans les années 1960-1970, le balancier était du côté des plantations. C'était l'époque des grands programmes de reboisement, teck en Afrique francophone : gmélina au Mali, pins à Madagascar et okoumé au Gabon dans les années 1950- 1960, puis des grands reboisements périurbains des années 1970 pour le bois énergie. Ces projets étatiques onéreux se sont avérés peu rentables en raison des faibles prix du bois de forêt naturelle pratiqués sur les marchés locaux, ce qui a découragé les bailleurs de fonds. Les plantations sont un investissement à long terme alors que le financement des projets est à court ou moyen terme. Même lorsque les premières rentrées financières des plantations arrivent après six à sept ans (pour le bois de trituration), la faible valeur marchande de ce bois fait que plusieurs rotations sont nécessaires pour rentabiliser l'investissement. Pour les bois d'oeuvre, la révolution est de plusieurs décennies, incompatible avec les cycles des bailleurs de fonds. Ceux-ci considèrent généralement que l'investissement forestier s'arrête quelques années après la plantation et les premiers entretiens. Pourtant, il est nécessaire de financer les travaux ultérieurs pour obtenir in fine des bois de haute qualité à forte valeur marchande car les élagages de pénétration et la première éclaircie fournissent des bois de faibles dimensions qui sont abandonnés sur place en l'absence d'usine de trituration, ce qui est le cas en Afrique. Les éclaircies suivantes produisent des perches et des piquets dont la vente ne finance au mieux que le coût des travaux. Cette absence de retour financier rapide a généré, dans les années 1980, des problèmes au sein des programmes nationaux de reboisement. Par exemple, la Société de développement des forêts ivoiriennes a, faute de pouvoir vendre les premières éclaircies, cessé de planter des tecks pendant plusieurs années, jusqu'au jour où des acheteurs étrangers se sont intéressés à ces produits. À Madagascar, le bailleur de fonds voulait arrêter de financer les plantations de pins initialement destinées à la pâte à papier ; une longue négociation permit de modifier l'objectif du projet et de faire comprendre que les éclaircies et l'élagage étaient indispensables à la production d'un bois de qualité à haute valeur commerciale, et d'obtenir la poursuite du financement des travaux : ce n'est que 26 ans après les premières plantations de pins que les plantations ont commencé à s'autofinancer. Les calculs financiers montrent de très faibles taux de rentabilité interne des plantations ; mais ces calculs ne prennent pas en compte les emplois créés dans les plantations ni le développement des filières de transformation et de commercialisation en aval. Now marketing has proved that creative messages and inbound marketing can encourage people to donate and not only donate, it happens in a real time and remotely by donating via a link, SMS or bank transfer. Each and every sponsor support as part of their Social Corporate Responsibility which is a win-win situation for both the sponsor and the nonprofit organization. Social marketing works the same way as marketing, it is a systematic and planned process. However, the aim is to either change/enhance a behavior or to spread awareness. And for cancer, we work hardly to spread awareness and to tell people the importance of donation, early detection and how to live if you or one of your beloved one has the cause. Donation shouldn't be limited to cover cancer cases, it should also consider the importance of spreading awareness. As you can see in the statistics above, we were able to raise a fund of a huge amount this year comparing it to the previous year, and the only reason was social marketing.

Since 1960, the transmigration program between Java Island and Lampung Province has been massive. Some of the transmigration players are impoverished farmers seeking fresh farmland. The financial conditions of transmigrants motivate women to work in both the domestic and productive sectors. This study aims to determine women's roles and the effect of social pressure on women's roles in the agricultural region of the transmigration area in Pringsewu Regency, Lampung Province. The study was performed between November 2021 and March 2022. The research employed a qualitative case study approach. Forty respondents serve as both housewives and productive agricultural workers. The results of the study indicate that women in the Pringsewu transmigration area have three roles: housewife (domestic work), productive work (farming), and social work. Women play these equivalent roles as men in agricultural work. Women who do not engage in productive work (farming) are considered unproductive among their family and neighbors who make up stories about them. In agrarian societies in transmigration areas, a low level of education encourages the persistence of inequality. To achieve gender equality, numerous stakeholders must collaborate and maintain their efforts, particularly in agricultural communities in transmigration areas.

The article is based on the results of the 7th International Scientific and Practical Conference on Economics “The Market Economy Phenomenon: From the Origins into Our Days” held from March 27 to March 31, 2019 in the cities of Sochi and Sukhumi. The theoretical approaches of domestic and foreign researchers to understanding the market economy phenomenon, the specifics of its financial and credit sphere functioning in the context of the digital economy were generalized. The problems of the monetary economy in terms of the sanction confrontation were outlined. The authors analyzed and evaluated the processes and the phenomena observed in the post-Soviet economic space related to the transplantation of market economy mechanisms into the system of social reproductive relations, including its financial component based on their digitalization. The dialectic approach, system analysis, methods of economic and statistical and interdisciplinary analytical tools were used. The article revealed the key components of the market economy phenomenon appearing in the post-Soviet economic space and having a direct impact on the social reproduction results. The relationship was shown between the transformation of the evolutionary and methodological content of the money economy, its institutional and behavioral paradigm, the digitalization of the financial segment of the economic space with the scale of innovation, the penetration of cognitive psychology and neurophysiology into financial and credit relations, and their technological re-equipment. The results of the influence of instability factors on the budget and monetary sphere were presented. The authors described complex interdependencies of the processes and phenomena within the framework of the market economy phenomenon appearing in the post-Soviet economic space. The triune structure of the modern market doctrine was disclosed including psychological and behavioral, institutional and functional and reproduction and product aspects. The authors showed the transformational dynamics of the financial and credit sphere of modern society. Its specific features are: the increasingly important role of innovation, outsourcing, revising pricing methods, digitalization of business processes, penetration into managing neuromarketing technologies, and virtualization of the financial sector of the economy.

The article presents the materials of the inter-university roundtable “Destructive Information and Psychological Impact on Russian Youth in Social Media”, which was held on the platforms of the Center for Political Studies of the Financial University under the Government of the Russian Federation and the Federal Research and Methodological Center “Philosophy of Education” on 6th of March 2023. The paper identifies the key challenges which Russian youth faces in the context of global information confrontation. The largest information operations aimed at young people have been analyzed, the article identifies also the regions targeted by such information influence, and social and political risks that are caused by the controlled attacks on Russian society. The participants of the roundtable paid special attention to the existing technologies of countering information influence and to the measures taken by public authorities and civil society institutions to limit its negative effects.

278 Background: There was rapid adoption of teleoncology at Veterans Health Administration (VHA) during the COVID-19 pandemic. One-third of 9 million VHA-enrolled Veterans live in rural areas. While digital solutions can expand capacity, enhance care access, and reduce financial burden, they may also exacerbate rural-urban health disparities. Careful evaluation of patients’ perceptions and policy tradeoffs are necessary to optimize teleoncology post-pandemic. Methods: Patients with ≥1 teleoncology visit with medical, surgical, or radiation oncology between March 2020 and June 2020 identified retrospectively. Validated, Likert-type survey assessing patient satisfaction developed. Follow-up survey conducted on patients with ≥1 teleoncology visit from August 2020 to January 2021. Travel distance, time, cost, and carbon dioxide (CO2) emissions calculated based on zip codes. Results: 100 surveys completed (response rate, 62%). Table with demographics. Patients overall satisfied with teleoncology (83% ‘Agree’ or ‘Strongly Agree’) but felt less satisfied than in-person visits (47% ‘Agree’ or ‘Strongly Agree’). Audiovisual component improved patient perception of involvement in care (two-sided, p = 0.0254), ability to self-manage health/medical needs (p = 0.0167), and comparability to in person visits (p = 0.0223). Follow-up survey demonstrated similar satisfaction. Total travel-related savings: 86,470 miles, 84,374 minutes, $49,720, and 35.5 metric tons of CO2. Conclusions: Veterans are broadly satisfied with teleoncology. Audiovisual capabilities are critical to satisfaction. This is challenging for rural populations with lack of technology access. Patients experienced financial and time savings, and society benefitted from reduced carbon emissions. Continued optimization needed to enhance patient experience and address secondary effects.[Table: see text]

The UN Financing for Development conference (FfD) was held in Monterrey, Mexico, in March 2002 to gain international financial and political support for the Millennium Development Goals. Various multilevel consultations were held with “equal stakeholders” ranging from the IMF and WTO to civil society organizations in order to forge a consensus-based framework for substantially reducing world poverty. However, despite the FfD's seemingly novel attempts at inclusionary and multilateral forms of negotiation, this article suggests that the Monterrey consensus is, in the first instance, concerned with reproducing and thus legitimating the growing power of transnational capital. The consensus is not so much about reducing poverty as it is about managing the ever-increasing polarization of capitalist social relations in the South.

This topic concerns each one of us. The pandemic has become an enormous challenge for the legislator. We look at how recent regulations has been affecting functioning of society or respecting human rights, concluding that they were at risk with no sign of improvement. We discuss some key issues related to human rights and Polish legislation onCOVID-19, i.e. the Ordinance of the Minister of Health of 20 March 2020 or Regulations of the Council of Ministers of 31 March 2020. Those acts, for instance, included prohibitions on personal movement, with the exception of for the purpose of performing work and business tasks as well as satisfying necessary daily need, which was a major limitation of freedom. Closing most work places, in turn, violated second-generation human rights. We also mention the financial penalties and their unsuitability given other punishments for unlawful acts. In addition, we describe two ways of receiving fines, classified and characterised based on competent decision-making authorities. The new procedures entail extended prerogatives granted to the police. As result, the problem appears of interpretation of human rights as well as possible infringements of fundamental human rights. Our article contains a short description of difficulties related to the presidential election in the context of the coronavirus pandemic. To ensure a comprehensive analysis of therese arch problem, we have compared Polish legislation with legal solutions adopted by other counties.

In the context of post-industrial societies, there are few resources left to ordinary citizens to respond to the totalizing logic of systemic dynamics characterized by the expansion of economic and formal subjectivity. Likewise, the damage done to the environment and the increasing incidence of natural disasters, both driven by anthropogenic action, make a more complex response from society necessary and, in turn, pose the need to find collective answers to transnational issues. This global situation leads us to consider how civil society can generate community cohesion, leverage common interest and respond to environmental problems. After several ethnographic investigations focused on social change in Japan, we identified some things that, together with the shocking initial images spread globally after the catastrophe of March 11, 2011 in Tōhoku, have helped us take the pulse of the associative Japanese world. These images highlighted some of the fundamental characteristics of Japanese civil society, contributing to the spread throughout the world of a series of constructs that are as typical of a society socially exemplary as they are culturally totalizing. It might seem the eleven years that have elapsed since the Triple Disaster of March 2011 in Japan have provided us with a broad perspective from which to interpret the dynamics of Japanese civil society and public administration in the face of these events. However, we consider that the analysis of socio-historical developments that embody Euro-Atlantic modernity, with indigenous cultural constructs and with globalization, is essential. For this reason, in this article, from the perspective of intellectual history and historical sociology, we will analyse the adaptability of the concept of civil society in Japan and a whole series of social processes that have been gestating for decades and whose development is brought together in entities of great factual importance for the future.

Health insurance plays a crucial role in providing financial protection and ensuring access to necessary healthcare services. The awareness of Indonesian society regarding the importance of health insurance continues to grow, as evidenced by a 22% increase in premium income according to AAJI data as of March 2023. Despite the benefits of health insurance, an increasing number of insurance participants raises risks for insurance companies. The Generalized Additive Models (GAM) P-Spline can overcome these problems. The non-linear relationship between claim amount with age, body mass index, and blood pressure can be modelled with GAM P-Spline. The formed GAM model with PIRLS unable to give a clear information of relationship between variables explicitly, but can be seen by the shape of the function of each predictor associated with the link function used.

The rapid technological advances with a very strong internet penetration make the Indonesian people connect to communicate instantly. This has indirectly changed the pattern of human life, especially in the activities of shopping, communicating and working and transacting money in order to spend their income. Therefore with the activities carried out the hope of access to financial services that are affordable, fast and easy to personally connect with various activities. Someone in the internet world makes demands that need to be addressed by modern financial service providers. Internet access has shown a significant increase. This is consistent with the publication of the Association of Internet Service Providers (APJII) in March 2015 stating an increase in internet users, namely from 71.9 million in 2013 to 88.1 million users at the end of 2014, or about 34.9% of the total population currently. This digital payment research shows that there is an increase in the quality of banking services in Indonesia. This is because the banking management has implemented it to reach all levels of Indonesian society, especially for millennials living in the FOR (frontier, outermost, and remote) areas.
