Full textTermination benefits, whether as a result of the law or the contractual will, are numerous and varied and despite their practical importance no comprehensive study had been dedicated to this topic in private law. This thesis proposes to study them jointly to establish a typology and to determine the legal regime. The first part deals with the variety of allowances, whether they are legal or conventional. It is shown that the termination benefit represents the price of a restored contractual freedom with a view to securing a fair balance of interests. The counterparties are, on the other hand, different. They provide a legal framework for the right to annihilate the contract unilaterally or offer the right to withdraw, that is to say, not to execute the contract in whole or in part. The second part is devoted to the legal system of allowances. The result is a contractual freedom directed in melius to the benefit of the creditor of the legal indemnity. As well as the finding of insufficient judicial review in respect of conventional allowances. In this regard, legislative amendments are proposed, both with regard to statutory allowances by granting a termination payment to reseller distributors, as well as conventional allowances by the legal consecration of the validity of conventional withdrawal as well as the development of a judicial review of the amount of excessive conventional allowances, built on the model of the penalty clause

Full textThis study is devoted to analysing the theory of the "abus de droit" as a mean to confine, within certain limits, the right to unilateral termination. It is centred on two axes. Firstly, it demonstrates the prepoderant and still growing place of the concept of "abus de droit", and, throughout the study of its criteria, it emphasizes the evolution of the notion of contract. It results from this study that law courts seek today to moralize not only the implementation but also the containt of subjective right, taking into consideration the behaviour of the originator of the termination. If this behaviour induced his partner to trust him, and if he afterwards flouted this confidence, the judges, in the exercice of their moderating power, do not hesitate any longer to sanction, by reference to the notion of "abus de droit", the originator of the termination, by pledging his responsibility. This study concludes that if the notion of "abus de droit" prevents the juridical technic to turn against the aims that it claims to serve, it is because it presently takes into accout the notion of legitimate reliance

Ordinary causes include the end of the contractual term without renewal, rescission by either party and bilateral termination. Regarding extraordinary causes, they include the unilateral termination of the agreement due to any event of Force Majeure or hardship or affecting the intuitus personae. Whatever the termination's causes, some legal obligations shall arise thereafter. Practice took hold of this “post-Contractual” period under the control of established precedents, in the relative disinterest of lawmakers.The types of contractual ends are diverse. The end may be delayed by means of prolongation of the contract. The end may come prematurely: it may come suddenly and definitively by means of a termination clause, the continuity of that which was by the arrival of the extinctive term, or the arrival of something new by means of a sunset clause. The end may only be a passage to another contract by means of renewal. This results in a lack of theoretical clarity that requires a legal structure. It may be proposed to divide the post-Contractual period into three parts. In the first part, parties satisfied with their relationship will seek to have it continue. The end-Of-Contract clauses thus serve the purpose of preserving the durability of the contractual bond between the parties. The second part involves the manner of termination the contract. Closing the contractual relationship has become an important matter that requires resorting to different legal mechanisms such as the forfeiture clause, the termination condition or the termination clause.The third part may be referred to as the period of liquidation of the contractual past including two series of clauses: those liquidating the contractual past (notably the clause of non-Competition and the clause of confidentiality) and those concerning the post-Contractual future. The end of the contract must be distinguished from the close of the contractual relationship designating the cessation of all post-Contractual obligations and their consequences. Thus, far from being secondary, these end-Of-Contract clauses affecting the post-Contractual period are fundamental for any ongoing business relationship

Full textLike other Western European countries, the Netherlands has witnessed an increase in the average age of its working population. Since a few years these changes have incited the Dutch government to review the taxation of private early retirement schemes and to push back the legal retirement age. At the same time companies are asking employees to be ever more employable, so that they can compensate for the loss of lifelong employment security. Although there are many stereotypes about the motivation and capabilities of older workers, these employees will now have to work longer and are more likely to change jobs and to continue developing themselves.The goal of this study was to examine how the contents of the employer-employee relationship, conceptualized through the psychological contract, influence two employability-related career intentions for a sample of employees aged 45-55 and active on the Dutch labor market. A second goal was to study how stereotypes influence this relationship.Our research model was realized through a quantitative study in which almost 1100 employees participated. We found that deficient/excess inducements and the level of fulfilment of specific psychological contract dimensions had different relationships with the career intentions of participants and that the seeing oneself as an older worker had a moderating effect on some of these relationships

Full textContracts have significantly increased their share in the legal activity of the French Civil Service (Administration). The thesis aims at demonstrating that the litigation of the contract termination, concerning the settig up of the contractual agreement, is a branch of law searching for fairer contractual relationship, trying to reconcile often antagonistic interests. Legal disputes that may arise from this contractual situation are likely to give rise to multiple procedures, which may explain the diversity in the litigation of the contract termination and also its complexity. Litigation before the administrative judge (le juge de l'exces de pouvoir) has developed in parallel to the litigation of the civil contract law, allowing third parties to delimit/define the contract. Litigation concerning the signing of the contract is posing a delicate problem of balance. The judge is facing the dilemma of preserving the stability of the contractual relationship and the necessity of ensuring law enforcement. An evolution of the litigation concerning null and void contracts may be contemplated in a move toward more pragmatism encompassing the practical necessities of the administrative action. It seems absolutely necessary to re-build the legal framework governing this litigation. Ensuring the stability of contractual relationships whilst searching for a new balance matching these by far opposite principles, respectively being the law enforcement and the legal security, is at stake

Full textThe analysis of the case law relating to the flexibility in contract suggests the general theory of the economic goal of the contract. This theory comes from the identification of a first objective: the common exploitation of a clientele. Since the common nature of exploitation conveys the existence of identical objectives for the parties, this economic goal becomes the objective of the contract, legal mean of its fulfillment. This goal can be found in many agreements and is not isolated. The presentation of other types of economic goals built on the same pattern allows a conceptualization of the notion. The existence of the economic goal of the contract suggests its possible receipt by the Law. However its recognition is conditioned both by its transferability and utility. The economic goal must be distinguished from the validity conditions such as consideration and subject matter, although it is not independent from these conditions. This goal is also different from the economy of the convention. Besides these notions, the economic goal offers new perspectives. Profoundly linked to the notion of common economic interest, it appears as its revealing and justifies that each contract should be qualified as a common interest contract. The economic goal is the ground for the opening of the scope of common interest and enables to extend the benefit of a right to a pecuniary relief and to acknowledge the implicit existence of obligations to adapt and renegotiate, apart from the common interest mandate. This notion should thus find its place in positive law

It has a remarkable usefulness for administrative matters. The transaction, civil law concept borrowed by the administrative judge, gave rise to various interpretations praetorian. The law is not static, the administrative judge, under cover of a personal philosophy, worked to preserve its interests gradually detaching civilians principles of contract transaction. The term "administrative transaction" refers to the fact that the transaction is entered into by or on behalf of a public entity. This can however be a private contract or an administrative contract. Admittedly, the term "administration" can be interpreted broadly and narrowly. Litigation of the transaction is booming. Has long been public law borrows the civil rules of contract transaction subject to different legal regimes. Serious difficulties remain. Also, it was necessary to demonstrate why and how the administrative judge undertook a clarification of the law of the transaction in administrative matters. The study was an opportunity to distinguish the function of adaptation and systematization of administrative courts, where this differentiation was rarely considered

Full textScopo della tesi è indagare il tema della sottodeterminazione semantica, ossia il fenomeno per cui il contenuto semantico di un'espressione non determina un contenuto passibile di valutazione per i propri proferimenti. Nella prima parte della tesi, affronto il problema di come distinguere la sottodeterminazione semantica da fenomeni quali ambiguità, vaghezza, indicalità. Sosterrò che ciò che distingue la sottodeterminazione semantica è la possibilità di spiegarla unicamente in termini di sotto-articolazione. Nella seconda parte della tesi, discuto il problema di come la comunicazione sia possibile, nonostante la sottodeterminazione semantica. Prendo in considerazione varie risposte: (i) il Contestualismo Radicale, per cui processi pragmatici intervengono nella comprensione dei proferimenti; (ii) la spiegazione Indicalista, in termini di posizioni articolate in sintassi profonda; (iii) il Relativismo, secondo cui gli enunciati sono veri o falsi rispetto a coordinate aggiuntive nelle circostanze di valutazione (oltre ai mondi possibili). Nel capitolo finale, propongo un resoconto per cui la comprensione di enunciati sottodeterminati si avvale di vincoli concettuali. I vincoli concettuali sono modi di organizzare l'informazione che regolano il pensiero e il discorso. Nella prospettiva che difendo, i vincoli concettuali vengono sfruttati dall'ascoltatore per ricostruire il contenuto di un proferimento sotto-determinato. Il ruolo dei vincoli concettuali è senza dubbio semantico, poiché essi contribuiscono a determinare “ciò che è detto” (non “ciò che è implicato”). Full textThe expression « bilatéralisation du cautionnement » (« Bilateralisation of Suretyship ») implies that the contract of Suretyship is no longer a unilateral contract whereby the Surety is the only obliged party.. First, the study of this hypothesis enables to reexamine the criterion of the unilateral feature of the suretyship contract, in order to propose a definition and to examine in what conditions this unilateral feature may vary. The approach chosen for the characterization of the suretyship is then carried on, in order to verify what is left from the regime of unilateral contracts in the domain of suretyships. It appears that suretyship is always a unilateral contract, and that French law continues to treat it that way.. Second, the study is carried on by the analysis of the characterisation and the regime of the legally- and judicially-imposed duties on the beneficiaries of a suretyship for thirty years. In suretyship law, the legal duties are « incombances », a norm inspired from the laws of Switzerland, Germany and Belgium. In civil law, the creditor is bound by the duty of good faith, loyalty or even behavioral consistency, which all exprès the binding power of the contract of suretyship but hide no contractual obligation per se, strictly speaking. As for the régime of duties imposed upon the creditor, it is dominated by the sanction of forfeiture in suretyship law, and by civil liability in civil law. In the end, changes do not affect the unilateral aspect of the suretyship contract ; they should alter the way we approach the elements that cast a doubt on it, be it in the law of obligations of in the judicial practice

Full textFor the past ten years, the use of high tensile steel and the productivity requirements have les respectively to an increase in pressure and speeds in the drawing process of steelcord. The control of both lubrication and wear of the wire/die contact is a key point for the process optimisation. This study deals with built-up of the interfacial lubricating film in this high pressure contact lubricated with an emulsion. The rheological behaviour and the wetting properties of the lubricant in the inlet zone of the wire/die contact are important parameters. The inlet zone, where the lubrication regime is elastohydrodynamic, governs the formation of the lubricating film and the lubricant supply of the contact. The knowledge of the lubricant behaviour in this inlet zone is crucial to understand the lubrication in the drawing process of steelcord. This has been experimentally investigated with an EHL tribometer and chemical analyses of the lubricant film. It has been shown that a change in the physical structure of the lubricant due to ageing is a necessary condition to build-up a lubricant film. A model based on the analysis of the starvation process has been developed to evaluate the rheaological properties of the lubricant film formed on the contacting bodies. The adherence and slippage at the wall of the lubricating film is explained by electrical interactions between the metallic surfaces and lubricant particles. Both formation and breakage of the lubricating film are connected with the industrial process. The wear of the drawing die is studied in details with an instrumented drawing machine especially developed for this purpose. This study demonstrates that the interactions between the transfert layers observed on the surface of the drawing dies and the lubrication process. In the first step of the process, the lubrication regime appears to be essentially plastohydrodynamic. As the running conditions become more and more severe in the last steps of the process, a boundary regime is reached. Finally, hypothesis based on the different observations pointed out in this study are proposed to explain the wear mechanisms

Full textAccording to the Public Health Code, the use in a scientific purpose of human body components and products implies many operations such as storage, transferring and selling. These operations enable a movement of the components and products, between researchers, which is necessary to the sharing of knowledge and know-how in order to develop new drugs. If the legal framework of this use can be summarized to an administrative control, the lawmaker refers as well to some operations like contractual practices such as transfer agreement. Nevertheless, the Civil Code obstruct, by public policy rules, the components and products to be subject to a right of ownership. This apparent contradiction led to wonder about the legal nature of the components and products detached from the human body for a scientific use. Such components or products are termed in the research field as « human biological material ». The use of this notion incite to clarify the legal system applicable in order to both strengthen the defense of the person from whom the human biological material is taken and the use of this human biological material

Tesla is not a traditional company when it comes to advertisement or marketing – they have never advertised themselves through traditional media channels such as TV-commercials, newspapers, or radio. Instead they rely, and use their own fans and consumer’s media channels for marketing purposes. Since Tesla is such a modern and technological company which gets a lot of attention around the world, it is not strange that people find them and their products interesting. Therefore, a fan community has grown around the company. Fandom is a culture based on a mutual interest about a certain or specific matter. The culture is based on community, values and a shared interest in the subject. The purpose is primarily so share material with people with the same interest, not to profit on it. Tesla is aware that they have a strong fan community, which led them to launch “Project Loveday” – a project where their fans got the possibility to create their own Tesla commercials which later would be broadcasted and posted on Teslas own website. The purpose with this study is to obtain what Teslas fans and enthusiasts wants to communicate in their own produced movies in the “Project Loveday” campaign. This will be done by answering our questions of issue, which includes how fans and enthusiasts presents Teslas electric cars in their own produced movies, as well as what kind of futuristic connotations, symbols, ideologies, and myths that can be seen in these movies. By using semiotics as our choice of method we will interpret the different signs which occurs in the chosen movies, and analyze their content in an understandable manner regarding what they try to mediate. The result of the study shows that the perceptions about the future which occurs in “Project Loveday” includes associations to space, and the technique it brings along. It also shows that Tesla possesses this technique and therefore can be seen as a part of the future.

Full textIn this project I examine curatorial processes and the experience of constructing and viewing museum exhibitions. Specifically I have been interested in the way in which certain exhibits facilitate powerful emotional responses from their viewers. I suggest that the curators of these kinds of exhibitions employ strategies which not only choreograph the displays but the viewers' bodies themselves as they move through them. As a case study of an experiential exhibition I focus on the District Six Museum where I have been part of its curatorial team since 1999. The work of curatorship that I have done at the Museum during the period of my registration for this degree constitutes part of this submission.

Full textFriction-Induced Vibrations (FIV) are a complex phenomenon which arises each time two surfaces undergo relative sliding. During the last decades, a significant amount of experimental and numerical works dealt with Friction-Induced Vibrations, while the simulation of the dynamic excitation from frictional contacts has always been a real challenge to face in many industrial research areas. In this research framework, this work is addressed to the investigation of the Friction-Induced Vibrations, carrying on at the same time experimental and numerical analyses; a new numerical approach is proposed to reproduce the local dynamic excitation from the contact and its effect on the vibrational response of the system, without significant increase of the computational time costs. The mechanical system, object of the investigation, is composed by two steel beams in frictional contact during relative motion; the simple dynamics of the system allows for distinguishing between the dynamics response of the system and the broadband excitation coming from the contact. A parametrical experimental campaign has been conducted to analyse the effects of three main contact parameters (the relative sliding velocity, the normal load and the surface roughness) on the system vibrational response, i.e. on the induced vibrations. In parallel, a numerical model has been implemented to reproduce the local dynamic excitation from the contact and its effect on the vibrational response of the system. A new friction law has been introduced in the model, proposing the use of a perturbative term in the friction coefficient in order to simulate the effects of the contact excitation. The inclusions of the local dynamic excitation, due to the contact phenomena, by the perturbation term of the friction coefficient allows to correctly reproduce the Friction-Induced Vibrations without introducing a representation of the real surface topography, which usually needs a large number of elements, saving then computational time. Different signals for the perturbative term have been tested to simulate correctly the measured vibrations. The evolution of the perturbative term recovered by an inverse method allowed for highlighting the different spectral contributions of the local excitation coming from the contact. The comparison between the measured Friction-Induced Vibrations and the ones simulated numerically showed good correlation, validating the proposed friction law. Finally, the effect in a change of the sliding velocity and surface roughness have been simulated numerically too and correlated with experimental results

The college sports industry is seeing a change in its marketing strategies with the rise of the popularity of social media. Facebook and Twitter are the two most common social networking sites used by intercollegiate athletic departments. Not only are these outlets used to foster two-way communication with fans, but they are also used as advertising and public relations tools. The purpose of this study is to compare the Kansas State University of Intercollegiate Athletics’ social media objectives and content with the level of satisfaction among representatives of the K-State fan base. Is the athletic department producing the social media content that their fans want to see? In order to gain a better understanding of the nature of the study, in-depth interviews were conducted with various staff members in the K-State Department of Intercollegiate Athletics to determine the social media objectives and to gather their opinions on the content. From there, two focus groups were conducted to ascertain the level of satisfaction among K-State fans with the current content. One group consisted of students while the other group contained K-State alumni. Findings showed that fans were pleased with certain aspects (i.e. score updates on @kstategameday, conciseness of Twitter, videos, etc.) but wanted to see more of other items such as K-State trivia, behind the scenes footage and more on student-athletes. The information gathered was then used to provide suggestions for future social media strategies within the K-State Athletics Department. The recommendations will help to enhance communication with fans and satisfy their social media needs as they relate to K-State Sports.
