Abstract:
This book provides timely analysis of the cross-border exercise of banking activity in the EU and its supervision, from the perspective of the ‘home-host rule’. It examines the current system and the efficacy of recent reforms considering whether the centralization of decision making and a more effective mutualization of financing tools could increase the efficiency of the EU banking system. The EU banking market is very integrated since banking institutions based in the Union are free to perform their activities within the common market. This has allowed EU banking institutions to significantly increase their cross-border operations. This way of working is based on the home country control principle according to which EU institutions performing cross-border activities continue to be supervised by their home country supervisor. However, this system has raised challenges for effectively performing supervision and resolution. The book analyses how far recent reforms under the banking union regime have addressed these issues. It analyses the main pillars of the banking union. It also analyses how international standards and EU requirements undertake to divide responsibilities between the home and host state and the extent to which they align interests between the home and host and minimize potential conflicts of interests. The book provides a valuable resource for academics researching on central banking union and regulation, and helps legal practitioners to address questions of supervision, resolution, and insolvency with a cross-border element.

Abstract:
The hybrid and transnational nature of current conflicts poses one of today’s most pressing global security challenges, with crises ranging from western Africa to the Himalayas. This chapter evaluates the policies, strategies, and mechanisms in place in conflicts that encompass transnational security threats such as terrorism, organized crime, and cross-border sectarian insurgencies in the context of UN peace operations. International efforts aimed at addressing these threats have been ad hoc and piecemeal. Further work needs to focus on maximizing the use of existing regional initiatives and reinforcing the policy, operational, and political support for UN missions operating in these environments. The chapter draws from the Malian conflict to reflect on these issues.

Full text
Abstract:
This book provides a distilled and accessible analysis of the European cross-border insolvency law. With reference to the amended Insolvency Regulation (EIR) and related sources it examines the issues involved in intra-member state cross-border insolvency. The book analyses in depth the main areas of change brought about by the EIR such as the restatement of the meaning of 'centre of main interest' (COMI) and the rules on international jurisdiction, the new specific measures for multi-national enterprises, and the move towards co-operation between insolvency practitioners and courts. The EIR represents a very significant development in European insolvency law which will have an impact on all insolvencies with an international element involving a European state. All practitioners advising on the area need a clear grasp of the implications of the changes and this book aims to deliver just that.

Abstract:
Since the Rwandan Genocide in 1994, the border areas of Rwanda, Uganda, and the Democratic Republic of the Congo have been characterized by armed conflict and waves of cross-border migration, which have affected speakers’ realizations of the varieties of Kinyarwanda spoken in the area. The resulting recontextualized language use is best explored through a theoretical background of language ideologies and “border thinking.” With respect to Kinyarwanda, the fluid practice Kinyafranglais and the youth language Imvugo y’Umuhanda have emerged in relation to post-genocide language purification processes in Rwanda. In the ongoing conflict in DR Congo, secret metaphors in Kinyabwisha are used by Congolese armed groups when planning military operations, but they are also adopted by civilians when addressing delicate war-related topics. Pragmatic change in Rufumbira (Uganda) in the adjacent areas affect the realization of linguistic taboos, “sex talk,” and politeness strategies, which all deviate from patterns found across the border(s).

Abstract:
This article focuses on the salient human resource strategy issues and dynamics that come into play as a function of the multinational reach of companies. Although the overall objectives of formulating and implementing HR strategies are the same for national and multinational companies, global HR strategies must take into account factors germane to direct investments made abroad and the management of cross-border operations. At question herein, therefore, is: What factors or considerations are unique to companies operating across borders and what are the implications of these factors in regard to the successful development and deployment of global HR strategies? The article's aim in venturing to articulate a fairly encompassing framework is to stimulate further discussion and debate about how we can better frame our enquiries and analyses to improve our broader theoretical and practical understanding of global strategic HR issues.

Richemond-Barak, Daphné. Underground Warfare. Oxford University Press, 2018. http://dx.doi.org/10.1093/oso/9780190457242.001.0001.

Full text
Abstract:
Underground warfare, a tactic of yesteryear, has re-emerged as a global and rapidly diffusing threat. This book is the first of its kind to examine tunnel warfare in a systematic and comprehensive way, addressing the legal issues while keeping in mind operational and strategic challenges. Like many other aspects of contemporary warfare, the renewed use of the subterranean in armed conflict presents a challenge for democracies wishing to abide by the law. To the author, this challenge has not only been under-explored, it is also largely underestimated by the community of states, security experts, and public opinion. This book analyzes traditional concepts of the laws of war as they relate to underground warfare, contemplating questions such as whether tunnels constitute legitimate targets, the assessment of proportionality in anti-tunnel operations, and the availability of advanced warning in this complex terrain. It also identifies issues unique to underground warfare, including those that arise when cross-border tunnels burrow under a state’s own civilian infrastructure.

Tom, Ruys, Corten Olivier, and Hofer Alexandra, eds. The Use of Force in International Law. Oxford University Press, 2018. http://dx.doi.org/10.1093/law/9780198784357.001.0001.

Full text
Abstract:
The international law on the use of force is one of the oldest branches of international law. It is an area twinned with the emergence of international law as a concept in itself, and which sees law and politics collide. The number of armed conflicts is equal only to the number of methodological approaches used to describe them. Many violent encounters are well known. The Kosovo Crisis in 1999 and the US-led invasion of Iraq in 2003 spring easily to the minds of most scholars and academics, and gain extensive coverage in this text. Other conflicts, including the Belgian operation in Stanleyville, and the Ethiopian Intervention in Somalia, are often overlooked to our peril. Ruys and Corten's expert-written text compares over sixty different instances of the use of cross border force since the adoption of the UN Charter in 1945, from all out warfare to hostile encounters between individual units, targeted killings, and hostage rescue operations, to ask a complex question. How much authority does the power of precedent really have in the law of the use of force?

Abstract:
This chapter evaluates the degree to which employment law facilitates worker participation in corporate decision-making and confers rights upon workers to be informed and consulted about developments in their employer’s business and strategic operations, at both cross-border and national levels. The chapter presents arguments advanced in favour of worker participation, before going on to note how the scope of application of workers’ rights of participation, information, and consultation has expanded over the years—partially in response to the decline in collective bargaining and the power of the trade unions in the UK over the past 40 years or so. Finally, the rights of employees where their employer becomes insolvent or enters into an ...

Abstract:
This chapter is devoted to cross-border principles. It begins with an examination of two sets of opposing principles: unity of proceedings versus plurality and universality or territoriality in the administration of the debtor's assets in insolvency. This is followed by an examination of two major instruments: the widely adopted 1997 UNCITRAL Model Law on Cross-Border Insolvency and the EU Insolvency Regulation (recast), approved in 2015 and incorporating numerous significant changes to the former EC Regulation. The Model Law is concerned with recognition of foreign insolvency proceedings, carrying with it an automatic stay of local proceedings, and the status of foreign administrators and duties of co-operation with foreign courts and foreign administrators. The EU Insolvency Regulation (recast) is primarily a conflict of laws regulation governing jurisdiction and the law applicable to insolvency matters.

Full text
Abstract:
This chapter examines the crucial role of Financial Market Infrastructures (FMIs) during a crisis. It addresses the three asymmetries surrounding the rules on FMIs’ defaults and looks at how to improve the legal soundness of crisis prevention and crisis management measures for FMIs. The first asymmetry stems from the fact that different bankruptcy procedures are applied to different systemically important financial market participants, as well as the fact that conflicts of laws arise from the bankruptcy of entities with cross-border operations. The second arises from the expansion of FMI services and relates primarily to two otherwise benign features which central counterparties (CCPs) offer to their members for the products they clear: credit risk mitigation and loss mutualization. The third and final asymmetry stems from the fact that supervisory authorities have been insufficiently attuned to each other’s legitimate interests and have focused resolutely on their own markets.

Abstract:
This chapter discusses the law of set-off in Italy. Under Italian law, set-off is recognised as a mechanism for extinguishing an obligation. The Civil Code classifies set-off by operation of law, by intervention of the judge, or by the will of the parties. The Code also lays down particular rights of combination with regard to amounts credited and debited to current accounts, as well as specific rights of set-off with regard to balances of a plurality of accounts or other relationships between a bank and its customer. The chapter first provides an overview of legal and contractual set-off between solvent parties before analysing set-off against insolvent parties. It examines the relevant provisions of the Italian Bankruptcy Law and the question of voidable preferences with respect to set-off. It also looks at issues arising from cross-border set-off between solvent parties and cross-border set-off against insolvent parties.

Abstract:
This chapter examines the law of set-off in Chile, both before and after insolvency, as well as the alternatives for contractual set-off structures that may be agreed among two or more parties. In Chile, set-off was created as a legal concept primarily on the basis of practical considerations rather than juridical principles. The right to set-off may arise due to a contractual arrangement between the parties or by the operation of law, including the Chilean Civil Code. The chapter first considers set-off in Chile outside insolvency, focusing on set-off by operation of law and contractual set-off, before discussing set-off in insolvency. In particular, it explains the implications of a declaration of liquidation under Chilean Bankruptcy Law and its possible consequences for set-off rights. It also analyses issues arising in cross-border set-off.

Abstract:
This chapter provides an overview of the legal framework of set-off in Denmark. Under Danish law, set-off may be claimed without prior agreement between the parties. Certain basic set-off requirements, founded on general principles regulating set-off rights, are firmly established in Denmark. The chapter begins with a discussion of set-off between solvent parties, focusing on set-off by operation of law, expanded set-off by operation of law (connected claims), expanded set-off rights by agreement, and limitations on the right to set-off. It then considers set-off against insolvent parties, taking into account the relevant provisions in the Bankruptcy Act as well as close-out netting. It also analyses the law applicable to set-off between solvent parties and set-off between insolvent parties in the context of cross-border transactions.

Abstract:
This chapter provides an overview of the law of set-off in Romania, both outside and within the context of insolvency. Under Romanian law, set-off is of two types: legal set-off, which arises by operation of law, and contractual set-off, which arises through a written agreement between parties. The rules for legal set-off are laid down in the Romanian civil code adopted by Law no. 287/2009 (the New Civil Code). The chapter first considers legal and contractual set-off between solvent parties before discussing set-off against insolvent parties. It explains bilateral set-off as well as financial collateral and challenge in insolvency proceedings. It also analyses the provisions of EU Regulations, EU Insolvency Regulation, and the New Civil Code that are relevant to cross-border set-off.
