Abstract:
U.S. multinational corporations are well known for shifting income to low tax foreign subsidiaries to avoid U.S. income tax. Yet little is known about how multinational corporations opportunistically use low tax foreign subsidiaries for financial reporting purpose. Understanding this question has implications for U.S. accounting regulators to set enforcement targets. Using worldwide consolidated financial statements, I examine the role of taxes for multinational corporations to manage earnings in foreign subsidiaries. I find that by managing earnings in low tax foreign countries, multinational corporations can reduce the effective tax rate on pretax accrual earnings by an average of 4.3%. To examine the implication of opportunistic foreign earnings management on investors' equity valuation, I find evidence that investors do not seem to overvalue foreign managed earnings compared to domestic managed earnings, though foreign earnings are on average valued higher than domestic earnings.

Abstract:
Some leaders of U.S. companies fail to implement proper decision-making strategies to enact and execute strategies to realize the benefits provided by a foreign trade zone (FTZ). The purpose of this qualitative case study was to explore and to identify the proper decision-making strategies used in successfully implementing a FTZ. The target population consisted of 5 leaders, including a senior leader, a supply chain manager, and 3 department managers of a company located in the midwestern region of the United States that successfully implemented a FTZ. Porter's competitive advantage theory was the conceptual framework used for the study. Semistructured interviews were conducted with the 5 participants; company documents served as additional sources of data. Triangulation and member checking were used to ensure the trustworthiness of the data interpretation. Three themes (import and export, training, and new processes) emerged from the analysis. The findings of this study could contribute to social change by presenting leaders with information about how to enhance decision-making skills when considering the application of a FTZ to enable the capacity for improvement of social infrastructure that includes telecommunications, electricity, water, and roads.

Abstract:
In an overarching aim to bridge the gap between political science and international business studies, this study explores how, against the backgrond of globalization, multinational coprorations understand and deal with the influence of many differet and sometimes very dynamic political environments, by focusing on the political risk management of a number of Swedish multinational corporations invoved in foreign investing. Based on interviewswith coproate executives in these corporations, this qualitative study found that Swedish invetsors use a "pragmatic" approach toeards political risk and the political envrionments in which they operate. The study also drwas attention to teh role of multinational corporations in teh formation of politica risk as teh result of corporate politiacl activity and the possibility that multinational corporations are moving towards a more pronounced political role.It is suggetsed that political risk needs to be considered not only in terms of the potential impact of the political environment on firms, but also in terms of teh impact of teh firm on the environment, as the political environment cannot be taken as a given, but is the outcome of a process that involves adaption to the environment as well as attempts to change that environment.

Abstract:
Whether organizational slack contributes to or hampers firm performance is a constant debate in research and practice. Despite of many empirical studies, the issue remains inconclusive. Nevertheless, previous studies have offered valuable insight that monotonically pursuing a one-sided argument to the issue will unlikely leave the predicament. Instead, a more specific analysis of particular types of slack and the institutional context will be more fruitful in advancing research in this subject. Notwithstanding this insight, however, the mainstream in slack literatures largely focused on financial slack. Attention given to human resources slack is sparse, in particular human resources slack in research & development (R&D HR slack). In addition, most empirical works have confined their inquiries around slack in developed countries and drawn on theoretical perspectives that pay little attention to the institutional context in which the decisions in resources selection and utilization are embedded. It is not clear whether their findings could be applied to emerging economies where R&D supportive institutions are generally underdeveloped. Drawing on resource-based view and institutional theory, this study examined the relationship between R&D HR slack and firm performance as well as the moderating role of foreign ownership. This study argued that foreign ownership could bring in new institutional elements and improve the performance of indigenous firms in the long established manufacturing industries in China. The results show that R&D HR slack is positively associated with firms' innovation performance and foreign ownership moderated this positive relationship. In addition, R&D HR slack is also positively associated with firms' stock market performance, and yet unlike innovation performance, this positive relationship is not moderated by foreign ownership. Finally, despite R&D HR slack is positively associated with firms' innovation performance as well as their stock market performance, it has no significant effect on their accounting performance. Based on these findings, this study proposed a new theoretical perspective borrowed from the symbiotic theory to describe the effect of foreign ownership on the relationship between R&D HR slack and firm performance for future studies.

Abstract:
The objective of this study is to investigate the reasons for international assignments ending in failure, using the current models of expatriates’ premature withdrawal decisions, so as develop solutions to those problems. Studies of expatriate failure and effects of expatriate satisfaction on organisational performance have been conducted but most of them in the overseas countries. These studies revealed that the practice of employing expatriates is a strategic move on the part of the multinational corporation to increase the international experience and knowledge base of present and future managers. Even though studies on strategies that companies can use have been done extensively, research still shows that a large number of overseas assignments end in failure. Failure being described as the premature return to the home country, not being able to adjust in the host company or country and immediately living the company upon return from the assignment. It is for this reason that in the researcher decided to investigate what could be the reasons that cause the expatriates to return home early. The research will be of importance to South Africa firstly, as organisations that are operating globally will copy the business systems and processes practiced in developed countries, and later bring knowledge, skills and expertise that will help in boosting the economy of the country. Secondly, the organisation's Human Resource Management will develop practices to ensure the successful and effective retention of expertise. Expatriate failure will be reduced and the process of repatriating expatriates will be meaningful. Individuals assigned will not find it difficult to adjust in the parent company, and later take the skills they have learnt to another company. Thirdly, managers generally will understand the challenges that accompany expatriation, and be able to meet those challenges. The research becomes an investigative research as one tries to establish if there is concurrence or deviation with the current models. A sample is drawn from a list of international companies that have operations overseas. The researcher has tried to get responses from companies in all provinces of South Africa so that the sample can be fully representative. The questionnaire is used as it is a common instrument for observing data beyond the physical reach of the researcher. The questions were selected to address each of the factors affecting decisions to withdraw from the country of assignment. Responses from the expatriates have helped to develop a new model that encompasses all the factors that cause the expatriates to leave the assignment early as well to develop solutions to the problems. This will not only help the multinational corporations to save on costs, but will also ensure that the company and the expatriate benefit from international assignment.

ENGLISH ABSTRACT: “Africa’s not for sissies” is what one often hears when discussing business conditions in sub-Saharan Africa (SSA). For purposes of this study, the relatively well-developed country of South Africa has been excluded from the definition of SSA. The region boasts some of the lowest human development index scores and economic growth levels in the world, while enjoying the unenviable reputation as one of the most corrupt places on earth. The fact that SSA fares poorest of all when it comes to attracting foreign direct investment (barely 1% of global inflows), is due to foreign investor perceptions of unacceptable levels of country risk that keep them from investing in the region. Reasons for SSA’s malaise are instructive as context for the status quo and include the aftermath of colonialism, continued flare-ups of ethnic-induced civil unrest, the lingering effects of a disastrous flirtation with socialism and a recent generation of corrupt and incompetent leaders. However, the good news is that the new millennium increasingly exhibits significant trends in support of the notion that a reversal of SSA’s fortunes is underway: annual GDP growth in the region is well ahead of the global average, civil wars in the region have largely come to an end and, for two years running, private equity investment flows into the region have surpassed that of foreign aid, Africa’s traditional ‘crutch’. Importantly, a small band of early-mover Multinational Corporations (MNCs) are making their presence felt in the region and beginning to make good profits. These firms include the likes of Diageo, The Coca-Cola Company, MTN and SABMiller. Still, today’s business environment in the small, impoverished markets of SSA remains extremely challenging, characterised by poor infrastructure and skills, coupled to an unhelpful officialdom. The purpose of this study is to research the impediments to investing in SSA, both real and imagined, and then to discuss ways of overcoming these. By applying a qualitative research methodology, including the use of case studies and structured interviews with selected executives of the MNCs active in the region, key success factors for investing and operating in the region will be identified and explained.
AFRIKAANSE OPSOMMING: Enigeen wat ‘n besigheid in Afrika bedryf is dit eens dat ‘n mens hare op jou tande nodig het om hier sukses te behaal as gevolg van die aansienlike aantal struikelblokke wat ‘n mens te wagte moet wees. Hierdie studie is gemik op die onontwikkelde Afrika lande, suid van die Sahara woestyn (ASS). Suid Afrika word vir doeleindes van hierdie studie uitgesluit uit die definisie van ASS, weens die land se relatiewe gevorderde besigheidsklimaat. Ongelukkig word die lande van die ASS streek oorwegend gekenmerk deur lae peile van ontwikkeling, asook lae ekonomiese groeikoerse. Die streek word boonop beskou as die mees korrupte plek op aarde. Dit is dus geen wonder nie dat ASS die slegste van alle streke vaar wanneer dit by besteding deur buitelandse beleggers kom nie – laasgenoemde glo eenvoudig dat die gepaardgaande risiko verbonde aan die maak van ‘n belegging in die streek onaanvaarbaar hoog is. Sommige van die redes wat aanleiding gee tot hierdie teleurstellende toedrag van sake is insiggewend as konteks vir hierdie studie, insluitend: die nagevolge van die era van kolonialisme, sporadiese uitbarstings van etniese geweld, die negatiewe gevolge veroorsaak deur die onlangse beheptheid met sosialisme onder baie van die streek se lande, asook die uitwerking van uiters swak leierskap in die streek gedurende die tweede helfte van die 20ste eeu. Die keersy van hierdie swak beeld is dat ‘n aansienlike verbetering in toestande te bespeur is sedert die aanvang van die 21ste eeu. Die Bruto Nasionale Produk van ASS lande groei nou vinniger as dié van enige ander streek op aarde. Die voorkoms van burgerlike onrus en geweld in die streek toon ‘n beduidende afname. Vir die eerste keer ooit is die waarde van buitelandse beleggings in ASS groter as die waarde van hulp en ondersteuning wat die streek van die buiteland ontvang (en waarop die regerings van die streek tradisioneel staatgemaak het om basiese dienste aan hul inwoners te verskaf). Daarna word die fokus verskuif sodat oplossings geformuleer mag word ten einde hierdie struikelblokke uit die weg te ruim. ‘n Kwalitatiewe navorsingsmetode word nagevolg. Dit sluit die gebruik van gevallestudies en gestruktureerde onderhoude met senior verteenwoordigers van internasionale maatskappye met filiale in ASS in. Die vernaamste uitslag van die navorsing is die daarstelling en verduideliking van ‘n stel kritieke suksesfaktore wat as handleiding mag dien aan diegene wat besighede in die streek bedryf.

Abstract:
This study explores the cultural adjustment of the domestic partners of German expatriates working in the Nelson Mandela Bay automotive industry of South Africa. The data was collected by distributing pre-interview questionnaires to the participants and conducting in-depth interviews with them. Grounded theory was used in the data collection and analysis and an auto-ethnographic approach was employed, allowing for reflexivity. The findings suggest that the expatriated domestic partners did not necessarily experience much difficulty in adjusting to South African culture as they did, for example, adjusting to not being able to work for the duration of their stay. The research has also shown that the unmarried domestic partners of expatriate employees are at a disadvantage compared to their married counterparts; receiving less assistance from the companies of their partners. Based on the findings, it has been recommended that companies refine and streamline the assistance they offer to the domestic partners of their expatriate employees, providing all domestic partners with the same pre-departure training and entitling them to the same benefits.

Abstract:
This dissertation provides a journey into the world of beliefs and values of Saudi Arabia’s organisations, people and society at large, and how these influence and shape HRM practices and the employment relationship in the country. Designed as a single country case study, the dissertation uses a multi-case research design where two large companies operating in Saudi Arabia (an indigenous and a foreign multinational corporation) are explored and compared through methodological triangulation in data collection methods (interviews, surveys and focus group). The main findings identify that institutional pressures (regulatory and normative) are strong catalysts facilitating the impact of Islamic teachings on the workplace in the Kingdom of Saudi Arabia. The regulative forces represent the organisations’ rules, regulatory constraints (forced by regulatory bodies) and penalties for violations. They are a result of the KSA’s legal system and its political culture. The normative forces identify values and social behavioural norms which define how things should be done within the organisation. They are a result of the wider Saudi culture. Apart from its contribution to knowledge of the HRM practices of Saudi Arabia at micro- and meta- level, the dissertation also provides an analysis at two additional levels. it contributes firstly to the growing knowledge on the influence of Islamic beliefs in the workplace, and secondly, to the enlargement of theory on the subject of religion and its impact in the workplace. Moreover, the dissertation makes a contribution to the literature on HRM practices and approaches in Saudi Arabia. This extends to other countries of the Arab Gulf, holding strong potential to become a source of knowledge and reference for foreign organisations which operate and wish to operate in that region.

Chinese presence in Africa has been rapidly increasing in the past few years and has been speculated to be mainly due to China seeking Africa’s political alliance and access to Africa’s natural resources and growing consumer markets. The growing presence of Chinese organisations in Africa, however, has not been without its challenges. In particular, Chinese multinational corporations (MNCs) in search of consumer markets in Africa have been cited as facing human resource (HR) challenges which may affect their organisational performance. In this regard, literature on human resource management has already established the important role of organisational culture, HR practices and organisational commitment in enabling organisations to achieve superior organisational performance. Given the fact that there is currently little research knowledge of Chinese presence in Africa at the organisational level, this research aimed to contribute empirical knowledge to the growing body of research in this area. Specifically, the main purpose of this research was to examine how the organisational culture of a Chinese MNC’s South African subsidiary has shaped the nature of its high commitment work system (HCWS) and to assess the consequences thereof on organisational commitment. In alignment with the phenomenological paradigm, the research applied a descriptive and explanatory case study methodology in order to generate rich, qualitative data which was required for in-depth descriptions and to uncover the underlying interactions of the researched phenomena at the subsidiary. The selected case for the research was, therefore, a Chinese MNC operating in the personal computer (PC) industry, which had expanded its operations to South Africa in order to reach Africa’s growing consumer markets. In particular, the South African subsidiary served as a PC sales and distribution organisation for the Chinese MNC. There were about 40 employees at the subsidiary who were all South African employees. Semi-structured, in-depth interviews were conducted with twelve employees from different job functions and across different job levels. Data collection was guided by the theoretical frameworks by Cameron and Freeman (1991) for organisational culture and Xiao and Bjorkman (2006) for the HCWS and organisational commitment. The data collected from interviews was then analysed through a qualitative, content analysis process. The findings of the research thus pointed to the market culture as the dominant organisational culture type at the South African subsidiary of the Chinese MNC; characteristics of the adhocracy and clan cultures were also discovered. The externally oriented market culture was found to be the most relevant for the high performance and market leadership aspirations of the subsidiary. The market culture also appears to be the most appropriate organisational culture that would enable the subsidiary to deal with the competitive nature of the PC industry. Furthermore, it was found that certain cultural values emphasised by the Confucian and Ubuntu value systems could have had a part to play in the formation of the subsidiary’s organisational culture. The market culture was also found to have had the greatest influence in shaping the primarily performance oriented HCWS practices. Of the investigated HR practices at the subsidiary, all were found to be consistent with HCWS practices, with the exception of ownership practices and the performance appraisal system. Finally, although there were generally high levels of organisational commitment reported at the subsidiary, other job and organisational context factors besides the HCWS practices were found to be the major contributors to those feelings of organisational commitment. By investigating the organisational culture, HCWS and organisational commitment of a Chinese MNC in South Africa, this research has added to the body of knowledge concerning the growing presence of Chinese organisations in Africa. Based on the empirical findings of this study, several recommendations have been made in an attempt to assist the Chinese MNC manage the organisational commitment of its South African employees towards superior organisational performance.

Since 2008, the Taiwan government has deregulated and encouraged foreign companies to initial public offering in the Taiwan exchange market. There are several scandals because of incompleted supporting measures. The government attempts to update the chapter of foreign company in the securities laws to prevent malfeasance. However, there are still some companies using false financial statements to raise funds from the market. Therefore, according to the market chaos in Taiwan, the objectives of this study are to discuss the following isues in terms of practical and theoretical aspects. The supervision of the listed companies in Taiwan generally is more stringent than the other countires. However, why does listing in Taiwan by foreign issuers have higher risk? How do investors make the decision from the available financial statements? Are the current laws enough to protect the interests of investors? How do other countries supervise and regulate the listed companies by foreign issuers? If there are illegal issues of the foreign companies listed in Taiwan, in terms of the international status of Taiwan, will trans-national litigation legal assistance feasible? Based on the above puzzles, this study employs the the literature analysis, regulatory research and cases study to discuss the issues. This study takes advantage of the case of ABC Holding Limited to discuss the related issues. After the proposed amendments of the Acts and the make up of the related potential problems, thie study comments on the related regulatory and supervisory systems and provide some constructive suggestion for the future improvement. In addition, in line with globalization of the securities markets and enhancement of the competitiveness of capital markets and economic development, Taiwan can follow the example of other countries to attract internationally renowned enterprises listed in Taiwan exchanges without raisng funds. Therefore, it can make Taiwan market more active and integrated with international standards

Taiwan is an export-orientation country. The frequency of international trade in Taiwan is quite high. So it increases the enterprise exchange rate risk that generate by holding foreign currency assets and liabilities. The import and export-oriented cor-porations will generate a huge amount of exchange gains and losses. So violation of exchange rate is one of the main reasons to affect the corporations’ earning. A lot of corporations will forecasts the trend of foreign exchange rate to reduce the exchange rate losses. This forecast can use as a reference value on corporations’ earnings management. First, we must predict the exchange rate and found a clear trend of the future exchange rate. Then chooses the advantageous transaction price, this deal will affect the exchange rate gains and losses. The purpose of this study is the deci-sion-making and impact on foreign exchange earnings forecasts to corporations’ earning management. For match humanity's thought in study method. Such as weather reports is based on a range of notes. For example, the temperature is 20-28 degrees tomorrow in Tai-pei. This study was the use of fuzzy theory research methods to build the model. While in trend research model is based on General Autoregressive Conditional He-teroskedasticity (GARCH) model for the future trends in research and analysis. The main of decision-making model based on fuzzy theory to study the trend for the ex-change rate. As well as the transaction price of the surplus resulting from the decision-making performance management issues to be addressed. This study uses Fuzzy Theory to construct the model of research method. On the trend research model is based on General Autoregressive Conditional Heteroske-dasticity (GARCH) model for the future trends to study and analysis. We are focusing on forecasts the range of exchange rate for corporations and help to solve problems resulting from decision-making performance management.

When the multinational corporations are growing up in Taiwan, the international knowledge management should be viewed as a priority issue. This research is about empirical studies of foreign multinational corporations, which invest in Taiwan. In addition, this thesis presents a test on a conceptual model which involves the organization culture, the culture of parent company''s geographic area, the knowledge characteristics, the knowledge management characteristics, the methods of knowledge management, the characteristics of organization''s worker and the degree of organization knowledge management''s satisfaction. Then this thesis can help Taiwan''s corporations to build the suitable knowledge management strategy and enhance their competitiveness. This research applies multivariate analysis to get the findings of organization culture and the culture of parent company''s geographic area that will affect the degree of knowledge management''s satisfaction and the knowledge management characteristics. The organization scale and the methods of knowledge management will influence the degree of knowledge management''s satisfaction. This study also presents that knowledge management characteristics are the moderators of the organization culture''s and the culture of parent company''s geographic area''s affects to the degree of knowledge management''s satisfaction. Besides, the influence of the organization culture to the degree of knowledge management''s satisfaction will be affected by knowledge characteristics. Another conclusion is the knowledge characteristics influence the degree of knowledge management''s satisfaction through knowledge management characteristics. In recent years, businesses of mid to large size have gone beyond domestic markets when considering capital raising options. Due to expansion necessity, businesses engage in various pre-planning events before timely executing capital raising activities. Such pre-planning events include conducting investigation on both domestic and international economic trends; considering pros and cons of various capital injection tools; taking into account of its own financial structure; and of course, the actual capital needed. Indisputably, recent trends have made “Euro Convertible Bond” (ECB) one of very popular and important tools when businesses consider capital injection. This trend does not only impact domestic economic condition as a whole, it also impacts individual businesses immensely. The main purpose of issuing ECB is to raise capital. However, because ECB raises capital in foreign currencies, exchange gains and losses are inevitable, as businesses’ financial and accounting systems are based in NTD. Generally speaking, businesses pay great attention and manage these types of foreign exchange risks and impact on overall foreign exchange very carefully. They would also utilize “forward exchange”, “options”, and other types of financial tools to minimize ECB risks, or using foreign asset and liability accounts to control and regulate the impact. In addition, governmental authorities would require businesses to well implement relevant risk-prevention measurements when issuing ECB. To better understand various risk-prevention measurements that businesses take when issuing ECB, and also their management on common foreign exchange risks, this thesis focuses on five different companies in electronic industry. One-on-one interviews were conducted with each of the companies to further recapitulate how companies in electronic industry handle ECB and foreign currency exchange issues. The five companies are Delta Electronic Inc., Compal Electronic Inc., HannStar Display Corp., AmTran Technology, and Silicon Integrated Systems Corp.. According to research, most companies do implement some kind of preventive measurements on ECB and foreign exchange dealings. However, there is still lacking of common guidelines. Specific types of implementation actions businesses take depend on their level of risk endurance, and also the goals on foreign exchange management.

This thesis sets out to examine the use and character of employee voice practices in foreign owned multinational enterprises operating in Australia. It specifically focuses on the impact of union presence and a strategic human resource management approach on the employee voice practices. To address the research questions a quantitative research method was adopted utilising a questionnaire. This was conducted through face to face interviews with the HR managers of a sample of 171 foreign owned multinational enterprises operating in Australia. To examine the character of employee voice practices, frequencies and cross tabulations were conducted. Logistic regression analysis was carried out to determine the influence of a union presence and strategic human resource management approach on employee voice practices. The findings provide a comprehensive snapshot of the current character and influences of employee voice approaches adopted by multinational enterprises in the Australian context. This thesis demonstrates that foreign owned multinational enterprises are high-level users of the full range of direct employee voice mechanisms with the exceptions of use of employee suggestion schemes. Indirect methods such as trade union recognition and the use of joint consultation committees across all sites were not utilised to the same extent. It was also found that trade union presence and a strategic human resource management approach; greenfield site and country of origin affect the employee voice approach adopted. High trade union presence is associated with an indirect employee voice approach. A low trade union presence is associated with a direct or a minimalist approach to employee voice. A strategic human resource management approach is associated with both direct and dualistic approaches to employee voice. Implications can be drawn for theory and management practice.

Recently, the Saudi Capital Market Authority (CMA) opened the door for foreign investors to invest directly in the stock exchange market (Tadawul) to gain more welfare from their investments. Along with this step, the CMA released a set of Rules for Qualified Foreign Financial Institutions Investments (RQFFII) in Listed Shares 2015 that aimed to attract and protect the shareholders' rights. In this research project, the RQFFII have been examined to discover the level of attraction that these Saudi rules offer to foreign investment. The project also aimed to highlight strengths and weaknesses in the rules with regard to the protection shareholders' rights. This thesis explored the possible influence of foreign investments in the Saudi stock exchange. The research project aimed to increase the CMA and shareholders' awareness and knowledge in regard to these rules which lead to more protection of the local stock exchange.

With the booming development of international trade , enterprises mostly adopt the mode of the multinational operations through the cross-border operations, foreign direct investment or indirect investment in ways to reduce the risks and uncertainties in domestic business based on the global layout. The most common pattern of tax avoidance would be setting up subsidiaries in tax haven and shifting the income to low-tax regions in order to reduce the group’s tax burden and maximize overall profits; Or use a tax haven to set up a paper company to convert the occupant’s identity and avoid the tax burden of the home country. In response to the trend of enacting general anti-avoidance rules in other countries, policy makers in Taiwan amended the Article 43-3 (Controlled Foreign Corporation Rule) and Article 43-4 (Places of Effective Management Rule) of Income Tax Act on July 12, 2016. In coordinate with the OECD “Common Reporting and Due Diligence Standard”, the Ministry of Finance issued the “Common Reporting and Due Diligence Standard” on November 16, 2017. Taiwanese companies used OBU accounts for earnings allocation and concealed assets. After the overseas funds are exposed, the Taxation authority can conduct the check of the Controlled Foreign Corporation Rule and the Places of Effective Management Rule, which will help to restore the loss of tax base. In this study, specifically analyzes the Controlled Foreign Corporation Rule and the Places of Effective Management Rule, and proposes relevant recommendations for future adoption. In the case of Taiwanese companies setting up paper companies in tax havens, the impact of the new law on the Places of Effective Management Rule of Article 43-4 of the Income Tax Act will be discussed.
