Full textThe cooperation contract is a legal type common to the three European directives on concessions (art. 17, para 4, dir. 2014/23/EU), procurement in the public sector (art. 12, para 4, dir. 2014/24/EU) and utilities (art. 28, para 4, dir. 2014/25/EU), which never introduced before, but established by the case law. Essentially, such contract is aimed to the cooperation in the public services in common through the sharing of activities exposed to the open maket, and configures, at a formal level, (i) an arrangement concluded exclusively between public bodies, (ii) exempt from the obligation to follow the competitive procedures. The research focalizes both the characteristics of the legal type and aims a twofold objective: on the one hand -structurally-, criticizing the adequacy of the concept of public agreement in order to qualify the nature of that contract, and on the other hand -functionally-, extending the scope of that exemption beyond the classic freedom of cooperation and organization of public services in aggregate form, provided by art. 2, para 1, second sentence, dir. 2014/23/EU). This entails the following two questions: whether the cooperation contract resolves essentially in the codification of European law in the context of a purely internal situation (the cooperation agreement) and, if not, this type of contract involves the exemption from the obligation to follow the competitive procedures of a situation that in any case does not fall within the scope of the fundamental freedoms (as an instrument of in house providing in a broad sense). To this purpose, I will delve into the jurisprudential origins of the present legal type, in such a way to reconstruct the logical and chronological path which leads to differentiate such a cooperation contract from the public-public partnership, from the in-house contract and, finally, from the cooperation agreement, by means of the comparison with the legal types of inter-administrative arrangement provided by the domestic law, which the European law takes into account without a full harmonization. In the light of this analysis, I will seek to point out the codified notion of cooperation contract represents the evolved version of the collaboration agreement, with which are exempted public contracts and concessions relating to economic activities exposed to the open market, aimed to the provision of public services and exchanged in cooperation within the public sector. At the core of this interpretation is the provision, introduced in innovative way than the previous case law, that allows the performance in cooperation of activities exposed to the open market, as provided in subparagraph c) of the cited articles. Furthermore, with regard to structure yet, it will observe that the cooperation contract does not overlap or interfere with the in house providing in a narrow sense, even if this kind of contract is inserted in the same statutory package. Turning to the scope of the exemption from the functional point of view, it should be noted that as part of the contractual cooperation was allowed, in the recitals of the 2014 EU directives, the integration between public bodies to carry out complementary activities. In summary, I want to argue that the cooperation contract is formally an inter-administrative arrangement and essentially a public contract as, structurally, may relate to activities ancillary to the public service, and does not imply any in house relationship, and to demonstrate that, functionally, the exemption of that contract goes beyond simple service aggregation and is extended to cases where there is the sharing of performance by carrying out complementary activities.

Full textThe social services sector has always been, by virtue of the specific features that distinguish it, the subject of doctrinal reflections and of a regulatory regime that are separate from other public services. Moreover, from a historical point, as already evidenced by the law 17 July 1890 n. 6972 (the so-called Crispi Law), the presence of private providers has always distinguished it for its particular size and arrangements in the sector. The recent importance of such activities in European Union law, whose purpose it is to promote and guarantee the competitive dynamics also in this domain, cannot fail to be affected by these said characteristics. It follows that the category of social services of general economic interest requires specific adaptations of those principles and rules developed for the broader category of services of general economic interest. The search for traces of regulatory specificity in this sector, even within supranational law, has thus been the main theme of this research. We have, in fact, tried to reflect on the impact of European Union law on nationally developed social services delivery models that provide for the involvement of privately disbursed services. All this is with particular reference to the area of freedom of establishment, the Services Directive and public contract law. This reflection, especially contained in the third chapter, has been the culmination of a journey that has developed along two directions. On the one hand, we tried to reconstruct the evolution of the very notion of social services and the legal morphology of social services in national law starting from the above mentioned Crispi law of 1890. In particular, the research has focused on the role given to private operators in the provision of welfare services on behalf of the public administration. In the first chapter we give account of the conformative impact of different constitutional provisions on these profiles (art. 2 and 3, clause 2, art. 38, last clause paragraph, but also art. 41); the effects resulting from the allocation of competences and responsabilities vis-a-vis this matter at regional and local levels; the role of the principle of horizontal subsidiarity; as well as the process of integration between social services and health services (thus becoming health-and-social services), which has led to the emergence of organizational solutions not always completely referable to those "typical" of the two original fields. For this reason, even the delivery models of health-and-social services have been analyzed in the light of EU law. On the other hand, in the second chapter, it was decided to "place" the research scope in the context of European legal system due to the necessary reference of the subject matter of social services to such system. Subject of analysis has been both the category of services of general economic interest, its evolution and all the concepts / institutions connected to it (economic importance activities, act of assignment, the mission of general interest, etc.); as well as the category, more specifically, of the social services of general economic interest. Revisiting this was an opportunity to try to systematically frame the different, and, in some ways, fragmented interventions of the European institutions regarding social services. The thread that holds together the three parts of the research consists of the constant effort to figure out what is, at the present state of play, the subtle but consistent plot that connects - more than what appears at a superficial level - disciplines that seem to be inspired by principles and values traditionally considered in contrast: solidarity and competition, social issues and market rules. If the entire European building is based on a oxymoronic statement of a “social market economy,” the investigation of the social and socio-and-health services sector has sought to show that this is in fact not oxymoronic, given that it was able to generate a regulatory fabric that is not only hybrid and complex, but which is testimony of a new regulatory dynamic ; this will hopefully be able to build a connecting bridge and not erect a wall of separation and incommunicability between values and principles considered irreconcilable.

Full textPurpose of the job is to closely examine the theme of the concession of services, in the light of influence exercised by law and jurisprudence, in consideration of the enormous economic affairs involved. The EU and National regulations were analyzed, as well as pronouncement by the Court of Justice and the domestic Tribunal. Neither was a necessary background excursus neglected. The study revealed that up to today this kind of public contract has no precise and comprehensive disciplinary regulation at either community or National level. Nevertheless, National regulations adopted in implementation of directives and principles ratified through sentencing, do nowadays guarantee a greater transparency, publicity and ‘par condicio’ in procedures for tenders and have an important impact on the Italian judiciary sector: ordinary judge or administrative judge. The result of the search constitutes a meaningful contribution.

Full textThe aim of this job is showing the innovations brought by 2014 European Directives in the field of public contracts. Particularly, this elaborate underlines the change of perspective regarding the identification of some new principles with particular attention on how to improve the public spending. This reform wants to question the importance of the competition principle, which was previously considered the only cornerstone subtended to the public procurement market. This work highlights the historical origin of the competition principle, its fundamental role and its evolution through the European Union. It also focuses on its important “ruling” regarding the principle given by the Italian Constitutional Court and by the Court of Justice of the European Union. It analyses the principles deriving therefrom, particularly on those of equal treatment and non-discrimination and on those of transparency, traceability and proportionality of the process. The purpose here is to underline the novelties pertaining to their application brought by the new directives, through an analytical comparison between directive 24/2014 and the previous directive 18/2004. Subsequently, this elaborate focuses on the transposition of the recent directives into the Italian law, highlighting the intent of the reform to simplify, clarify and reorganise the Italian legislation on public contracts. This appears betrayed by the new normative text through different points of view. Furthermore, the contribution analyses in detail, through the study of the single dispositions of the new Italian Code, the innovations introduced in order to satisfy the purpose of the European legislator – and, consequently, also the one of the Italian legislator. This is adding the principle of the efficiency of public spending and the one of "value for money". In this perspective this job focuses in the first place on the criteria – whose selection has been, on the push of the 2014 Directives, deeply revisited in the new Code. Furthermore, on the institute of the “soccorso istruttorio” – it has also deeply changed in comparison to previous disciplines and on the measures aimed to facilitate the participation of small and medium-sized enterprises (SMEs) in public procurement and on those aimed to promote the sustainable development and the protection of the environment. Lastly, this contribution highlights the principal innovations brought by the new Italian Code to public procurement judgement, underlining its greatest problems – related to the unfair consideration of the Italian administrative justice as the principal factor of the deceleration of public contracts –, and the introduction of a specific discipline about concessions, that is an absolute “novum” for the Italian law, delineating the essential features of it.

Full textThe thesis, after a reconstruction of the present legal framework on temporary contracts in Italy and major European jurisdictions (Spain, France and England), addresses the most important problem areas of the institute. Particular attention is devoted to issues that have arisen as a result of recent legislative changes referred to Connected work (Law n. 183/2010), until the decisive intervention of the Constitutional Court, by judgment no. 303 of 9 November 2011, which declared the legitimate compensation for damages, additional to the conversion of the contract. All the issues addressed have highlighted the difficulties for the Superior Courts, as well as Community and national courts, to find unique and shared a line in resolving controversies on the subject. The paper concludes with some reflections on the issues of flexibility and precariousness in the labor market, through a quantitative and qualitative assessment of the institution in order to provide an answer to some questions: flexibility is necessarily precarious and can be read as special form of employment? What are the possible antidotes to insecurity? In conclusion, it is shown how flexibility can be a problem for businesses and workers only in the long term. The solution was found in the opportunity to invest in training. It is thus assumed a new "flexible socially and economically sustainable", to be achieved through the use of regions and, therefore, the contributions from the European Regional Development: the worker, thus, can be ensured continuity with the work through targeted training and, on the other hand, the employer shall not be liable for costs for the training of temporary employees.

This paper will examine both the accordance of the Italian law to the European directives, in particular to the public procurement rules required to assure the fair and competitive development of the enterprises’ economic activity in the market place, both the special nature of the public administration’s action in its contractual relationships with the economic subjects, always double connected to public and civil law, and therefore involving questions about jurisdictional division and claim for damages.

Full textHolistic expression as a means of action by the private sector to further the public sector, the publicprivate partnership could be perceived as revealing the erosion of the notional categories of public procurment contracts. However, the public-private partnership has not called into question the subject unity. In fact, on the contrary, the legal instruments of the PPP strentgthen it. This analysis can be verified in France as well as in Italy and the present study offers to analyse the legal signification of the phenomenon in both countries. The development induced by this notion confirms this trend. The comparative approach enables to understand the whys and wherfores of the development and formspart of the general theory of public contracts
Espressione globalizzata dei mezzi d’azione del settore privato al servizio del settore pubblico, il partenariato pubblico-privato potrebbe essere visto come rivela la dislocazione delle categorie del diritto dei contratti pubblici. Tuttavia, il partenariato pubblico-privato essa non pregiudica sulll'unitàdella disciplina. Invece, gli strumenti giuridici del P.P.P la rafforza. Questa analisi è confermata in Francia e in Italia ed lo studio permette di analizzare l'importanza giuridica del fenomeno in i due paesi. Full textThe research starts from an of economic preamble. The phenomenon of enterprise networks, in fact, stems from the economic reality of the markets. In this context, it couldn't be left out of consideration to outline a picture of the situation -even in crisis- which involved especially the Italian companies. Therefore, it was necessary to investigate the phenomenon of globalization, with reference to its origins, characteristics and consequences. Then the research focuses on the reconstruction of the dogmatic phenomenon. Starting from its reconstruction in terms of multilateral contract up to criticize this approach, not entirely satisfactory, as it is considered submissive opposed to the current expansion of the multilateral agreement. More convincing appears to be the scheme of the contractual connection, which has the advantage of preserving the autonomy and independence of the participating entrepreneurs, although framed in the context of an economic unit, which aims to achieve a common goal: the 'network common-good', well worthy of protection according to the article 1322 2.co. of the Civil code. In fact, the contract fits well to define network models both with symmetrical distribution of the decision-making power, and with asymmetric distribution, that is to say with a high level of internal hierarchy. On the other hand, couldn't be neglected the similarity with the hypothesis of contractual connection in the production stage; consisting in delegating to a third a share of the production, and in the distribution phase, thus the distribution occurs through networks of contracts. It also addresses the subject of responsibility for the network, setting the problem in two aspects: external and internal accountability. The first is resolved on the basis of trust mutual gained by each employer. The second is divided into non-contractual liability, linked up, in this case, to the art. 2050 Civil code, and contractual.

Full textIl lavoro di tesi è dedicato all’analisi della disciplina della certificazione dei contrati di lavoro introdotta dagli artt. 75 ss. del d.lgs. n. 276/2003. Filo conduttore dello studio, con il quale si affronta l’analisi dell’istituto sotto il profilo tecnico-dogmatico, è la costante attenzione alla finalità deflattiva del contenzioso giudiziale, assunta quale essenziale strumento fornito all’interprete dal legislatore con il quale indagare la razionalità interna della normativa. In quest’ottica, sono stati trattati separatamente i due diversi piani di rilevanza della certificazione, cioè, quello dei rapporti sostanziali e quello delle relazioni con la giurisdizione. Il primo livello d’indagine, a sua volta, considera la certificazione distintamente nelle sue tre diverse funzioni prospettate dalla dottrina, a seconda che attenga alla qualificazione del contratto, alla disposizione dei diritti, o alla c.d. derogabilità assistita. Negata sostanzialmente questa terza funzione, sulla scia della dottrina dominante, si è riconosciuto un ruolo preponderante all’attività qualificatoria, senza disconoscere, tuttavia, i profili di disponibilità dei diritti che possono innestarsi nell’ambito del procedimento di certificazione, ma anche fuori da questo. La centralità del profilo qualificatorio non comporta tuttavia che il procedimento di certificazione sia del tutto estraneo alla definizione del contenuto del contratto. Sotto questo profilo, si ritiene che le parti possano sottoporre all’attenzione delle commissioni di certificazione esclusivamente una proposta di contratto che dovrà poi essere compiutamente definita con l’ausilio dei certificatori, nell’ambito dell’attività di assistenza e consulenza, solo all’esito della quale verrà emanato l’atto di certificazione. Nel’ambito del procedimento di certificazione possono quindi riconoscersi due diverse attività, fra loro intrecciate, ma comunque distinte, l’una di assistenza nella definizione del contenuto dell’accordo, l’altra qualificatoria. Solo quest’ultima, poi, entrerà a far parte della fase costitutiva del procedimento che sfocia nell’emanazione di un atto amministrativo vincolato, di natura non provvedimentale, che accerta la natura del contratto. Non si tratta quindi di mero parere né di un atto di certazione, bensì di un atto amministrativo di nuovo tipo, che partecipa della natura degli atti di accertamento - seppure non attenga a fatti ma si avvicini all’attività giudiziale di qualificazione - cui accedono caratteristiche del tutto peculiari. Infatti, l’accertamento ivi contenuto riguarda non solo le dichiarazioni effettuate nel corso del procedimento, bensì anche la loro genuinità - e in tal modo anche eventuali accordi simulatori - ed i suoi effetti prevalgono sui comportamenti difformi attuati nel corso del rapporto, quindi anche con riguardo ad novazioni. In particolare, si produce nei confronti del giudice e dei terzi direttamente, ma anche delle parti, indirettamente, l’obbligo di attenersi alla qualificazione attestata nell’atto di certificazione fino a che questa non venga superata dalla diversa qualificazione giudiziale di cui all’art. 80. Si rivela pertanto centrale, per la ricostruzione del sistema, l’indagine sui “rimedi” contro la certificazione predisposti dal legislatore, con particolare riguardo ai ricorsi per erroneità e difformità esecutiva. Sul punto, si perviene ad un’autonoma lettura del dettato normativo rispetto alle opzioni ricostruttive offerte dalla dottrina. In particolare, viene dimostrata l’esclusività e l’autonomia dei ricorsi per erroneità e per difformità esecutiva senza tuttavia, sol per questo, vederne delle azioni costitutive di annullamento. Infatti, anche prendendo spunto a tal fine dalle più risalenti elaborazioni sulla natura del processo tributario, si sostiene che i menzionati ricorsi introducano pur sempre un giudizio dichiarativo sulla natura del contratto certificato, giudizio che è diretto a far cadere gli effetti della certificazione in virtù della prevalenza dell’accertamento giudiziario su quello amministrativo. Lo studio si conclude sostenendo che la competenza del giudice amministrativo - con particolare riguardo all’impugnazione per eccesso di potere - attiene esclusivamente alle fattispecie che non implichino un’autonoma statuizione da parte di tale giudice, anche solo indiretta, sulla natura del contratto di lavoro.

Full textThis study deals with credit derivatives from the perspective of Italian civil law, with particular focus on contractual issues and matters of compliance of the standard agreement forms with public policy and mandatory rules. While trying to approach the subject matter in general terms, the “plain vanilla” credit default swap is taken as a model for the analysis. This undoubtedly is a challenging exercise, considering the wide variety and complexity of credit derivatives. The first chapter begins by highlighting the remarkable similarities of structure and content existing between financial derivatives and credit derivatives and goes on to examine the purpose of the credit derivatives as instruments of protection from a credit risk. The validity of purely speculative credit derivatives is then called into question in light of public policy principles applicable pursuant to Italian law. The second chapter deals with the main consequences deriving from the inclusion of credit derivatives in the definition of “financial instruments” provided by Italian law. It then follows a criticism of the opinion that is widespread among Italian scholars, according to which credit derivatives are subject to the same rules applicable to the bets under Italian law. The last part of the study analyses the provisions of credit derivatives agreements relating to the determination of the subject matter thereof, focusing in particular on the role played by the calculation agent.

Full textThis study aims to analyze the new formal requirements of contracts introduced by special legislation, together with the connected remedy of “protective nullity”, in the perspective of their respective functions. Through the regulation of relationships with disparity of contractual power, the legislator acknowledged the needs emerging from the changed economic context, where real estate property is no longer central, given the rise of a dynamic, competitive market of products and services, where asymmetric contracts prevail; in this context, the most relevant asset is information, held by the “strong” professional party, towards which the other party is in a position of structural weakness. In this situation, the form of the contract is no longer only aimed at guaranteeing certainty in the circulation of property: it becomes an instrument for reducing information asymmetries and ensuring the transparency of the contractual contents, with consequent promotion of the order, the efficiency and the competitiveness of the relevant market. The same protection purpose inspires the nullity provision, which limits the right of action to the weaker party only. Therefore, the “protective” form and nullity of the contract will be analyzed in a joint and interconnected study, carried out with specific reference to the financial sector, which represents a fertile field of investigation for the examination of the critical issues regarding the connection between special legislation and general rules set forth under the Italian Civil Code. This analysis, to be carried out by doctrine, proceeds together with the process of gradual review of the general categories of civil law. In such perspective, this study investigates how the enhancement of the function of law can contribute to evolve legal categories, in order to provide adequate answers to the problems arising in the modern economic reality. This approach is also endorsed by a recent ruling of the Italian Supreme Court, which seems an expression of a renewed “jurisprudence of interests”. The above-mentioned analysis starts from the study, in the first chapter, of the evolution of the functions of the form of contract. The second chapter is dedicated to the in-depth study of the form of financial contracts, carried out by analyzing the characteristics and limits of formal protection in such field, as well as its integration through the provision of specific information and conduct duties of financial intermediaries. Among the issues which arise from the formal requirement, particular attention is paid to the validity of financial contracts signed only by the investor. The third chapter focuses on the protective nullity provided for investment contracts; it is dedicated, in particular, to the issue of possible abuses of the advantages granted by the legal system to the weaker party, with specific regard to the so-called “selective” claims. The study tries to suggest solutions aimed at avoiding a dysfunctional use of the protective legislation, which occurs when such rules are exploited for purposes other than those envisaged by the legislator. On the one hand, the enhancement of the specific functions of special legislation is useful in order to guarantee a consistent interpretation and a renovation of the traditional legal categories of form and nullity of the contract; on the other hand, such approach allows to prevent an opportunistic use of the rules aimed at protecting the weaker party, which would have disruptive effects not only on individual contractual relationships, but also on the system as a whole. In the specific field of financial intermediation, the considerations above demonstrate the unfairness of legal actions based on the nullity of the financial contract, when proposed in the absence of a real information harm, for the sole purpose of obtaining the return of the sums used for disadvantageous investment transactions, regardless of an actual lack of information or inadequacy to the investor’s risk profile. Lastly, the analysis carried out offers a contribution to the study of the limits of formal protection, especially in sectors such as the financial one, characterized by an intrinsic high complexity of the products and services under offer. In light of the evolution of legislation and regulation, it is now clear that information transparency, conveyed by the contractual document, is necessary but not sufficient to ensure a substantial protection of the weaker party. This outcome inevitably requires the effective compliance with the behavioural duties of the professional party.

Full textThe research examines the interplay between refugee law refugees and the protection of national security from terrorists. The thesis focuses on exclusion from refugee status in reason of terrorism and uses the comparison of prototypical cases as research methodology. At the outset article 1 (F) of the 1951 Geneva Convention is analysed, while then the interconnection between terrorism and asylum law is explored. EU and US legislation and practices are used to compare two different prototypical approaches. Converging trends in the interpretation of the exclusion clauses are noticed and duly underlined. The research suggests that to protect national security from any terrorist risk, with due regard to contemporary terrorism, exclusion from refugee status is wrongly used, as article 1 (F) of the Geneva Convention serves the different purpose of distinguishing between victims and persecutors and granting protection only to those in need.

Among these criteria, a particular reflection is carried out on the one expressed by the latin terms “lex specialis derogat lex generalis”. Full textThis research aims to give a legal analysis of some agreements which are widespread in international trade to finance and to facilitate exports. With the exception of some restricted area, they are not ruled by the Italian law, so that the interpreters have to face to the issue about the types they belong to and abut their regulation. The first part of this work concerns the investigation of the notion of “causa” of the contract through the various attempts to draft a uniform code of the law of the contract, both at an European level and at an international one. In the second part the author deals with the contracts of forfaiting, project financing and international factoring. They are deeply different agreements – which have been sometimes objects of international conventions – that, however, appear connected by a common purpose of financing.

This survey is conducted in a triple perspective. First, we examine the solutions which may be identified in the Italian system, based on the dialectic between specific norms and general clauses, especially in light of the importance of constitutional principles in the relations between individuals. In the second part, the case of long-term contracts is analyzed in a perspective of economic analysis of law, to enlighten its structural features from an economic point of view, and in order to recover an adequate degree of realism of the premises of the legal framework of the phenomenon. In the last part, we analyze the solution provided by the texts of harmonization of European and international contract law, to bring out the common elements helpful to set up a general remedy which could nudge to the maintenance of the contract. As a result of these studies, we propose to configure a general remedy, based on a duty to renegotiate the contract exposed to unexpected circumstances, as an expression of the more general duty to perform the contract in good faith, with the residual possibility to apply to the court to achieve the modification or termination of the agreement, and an order to pay for the damages caused by the opportunistic behavior of the parties. The kind of remedy proposed is fundamentally voluntary (i.e. it privileges a new expression of the private autonomy), with some conservative correctives (such as the possibility of seeking compensation), to encourage the parties to cooperate to maintain the contract as it results from the renegotiation.

Full textThe object of this research is, as is clear from the title, the institution of the project financing and its relationship with the Italian legal system. Preliminarily it appears desirable in order to more clearly speculative and exhaustive investigation, analyze the institutional and legal scenario in which the Project Financing takes place and which represents one of the most valuable institutions, namely the public-private partnership, often abbreviated by 's use of the acronym PPP. The latter is configured as a vanguard of the latest branches of business law and economic governance. The first definition of public-private partnership that was found is dated 2004 and is a definition document, which is derived from a document that the European Commission, more specifically, the "Green Paper on public-private partnerships and Community law on public contracts and concessions "and defines it as the PPP as a comprehensive formula which refers to" forms of cooperation between public authorities and the business community aimed at guaranteeing the financing, construction, renovation, management or maintenance infrastructure or the provision of a service. " Each operation of public-private partnership, including that of project financing, is characterized by a series of elements that can be summarized as follows: relatively long duration of the operation, stronger financial commitment from the private operation and the sharing of risks between public and private person. To this definition documentary, outdated and outmoded, it is necessary to add, replace or rather, the definition of PPP legislation has recently given our legislature: in fact, with the Leg. September 11, 2008, No 152 (Third Corrective Decree of the Code of Public Contracts) have defined the public-private partnership contracts. In the definition of codicistica public private partnership contract covers all types of alternative procurement and spending to provide public works or public services. This shows how the public-private partnership does not consist merely in a purely economic transaction, but is negotiating a new category, alternative contract for the construction of public works. After this necessary background on PPP, the thesis continues in Chapter 3, with the analysis of the institution of "concession", which can be defined as the legal institution which is, in our system, a sort of ancestor of the Project financing , and, in Chapter 4, which forms the core of this research, the analysis of the different subjects that are part of an operation of PPP with the patterns of PF, with its scope, objective, with the analysis of project risks and plan of economic and financial feasibility, with the analysis of legislative framework, which traces the historical evolution and regulatory institution of the PF from birth until the last legislative news, which is consisting of the Third Order Healing Public Contracts Code. The work concludes with two chapters devoted respectively to the legal nature of project financing institution and a collection of case law analyzing the PF in the case of TAR, the Council of State, the Constitutional Court and the Court of Justice.

Full textThe paper relates to the changes in the economic constitution as a result of the markets globalization and the affirmation of a new ius mercatorum, with a specific analysis of the legal and economic effects on services of public interest. Specifically, the paper analyzes the context in which governance and regulatory soft law instruments determine a “constitutional” process, which can be seen in two apparently opposite forces , the supranational one and the local one (glocalization). This project is characterized by a strengthening of executive and technical institutions, compared to a compression of the legislative democracy. The key to the understanding of this phenomenon is the concept of a “state of emergency” in legal theory and philosophy, according to which a public right of the crisis determines the process of privatization and liberalization in the European Union and Italy. In order to prove this thesis, the European Union treaties are compared to the Commission’s legal acts, then the paper analyzes the Italian legislation concerning the privatization of public economical authorities.

Full textLa ricerca che si è portata avanti si articola in tre parti per affrontare la formazione professionale nelle sue molteplici funzioni a seconda del contesto in cui è posta e della finalità. All’interno dei rapporti di lavoro, essa diventa formazione tecnica o tecnologica, incardinata sulla tradizionale dicotomia competenze – saper fare. Nelle politiche attive l’obiettivo principale è poi la riconversione di conoscenze, l’adattamento o la creazione di capacità. La formazione dell’individuo è rappresentata principalmente da una preparazione di base o di più alto livello, compiuta nel sistema scolastico o nel lavoro, secondo determinate tipologie. Emerge sempre più la valorizzazione della capacità professionale e dell’employability, che rinvia in qualche modo al coinvolgimento dei singoli, nella scelta dei propri percorsi, e delle imprese per la valorizzazione della personalità dei lavoratori. L’idea di questa vocazione formativa dell’impresa, su cui insistono gli ultimi sviluppi legislativi ed interpretativi nel normale rapporto di lavoro, si fa più evidente nell’apprendistato. Qui è forte il legame tra sistema formativo e mondo produttivo che si è creato fa emergere l’impresa come dispensatrice di nozioni, di base e trasversali, di crescita del cittadino-lavoratore e, nella specie, del giovane studente – funzione questa appartenente più alle strutture pubbliche. In altri termini, si richiede sempre più all’impresa di diventare “centro formativo” e, per alcuni aspetti, di affiancare (se non sostituirsi) allo Stato-apparato soprattutto nel primo tipo di apprendistato, di espletamento del diritto-dovere di istruzione e formazione, ed il terzo tipo di alta formazione. Lasciare al sistema delle imprese un ruolo formativo significa però rischiare che la formazione si pieghi alle esigenze di esse: il soggetto economico investirà in formazione continua ed in formazione di base, come nella crescita della persona del lavoratore, in misura (qualitativamente e quantitativamente) proporzionale alla sua ricaduta produttiva. La più recente spinta nel confermare la funzione pubblicistica del privato aumenta i dubbi sulla reale attuazione dell’elevazione professionale (ed umana) e dell’employability.
