Résumé Se situant dans le droit fil de la récente controverse sur les fondements de la théorie des contrats incomplets (Maskin et Tirole, 1999 ; Hart et Moore, 1999 ; Tirole, 1999), cette revue de la littérature cherche à définir la notion d’incomplétude contractuelle et à en comprendre l’origine. Deux résultats importants sont dégagés : (i) les raisons traditionnellement avancées pour expliquer l’incomplétude contractuelle, telles que l’indescriptibilité des contingences futures ou l’asymétrie d’information entre les parties contractantes, ne sont pas forcément pertinentes ; (ii) la contrainte d’invérifiabilité, concept clé de la théorie des contrats incomplets, parvient à rendre compte d’un choix d’incomplétude lorsqu’elle est couplée à la contrainte de renégociation du contrat initial. Cette double contrainte permet à la théorie des contrats incomplets de générer un choix endogène d’incomplétude. Plus précisément, cette théorie montre que l’on peut définir un choix de contrat incomplet comme une forme limite du contrat complet.

Dans ce commentaire, l’auteur analyse un arrêt de la Cour d’appel, confirmant la décision de la Cour supérieure, et qui renverse un arrêt de principe datant de 1978. En reconnaissant la compétence arbitrale pour juger du renvoi pour « fausses déclarations à l’embauchage », notre Cour d’appel s’aligne sur l’approche des provinces de common law. La Cour supérieure en avait fait un cas d’espèce, s’appuyant sur le libellé de la clause conventionnelle applicable. Mais en un second temps (et en obiter), l’honorable juge Lévesque généralisait sa motivation dans la foulée de la jurisprudence récente de la Cour suprême du Canada sur la doctrine de la déférence judiciaire envers les tribunaux administratifs. Mais la Cour d’appel attaque plutôt le problème de plein fouet, affirmant que l’ancienne règle n’est plus adéquate, à la lumière des directives de la Cour suprême. Après une revue de la jurisprudence, la Cour déclare qu’en présence d’une convention collective, il n’y a plus d’entente individuelle qui tienne et donc que l’arbitre, ex post factum a compétence pour juger de la validité de la formation du contrat individuel de travail initial qui avait placé le salarié sous l’empire de la convention collective. Bien que cette approche ne soit pas nouvelle, il est à se demander s’il était nécessaire, voire opportun, d’aller jusque là pour disposer du litige. Car en mettant le point final à la discussion sur la coexistence du contrat individuel et de la convention collective, la Cour a peut-être ouvert une boîte de Pandore. En effet, le droit disciplinaire et non disciplinaire du travail fait constamment appel aux droits et obligations nés du contrat individuel de travail, le plus souvent implicitement. Le contrat de travail évanoui, par quoi le remplacera-t-on ? L’auteur est d’avis que la jurisprudence et la doctrine construites à ce jour prendront le Orelais. Les règles subsisteront; le fondement et l’explication devront en être raffermis à partir de l’acquis du passé. Il est également à prévoir que les chefs d’entreprises seront plus enclins à édicter ou négocier des règlements intérieurs mieux structurés que la plupart de ceux qu’on rencontre de nos jours.

RÉSUMÉ Cet article présente quelques résultats d'une recherche fondée sur les récits de vie de 30 chômeurs et chômeuses de longue durée de plus de 45 ans. Pour ces personnes modelées par une société salariale intégrée autour du travail et dotée de formes familiales et de politiques sociales associées à l'État-providence, le chômage de longue durée est un échec et une trahison. Alors que le « contrat » initial leur promettait la retraite légitime au bout d'une vie de labeur, la perte d'emploi durable les condamne au statut d'assisté social et leur laisse un « fossé » de dix à quinze ans à combler avant la retraite légitime. Plus que la pauvreté, c'est la perte de statut qui les marque, car elle porte atteinte à leur identité. Certains s'épuisent à tenter de reconquérir un statut de travailleur, d'autres tentent de trouver de nouvelles identités hors du travail.

Loin d’être exclu comme pourrait le laisser croire le principe de l’indisponibilité de l’autorité parentale, le mécanisme contractuel est fréquemment utilisé pour le règlement des conflits parentaux. Ainsi, l’aménagement des conséquences de la rupture au regard des enfants peut aujourd’hui s’opérer au moyen d’une convention ; ce mode de règlement des conflits est par ailleurs privilégié par la loi. Le législateur espère ainsi faire bénéficier le contentieux familial de deux des vertus principales dont se pare le contrat, soit l’égalité des parties et l’apaisement des conflits. Pourtant, le recours à ces mécanismes contractuels n’a toujours pas apporté d’amélioration sensible au contentieux familial. Bien au contraire ! L’égalité entre le père et la mère consacrée sur un plan législatif peine à se concrétiser en pratique, le recours aux conventions pouvant à l’inverse la desservir. En outre, les conflits entre les parents, loin de s’apaiser, perdurent, voire se radicalisent : s’ils ne se manifestent pas au moment de l’aménagement de la rupture, ils ressurgissent ultérieurement lorsqu’un aléa de la vie ou les nécessités de l’éducation de l’enfant impliquent de remettre en cause l’accord initial…

La puesta en práctica del modelo de formación dual universitaria plantea importantes incógnitas en relación con la manera de organizar la parte de la formación universitaria que se desarrolla en las entidades colaboradoras, puesto que se suscitan enormes dudas a la hora de seleccionar la concreta modalidad contractual a través de la cual deben contratarse a estos estudiantes por parte de las mismas, así como sobre el íntegro régimen jurídico aplicable a dicha contratación, especialmente, en materia retributiva. En este contexto, se ha introducido una nueva modalidad de contrato formativo, denominada contrato para la formación dual universitaria, con la que se pretende establecer un mecanismo de contratación idóneo para este modelo de formación universitaria. En este estudio se pretende analizar, precisamente, aquellos elementos del régimen jurídico del contrato para la formación dual universitaria que vienen regulados de un modo expreso por la ley, pero también, efectuar una previsión de por dónde puede ir el previsto desarrollo reglamentario de algunos de los elementos fundamentales del régimen jurídico de esta modalidad contractual.

Like spores of many fungi, conidia of Blumeria graminis, the powdery mildew fungus of cereals, release extracellular material. It is released within seconds where conidial surface projections touch a leaf. This ECM is probably adhesive since centrifugation showed that forces greater than those due to normal wind speeds are needed to displace conidia. Also, ECM release is probably involved in rapid sensing of substratum contact, leading to germ tube emergence close to the contact site. Thus, ECM release apparently confers at least two benefits to pathogen survival.

Si le concept de garantie reflète avant tout la défiance des parties les unes vis-à-vis des autres, il traduit aussi le besoin de confiance de chacune d’elle, propice à faciliter les échanges, à conforter la situation du créancier et la surface financière du débiteur et, plus généralement, à sécuriser le marché. Dans le cadre des opérations de financement (opérations de crédit, opérations de refinancement, emprunts obligataires et financements structurés), l’importance des garanties et des contre-garanties est liée à la volonté et au rôle des parties à l’opération et influencée par le cadre posé par le marché et la réglementation associée. Plus spécialement, l’opération de financement est l’ensemble contractuel impliquant un montage financier et faisant intervenir des mécanismes de garanties et de contre-garanties : cet ensemble contractuel constitue le complexe {contrat initial - garantie - contre-garantie}, objet de la thèse.Cette thèse a pour objectif d’étudier les rapports entre le contrat initial et la garantie, la garantie et la contre-garantie, la contre-garantie et le contrat initial au sein des opérations de financement et ce, au regard du droit civil et du droit bancaire et financier. L’analyse portera sur la nature de ces rapports lors de la mise en place et de la mise en œuvre des garanties et des contre-garanties et conduira à évaluer la force de celles-ci au regard des procédures collectives et du régime de résolution bancaire. C’est l’efficacité des garanties et des contre-garanties au sein des opérations de financement qui est en jeu, laquelle doit être au service de l’efficience de l’opération
If the concept of guarantee primarily reflects the parties’ distrust of one another, it also conveys their need for trust, which is necessary to facilitate transactions, comfort the creditor’s position and the debtor’s financial situation and more generally to secure the market. In the context of financing transactions (credit and refinancing operations, bond loans and structured financing operations), the importance of guarantees and counter-guarantees is bound to the will and function of the parties to trade and influenced by the environment that the market and associated regulation have set. A financing transaction is especially defined by a contractual structure involving a financing package along with guarantee and counter-guarantee mechanisms. This contractual structure establishes the {original contract – guarantee – counter-guarantee} complex, core of this thesis.The purpose of this thesis is to study the relationships between the original contract and the guarantee, the guarantee and the counter-guarantee, the counter-guarantee and the original contract within financing transactions, with regard to civil law as well as banking and financial law. The analysis will focus on the nature of these contractual relationships when implementing and executing the guarantees and counter-guarantees, the force of which will then be assessed in respect to insolvency proceedings and the banking resolution regime. The effectiveness of the guarantees and counter-guarantees within the financing transactions is thus at stake and must serve the transaction’s efficiency

Abstract:
L'amélioration de la visualisation in vivo des lésions précancéreuse (dysplasies) du col utérin est essentielle pour mieux identifier les zones à biopsier et pour optimiser la définition des limites d'exérèse chirurgicale. Dans ce but nous étudions une nouvelle technique d'imagerie polarimétrique en rétrodiffusion, que nous avons mise en oeuvre sur des échantillons ex vivo dans des configurations expérimentales variées afin d'optimiser le diagnostic in vivo. Comme cette optimisation passe par la compréhension des contrastes polarimétriques observés, nous avons réalisé de nombreuses simulations de la propagation de lumière polarisée dans des structures multicouche représentatives des tissus. Ces structures comprennent typiquement une couche comportant des diffuseurs dans une matrice homogène et représentant l'épithélium ou le tissu conjonctif superficiel, et un substrat lambertien totalement dépolarisant pour les couches plus profondes. Ces simulations ont été effectuées au moyen d'un code Monte Carlo que nous avons adapté à notre problématique. Nous avons ainsi montré que la contribution des noyaux cellulaires est très faible en rétrodiffusion. Pour le tissu conjonctif, les fibres de collagène, modélisées par des diffuseurs sphériques de 200 nm de rayon, donnent une contribution plus importante que les noyaux, mais ne reproduisent pas la réponse polarimétrique de type Rayleigh observée dans tous les tissus étudiés, qu'ils soient sains ou pathologiques. En revanche, l'inclusion de diffuseurs de taille nettement inférieure à la longueur d'onde, modélisés par des sphères de 50 nm, permet de reproduire cette réponse de manière très stable. Ces diffuseurs correspondent a priori aux protéines intracellulaires. Dans le cadre de ce modèle, les contrastes observés entre tissus sains et cancéreux s'expliquent essentiellement par une variation de la concentration de ces petits diffuseurs. Ce résultat, encore préliminaire, suggère que l'imagerie polarimétrique en rétrodiffusion peut être sensible non seulement à la morphologie, mais également à l'état physiologique du tissu, ce qui peut s'avérer important pour la détection sélective des dysplasies.

Abstract:
The purpose of this thesis is to analyze differences between IPOs with integer (e.g. $20,00) and non-integer (e.g. $20,32) offer prices on the post-decimalization US market. Research on IPOs suggests that there are viable differences between, and valuable information within, integer and non-integer prices. However, proposed effects on the information content of prices as a result of decimalization on US markets in 2001 motivates more up-to-date research on the subject. Our findings show that, while integer IPOs have higher initial return, uncertainty and offer price levels, there is no proof of different information content conveyed within integer and non-integer prices on the post-decimalization market. Consequently, suggesting that neither integer or non-integer prices provide valuable information to market participants, and in extension that decimalization may have influenced the IPO market.
Syftet med den här uppsatsen är att analysera skillnader mellan börsnoteringar med teckningskurser formulerade i heltal (t.ex. $20,00) och icke-heltal (t.ex. $20,32) efter decimaliseringen på den amerikanska marknaden. Tidigare studier har funnit stor skillnad mellan, och värdefull information inom, heltals- och icke-heltalskurser. Efter decimaliseringen på den amerikanska marknaden 2001 har studier dock funnit att prisers informationsinnehåll kan ha förändrats, vilket motiverar mer aktuell forskning inom ämnet. Våra resultat visar att även om börsnoteringar med heltals-kurser har högre initial avkastning, osäkerhet och teckningskursnivå, finns det inga tecken på att det är någon skillnad i informationsinnehåll mellan heltals- och icke-heltalskurser på den amerikanska marknaden efter decimaliseringen. Våra resultat antyder att det inte finns någon värdefull information för marknadsaktörer i huruvida en börsnoterings teckningskurs är formulerad i heltal eller icke-heltal, och i förlängningen att decimaliseringen kan ha påverkat marknaden för börsnoteringar.

Abstract:
L'attraction d'ondes dans des systèmes contra-propagatifs est un phénomène général, établi initialement en Physique dans le contexte de l'attraction de polarisation entre deux ondes contra-propagatives se propageant dans des fibres optiques. Ce phénomène a été observé expérimentalement, et ses propriétés étudiées via des simulations numériques. Les modèles qui s'y rattachent sont des systèmes hyperboliques d'équations aux dérivées partielles, avec des conditions aux bords dépendant du temps sur un intervalle fini. Le mécanisme sous-jacent peut être expliqué par l'existence de tores singuliers dans les équations stationnaires correspondantes. Le but de cette thèse est d'analyser en détail l'exemple le plus simple dans cette famille de modèles. Nous montrons que la plupart des phénomènes de processus d'attraction d'ondes sont en fait existants dans un modèle linéaire avec intéraction résonnante. Nous établissons l'existence et la régularité des solutions et analysons la relaxation vers la solution stationnaire qui caractérise les propriétés de l'attraction d'ondes.

Abstract:
Purpose – The aim of this paper is to create an understanding of what types of initial contacts exist within the service encounter and their functions for the interaction. Design/methodology/approach – To study the initial contact between the employee and the customer, we have used a qualitative approach where observations were the data collecting method. The observations have been conducted in Karlstad at 22 different locations, which generated a total of 83 observations. These observations were analyzed and generated concepts and categories, that were incorporated into themes. Findings – The research showed five types of initial contacts could be identified along with their functions. The types identified are the time effective, the improvised, the committed, the observant and the strategic positioning. Originality/value – By narrowing the interaction to the first moment, this paper contributes knowledge about the initial contact which will facilitate frontline employees work in the face-to-face interaction with customers. Research limitation/implications for future research – The study is conducted in Karlstad. Depending on which kind of industry examined and contextual factors, variations in the result may occur. The findings could differ if cultural perspectives were considered, which could be something to include in future research. Only the face-to-face interaction is examined. This creates opportunities for future research to extend this study by, for instance, investigate the initial contact over internet or phone.

Abstract:
We present the case of the Nahua population of Santa Rosa de Serjali, Peruvian Amazon's population, considered of initial contact. This population consists of human groups that for a long time decided to live in isolation, but lately have begun living a more sedentary lifestyle and in contact with Western populations. There are two fully identified initial contact groups in Peru: the Nahua and the Nanti. The health statistics of the Nahua are scarce. This study offers an interpretation of demographic and epidemiological indicators of the Nahua people, trying to identify if a certain degree of health vulnerability exists. We performed a cross sectional study, and after analyzing their health indicators, as well as the supplemental qualitative analysis of the population, brought us to conclude that in 2006, the Nahua, remained in a state of health vulnerability.

Abstract:
Renewable energy has become a major focus in today’s world of depleting energy resources. Biomass is starting to be utilized because it can be continually created within a reasonable period of time. Biomass particles are pressurized together in a pellet shape. The pellets are fed into a combustion chamber (stove) and burnt to create energy. The objective of this research is to test a range of pellet compositions and investigate their corresponding characteristics in the combustion process in order to maximize their energy output. The pellets investigated include single materials such as wood or various mixtures such as wood and grass. The pellets were tested to check the various criteria including the moisture content, density and energy content. Moisture content was found using a scale and desiccators. A thermogravimetric analyzer (TGA) was used to determine the burning temperature of biomass, its weight composition and ash content. A calorimeter was used to find energy content. The Coats-Redfern Method along with a TGA was chosen for the analysis of the activation energy of biomass pellets. Among four types of pellets tested, the hardwood premium pellets has the lowest ash content of .66%. Premium Pellets also had the best energy content of 19.16 MJ/kg. Beet Pulp Pellets had the lowest activation energy of all the materials with 99.92 kJ/mol activation energy. Overall the hardwood pellets performed the best but could be improved with the addition of other biomasses. An optimum pellet may be created with a mixture of multiple materials.
