Abstract:
The article endeavors to introduce the constitutional and statutory framework for arbitration in Romania, whilst discussing the dilemmatic legislative provisions allowing for public entities to become parties in an arbitration dispute. It includes a discussion of the concept of administrative contracts in Romania and a chronological analysis of the evolution of public-private arbitration under administrative contracts. Some of the landmark Romanian public-private arbitrations under international investment treaties have held the public agenda in recent years and they shape the public debate on arbitration as fit for purpose when it comes to public contracts.

Abstract Romania achieved full membership within ESA (European Space Agency) in 2011 and is actually involved in several European flagship space programmes. The “National Strategy for Space and Related Fields” is a strategic project funded through the Romanian Space Technology and Advanced Research Program (STAR), which is implemented by a consortium coordinated by IAROM S.A. One of the project goals is to identify national space- related technological capabilities and possible niches for Romania within the European space industry, as well as to identify cooperation opportunities within the mandatory and optional ESA programs. This paper presents an overview of the areas of expertise covered by projects contracted in 2012 and 2013 in the framework of the national space research and development programme. The paper does not cover industrial space contracts since they contain sensitive information.

AbstractPublic procurement in Romania is an important part of any economy, regardless of the geographical location, political orientation or level of development. Therefore, they can be considered as a separate part, but not insignificant, of the business of a functioning market economy. Moreover, they benefit from its own law, including the global economic agreements governing commercial transactions of this type. Public Procurement is an important element of the Internal Market and a basic method of public spending and ensuring the free movement of goods, services and works by domestic and foreign companies. Through the adoption and implementation in the national legislation of the Member States of a package of Directives 2014, a new Public Procurement regime is settled. The Public Procurement Law provides two new awarding procedure. Simplified procedure – may be applied by the contracting authority for the contracts with a reduced value and the Innovation partnership. The above procedures are in addition to the procedures below which were already provided for by the prior legislation. In Romania a simplified procedure is applied for contracts /framework agreements with an estimated value below the above mentioned thresholds but with exceed RON 135,060 for supply and services contracts and RON 450,200 for works contracts. Within a simplified procedure, contract notices are published only in the Electronic System for Public Procurement.

The subject of the paper is related to the tainting of the public contract award process and the consequences generated by it: corruption in public procurement, which is a major problem of the Romanian economy, recognised and pointed out both at the national and at the European level. The study provides empirical evidence that between 2009–2013 there were many companies that repeatedly win public procurement contracts and do business only (or almost only) with the local and central authorities (contracting authorities who represent the interests of political parties). At the theoretical level, the profile of these companies, called political companies, is identified.

Wasting money in public contracts is a problem that can be addressed by encouraging dialogue, changes of experience and improving stakeholders’ knowledge. This case study objectives are to observe, interpret and disseminate how performance interrelates with beneficiaries of EU financed works contracts decisions and activities, in all three aspects of performance, from selecting, prioritizing and approving a future investment, until adjusting works contract values as effect of actual overlapped crisis. This exploratory case study is based on researchers’ observation of a public authority behavior patterns in the context of multiple works EU financed contracts implementation in the period 2019 – 2022, so that answers could be formulated at four research questions, as for seizing weaknesses of decision process related activities that could impact performance. Conclusions are based on identified weaknesses description, and are aimed to support future public investments related research in focusing on new detailed aspects of this area, and also the public beneficiaries designated staff, financial managers and accountants, in accurately future planning activities that support decisions on selecting, prioritizing, and assessing feasibility to improve performance of the locally EU financed works contracts.

AbstractNowadays, the field of public procurement has evolved both in terms of the conceptual approach and in terms of the design of a reliable and effective public procurement system. All public institutions or public bodies belonging to the European space are struggling to cope with the budgetary constraints imposed by the reduction of oversized public spending and the increasing public pressure, in order to make public procurement more transparent in the sense of using public money. On the other hand, experts in the field of public procurement are facing another problem, namely the emergence of new technologies that are constantly developing and generate difficulties related to the qualitative choice of products, works or services, new challenges in the development and conclusion of commercial agreements, and especially difficulties in observing the environmental norms. From the perspective of the contracting authority, they are increasingly basing their activities on the online environment for public procurement, using this field in order to reach the economic objectives. The public procurement system has the general meaning of principles and rules in relation to the purchase of products, services or works based on special contracts, i.e. public procurement contracts, completed by a community. As the public body is represented by the state through its institutions, it can be stated that this system administers, manages and controls all public institutions in relation to the way of spending public money through the contracts concluded between the state and economic agents.

Notre thèse étudie les principaux aspects liés au langage juridique, plus particulièrement à la terminologie juridique dans une perspective comparative entre le français et le roumain, et dans ce contexte elle fait une analyse en vue d’élaborer un type de dictionnaire terminologique bilingue des contrats de commerce international. Par cette recherche nous souhaitons contribuer à une meilleure connaissance de la terminologie juridique en roumain. La Roumanie connaît dernièrement, surtout depuis l’adhésion à l’Union Européenne [le 1er janvier 2007] un réel besoin d’études terminologiques, d’élaboration de dictionnaires et de bases de données dans tous les domaines d’activité nécessitant la traduction et l’interprétariat. Our dissertation is a comparative study investigating the main aspects of legal terminology in French and Romanian. In this context, the analysis aims at elaborating a bilingual, French - Romanian, Romanian - French, terminological dictionary of international commercial contracts. With this study we intend to improve the knowledge of legal terminology in Romanian. Romania has been faced lately, particularly since January 1st 2007, when it joined the European Union, with a real need for terminological studies, for dictionaries and data bases in all fields relating to translation and interpreting. The dissertation is structured in three parts marking a progression: •the theoretical framework - illustrating the need to define and delimit our field of study •the methodological framework - justifying the need for an ontology, for a classification of concepts that would enable the clarification of the nature and usage of the terms and their definition in our dictionary •the sphere of applications - illustrating our work by the elaboration of a bilingual, French - Romanian, Romanian - French, terminological dictionary of international commercial contracts, able to meet the needs of specialists working in the field of international trade, law professionals and translators working in these areas

Trafficking in persons is a serious crime and a serious violation of human rights. Every year, thousands of men, women and children fall into the hands of traffickers, in their own countries and abroad. Trafficking in human beings (THB) can be about forced labour, sexual slavery and/or commercial sexual exploitation, but this this paper focuses on the latter category. One country in Eastern Europe with an exceptionally high proportion of women and children trafficked into Sweden each year is Romania. The purpose of the following study is therefore to investigate what moral responsibility – if any – Sweden has to protect the female part of the victims from Romania being trafficked for sexual purposes in Sweden. They are not Swedish citizens, and that makes it a complicated question. In making an effort to come up with answers, we will have a look at what Sweden is doing for these people today, and what the options look like going forward, if indeed the responsibilty is ours. This is an academic thesis with one normative and one empirical aspect. Normative theoretical principles of global justice, ethics and human dignity from American philosopher Martha Nussbaum are tested on an empirical problem; a case study about the situation for Romanian trafficking victims in Sweden and Norway. Apart from the theory and case study, I have exclusively used applied ethics, secondary sources and an analytical tool to analyze and dissect the problem, reaching the conclusion that Sweden does have a moral responsibility, and that we therefore should continue to work in these people´s favour. However, more so that now by assisting solution solving in Romania, where the biggest problems exist and the best solutions can be expected, if handled intelligently and with ethics in mind.

Questa ricerca, innanzitutto, si occupa di descrivere criticamente lo svolgimento della buona fede, in alcune delle sue svariate declinazioni operative nel ambito contrattuale, ora come semplice fides nel diritto romano arcaico ora come bona fides (poiché si è verificata la specificazione tecnico-processuale della nozione). La indagine comprende anche le manifestazioni più significative della buona fede durante il diritto medioevale e moderno fino ad includere le grandi codificazioni latinoamericane ed europee entrate in vigore nei secoli XIX-XX. Si esaminano persino le tendenze attuali del principio di buona fede, a partire del analisi dei progetti di armonizzazione legislativa in materia contrattuale (c.d. Lando, Pavia, UNIDROIT, ecc.). La prospettiva che orienta la ricerca cerca di mettere in evidenza le funzioni che effettivamente la buona fede ha svolto durante i diversi periodi considerati. Così, dal punto di vista funzionale, possono distinguersi due ruoli principali della buona fede: a) come limite ed criterio correttore dei comportamenti negoziali tuttora essi si rivelino contrari alle esigenze di lealtà che stanno alla base del diritto dei contratti; b) come principio che serve alla integrazione del contratto propendendo al arricchimento dei suoi effetti, cioè colmando eventuali lacune che possono ostacolare la piena realizzazione della finalità perseguita dalle parti. La metodologia storico-comparativa adoperata non si esaurisce nello studio diacronico e sincronico della buona fede, anzi essa consente di valutare ed individuare le soluzioni più idonee ed adeguate ai bisogni di giustizia che oggi reclamano soddisfazione nella disciplina contrattuale. Peraltro, dato che queste soluzioni sono presenti, in modo esplicito o implicito, nel complesso di esperienze consultate all’interno del Sistema giuridico romanistico, il compito del giurista consiste nella prudente ricerca e scelta di esse. In questo senso, in occasione di esporre le conclusioni finali di questa indagine, si include una sintesi propositiva elaborata con la intenzione di fare un piccolo contributo alle iniziative di armonizzazione legislativa attualmente in corso in America Latina.
This research, in the first place, aims to describe critically the developments of good faith, in some contractual functions, sometimes as a simple fides in a the archaic Roman Law, sometimes as bona fides (after the procedural and technical specification of the notion). The investigation also includes the most significant manifestations of good faith during the medieval and modern law until the great codifications in Latin American and Europe (XIX-XX centuries). Also, it examines current trends of the principle of good faith, from the analysis of projects of harmonization in the contract law field (so-called Lando, Pavia, UNIDROIT, etc.). The perspective that guides the research seeks to highlight the roles that the good faith has played during the different periods. So, from a functional point of view, it is possible to distinguish two main roles of good faith: a) as the limit and corrective standard of negotiation actions, when the parties breach the duties of loyalty which is the basic principle in the contract law; b) as a principle that serves to integration of the contract leant to enrich its effects, filling in gaps that may impede the full realization of the objective pursued by the parties. The comparative-historical methodology used does not drain away in diachronic and synchronic study of good faith, but it allows to take into effect the most appropriate solutions and suitable to meet the needs of justice. Moreover, as all of these solutions are present, explicitly or implicitly, in the whole experience of Roman Law System, the work of the jurists is to study and select them with attention. In this sense, after evaluating the final conclusions of this research, it includes by an executive summary prepared with the intention of making a small contribution to the current harmonization in the contract law field in Latin America.

La thèse a pour but l’analyse de l’évolution récente du droit civil français et roumain de la responsabilité civile au cours de la période précontractuelle. Nous avons privilégié une approche comparative entre les deux droits nationaux à la lumière des droits européens. Au cours de la période précontractuelle les parties sont libres de négocier comme elles le veulent, mais sans causer un dommage à leur partenaire. Il y a un lien qui se crée entre les parties et qui ne peut être rompu que conformément au principe de la bonne foi. Nous avons pu constater que le fondement de la responsabilité est assez controversé et varie d’un ordre juridique à l’autre. En effet, la responsabilité civile balance entre sécurité juridique, autonomie privée et liberté contractuelle. En résumé, la phase précontractuelle a connu de profondes transformations au cours de son évolution. À l’heure de l’harmonisation européenne, voire de la globalisation, les droits français et roumain subissent des modifications afin de clarifier des règles de plus en plus compliquées et notamment celles relatives à la responsabilité civile précontractuelle
The thesis finds its main purpose in the study of the recent evolution of French and Romanian civil law of liability during the pre-contractual period. We favored a comparative approach between national rights, in the light of European laws. During the pre-contractual period, the parties are free to negotiate as they please, as long as they do not cause damage to their partner. A bond is created between the parties and it can only be broken in accordance with the principle of good faith. We noted that the basis of liability is fairly controversial and varies from one legal system to another. Indeed, the civil liability is balances between legal security, private autonomy and freedom of contract. In summary, the pre-contractual phase has experienced profound transformations in its evolution. At the time of European harmonization, or even globalization, French and Romanian law undergo modifications in order to clarify the most complicated rules, in particular those relating to pre- contractual civil liability

La problématique traitée. Cette étude est dédiée à l’institution de la résolution unilatérale, c’est-à-dire, à la situation quand le contrat est anéanti par la déclaration unilatérale du créancier émise à la suite de l’inexécution importante d’une obligation contractuelle par le débiteur. Cette étude concerne principalement la résolution unilatérale légale comme elle a été consacrée dans l’article 1552 du Code civil roumain et les particularités de la résolution unilatérale conventionnelle. La distinction entre la résolution judiciaire et la résolution unilatérale a comme fondement la manière de laquelle la résolution opère. Ainsi, tandis que la résolution judiciaire est disposée par le juge, la résolution unilatérale est déclarée par la partie en droit. En conséquence, à l’exception de la manière dont la résolution opère, la résolution judiciaire et celle unilatérale ont le même régime juridique. Pour ces raisons la recherche exhaustive de ce sujet a supposé une analyse des éléments communs de la résolution. De plus, en vue de la manière de la rédaction et de la position des articles qui la concerne, ainsi comme des avantages offerts par cette manière d’opérer, la résolution unilatérale est prévue comme le moyen général d’anéantissement du contrat pour l’inexécution des obligations. En conséquence, dans le contexte du Nouveau Code civil roumain, pour traiter le sujet de la résolution unilatérale, une analyse complète du régime juridique de la résolution s’impose. Bien qu’en apparence, les résolutions du Nouveau Code civil roumain concernant la résolution n’apportent pas de modifications en substance par rapport au régime juridique de l’ancien Code civil roumain inspirée par le Code civil français, une analyse systématique des dispositions regardant l’exécution des obligations contractuelles mènent à une autre solution. Pour ce motif, on a choisi de commencer cette étude par la présentation des considérations générales en ce qui concerne la résolution (la Ière Partie), cela ayant comme finalité l’essai d’identifier les traits caractéristiques de cette institution, sa nature juridique et son fondement. A la suite, on a opté d’examiner les conditions pour que le droit à la résolution, les particularités de la résolution et de la résiliation unilatérale conventionnelle (la IIème Partie) et les effets de la résolution et de la résiliation (la IIIe Partie) [...]
The object. This study is dedicated to the unilateral termination of the contract in the situation when the contract is destroyed by the unilateral declaration issued by the creditor as a result of the significant breach of a contractual obligation by the debtor. This study mainly concerns the unilateral and legal termination of contract for breach as it was enshrined in Article 1552 of the Romanian Civil Code and also the case of the conventional unilateral resolution. The distinction between judicial termination of contract for breach and unilateral resolution of contract for breach is based on how the termination operates. Thus, while judicial termination of contract for breach is declared by the judge, the unilateral termination of contract for breach is declared by the party entitled. Excepting this distinction, the judicial termination of contract for breach and the unilateral one have the same legal regime. For these reasons this analyses focuses on the common elements of the termination of contract for breach. Furthermore, we believe that in this new legal frame the unilateral termination of contract for breach is intended as a general means of destruction of a contract for breach. Abstract:
Approximately 75% of the urban settlements in Romania are superimposed or are tangent to at least one natural protected area, these not being integrated from the point of view of their regulation in the urban strategies and in the urban planning regulations. From a spatial point of view, this type of relationship often represents a contrast between the urban fabric and the quasi-natural fabric. However, in the regulatory or strategy instruments for the development of urban settlements, where such contrasts exist, they are only integrated at the border level. The ecotone is, in most cases, the only element mentioned in urban planning instruments and is approached as a land that can only function in isolation and that in no way can support urban development. This reluctance and fear of approaching natural protected areas, also negatively influences the conception of the community, investors and the administration. Urban actors are not informed and therefore not motivated, but neither do they have the opportunity to get involved in the conservation and protection process. The purpose of this article is to research urban and biodiversity strategies at E.U level, to identify gaps in the formulation of urban planning tools, what are the reasons behind generating these gaps and how they can be eliminated, or at least mitigated. The analysis will focus on some models of urban strategies which address natural protected areas, but will also consider related elements, directly related to their conservation, urban ecology and the involvement in the process of urban actors.

Abstract:
Under the influence of a globalized labour market and subsequent to Romania's accession to the EU, the number of jobs available abroad for Romanian law graduates is increasing (including as lawyer linguists in EU institutions). Thus, academics who deliver practical English courses attempt to offer students the possibility to acquire the right language skills for using English in different legal contexts (as public notaries, litigators, in-house counsels, etc.). However, providing the right and efficient methods of teaching legal English cannot be conceived outside the advantages posed by e-learning nowadays. The present paper approaches a student-oriented manner of teaching legal English through on-line resources with applicability for full time and distance learning students. The e-learning methodology that my paper suggests is student-oriented. Thus, assigned tests are adapted to the students' levels of knowledge (subsequent to a thorough examination, students are organized into work groups and are assigned tasks according to their level of competence) and to their future needs. The assigned tasks rely on on-line resources (students have access to an electronic platform through a personal account). The on-line platform with resources is structured per areas of law (constitutional / administrative / criminal / human rights / international / EU / commercial law, etc.), as well as per types of sources and target texts (legal glossaries, codes and laws organized as parallel texts, templates for contracts, wills, powers of attorney, writs of summons, rulings, etc.). The on-line platform is meant to ensure: flexibility (tasks are assigned depending on the students' level of knowledge); speed (the on-line resources, especially parallel corpora, facilitate fast identification of the unknown words/phrases in both English and Romanian); collaborative attitudes (groups work as teams) and, finally, fluidity of information and progress monitoring (tasks are assigned and monitored on-line and follow an ever increasing level of difficulty). The legal English course thus organized is a useful tool for students in law, who can simulate potential professional contexts in which they might use legal English after graduation.
