Dissertação apresentada à Universidade Fernando Pessoa como parte dos requisitos para obtenção do grau de Mestre em Ciências Empresariais
Nesta tese de mestrado procurou-se analisar a influência da empresa-mãe no desempenho das spin-off. Definiram-se questões de pesquisa de modo a descobrir as razões da criação de spin-off, para compreender os tipos de relações spin-off e o apoio da empresa “mãe” às spin-off no período de pós-spin, bem como identificar os tipos de recursos e conhecimentos, transferências e fazer avaliação do desempenho das spin-off após s sua criação. A fim de encontrar respostas às questões de pesquisa, realizou-se um estudo exploratória, de design qualitativo, recorrendo-se, poisteriormente, à análise quantitativa e descritiva dos dados. O estudo qualitativo foi desenvolvido com o recurso a entrevistas a sete entrevistados, ocupando cargos administrativos e de gestão em empresas de spin-off de EUA e Canadá.Análise, relizando-se uma análise de conteúdo dos dados. O estudo quantitatico recorreu à análise dos rácios financeiros e relatórios de contas sobre o desempenho spin-off.. Durante a análise dos questionários constatou-se que a maioria dos entrevistados mencionaram a maximização de valor ao acionista como a principal razão da criação de spin-off. Apesar da spin-off ser considerada na literatura como entidade independente, 3 das 7 spin-offs foram consideradas dependentes das suas empresas-mãe em recursos, conhecimento e serviços, enquanto empresa-mãe desempenhava um papel de 'manager', 'fornecedor » e « distribuidor » para spin-off. Maioria dos spin-offs recebeu ajuda da empresa-mãe sob a forma de dinheiro, funcionários e gestão. De entre o conhecimento que foi transferido da empresa-mae para a spin-off, destaca-se o pessoal gestão, técnico, tecnológico, marketing, produção e propriedade intelectual. Com base na análise dos rácios financeiros foi descoberto que a performance da spin-off, que não está relacionada com a empresa mãe, desde o ano de separação, pois continua a gerar perda líquida, apesar de que empresa-mãe de spin- off ainda partilhar com a a spin-off recursos e pessoal. A análise de desempenho com base nos indicadores financeiros da spin-off permitiu concluir que o desempenho spin-off tinha vindo a melhorar ligeiramente desde a separação da empresa-mãe. O serviço financeiro da spin-off tem ambições de se tornar um dos líderes no setor financeiro.
In this master thesis was made investigation of parent company’s influence on spin-off performance. Research questions were created in order to find out the reasons of spin-off creation, to define types of spin-off and parent-spin-off relationships in the post-spin-off period, to identify types of resources and knowledge, parent transfers to spin-off and to make evaluation of spin-off in post-spin-off performance. In order to find answer on created research questions qualitative and quantitative methods of analysis were used. Qualitative analysis implemented in the form of open-ended questionnaires was answered by 7 respondents, holding administrative and managerial positions in spin-off companies of USA and Canada. Quantitative analysis was made through financial ratios analysis of financial service and energy spin-off performance. During analysis of questionnaires was found that majority of respondents mentioned shareholder value maximization as the main reason of spin-off creation. Despite the fact, that spin-off considered in the literature like independent entity, 3 of 7 spin-offs were found dependent on their parent companies in resources, knowledge and services, while parent company was in a role of ‘manager’, ‘supplier’ and ‘distributor’ for spin-off. Majority of spin-offs got help from parent in the form of cash, employees and management. Among knowledge that was transferred from parent to spin-off was mentioned managerial, technical, technological, marketing, production and intellectual property. Based on the financial ratios performance analysis of energy spin-off was found out that energy spin-off, unrelated to its parent , since the year of separation continue to generate net loss, despite those fact that parent company of spin-off still shares with it resource and personnel. Based on financial ratio performance analysis of financial service spin-off was found out that spin-off performance had been improving slightly since separation from parent. Financial service spin-off have plans to become one of the leaders in the financial industry.

O presente relatório expõe as atividades desenvolvidas durante o estágio curricular, frequentado na Bluepharma - Indústria Farmacêutica S.A. e na TREAT U, Lda. uma Spin-off da Universidade de Coimbra, no âmbito do Mestrado em Biomedicina Farmacêutica da Universidade de Aveiro. Esta foi uma experiência de 6 meses que teve duas componentes, uma multidisciplinar e outra monodisciplinar, as quais me permitiram desenvolver os conhecimentos e aptidões adquiridas ao longo do curso de mestrado e de as aplicar ao mundo real. Para além do desenvolvimento de competências profissionais, esta experiência possibilitou também a aquisição e desenvolvimento de várias aptidões, quer a nível pessoal como social. Nos primeiros dois meses desta minha experiência adquiri um conhecimento essencialmente teórico em várias áreas da indústria farmacêutica (financeira, desenvolvimento de negócio, assuntos regulamentares, investigação e desenvolvimento de medicamentos, garantia da qualidade, etc.) através da minha passagem pela Bluepharma. De seguida, na minha experiência de quatro meses na TREAT U, foi-me dada a oportunidade de realizar de forma mais independente, as funções inerentes ao cargo de assistente da gerência, com especial enfoque para atividades de gestão de projeto (incluindo assuntos regulamentares), tais como, apoio na preparação do plano de desenvolvimento não clínico e na preparação do pedido de aconselhamento científico. Este relatório começa assim por descrever os objectivos do estágio e uma breve descrição das instituições que me acolheram para a sua realização. De seguida, os conhecimentos adquiridos na vertente multidisciplinar do estágio e depois as atividades desenvolvidas no âmbito monodisciplinar. Por fim, apresenta uma análise das dificuldades e desafios encontrados bem como os esforços realizados para os ultrapassar.
This report outlines the activities undertaken during the curricular training, performed at Bluepharma, Pharmaceutical Industry S.A. and at TREAT U, Lda. a spin-off from the University of Coimbra, within the scope of the Pharmaceutical Biomedicine Master´s course of the University of Aveiro. This was a 6-month experience that had two components, one multidisciplinary and other monodisciplinary, which allowed me to develop the knowledge and skills acquired throughout the master´s course by applying them on a day-to-day basis in the real world. Beyond of professional skills development, this experience also enabled the acquisition and development of several skills at both personal and social level. In the first two months of this experience I acquired essentially a theoretical knowledge in several areas of a pharmaceutical industry (financial, business development, regulatory affairs, research and drug development, quality assurance, etc.) through my passage at Bluepharma. Following, in my four months experience at TREAT U, I was given the opportunity to perform more independently, the functions inherent to the position of assistant manager, with special focus on project management activities (including regulatory affairs), such as support in preparation of nonclinical development plan and in the preparation of the scientific advice request. This report begins with a description of the training objectives and a brief introduction to the host institutions. Then, explains the knowledge acquired in the multidisciplinary experience and furthermore the activities undertaken at a monodisciplinary level. Finally, it presents an analysis of the difficulties and challenges encountered and the efforts made to overcome them.

With the appearance of a new world scenery, the markets are dominated by companies with high capacity of innovation. The university, one of the most important sources of knowledge, which fundamental role consists in the formation of human resources and in the performance of academic research, starts to be forced in a way that the results of its researches should bring more relevant economic and social impacts to the society in order to enrich and enlarge its role. As a consequence, the relationships of cooperation between universities and companies and the process of technology transfer from the university to the market gain importance. Among the known process of technology transfer, the creation of companies from the knowledge generated in the university (academic spin-offs), emerges as an alternative way to complement the traditional mechanisms. This study aims to characterize the process of technology transfer through the academic spin-offs, focusing the Federal University of São Carlos, and to identify its importance in the process of innovation, the employment creation, the relationships of cooperation between the university and companies and the local economic development. The methodology used was the qualitative research and case study, with field interviews and analysis of the contents. The results also show the received incentives and the main barriers faced by the academic spin-offs.
O surgimento de um novo cenário mundial, no qual os mercados são dominados por empresas com alta capacidade de inovação, a universidade, uma das mais importantes fontes de conhecimento, cujo papel fundamental consiste na formação de recursos humanos e na realização de pesquisa acadêmica, começa a ser pressionada para que os resultados de suas pesquisas tragam para a sociedade impactos econômicos e sociais mais expressivos, enriquecendo e ampliando sua atuação. Assim, as relações de cooperação entre universidades e empresas e o processo transferência de tecnologia da universidade para o mercado ganham importância. Entre os processos de transferência de tecnologia existentes, a criação de empresas a partir do conhecimento gerado nas universidades (spin-offs acadêmicas) surge como um caminho alternativo, complementando os mecanismos tradicionais já existentes. Este trabalho procura caracterizar o processo de transferência de tecnologia através das spin-offs acadêmicas na Universidade Federal de São Carlos - UFSCar e identificar sua importância no processo de inovação, na geração de empregos, nas relações de cooperação universidade-empresa e no desenvolvimento econômico local. A metodologia utilizada foi pesquisa qualitativa e estratégia de estudo de caso, com entrevistas de campo e análise de conteúdo.Os resultados mostram também os incentivos recebidos e as principais barreiras enfrentadas pelas spin-offs acadêmicas.

The literature on organizational identity, from various perspectives, deals with additive business processes such as mergers, acquisitions or cooperative enterprises among companies. However, the inverse, subtractive process, where a company emerges from the original company, has not received much attention in the literature with respect to the creation of the new company s identity. This thesis aims to understand the construction of the organizational identity of a spin-off outsourced company. A qualitative, exploratory and longitudinal study was performed on the basis of a case study. The research consisted of 13 in-depth interviews with the key actors involved from the start of the spin-off process, along with the current managers, including non-participant observation in meetings and events, as well as broad documental analysis. The transcribed interview texts and secondary data were analyzed on the narrative and discursive levels, both in terms of syntax and of semantics under textual semiotics. The central and distinctive identity characteristic, present on the fundamental level of the discourses belonging to the studied case, was found to be reliability. This attribute, which was consolidated along the spin-off company s historical path, in an integrated manner among its members and groups, refers to the identity category of the fundamental level of the semiotic square revealed during the research. The inexorable influence of the original company s organizational culture on the construction of the new company s identity was also observed, at least in the initial phase; this process was identified as an organizational culture spin-off. However, through semiotic analysis of the texts in the study s corpus it was possible to identify other aspects of organizational identity, relative to otherness and its contradictions, which were of an unstable, tensional and ambiguous nature but were nonetheless relevant to understanding the way organizations create their identities.
A literatura de identidade organizacional, à luz de diversas perspectivas, aborda os processos aditivos empresariais como fusões, aquisições ou atividades cooperadas entre empresas. No entanto, o processo subtrativo, inverso, onde uma empresa se constitui emergindo da organização mãe tem sido pouco estudado na literatura quanto à construção da identidade dessa nova empresa. Esta tese tem por objetivo compreender a construção da identidade organizacional de uma empresa terceirizada do tipo spin off. Realizou-se uma pesquisa qualitativa, exploratória, de natureza longitudinal, fundamentada num estudo de caso. A pesquisa compreendeu 13 entrevistas em profundidade com os atores-chave envolvidos desde o início do processo do spin off, bem como atuais gestores, incluindo a observação não participante em reuniões e eventos, além de ampla análise documental. Os textos transcritos das entrevistas e os dados secundários foram analisados nos níveis narrativo e discursivo, tanto pela sintaxe como pela semântica da Teoria da Semiótica do texto. Identificou-se a característica central e distintiva identitátia, presente no nível fundamental dos discursos do caso estudado, como sendo a confiabilidade. Esse atributo que se consolidou no percurso histórico da empresa spin off, de forma integrada entre os seus membros e grupos, refere-se a categoria identidade do nível fundamental do quadrado semiótico revelado na pesquisa. Constatou-se também a inexorável influência da cultura organizacional da empresa-mãe na construção identitária da nova empresa, ao menos em sua fase inicial, identificada como um spin off da cultura organizacional. Entretanto, a realização da análise semiótica nos textos do corpus da pesquisa, possibilitou identificar outros aspectos da identidade organizacional, relativos a alteridade e seus contraditórios, estes, de natureza instável, tensional e ambígua, porém relevantes à compreensão da construção da identidade das organizações.

The 21st century would be a nightmare for Don Quijote: thousands of windmills are installed all over the globe and the number will increase tremendously over the next years. If climate change was an issue in the early 17th century, Don Quijote might have specialized in fighting nuclear or fossil fuel power plants. The change in power production is clearly pronounced, and it inspires the market to respond immediately. Numerous wind turbine manufacturers emerge, developing one technological innovation after another. The trend clearly goes in one direction: horizontal axis wind turbines in all possible variations. However, there are a few companies that do not follow the mainstream – they swim against the current and introduce new concepts, with the potential to set new standards in the industry. Nevertheless, the question whether these companies can establish operations and survive in an industry dominated by large multinational corporations arises. If these companies want to become recognized, they need to compete on an international scale from the outset – they become born globals. This master’s thesis investigates the preconditions under which an innovative start-up company can become born global in the wind turbine industry. For that, distinctive resources and capabilities of such companies, as well as key success factors for the industry are defined. Furthermore, enhancing or restricting parameters lying within company’s environment – in particular, within its networks – are discovered. These findings are based on and supported by the case study of an innovative vertical axis wind turbine manufacturer. In addition, the influence of this company’s university spin-off origin is investigated.

IC industry and TFT-LCD industry are two of the most important industries in Taiwan. These two industries are only important subindustry of the IT industry. Then we may say that IT industry is the most important industry in Taiwan. Most of the IT companies are subcontractors of brand name companies, only a few companies for example Asus and Acer dare to become a brand name companies. Asus and Acer are willing to take the risk to launch their brand name and go for the brand name lonely road. Our research studied the Asus from star-up to fast growth period, and then facing the conflict between the OEM and brand name. Asus Computer used different spin-off and M&;A strategies in different stage to separate the OEM and brand name sections into two different companies. They are Asus Computer and Patragon. Gradully Asus overpassed Acer 、Winstron、Compal and Quanda and became the majof brand name company in Taiwan. After the spin-off of Asus and Patragon Asus not only kept the leading position in Taiwan, but also become one the famous IT brand name compay in the world. Our research found out that Asus used not only vertical spin-off strategy but also horizotal spin-off stategy to separate the OEM and brand name sections at right time. By the way of horizontal spin-off it solved the conflict problem between OEM and brand name. The two new companies could focus on each indivigual goal and also increase the market share. We studied the spin-off case of Asus Computer very carefully and compared the different important indexes before and after the spin-off to verify the spin-off result. The ranking of Asus is improving every year. We wish that Asus could keep going with right strategis and become Top 3 brand name in the world. We also wish that more companies of Taiwan could rank within the top three companies in the world.

In 2017,the global medical device market was approximately US$359.8 billion。Its five-year compound growth rate(CAGR) was 5.7% from 2017 to 2020。 The Biotechnology industry changes faster that has business environment more complex and competitive,all companies are thinking how to promote competitiveness for the future。Therefore,corporate restructuring is one of the growth strategies of enterprises。 B company is global top 10 medical device company。In 2015,it decided to split its bioscience department into another company eventhough the assets were reduced from $16.6billion to $10.7 billion。 However its cumulative total shareholder return (including reinvested dividends) on B company common stock and the Standard & Poor’s 500 Composite Index and the Standard & Poor’s 500 Health Care Index for the three-year period ended December 31. 2018,the total shareholder return for B company for this period totaled approximately 73%,as compared to 36% for the S&P 500 Composite Index and 18% for the S&P 500 Health Care Index over the same period。 The key success factors found in this study are as follows: 1. Clear spin off strategy and transparency of industry information。 2.The corporate governance guidelines to affect company operation。 3. The influence of CEO’s leadership。

Academic spin-off companies in the Czech Republic My personal interest in understanding the mechanisms and structures of academic society was the reason for choosing the topic. The issue of academic entrepreneurship the author met during my employment at Palacky University. In the course of work related to the preparation of internal documents regulating the Palacky University shareholding in the business of other legal persons, I faced many problems that emanated from a specific college status as legal persons under public law and traits that show business companies in which the partial ownership belongs to a research organisation. Due to the fact that the topic is completely untreated in the Czech literature, I decided to compile my findings on the functioning of academic spin-off companies in the thesis. The thesis is divided into five content bearing chapters (total work has 10 chapters). The first chapter contains the introduction. This research undertakes the internal business development of a spin-off venture.The research selects specific venture as its target discussion, the following are both selected areas, “structure of strategy”, “structure of value chain”, topics applies the framework proposed in “The Growth Gamble ” by Campbell and Parker(2005). The following are results from analyzing: (1) internal and external resource and strategy, (2) the influence in performance achievement of a new venture cased by internal value chain structure, (3) Whether an on going management and execution plan within the measurement of Check bring influence to the result of a spin-off company. (1) When competitive strategy adopted by the newly created industry, focus on the changes of industry environment circumstances. Vulnerability of a newly achieved venture is relatively high, consequently, it is especially critical for newly created venture to obtain an adjustable flexible strategy. Comprehensively, when it comes to strategic structure, then it may penetrated through the promoted strategy of quality, and to obtain common understanding and gain needed support among team members. (2) When provide results from its resource allocation, every role within the value structure of a new venture executes a high level of controllability at every segment. In terms of achievement activity directly relate within the value chain, with superior quality and high degree of common understanding, affirmative influence will result in new venture’s financial performances. (3) There will be an increase in cautious and rational strategy, and a decrease in rush and irrational behavior. After exercises the implementation of “Confidence Check”, strategy expert will be able to assist venture to draft an accurate goal. This research takes case study methodology that inquires into the spin-off motive and strategy analysis of the M company. And data collection of the related market successfully representative's individual cases of the spin-off, containment: the Acer group, Yu Long and SIS semi-conductor company. To compile those companies background comparison, spin-off reason, methodology and result. According this summary to inquire the M company spin-off strategy whether exactitude, whether the feasibility for having already differed from to partition modus, and the strategy of wafer factory spin off. Base on the aims at above mentioned subjects, the study has identified 4 conclusions that can be used if has the spin-off case of other semi-conductions they can also adopt those 4 angles to the analytical study. Below are the 4 conclusions. 1. In regard to the semi-conductor management trend, by original IDM operation the mode turn into foundry business the strategy of the work mode to conform to the market trend. 2. Per customer angle, solve the conflict between own brand and foundry business that is one of the most important items. 3. With management level of enterprise, parent company is IDM operation mode, the subsidiary is a foundry business operation mode, so partition independently can will management and the prize and punishment system separate, reduce the complicated management items. 4. As faced with flow of process and systems, the IDM and foundry mode is different, is existed in same company in the meantime, that cause complications of the production systems, ERP system, operation and management systems.

Mobile phone markets are growing faster than anticipated. Nokia that was once the world’s leading brand of mobile phone has fallen behind in the market since 2012 because it didn’t foresee the big change of the mobile phone market and didn’t invest in the smartphone market. H company makes the same mistake by neglecting the change of the trend of the smartphone market. It’s keeping focusing on the high-end smartphone market makes him miss a huge chunk of the mid / low-tier market which is focus on the cost/performance ratio. As the increasing competition from Samsung, Apple, and other rising Chinese brand phone companies, H company gradually loses the market share. Its shipment has fallen out of the global top 10 list since 2012 and its sales have been on the decline for more than two years.

In the era of knowledge-based economics, the enterprises emphasized on important factor of the tangible assets, such as capital and properties are no longer valid for competitive and advantages. More contributions are generated from intangible assets and innovation knowledge. The traditional financial statements are only focusing on the tangible portion, ignoring the intangible asset cost of fund raising and equities. The Economic Valued Added (EVA), a financial performance measurement developed by Stern Stewart & Co. in 1991, is directly connected the value estimated method of shareholders creating fortune. EVA represents real profit versus paper profit, it is possible to determine that despite an increase in earnings, a firm may destroy shareholder value if the cost of capital associated with new investments is sufficiently high. In this case study, we use Fuzzy Analytic Hierarchy Process in combining strategy with financing, assigning different weights to tangible and intelligent assets to evaluate the value drivers of spin-off in D-Link Corporation. The research demonstrates how much effect spin-off can affect a corporation’s value. The conclusion could be reference for managers in assessing the effect of company’s spin-off. 1.Through discreetly examining the EVA indexes and weighing rules, it is obvious that capital depreciation and adjustment are two vital factors in processing of spin-off with. This also matches the efficiency disposition theory of Capital Spin-off Value Chain. 2.The action of spin-off increases enterprise’s EVA and also promotes VAIC relatively. This also gives an evident to the negative synergy and focusing operation effect while spinning-off 3. In this research, the group of professions ranks the intellectual capital in the following orders: (1).Process Capital (2).Human Capital (3). Intellectual capital (4).Customer Capital. Process Capital and Human Capital are two options ranked in the higher position relatively. 4. The relations of these four intellectual capitals are positive. In the angle of value china, it is impossible that any progress of cooperation’s VAIC would be made by one intellectual capital itself. The increasing of VAIC exit only when these four factors function are combined together.

The world becomes flat than ever, the real life of global village is coming! Enterprises outsourcing everything they could, no one could ever resist this fever. This is why we would like to research: By means of the so-called 「Corporation Reengineering」, how enterprise spin off its IT department to be an independent information services company, in which, the planning & development of business strategy is our research focus. In order to make our result the more practical, we not only collect the relative literature, but also adopt the method of case study, to choose a local remarkable company 「Information Technology Total Services」 (ITTS is for short), to be the study case, for which background is quite fit the criteria of this research, on the other hand, we also research & development the past, present and future of information service industry, which ITTS belongs to. Besides, to make this research the more scientific & convincing, we not only collect ITTS basic information, such as the background, evolution, organization, human resource, product & services (e.g. information technology outsourcing (ITO) services, or business process outsourcing (BPO) services), income figures, SWOT analysis, key success factors, business benefit & strategy, future outlook…etc., but also hold a deep interview forum, as well as conduct the satisfaction surveys for the customers & employees. Then, we arrange, analyze & generalize the whole primary & secondary information, arrive at a conclusion finally, that is: Facing the outsourcing fever, enterprise groups need to be the more flat, to spin off to be the more affiliates which are the more specialized in each specific industries, with the more capacity for fighting; It’s the right decision for ITTS to spin off from TECO Group, for which will make the business operation the more flexible; ITTS takes the most advantage for the back up of its parent company, however, the most challenge for ITTS is that it should to be a fightable team externally; On the other hand, ITTS follows the KSF cautiously, learned the good operation system, mechanism & global strategy from its parent company, which caused a forward-looking business strategy, as well as a bright income figures. Finally, for those enterprises that also would like to spin off their IT department to be an independent company, we hope this research could be the suggestions & reference for business strategy planning or operation model. Firm, as well as products have a certain life cycle. In the past, the average company enjoyed an average of 40 years of scenery, only to decline. In today's highly competitive business environment, the average life expectancy of company has been reduced to 14 years. If the company to achieve the goal of sustainable development is necessary to break the original life cycle S-curve of fate, then "4+2 formula for Sustained Business Success" within the company organizational change decision-making and implementation of the relationship between the company can rebuild the second life curve of the key factors. This paper explores the reasons for the adoption of segmentation strategy and the changes in business performance after segmentation, and the reasons for the poor performance. D-Link and Alpha, Asus and Pegatron, the two cases are based on similar factors and motivation to adopt corporate segmentation strategy to adjust the corporate structure and strengthen the competitiveness of company, but Asus and Pegatron split after the performance of the business than D-Link and Alpha good reason is that corporate governance and sustainable research and development innovation.

Structural changes in global industrial economics around the 1970s has brought about an innovative economic model with high globalization, competitiveness and oligopolies, whose operations were mainly based on mass production and consumption. Since then, the industries that dominate a nation’s economic development have been shifted from traditional manufacturing to information communications technologies (ICT) oriented. Thus, industrial innovation has become a key issue worldwide that strongly relates to global economic development, wealth accumulation of a nation and sustainability of enterprises. Realizing the road ahead towards economic growth in pace of “factor-driven” to “efficiency-driven” and eventually to “innovation-driven”, governments worldwide have set technology and innovation as top priority on their competitiveness list, and Taiwan is no exception. Here, the government has been actively involved in the promotion of technology developments, the cultivation of talents and also the policy support for domestic industries, all of which has helped Taiwan to take shape as a high-tech island. Meanwhile, most R&D capacity or energy still resides in domestic research institutes, and if properly released to private companies, it can be directly devoted to the development of domestic industries, thereby strengthening our national competitiveness without repetitive investment in the high-tech rat race for individual company. At present, domestic R&D-oriented institutes in charge of national science-and-technology projects are starting to set up various channels for the commercialization of their R&D results, among which Spin-offs are taking center stage in addition to patent licensing or technology transfers because of its contribution in business booming and job creation. Therefore, it’s the aim of this study to explore the role of R&D-oriented institutes during the development of ICT industries in Taiwan, and also that of International Integrated Systems, Inc. (IISI) as a Spin-off of Institute for Information Industry (III). Based on literature reviews and the features of ICT industries, this study is to conduct close interviews and case discussions with professionals, depict the innovation and business impact of Spin-off companies from R&D-oriented institutes under four factors: industry, market, technology and policy, and finally propose its suggestion on decision making for the future expansion of R&D-oriented institutes.

The phenomenon of industries developing into group organizations has become more and more popular. Most group industries are working actively and hard to expand their market shares and profits by diversifying their investments. Because of having a complete self-developed system, some group companies think their practical experience of business flow paths in system development can be used as reference resources for other companies. These group companies, therefore, encourage their information units to shift the models of “entrepreneurial venture Spin-off company”. According to the past experience and impressions of cooperating with the spin-off companies, some subsidiaries of the group companies have developed a strategy to outsource their information system to spin-off companies. This is a case study with long-term observation in the field. We use the theory of Aspiration-Level Adaptation (Cyert & March, 1963) as a basis to explain the process of decision adaptation while the subsidiary of the group company seeks for software outsourcing from a spin-off company. The outsourcing of the subsidiary of the group company was determined by the inter-trust relationship between the subsidiary and spin-off company as well as the past working performance. The decision index is quite simple. But when the performance of the outsourcing information spin-off company cannot meet the subsidiary’s expectations, the subsidiary will adjust its behaviors and decisions toward the spin-off company by its past experience. The subsidiary will also set up a suitable outsourcing management and control mechanism. Thus, we can see that the information outsourcing process is a continual process of aspiration-level adaptation, and the outsourcing company will adjust its decision according to the degrees that the spin-off company meets its expectancy level.

Facing the challenge of dynamic economic environment, there are many domestic IT industries operate across branding and OEM business. While both business achieve certain level of business scale, there might be conflict or contradiction impacted on company operation. Managers have to think more seriously about the availability of adopting the “spin-off” for branding and OEM business, and lead the company entering into the new milestone via successful organizational adjustment at proper time.   This research target is the product management personnel of domestic OEM in network communication, with in-depth interview, analyzing the relationship between role conflict and job satisfaction of new company employees after the enterprise adopt the ”spin-off” strategy.   The conclusions are generated as followings. 1. Before the enterprise adopt” spin-off” strategy, the company should have thorough communication with employees, in this way, it can mitigate employees’ conflict raised from organizational changes and then create sense belonging to the new company. 2. After enterprise adopt “spin-off” strategy, it will result in role conflict of new company’s employees by the change of external work process, client relationship with the original colleagues, and then decreases job satisfaction to the end. 3. After enterprise adopt “spin-off” strategy, it will not influence the effect of identity on working, organization, mood to new company employees by the change of external work process, client relationship with the original colleagues.
