Abstract:
In corporate governance, spinoff decision is made either to focus on a specific area of business or to get rid of businesses with low profit margin. Separation of some management assets for a better management of existing assets referred to as a spin off. The spun off or subsidiary company is formed by issuing new shares to the existing shareholders while losing some original or parent company shares. By doing so, shareholders’ value might be lost. With a sample of 65 companies spun off since 2009, this paper analyse the stock price movements of the spun off and the parent company and productivity in terms of turnover of the spun off company. From the analysis, there has been an increase in both productivity and stock price. This paper also emphasizes how corporate governance in spin off decisions can protect shareholders’ value.

Abstract:
Spinning off non-core functions into separate businesses has become increasingly prevalent as organisations restructure and specialise in core areas. A spin-off arrangement is often used as an alternative to outsourcing functions to an independent service provider. Although spin-offs have been increasing in prominence, there are few studies in the literature that provide detailed insights into development and implementation. This paper focuses on a privatised utility company that spun off a number of functions into a separate commercial business. As well as developing a new client base, the spin-off continued to provide services to the utility company. Although this arrangement was regarded as extremely successful, the development and implementation of the spin-off arrangement faced a number of difficulties. This paper considers the arrangement right from idea generation through to full development and eventual disposal. The development of the spin-off was considered along with the implications for the subsidiaries in the utility company. The paper provides a number of important lessons for organisations pursuing this type of outsourcing configuration.

Abstract:
UNISPIN is a project designed to promote university spin-off companies among the universities and regions of Europe. In this context, a university spin-off is a company that uses technology developed in a higher education institution for its start-up. From the experience of the UNISPIN scheme, it is clear that one of the most important prerequisites for a spinoff programme in an institution is the existence of an entrepreneurial climate. In this paper, the authors first discuss the development of an entrepreneurial climate and the spin-off potential of universities. They then look at UNISPIN and its approach before analysing effective ‘tools’ for the creation of a positive culture and the implementation of a systematic programme for the creation of university spin-off companies.

Abstract:
In the past, the promotion of university spin-off companies and university–industry links has been extremely weak in Italian universities. However, while previously certain factors and constraints rendered the involvement of university professors and researchers in private companies almost impossible, with the passage of time there has been a slow build-up of such links. This increase has been in part due to new government policies. This paper examines these new policies, in the context of financial support and initiatives for companies which are leading to a breaking down of the barriers between university and industry and a relaxing of the regulations under which a researcher can found a spin-off company.

Abstract:
The Xerox Corporation has devised several strategies for managing the numerous spin-off firms that independently commercialized many of its technologies. From 1979 to 1998, thirty-five technology-based organizations emerged from Xerox's research centers. Contradicting the common perception that Xerox “fumbled the future” by letting its technology walk out the door, in fact the company set in motion a series of deliberate initiatives to manage its spin-off organizations. After initially adopting a laissez-faire approach, the company soon turned to ad hoc methods, which evolved into a formal internal venture capital structure and culminated in a triage process, with the result that only companies perceived by Xerox as fitting into its overall corporate strategy were retained. By using spin-offs to withdraw gracefully from areas it considered to be marginal, Xerox for feited the potential to realize value from their research. Some, but not all, of the spin-offs obtained venture capital financing from outside sources and thus prospered independently. Their success demonstrated the opportunity that Xerox missed in managing its spin-offs.

Abstract:
Drawing upon 106,181 patent applications by the world’s largest defense firms and 241,571 patent citations (2002–2011), this article has two main objectives. The first is to explore the factors affecting the production of mixed patents (those with potential dual applications in both military and civilian spheres). The second is to identify the causes of the use of military knowledge for civilian inventions ( spin-off) and the use of civilian knowledge in military patented technologies ( spin-in). Our calculations show highly significant coefficients for the variables capturing the “military technological capability” and the size of the company in explaining the production of mixed technologies. The spin-off process is affected by the military technological capability, the size of the firm, and the location. The spin-in mechanism is explained by the military technological capability and the location of the firm, while the size of the company is not relevant.

In this master thesis was made investigation of parent company’s influence on spin-off performance. Research questions were created in order to find out the reasons of spin-off creation, to define types of spin-off and parent-spin-off relationships in the post-spin-off period, to identify types of resources and knowledge, parent transfers to spin-off and to make evaluation of spin-off in post-spin-off performance. In order to find answer on created research questions qualitative and quantitative methods of analysis were used. Qualitative analysis implemented in the form of open-ended questionnaires was answered by 7 respondents, holding administrative and managerial positions in spin-off companies of USA and Canada. Quantitative analysis was made through financial ratios analysis of financial service and energy spin-off performance. During analysis of questionnaires was found that majority of respondents mentioned shareholder value maximization as the main reason of spin-off creation. Despite the fact, that spin-off considered in the literature like independent entity, 3 of 7 spin-offs were found dependent on their parent companies in resources, knowledge and services, while parent company was in a role of ‘manager’, ‘supplier’ and ‘distributor’ for spin-off. Majority of spin-offs got help from parent in the form of cash, employees and management. Among knowledge that was transferred from parent to spin-off was mentioned managerial, technical, technological, marketing, production and intellectual property. Based on the financial ratios performance analysis of energy spin-off was found out that energy spin-off, unrelated to its parent , since the year of separation continue to generate net loss, despite those fact that parent company of spin-off still shares with it resource and personnel. Based on financial ratio performance analysis of financial service spin-off was found out that spin-off performance had been improving slightly since separation from parent. Financial service spin-off have plans to become one of the leaders in the financial industry.

Abstract:
This report outlines the activities undertaken during the curricular training, performed at Bluepharma, Pharmaceutical Industry S.A. and at TREAT U, Lda. a spin-off from the University of Coimbra, within the scope of the Pharmaceutical Biomedicine Master´s course of the University of Aveiro. This was a 6-month experience that had two components, one multidisciplinary and other monodisciplinary, which allowed me to develop the knowledge and skills acquired throughout the master´s course by applying them on a day-to-day basis in the real world. Beyond of professional skills development, this experience also enabled the acquisition and development of several skills at both personal and social level. In the first two months of this experience I acquired essentially a theoretical knowledge in several areas of a pharmaceutical industry (financial, business development, regulatory affairs, research and drug development, quality assurance, etc.) through my passage at Bluepharma. Following, in my four months experience at TREAT U, I was given the opportunity to perform more independently, the functions inherent to the position of assistant manager, with special focus on project management activities (including regulatory affairs), such as support in preparation of nonclinical development plan and in the preparation of the scientific advice request. This report begins with a description of the training objectives and a brief introduction to the host institutions. Then, explains the knowledge acquired in the multidisciplinary experience and furthermore the activities undertaken at a monodisciplinary level. Finally, it presents an analysis of the difficulties and challenges encountered and the efforts made to overcome them.

With the appearance of a new world scenery, the markets are dominated by companies with high capacity of innovation. The university, one of the most important sources of knowledge, which fundamental role consists in the formation of human resources and in the performance of academic research, starts to be forced in a way that the results of its researches should bring more relevant economic and social impacts to the society in order to enrich and enlarge its role. As a consequence, the relationships of cooperation between universities and companies and the process of technology transfer from the university to the market gain importance. Among the known process of technology transfer, the creation of companies from the knowledge generated in the university (academic spin-offs), emerges as an alternative way to complement the traditional mechanisms. This study aims to characterize the process of technology transfer through the academic spin-offs, focusing the Federal University of São Carlos, and to identify its importance in the process of innovation, the employment creation, the relationships of cooperation between the university and companies and the local economic development. The methodology used was the qualitative research and case study, with field interviews and analysis of the contents. The results also show the received incentives and the main barriers faced by the academic spin-offs.

The literature on organizational identity, from various perspectives, deals with additive business processes such as mergers, acquisitions or cooperative enterprises among companies. However, the inverse, subtractive process, where a company emerges from the original company, has not received much attention in the literature with respect to the creation of the new company s identity. This thesis aims to understand the construction of the organizational identity of a spin-off outsourced company. A qualitative, exploratory and longitudinal study was performed on the basis of a case study. The research consisted of 13 in-depth interviews with the key actors involved from the start of the spin-off process, along with the current managers, including non-participant observation in meetings and events, as well as broad documental analysis. The transcribed interview texts and secondary data were analyzed on the narrative and discursive levels, both in terms of syntax and of semantics under textual semiotics. The central and distinctive identity characteristic, present on the fundamental level of the discourses belonging to the studied case, was found to be reliability. This attribute, which was consolidated along the spin-off company s historical path, in an integrated manner among its members and groups, refers to the identity category of the fundamental level of the semiotic square revealed during the research. The inexorable influence of the original company s organizational culture on the construction of the new company s identity was also observed, at least in the initial phase; this process was identified as an organizational culture spin-off. However, through semiotic analysis of the texts in the study s corpus it was possible to identify other aspects of organizational identity, relative to otherness and its contradictions, which were of an unstable, tensional and ambiguous nature but were nonetheless relevant to understanding the way organizations create their identities.

Abstract:
The 21st century would be a nightmare for Don Quijote: thousands of windmills are installed all over the globe and the number will increase tremendously over the next years. If climate change was an issue in the early 17th century, Don Quijote might have specialized in fighting nuclear or fossil fuel power plants. The change in power production is clearly pronounced, and it inspires the market to respond immediately. Numerous wind turbine manufacturers emerge, developing one technological innovation after another. The trend clearly goes in one direction: horizontal axis wind turbines in all possible variations. However, there are a few companies that do not follow the mainstream – they swim against the current and introduce new concepts, with the potential to set new standards in the industry. Nevertheless, the question whether these companies can establish operations and survive in an industry dominated by large multinational corporations arises. If these companies want to become recognized, they need to compete on an international scale from the outset – they become born globals. This master’s thesis investigates the preconditions under which an innovative start-up company can become born global in the wind turbine industry. For that, distinctive resources and capabilities of such companies, as well as key success factors for the industry are defined. Furthermore, enhancing or restricting parameters lying within company’s environment – in particular, within its networks – are discovered. These findings are based on and supported by the case study of an innovative vertical axis wind turbine manufacturer. In addition, the influence of this company’s university spin-off origin is investigated.

IC industry and TFT-LCD industry are two of the most important industries in Taiwan. These two industries are only important subindustry of the IT industry. Then we may say that IT industry is the most important industry in Taiwan. Most of the IT companies are subcontractors of brand name companies, only a few companies for example Asus and Acer dare to become a brand name companies. Asus and Acer are willing to take the risk to launch their brand name and go for the brand name lonely road. Our research studied the Asus from star-up to fast growth period, and then facing the conflict between the OEM and brand name. Asus Computer used different spin-off and M&;A strategies in different stage to separate the OEM and brand name sections into two different companies. They are Asus Computer and Patragon. Gradully Asus overpassed Acer 、Winstron、Compal and Quanda and became the majof brand name company in Taiwan. After the spin-off of Asus and Patragon Asus not only kept the leading position in Taiwan, but also become one the famous IT brand name compay in the world. Our research found out that Asus used not only vertical spin-off strategy but also horizotal spin-off stategy to separate the OEM and brand name sections at right time. By the way of horizontal spin-off it solved the conflict problem between OEM and brand name. The two new companies could focus on each indivigual goal and also increase the market share. We studied the spin-off case of Asus Computer very carefully and compared the different important indexes before and after the spin-off to verify the spin-off result. The ranking of Asus is improving every year. We wish that Asus could keep going with right strategis and become Top 3 brand name in the world. We also wish that more companies of Taiwan could rank within the top three companies in the world.

Abstract:
In this study, several aspects of Saxion spin-offs have been analysed, the numbers, workplaces, location, migration, gender issues, different economic sectors and survival rates. The main question underlying all these analyses was what the impact of Saxion as university of applied sciences is on the regional economy of the two regions in which it is located. From the literature, the concept of an entrepreneurial ecosystem, as explanatory factor for the observations that in certain regions more graduates or staff members start their own business and that such an ecosystem helps small fledgling businesses to survive and grow is an interesting concept. Unfortunately, the theoretical foundations are still not fully crystallized, therefore measuring the actual influence of such entrepreneurial ecosystems is still a difficult exercise. In this study, Saxion spin-offs from two regions, Twente and the Cleantech Region, have been analysed, and several differences in terms of number of spin-offs, employment, migration patterns and survival rates have been identified. Since the spin-offs are from the same university of applied sciences, with the same policy regarding support of entrepreneurship and both regions are located outside of the economic core regions of the country, it appears as if the strength of the regional context, the regional entrepreneurial ecosystem and the business opportunities it provides is a factor in explaining why there are more spin-offs in Twente (even when controlling for the larger size of the Saxion campus in this region). If one assumes that the strength of the entrepreneurial ecosystem is stronger in Twente (among others because of existing business networks, the availability of a world class research university, the University of Twente and a business support organization like Novel-T), it would explain why spin-offs located in this region on average offer more workplaces, and have a higher survival rate than in the Cleantech Region. Gender differences related to entrepreneurship are present in Saxion spin-offs, female graduates and staff members are much less likely to start a spin-off company than their male counterparts. When females do start, their spin-offs are on average much smaller in terms of workplaces offered. Their businesses have on average an equal survival rate than those started by a male entrepreneur. Findings from the literature on the subject and the numbers found in this study suggest that there is a need for specific programs in Saxion targeting females, to at least think about starting their own business. Also, specific mentoring programs for spin-offs with female entrepreneurs may help to let these businesses grow and increase their regional economic impact. Saxion spin-offs can be found in many different sectors, something understandable given the broad spectrum of study programs in Saxion. Even though most spin-offs remain micro sized businesses, certain economic sectors seem to offer better scalable business models, especially in sectors such as industry, information and communication technology businesses and business support services. The number as well as employment in the more innovative and internationally competitive topsectors is much higher in the region Twente than in the Cleantech Region, possibly another consequence of the – apparently – stronger regional entrepreneurial ecosystem in Twente. An often-stated argument for regional economic development is that investing in spin-off companies will help to create workplaces in the region, since companies are not very likely to move. In this study, the data on migration of spin-offs have been compared with the migration of graduates, based on the HBO-monitor survey. It is not possible to one-on-one compare the two datasets, as the migration of spin-offs is calculated for the first five years of their existence and the HBO-monitor is held around one and a half year after graduation. Abstract:
Already meaningful, US worker ownership can be expanded with public policies. The US spends about $1 trillion every five years on tax incentives for businesses. To expand worker ownership, the White House could develop an Office of Broad-Based Capitalism. Stock market companies should only be allowed deductions for executive pay if they have a broad-based worker ownership plan for all workers. Moreover, all Federal business tax subsidies could be conditioned on a broad-based worker ownership plan. However, worker ownership will never spread until earlier tax incentives for Employee Stock Ownership Plans (ESOPs) in stock market companies repealed by the first President George Bush, are reinstated with additional encouragements for all companies to make stock grants to workers. Finally, Congress needs to make it easier for small business people retiring to sell the company to the workers and for private equity firms to spin off their portfolio companies to the workers.

Abstract:
This chapter's objective is to analyze the institutional networks of the spin-off companies. To meet this objective cases of three universities are being evaluated and compared. The comparison of cases from the USA, Denmark and South Korea suggests that the institutional network has a significant impact on the development of the spin-off company. The role of different agents (for example universities) change with time during different stages of the development of the spin-off. The study suggests that there are certain similarities between different institutional networks, including the dependence on context, importance of intermediaries and similar roles of the institutions within the networks.

Abstract:
This case describes evolution of a small software company through three major phases of its life cycle. During the first phase, the business was founded within a subsidiary of a large multinational information technology (IT) company. In the second phase, the business evolved as a spin-off from the initial organization through a MBO (management buy-out) into an independent software vendor. Finally, in the third phase, the business has established itself as a vertically-focused business unit within a publicly-quoted company operating in software and consulting businesses. These three phases are termed introduction, growth and maturity as defined by Cravens (1987, 376).1 The company described in this case, called TradeSys, Inc. (pseudonym), develops and sells software for trade unions and unemployment fund organizations. The business model of TradeSys, Inc. (later TradeSys) has evolved through a typical life cycle of product-oriented software companies in Finland. First, it was comprised of business information systems consultation and a proposition of systems solution to a few major customer organizations. This led to customer-initiated product development. Consequently, the deliverable of the very first project was developed as a solution to the needs of a single customer, which was later worked into a universal software product along with several customer projects. During all three major phases, the company had to rethink its business model and value propositions. At each stage, the ownership of the business has also changed. This case highlights the challenges of a business in the three major turning points in its life cycle and the major changes in the business model accordingly.

Abstract:
Two lines of research focus on this chapter: University Social Responsibility and entrepreneurship. Once Univesrities are aware of the importance of introducing socially responsible actions, we refer to the need of Universities to foster the creation of new business, establishing the best conditions for entrepreneurs. In this sense, we study what entrepreneurship means and how it is initiated. At the same time, we set the education on entrepreneurship and how gender differences condition the new creation of firms. Some examples of promoting entrepreneurship are discussed, from the initial actions until the maintaining and growing a company already created. Later, chapter concentrates on the particular case of Spanish Universities, offering a lot of actions for the promotion of entrepreneurship, like projects, awards, chairs, masters, conferences and meeting. It is also important to consider the support of public administration and the role of cluster. The chapter finishes with some considerations about spin off, as the result of entrepreneurship from the University.

Abstract:
University spin-off companies are under many competitive pressures that necessitate ongoing innovation and new product development. Technological and managerial knowledge endowed to spin-offs at start-up largely determine their potential for success, since exploiting this knowledge is their main activity. This chapter discusses the issue of university spin-off companies with particular emphasis on the role of intellectual capital, as the new engine of corporate development and one of the great clichés of recent years. In addition, the study also analyzes the relationships between intellectual capital and the company’s performance. It highlights how various types of intellectual capital (human capital, structural capital, relational capital) are strategically important for innovative start-up firms.

Abstract:
As offshore activities in the Arctic constitute a relatively new field with only a handful of relevant operations to draw experience from, and since full-scale trials are extremely expensive, there is an expressed need for much more extensive, detailed and cost-efficient analysis of concepts based on numerical simulations. However, until recently simulation tools of sufficient quality to perform such numerical analysis have not existed. The only verification available has been through a limited set of experiments in ice model basins. Today, this has changed, partly through the efforts at the Norwegian University of Science and Technology (NTNU) hosting SAMCoT (Centre for Research-based Innovation - Sustainable Arctic Marine and Coastal Technology), laying the foundation of a versatile and highly accurate high-fidelity numerical simulator for offshore structures in various ice conditions such as level ice, broken ice and ice ridges. Arctic Integrated Solutions AS (ArcISo) is a spin-off company from NTNU established in 2016 with the vision of increasing the technology readiness level of SAMCoT’s numerical models to become a professional software package for the analysis of sea ice actions and action effects on Arctic offshore and coastal structures. This software package is called Simulator for Arctic Marine Structures (SAMS) and it was first released in 2017. This paper introduces the software implementation and the theoretical basis of SAMS, and it discusses the use of full-scale data to validate the simulator.

Abstract:
The boiler generating bank (convective) sections of waste to energy boilers are commonly found to be very limited in regards to personnel access. The Miami-Dade County Resources Recovery Facility has had a challenge in the past to effectively clean this section of the boiler either on line or within a timely manner during outages. In 2003 the company used a new innovative method for cleaning this section off line. The boilers were 100% clean in 1/2 to 1/3 the usual time. The new method involved high-pressure industrial water blasting as typically used, with the exception of the water delivery device/system. Normally the water delivery method involves personnel placed in the boiler with hand held high-pressure water lances. They require confined space monitoring, lighting, scaffolding, proper air supply, frequent breaks, rain suits, full face shields and other PPE for safety inside the boiler. These factors combined with the limited space severely constrain the personnel and their effectiveness when using the water lances. Cleaning is compromised and has led to poor effectiveness and long duration cleanings. Explosives have also been tried to help augment cleaning. The new method used in 2003 involved no personnel in the boiler. Instead, for the water delivery system, a support cable is erected across the boiler upon which a rotary cable swivel tool (CST) is mounted. The tool has connections for high-pressure water and plant air and a simple winch for traversing the tool across the furnace. Very effective cleaning was accomplished from drum to drum, a distance of 20 feet (6.1 m). Depending on the application, the water pressure can be adjusted for maximum effectiveness. The air pressure is also adjusted to control the speed at which the rotary nozzles spin to best match the fouled conditions. The orientation and number of nozzles is also optimized for each application. This paper details the results of using the rotary Cable Swivel Tool (CST) in the generating bank section of the boilers and discusses related operational and maintenance benefits.
