Abstract:
L'articolo analizza alcune delle principali novità del Trattato USMCA, collocandolo nel contesto della globalizzazione economica e delle tecniche di regolazione sociale che impiegano i la-bour standards dell'OIL e le clausole sociali nei Trattati commerciali internazionali, realizzando forme "atipiche" di extraterritorialità. Il Trattato USMCA si caratterizza per alcune impor-tanti innovazioni in materia: l'impegno delle parti a rispettare gli international core labour standards, il riconoscimento del diritto di sciopero, la possibilità di sanzionare direttamente le imprese responsabili delle violazioni dei diritti del lavoro, una procedura veloce di risoluzione delle controversie. Nel complesso il Trattato rilancia la capacità della clausola sociale come principale fattore di tutela dei diritti del lavoro in un contesto di globalizzazione economica.

Abstract:
La liberalizzazione del commercio internazionale può promuovere la crescita economica e le opportunità di lavoro sia nei Paesi in via di viluppo sia nelle economie industrializzate. Peraltro, non tutti gli Stati hanno beneficiato in uguale misura di tale liberalizzazione e, in generale, della globalizzazione delle relazioni economiche internazionali. Di conseguenza, questi fenomeni e gli accordi commerciali di stampo liberista che li hanno favoriti continuano a essere oggetto di un acceso dibattito. In tale contesto, uno degli aspetti più controversi è la mancanza di una protezione adeguata dei diritti dei lavoratori nell’ambito dei suddetti accordi. Partendo dall’attuale mancanza di regole specifiche nel quadro giuridico multilaterale degli scambi, l’autore analizza le cosiddette “clausole sociali” contenute negli accordi di libero scambio bilaterali e regionali di nuova generazione, con particolare riferimento ai trattati conclusi dall’Unione europea (UE). Dall’analisi emerge che tali clausole non garantiscono ancora una sufficiente protezione ai lavoratori e che, pertanto, esse andrebbero modificate.

Il saggio analizza le trasformazioni subite dalla figura del datore di lavoro a seguito dei grandi mutamenti economici e sociali che hanno interessato l'ultima parte del secolo scorso, nonché le risposte che il diritto del lavoro ha dato a questi mutamenti. Viene, dapprima, descritta la disarticolazione dello spazio interno dell'impresa, con i processi di frammentazione ed esternalizzazione del ciclo produttivo, che hanno dato nuova centralitŕ alla questione di chi sia il datore di lavoro; e, successivamente, la disarticolazione spaziale esterna, dovuta all'allargarsi dei confini del mercato su scala transnazionale, che ha determinato un'accresciuta scelta da parte del datore del diritto che governa il rapporto di lavoro. Il saggio descrive poi come il diritto del lavoro ha affrontato le conseguenze di tali processi, ed in particolare la disarticolazione delle responsabilitŕ datoriali e la creazione per il datore di nuovi ambiti di immunitŕ nell'esercizio dei propri poteri. Le nuove tecniche di tutela impiegate sono prevalentemente di tipo relazionale, intervengono, cioč, in relazioni nelle quali diritti e doveri delle parti non sono interamente determinati a priori, e lo fanno attraverso strumenti quali l'adozione di criteri di attribuzione funzionale delle responsabilitŕ datoriali fra diverse entitŕ economiche e attraverso varie forme di bilanciamento di interessi, mediate dalle clausole generali e dai principi di eguaglianza e ragionevolezza. Ne risultano un'accentuata flessibilizzazione delle regole giuridiche e un tasso piů elevato di incertezza e imprevedibilitŕ del diritto, ma anche la scoperta di nuove funzioni dei principi e dei diritti fondamentali.

Abstract:
Implementing fiscal consolidation measures without first considering social stabilisers has led to turn what originally was an economic recession into a social crisis too. The economic and social divergences in Europe have increased to a point where the future of the social dimension of the EU has been put into question. There is however, a provision in the Treaties that obliges the EU to take into account social issues in all its policies and activities, namely, the so-called horizontal social clause enshrined in Article 9 TFEU. The potential of this clause to mainstream the social dimension of the EU and foster balance between social and economic policies has, however, not yet been untapped. The recently launched European Pillar of Social Rights (EPSR), which aims at achieving a highly competitive social market economy, brings to the table a number of rights-based objectives along with a number of indicators that might shed some light over the constraints faced by the horizontal social clause. This article aims at unravelling the potential of the horizontal social clause in envisioning parity between the social and the economic and providing a social pillar to the EU. This contribution provides first a legal analysis of Article 9 TFEU and it briefly discusses the problematic behind its poor implementation. Later, the potential of the horizontal social clause is discussed in the light of the current developments in the framework of economic governance. This article also suggests a number of scenarios where social mainstreaming should be duly implemented. It suggests that Article 9 TFEU may have an important role, in particular, with regard to austerity measures when envisioning it together with the EPSR.

Abstract:
Competition between countries has rapidly increased in the current context of economic globalization. Both indirect competition (through trade) and direct competition (through illegal immigration) can breed social dumping, exerting downward pressure on labor conditions in developed countries. In this paper we show the need for a social clause in order to prevent firms from illegally obtaining a comparative advantage. The adoption of a social clause, based on agreed labour rights by all signatories to ILO Conventions and on the compliance by multinationals, would eliminate social dumping. Linking labor standards and trade at the multilateral level has received a lot of criticism. Some claim that this is just another strategy to masquerade the protectionist ambitions of developed countries. We believe that it should be adopted at the multilateral level in order to favor an ethical behavior in both trade and investment. This is particularly crucial for less developed countries that have inserted themselves in the international economy. A balanced analysis of the arguments in favor and against the adoption of a social clause reveals that there is a patent need for an international harmonization of workers' rights regardless of the instruments.

L'A. dedica attenzione ai cambiamenti apportati dal Trattato di Lisbona sia sul versante dei diritti sociali sia sul versante della concorrenza. Finora si č pensato che il diritto del lavoro continuasse a cedere rispetto al diritto commerciale. Molti erano i segnali che andavano in questa direzione: le incertezze sul significato stesso di diritto del lavoro, la crescita del dumping sociale infra-Ue, la ripresa di pulsioni nazionaliste, la giurisprudenza della Corte di giustizia sui limiti alla contrattazione collettiva e allo sciopero. Č ora il momento di valorizzare le nuove prospettive aperte. La crisi economica e finanziaria ha messo in discussione l'idea di mercato autoregolantesi; nel sistema delle fonti, la concorrenza passa da principio a strumento e la protezione sociale e del lavoro č proiettata nell'economia sociale di mercato, garantita da una clausola sociale di valenza orizzontale. Č l'unica prospettiva possibile, se vogliamo evitare il tracollo del sistema di relazioni sindacali e del lavoro.

Abstract:
Nel corso della trattazione s’intende analizzare la disciplina alquanto frammentata e di difficile ricognizione relativa alle clausole sociali in tema di appalto. Con il termine “clausole sociali” si identificano quelle disposizioni normative che impongono ad un datore di lavoro il rispetto di determinati standard di protezione sociale e dell’occupazione come condizione per svolgere attività economiche in appalto. Il tema delle clausole sociali negli appalti è da sempre un tema controverso proprio per la natura stessa delle clausole, le quali possono incidere nella sfera giuridica dell’appaltatore fino a condizionarne la libertà di iniziativa economica, oltre a suscitare aspetti problematici anche in merito ai principi comunitari in materia di libera concorrenza. Ci si concentra, in questa sede, nello studio della disciplina interna, avendo cura di analizzare sia la normativa italiana in tema di appalti nazionali sia la normativa italiana in tema di appalti transnazionali. Le clausole sociali si dividono in clausole di prima generazione e clausole di seconda generazione. La prima categoria, a sua volta, ricomprende le clausole di parificazione dei trattamenti minimi e quelle di equo trattamento. Della seconda specie, invece, fanno parte le clausole sociali di assorbimento della manodopera nel cambio d’appalto. L’elaborato presenta la seguente organizzazione. Dopo un breve inquadramento delle singole tipologie di clausole sociali, ci si pone l’obiettivo di ripercorrere le tappe normative più significative, esplicitando di volta in volta le diverse opinioni della dottrina e della giurisprudenza e soffermando l’attenzione sui dubbi interpretativi più frequenti, fino a giungere alla presentazione delle più recenti riforme in materia. Infine, per dare all’indagine un più ampio respiro, si è deciso di affiancare allo studio delle norme interne relative agli appalti nazionali la presentazione della disciplina italiana in tema di appalti transnazionali, con l’obiettivo di capire se tali regole sono conformi al diritto dell’Unione Europea, e più precisamente al principio della libera concorrenza, considerata anche la grande influenza che l’Unione Europea esercita nei confronti dei Paesi Membri.

Abstract:
The aim of the thesis is to study the different provisions included in the notion of social clause and offer an in-depth and systematic analysis of some types of social clauses in the Italian and European Union legal order, their characteristics, their regulation, and the legal interests that are aimed at protecting, as well as their classification in the multilevel legal order. This study is preliminary for the assessment on the legitimacy of such clauses in relation to economic freedoms. Indeed, the application of social clauses is one of the fields in which the contrast between fundamental social rights and economic freedoms emerges most clearly and in relation to which some differences occur in the reconciliation of interests made by the Courts at national and EU level. The most relevant distinction for this research relies on the classification developed by Italian scholars, who, on the basis of contents and interests protected by social clauses, usually distinguish between equal treatment or first-generation social clauses and rehiring or second-generation social clauses. Also the nature of the procurement contract, public or private, may condition the judgment on the legitimacy of social clauses with regard to economic freedoms, due to the different regulations applicable in the two fields and the tension between the protection of competition and social objectives, which historically characterizes the action of the public administration in the field of public procurements. The thesis investigates the legislation and the case law concerning the first- and second-generation social clauses, both statutory and contractual, at European and Italian level, with reference to public and private procurements. From this study, it is clear that there are problems of effectiveness and applicability concerning first- and second-generation social clauses, as well as of conflicting interests: social clauses may hinder the competition, negatively condition the entrepreneur’s freedom to conduct a business, affect the entrepreneurs’ freedom of association, and, therefore, risk to contrast with the constitutional and European provisions protecting those freedoms. In this reasoning, the different levels of protection and the importance recognised to social rights and economic freedoms in the Italian and European Union legal systems, the legal framework generated by their interaction, and the type of balancing in the two legal orders must be considered. In the search for a reasonable balance between economic freedoms and social rights, the thesis explores whether the various interests protected by the different types of social clauses can fall within that notion of employment protection which constitutes an overriding reason relating to the public interest justifying a limitation of the economic freedoms and investigates to what extent the prevention of unfair competition and social dumping, the protection of workers’ rights and employment stability can justify a restriction of fundamental economic freedoms. In conclusion, the aim of the study is to investigate if it is possible to achieve a fair balance between opposing interests, social rights, on the one hand, and economic freedoms and free competition, on the other, and comprehend how the interests contrasting with them in relation to the case of social clauses can be balanced.

Abstract:
La ricerca ha ad oggetto il processo di riorganizzazione che negli ultimi dieci anni, ha coinvolto i servizi pubblici locali (SPL) ed, in particolare, gli effetti che tale trasformazione ha determinato sui rapporti di lavoro. L’elasticità delle categorie giuridiche analizzate ha indotto a dedicare una parte iniziale dello studio alla individuazione dei confini delle nozioni di servizio di interesse generale e servizio pubblico, rispettivamente nel contesto europeo e nazionale. L’approfondimento della materia nell’ambito di una prospettiva europea consente, infatti, non solo di sottoporre a verifica l’assunto secondo il quale i percorsi di privatizzazione o liberalizzazione sarebbero motivati da scelte e direttive di matrice sovranazionale, ma anche di meglio comprendere l’ equilibrio tra Europa economica ed Europa sociale. Quanto al contesto nazionale, successivamente ad una breve ricostruzione della nozione di servizio pubblico, della quale la dottrina amministrativistica ha fornito due letture, una soggettiva (legata cioè alla natura pubblica dell’ente erogatore) ed una oggettiva (connessa alla capacità del servizio di soddisfare le esigenze della collettività), le vicende di riorganizzazione dei SPL sono state analizzate nell’ambito del più ampio processo di privatizzazione della PA. È noto infatti che, aderendo alle teorie di New Public Management, negli anni si sia dato avvio, oltre alla integrazione di strumenti privatistici all’interno della struttura amministrativa, anche ad una vera e propria delega di attività pubbliche a soggetti privati. Se emblema della prima tecnica è costituito dalla contrattualizzazione del pubblico impiego, manifestazione del secondo tipo di interazione, più intensa, tra enti pubblici e privati è la diffusione di strumenti di esternalizzazione nel settore pubblico. Laddove, tuttavia, l’ esternalizzazione, sia essa contrattuale od associativa, coinvolga un ente pubblico, è necessario che riflessioni specifiche siano svolte sul destino dei lavoratori coinvolti e sulla possibilità che su questo possa incidere il perseguimento di un interesse pubblico. La scelta metodologica è stata quella di valutare l’impatto sul lavoro innanzitutto sotto una prospettiva “classica”, ossia analizzando istituti già oggetto di studi in dottrina, il trasferimento d’attività delle Pubbliche Amministrazioni e la disciplina delle clausole sociali. Al tentativo di verificare se la fase “dinamica” di collocamento all’esterno della gestione dei SPL possa esser ascritta alla sfera applicativa dell’art. 31 del D.lgs. n. 165/2001 e, la fase “statica” di esecuzione del contratto od esercizio della gestione, possa esser regolata da previsioni di carattere sociale (contenute nei bandi od in apposite convenzioni), è seguita l’analisi delle nuove problematiche poste dal c.d. uso strategico degli appalti pubblici nonché dalla creazione di soggetti formalmente privati ma sostanzialmente pubblici. Se da tempo si è diffusa l’esigenza di un committente pubblico socialmente responsabile che sappia ottimizzare le potenzialità dell’aggiudicazione come strumento di lotta ad una concorrenza fondata sull’indebolimento delle garanzie, minore attenzione è stata prestata al lavoro svolto alle dipendenze di società pubbliche che, pur essendo sottoposto a contratti collettivi di diritto privato, presenta rilevanti peculiarità, prima tra queste la fase di accesso, dal 2008 equiparata alla selezione concorsuale pubblica. La natura pubblica del capitale ma soprattutto la natura pubblica delle finalità perseguite, distante dallo scopo lucrativo tipico dei soggetti imprenditoriali, meritano, quindi, adeguata attenzione e, soprattutto, un maggior coinvolgimento delle PA e delle Parti sociali, di fatto partecipi del mutamento solo nelle fattispecie di cui all’art. 31 D.lgs. 165/2001. La ricerca intende dimostrare la necessità di condurre, invece, una esternalizzazione controllata, ossia di riconoscere che la PA sia legittimata, anche ricorrendo a strumenti già esistenti all'interno dell'ordinamento (il controllo analogo), a realizzare un più stringente monitoraggio sull’impatto che la riorganizzazione può avere sul livello qualitativo e quantitativo dell’occupazione. Adottando quale parametro di valutazione il servizio pubblico - strumento di coesione sociale e territoriale - la PA potrebbe così incidere, ad esempio, su scelte legate al ricorso al lavoro non standard da parte degli enti affidatari, laddove si riscontri un eventuale peggioramento della qualità del servizio erogato in seguito alla precarizzazione dei rapporti di lavoro. La pretesa di un ruolo maggiormente rilevante e definito della PA nell’ambito dei processi di trasformazione dei SPL, è del resto legittimata dal vincolo di congruità dell’attività amministrativa, pubblica e privata, al perseguimento di finalità sociali, che da tempo autorevole dottrina ritiene sia sancito dall’art. 97 Cost..

Abstract:
The research was conducted analysing the many ways through which the participants in a commercial company may regulate in the by-laws what happens to a participation upon the relevant holder’s death, with specific focus on how the position of the deceased participant’s legittimari (i.e. those persons who are entitled by law to a minimum share of deceased’s estate), is affected by such by-laws provisions commonly known as “clausole di predisposizione successoria”. The work was structured moving from a preliminary recognition, through the review of case law and business practice, of the most frequent clauses, that were divided into two main classes: on the one side, provisions excluding or restricting the possibility for the heir of a participant to join the company and, on the other side, clauses that instead cause, or encourage, the heir to become a participant in the company. In such contest the research analyzed in particular the legal issues arising out of each type of clause (inevitably involving both succession law’s and commercial law’s profiles), in order to attempt solving them in the light of civil law principles, also by means of a comparison against corresponding statutes of German. The reference to the notions of inter vivos deeds and mortis causa deeds, alongside those of post mortem and trans mortem deeds, allowed to draw further distinction among the clauses in question, transversal to that above outlined, based on the relevant legal nature and on the remedies granted by our legal system should such clauses result in a breach of the rights of the legittimari.
La ricerca è stata condotta approfondendo il tema della disciplina statutaria della sorte della partecipazione sociale nell’ipotesi di morte del socio di una società di capitali, avendo particolare riguardo al profilo dell’incidenza - sulla posizione dei legittimari del socio defunto - delle pattuizioni spesso presenti nei contratti sociali e note come clausole di predisposizione successoria. Il lavoro è stato strutturato partendo da una preliminare ricognizione, attraverso l’esame della giurisprudenza e della prassi statutaria, delle clausole più frequenti, le quali sono state inquadrate in due principali categorie: da un lato, le pattuizioni che hanno quale effetto principale quello di escludere o limitare l’ingresso in società del successibile del socio defunto e, dall’altro lato, le clausole che, al contrario, determinano o favoriscono l’assunzione della qualità di socio da parte di tale successibile. Nell’ambito delle due tipologie ora menzionate, la tesi ha approfondito le problematiche giuridiche inerenti a ciascun tipo di clausola (inevitabilmente implicanti profili di diritto commerciale e successorio), nel tentativo di individuarne la soluzione alla luce delle categorie del diritto civile, anche attraverso una riflessione, in un’ottica comparatistica, sui corrispondenti istituti di diritto germanico. In particolare, il richiamo alle nozioni di atti inter vivos e mortis causa, accanto a quelle dei negozi post mortem e trans mortem, ha permesso di operare un’ulteriore classificazione delle clausole esaminate, trasversale rispetto a quella precedentemente illustrata, in relazione alla loro natura giuridica e al sistema di tutele predisposto dal nostro ordinamento per il caso in cui all’operatività di dette clausole possa ricollegarsi una lesione delle ragioni dei legittimari.

“Indemnity clauses in sale and purchase agreement under Italian law” This work is a comparative analysis of the problems arising from indemnity clauses in sale and purchase agreements under Italian Law. In a contract for the sale of shares of a s.p.a or a s.r.l., the seller usually provides representations and warranties by which he guarantees to the buyer the presence of certain characteristics of the target company’s assets. The collateral asset, financial and income provided for this purpose is usually integrated and completed by indemnity clauses, through which the parties regulate the activation and the limits of the guarantees, as well as the consequences and remedies arising from their breach of these representations and warranties. In particular, the content of indemnity clauses may consist of an obligation to: a) indemnify and hold the buyer harmless from any current or potential contingent liability (usually existing at the last balance sheet date); b ) indemnify the buyer for any undeclared debt or loss of assets; c) compensate for any loss or damage suffered by the target that would not have occurred if the financial situation of the company were correctly represented and described in the business warranties contained in the sale and purchase agreement. The thesis contains three sections: (i) a description of the main theoretical problems arising from the application of indemnity clauses, typical of the common law systems, to the Italian legal system; (ii) an exam of the different ways in which an indemnity clause could be drafted by the parties in the most common cases, as well as the interpretative issues involved; (iii) a study of the strong difficulty to frame the indemnity clause under the categories of the Italian legal system (such as, for example, damages, price adjustment, penalty clauses) with an attempt to understand how to recognize the indemnity clause its own juridical autonomy. Granting such autonomy and, as the author tried to do, identifying a set of rules which could be used to regulate the indemnity clause appears to be necessary. This is not only in the light of the difficult application of Italian law to the issues created by the breach of business warranties in sale and purchase agreements, but also in the light of the cross-border and transnational scenario in which the indemnity clause is usually used and operates.

La creation de l'organisation internationale du travail en 1919 a l'issue du traite de versailles marque le souci d'ameliorer la situation des travailleurs comme le point de depart de toute politique du developpement en faveur d'un accroissement des niveau de vie de tous les travailleurs du monde. Les principes fondamentaux des droits du travail et des droits de l'homme sont enonces dans la constitution de l'oit de 1919, ainsi que la declaration de philadelphie de 1944 sur la liberte syndicale, le droit a la negociation collective, l'age minimum d'admission au travail, le travail force et la discrimination en matiere d'emploi. Cette polemique resurgit avec la liberalisation accrue du commerce, la multinationalisation de la production des firmes et l'acces croissant a l'information sur les conditions de vie a travers le monde. A plusieurs reprises les chercheurs ont tente en vain de mettre en evidence le lien entre le commerce international et les normes du travail, et avec l'expansion de l'activite appelee aujourd'hui globale, la meme interrogation persiste. Elle consiste en ceci, doit-t-on favoriser le principe de concurrence internationale au depens des normes internationales du travail qui fragilise la protection des travailleurs et eroder les acquis en ce domaine ? comment est-t-il possible de reconcilier ces normes du travail definies par l'oit avec le principe de commerce international, et quel sera le role des organisations mondiales et regionales en la matiere ?

Il lavoro di ricerca ha richiesto lo studio e l’analisi di fonti “variegate” e multidisciplinari in quanto si tratta di un fenomeno poliedrico, relativamente recente e che è stato oggetto di interpretazioni molto diverse, se non antitetiche. L’obiettivo della presente analisi è molteplice. In primo luogo, si è trattato di definire il perimetro del fenomeno, astraendone una possibile definizione, tuttora assente nel panorama normativo vigente. In secondo luogo, si è voluto, mediante una analisi comparata tra Europa e America Latina, verificare l’andamento del dumping sociale in differenti contesti, in particolare, in un Paese industrializzato e in un Paese in via di sviluppo. Con il terzo e ultimo obiettivo, facendo emergere luci ed ombre del dumping sociale, si è cercato di individuare un percorso futuro dove fosse possibile – mediante comportamenti proattivi da parte di tutti gli attori coinvolti – arginare i fenomeni negativi del dumping e tutelare sempre più i diritti sociali.
The thesis concerns a comparative analysis between Europe and Latin America regarding the phenomenon of social dumping and its close relationship with the international employment contract and related working conditions. The research has required the study and analysis of "varied" and multidisciplinary reference sources, taking into account that it is a multifaceted phenomenon, which has become more common in relatively recent periods and has been the subject of very different interpretations, sometimes even antithetical. The aim of this research is multiple. Firstly, the thesis sought to define the perimeter of the phenomenon, extracting a possible legal definition, which is still absent in the existing regulatory framework. Secondly, through a comparative analysis between Europe and Latin America, the research analyzed the trend of social dumping in different contexts, in particular, in a developed and in a developing country. In its third and last objective, the thesis, by taking out the pros and cons of social dumping, tried to identify a future path in where it will be possible – through proactive behavior on behalf by all those involved – to make a positive contribution to counter the negative phenomena of dumping while increasingly protect social rights.

L'absence de réglementation commerciale multilatérale relative à la protection des droits des travailleurs suscite néanmoins une création normative de la part des acteurs étatiques et non étatiques. Ainsi, dans un cadre conventionnel (les accords commerciaux bilatéraux comme les accords commerciaux régionaux) ou unilatéral (le système de préférences généralisées) certains États lient leurs relations commerciales au respect de normes de travail. Par ailleurs, l'on observe l'émergence de normes privées à l'initiative d'entreprises (les codes de conduite) ou d'organisations non gouvernementales (les initiatives relatives au commerce équitable) relatives à la protection de certains droits des travailleurs. L'échec de la proposition d'insérer une « clause sociale » dans les Accords de l'Organisation Mondiale du Commerce lors de la création de cette institution internationale en 1994 et la diversité des contenus de ces « clauses sociales » ont conduit à l'adoption, lors des Conférences internationales du Travail de 1998 et de 2008, de deux instruments normatifs promotionnels rappelant aux États les principes et droits fondamentaux au travail à respecter. Le respect de ce socle de droits universels apparaît lié à l'intervention de l'État et à la coopération avec l'Organisation Internationale du Travail. La mise en oeuvre des diverses « clauses sociales » est liée à l'existence de mécanismes juridiques contraignants ou incitatifs de même qu'au rôle des acteurs étatiques et non étatiques. Yet, the lack of multilateral trade regulations regarding the protection of workers' rights brings a normative creation from state and non-state participants. Indeed, in a conventional context (both bilateral and regional trade agreements) or unilateral (the generalized system of preferences) some states combine trade with the respect for work standards. In addition, what is new is the emergence of private standards (codes of conduct) in companies and in nongovernmental organizations (fair trade projects) which aim to protect some workers' rights. The failure to add a "social clause" to the Agreements of the World Trade Organization when it was created in 1994 as well as the wide variety of those "social clauses" led to the adoption, during the 1998 and the 2008 International Work Conferences, of two promotional normative instruments which reminded governments to respect fundamental principles and rights at work. The respect for this base of universal rights seems to be the result of the state' s intervention and cooperation with the International Labour Organization. The implementation of various "social clauses" is the result of binding and incentive legal mechanisms as well as the role of state and non-state participants. What is really at stake here is the protection of workers' fondamental rights by the new international economic order

AbstractSocial enterprise can be described as a complex and variegated phenomenon marked by different extensions and definitions according to the legal system of reference. This contribution is focused on a specific area of the social enterprise spectrum, that of the hybrid dual-purpose businesses, conceiving social enterprises as private organisations that carry out commercial activities to pursue social and environmental, as well as economic, objectives. In the past few decades, several legal systems have introduced new hybrid entities designed to adequately meet the needs of social entrepreneurs and capable of bringing together social and environmental aims with business approaches. The birth of social enterprise, with the introduction of philanthropic goals into the articles of association’s corporate purpose clause, is particularly difficult to understand through the lenses of the economic analysis of law or the neoclassical economics and its homo economicus paradigm. This study attempts to offer an interpretative key for understanding these hybrid models abandoning the classical homo economicus paradigm to embrace a reading based on behavioural law and economics and the Yale approach to the economic analysis of law, according to which altruism and beneficence should be considered as ends in themselves, as goods desired by people and for which they are willing to pay the price. In this line of reasoning, social enterprises, as a bottom-up phenomenon are the legislator’s policy response to the growing demand for firm altruism emerging from civil society.

Abstract:
We are witnesses and participants of Copernican changes in the world which result in major crises/challenges (economic, political, social, climate, demographic, migratory, MORAL) that significantly change “normal” circumstances. The law, as a large regulatory system, must find answers to these challenges. Primarily, these circumstances relate to (i) the pandemic - Corona 19, which requires ensuring economic development with a significant encroachment on human freedoms and rights; (ii) globalization, which fundamentally changes the concept of liberal capitalism as the most efficient system of production of goods and services and democracy as a desirable form of government; (iii) automation, robotics, artificial intelligence, and big data are changing the ways we work, live, communicate, and learn in a Copernican manner. The law should serve to shape the relationship between people in order to realize a life of love and freedom. This is done to the greatest extent through the constitutional engineering of selected institutions. The legal system focuses on institutions that have a raison d'etre in their mission, which is read as “ratio legis”, as a desirable normative and real action in the range of causal and teleological aspect. Crisis situations narrow social cohesion and weaken trust in institutions. It is imperative to seek constitutional engineering that finds a way out in autopoietic institutions in allopoietic environment. We believe that the most current definition of law is that = law is the negation of the negation of morality. It follows that morality is the most important category of social development. Legitimacy, and then legality, relies on morality. In other words, the rules of conduct must be highly correlated with morality - legitimacy - legality. What is legal follows the rules, what is lawful follows the moral substance and ethical permissibility. Therefore, only a fair and intelligent mastery of a highly professional and ethical teleological interpretation of law is a conditio sine qua non for overcoming current anomalies of social development. The juridical code of legal and illegal is a transformation of moral, legitimate and legal into YES, and immoral, illegitimate and illegal into NO. The future of education aims to generate a program for global action and a discussion on learning and knowledge for the future of humanity and the planet in a world of increasing complexity, uncertainty and insecurity.

The maximum clique and minimum vertex cover problems are among Karp's 21 NP-complete problems, and have numerous applications: in combinatorial auctions, for computing phylogenetic trees, to predict the structure of proteins, to analyse social networks, and so forth. Currently, the best complete methods are branch & bound algorithms and rely largely on graph colouring to compute a bound. We introduce a new approach based on SAT and on the "Conflict-Driven Clause Learning" (CDCL) algorithm. We propose an efficient implementation of Babel's bound and pruning rule, as well as a novel dominance rule. Moreover, we show how to compute concise explanations for this inference. Our experimental results show that this approach is competitive and often outperforms the state of the art for finding cliques of maximum weight.
