Full textThe thesis approachs factors that influence the choice of distribution channels of convenience goods in vietnamese economy, acoording to models of countries with modern distribution systems, especially France. It underscores a new approach of distribution channels in the economy of Vietnam. The purpose of this work is to elaborate a relevant pattern process for the vietnamese national market and to put a decision tool at the disposal of the leaders of manufacturing and import firms of convenience goods in Vietnam. Thus, this research work tackles the various problematicals linked to the choices of channels, and to the criteria of choice. The comparison of two different contexts allows to define three priorities in the modernization of the distribution system in Vietnam : the organization and the development of the best conditions for the creation of modern distribution channels, revalorising current channel process ; the development of assistance tools for decision-making, favouring determination of commercial objectives ; the emergency of creating trade regulations, in a lasting and stable framework, applicable to the process of distribution in Vietnam

Full textVertical agreements mostly correspond to single branding, exclusive distribution, exclusive purchase, selective distribution, franchising and concession. Although their variety is large, most of the time they constitute competition agreements because they increase inter-brand competition. The main aim of this study is to look for and to analyse the assessment criteria of distribution vertical agreements in French, European and Argentine Competition Laws. In European Competition Law, an important set of regulations and a rich case-law exist concerning distribution agreements. The rules concerning vertical agreements have been reformed ; as a consequence of this reform, a new Block Exemption Regulation (Regulation No 330/2010) has been adopted and accompanied by new Guidelines on Vertical Restraints. Lots of vertical agreements also benefit from Block Exemption which confers them a presumption of legality and in case these agreements do not benefit from the Block Exemption Regulation, they still can be exempted on the condition that a positive economic balance should be established, notably in view of efficiency gains. Unlike European Competition Law, the Argentine Competition Law concerning vertical agreements has not adopted Block Exemption Regulation and the Argentine competition authorities analyse each agreement in the light of the Rule of Reason and analyse their impact on the general economic interest

Full textCompetition provisions seek to regulate the abuse of economic power in unequal commercial relationships. However, in the process, such provisions should not have the effect of adversely impacting the market or harming the proper functioning of other competition rules. When there exists a significant power disparity between parties, the stronger party can impose unequal conditions on the weaker party, particularly through what is called the "fear factor". During the duration of the contractial relationship, the weaker party will not be able to stand up to the stronger party in fear of the commercial relationship being terminated. This is why oppressive behaviors continue in reality, despite the presence of numerous regulations designed to prevent such behaviors. Law makers have a tendency to react by hastily enacting ad hoc regulations. The adaptability of powerful corporations to circumvent the rules is often overlooked. Ultimately, abuses of economic power can only be regulated on a sustainable basis through the creation of a more balanced and less concentrated market. It is in this context that a truly structural approach should be considered. This analysis compares the principal measures against abuses of economic power employed in France and Korea, which sometimes adopt different responses to similar circumstances
