Full textEthical investment is based on non-financial criteria: the investor expects a return on the investment while pursuing a non-material objective, based on the respect of certain values. Ethics bring a nuance, which impacts the set of rules for this type of investment. It establishes the content of the investment policy and requires financial intermediaries to inform investors adequately. It also forces them to ensure ethical compliance of the investment to its ending. Ethical investment, however, is not limited to this. By adopting a consequentialist approach, investors can engage with issuers to defend their values. From a theoretical point of view, this shareholder activism highlights the failure of traditional theories to define the purpose of companies. Because the concept of “intérêt social”, which the French doctrine struggles to define, leads to a deadlock, a cross-disciplinary approach, the Stakeholder Theory, should be preferred

Full textTraditional expression of the principle of two degrees of jurisdiction, appeal as a masterpiece of our process law, statistics and data banks contribute to its better knowledge. The conditions of bringing appeal into play are first studied: its frequency, the areas and the first degree jurisdictions the most concerned by it. The wideness of the phenomenen leads to an overcrowding of the jurisdictions and to important delays. To fight against those difficulties, the legislator limits more and more the access to the court of appeal. The way in which those prohibitions are interpretated allows to mesure the attempts sustained by the principle of two degrees of jurisdictions secondly, those informations are completed by an analysis of the effects of appeal. The march of the procedure reveals the seriousness of the problem of delays and some difficulties affecting the phasis of "instruction"; the function of reformation dominates indoubtedtly, while the function of achievement plays only a marginal role. If the function of annulation is rarely used, it has nevertheless known an important evolution with the birth of "nullity appeal", opened i the cases in which the legislator prohibits every recourse. At least, the study of the result of the recourse leads to conclude to a satisfying work of the first degree jurisdictions. But statistics confirm nevertheless that civil appeal is essential

Full textIn the space of 30 years, Islamic finance has become a full segment of international finance and has proved its value in the contemporary economy. The 2008 crisis and its dramatic consequences on the economic and business fabric raised attractiveness of Islamic finance transactions, in particular venture capital. The latter was created in the early 2000’s and consists in taking equity participations in unlisted companies that are considered compliant with Islamic ethics to finance their creation and startup. Thus, religious ethics and investment are indisputably linked. If the Islamic law requires ensuring a balance between financial partners, the investor is nevertheless subject to certain constraints. Indeed, the legal structuring of Islamic financial transactions obliges compliance with certain religious principles such as prohibition of speculation, hazard and any form of remuneration by interest. This raises the question of the acculturation of this model within the French finance. To this end, the main hypothesis of this research aims to analyze the adaptability of Islamic venture capital in view of its implementation in the French legal framework. Through in-depth analysis of the requirements of Islamic law and the framework of collective management in France, this study puts into perspective the legal structures that could provide the flexibility required to implement an Islamic venture capital transaction into French law. In addition to the economic benefits attached to the receipt of an activity with high added value, modeling a "French Islamic venture capital" could increase the attractiveness of the financial place of Paris by allowing the inclusion of a class of entrepreneurs and investors looking for ethical and cooperative alternatives for corporate finance

Full textUnderstand, describe and document the information behavior of beninese lawyers in both the academic and professional fields. It is the main objective of this thesis that has chosen the positioning of informational practices in the information sciences especially in the study of users in context. This work has mobilized both theoretical and empirical studies. Four theoretical studies have been conducted to understand the legal and justice context in Benin, developments in information and communication technologies (TIC) in the legal and judicial sector, information practices in terms of models and the specific theories in the field of law. These theoretical approaches were confronted with four empirical studies, two quantitative and two qualitative. Regarding the quantitative approach, 375 students and 60 teacher-researchers from the law faculties of the universities of Benin were interviewed. As for qualitative studies, they are made up of semi-directive interviews with 35 magistrates of courts and courts in the southern part of the country and 15 lawyers in Cotonou. At the end of these studies, it is clear that Beninese lawyers in the course of their professional activities make use of information. They do it to solve legal problems. They refer in the first place to printed sources, namely books and legal works; Then to electronic sources, in this case the Internet, and finally consult their colleagues, confreres or comrades. The criteria governing these sources of information are primarily the accessibility-availability of information, the relevance-usefulness of information and the content of information. All lawyers surveyed share information but face several barriers to accessing information. Examples of such obstacles include the excessive cost of certain legal works, the instability of electric power, the breakdown of the Internet connection, the obsolete nature of certain documents

Full textSince the beginning of the years 2000, financial information published by stock corporations has known an upheaval without precedent. The financial scandals favored the advent of a new dogma, that of the transparency. The nature of reporting has changed and acquired new functions. Periodic and permanent reporting has evolved and nowadays companies disclosed soft information that is not required. Moreover, information became a normative technique of organization of the firm, which is a technique of denouncement, prevention of the conflicts and management. New practices of communication are revealed by narrative information and voluntary communication. Those evolutions are likely to support new legal risks. The end of the internal and external opacity makes it possible to sit new claims, carried by the stakeholders and by a new form of shareholding, the "shareholder-consumers". The emergence of new legal risks leads to reconsider the regulation of the communication. American Law provides answers to forward-looking information, thanks to safe harbors. The implementation of a “ right to silence rule” is about to reduce judicial risks. National law could, in its turn, ensure a legal treatment in case of informational uncertainty

The co-owner is an owner of a pack of co-ownership. That is an abstract entity but nevertheless it is, in itself, a block of flats independent of the other group of blocks of flats. The pack of co-ownership is the subject matter of the right of ownership of the co-owner. Thus, every pack remains an independent ownership in the patrimony of the owner. But the structure of the co-ownership necessarily implies a collective organisation to manage it. However, that situation is not to challenge the right of ownership of the owner on his pack. Full textTo begin with, it should be noted that the expression «mental faculties» shall take on the meaning given in the Vocabulaire juridique by Gérard Cornu: namely, «all mental and psychological faculties that control the ability to understand and want».Legally speaking, only individuals in full possession of their mental faculties are entitled to rights and duties. However, in the field of labour law, a specific dimension has to be taken into account with regard to this issue. Indeed, the usual relationship of subordination between employer and employee theoretically lies upon the alienation of the employee's mental faculties when the employment contract is concluded. In other words, employees may initially enjoy the autonomous use of their mental faculties when the contract is signed, they are nevertheless dispossessed of these mental faculties as soon as the contract comes into force, for managing and subjugating people entailed by the relationship of subordination precisely imply that the employees give up their own free will. Thus, at the core of the concept of subordination, lies the idea that individuals become mere «objects» of the contract, and are temporarily left without their own capacities to think, create, and act.Yet it clearly appears that today's workers can't be reduced to the role of mere task performers with no soul or feelings. The ever-increasing globalization of markets, the rise of the tertiary sector, and the booming digital revolution have dramatically changed the business world. In this new environment, employees have to resort to their own mind faculties more and more, not only to elaborate work conditions and hours but also to perform the tasks themselves. The mind has become the new workforce, a workforce which is difficult to measure and therefore to limit.This situation rises new issues in the field of law: how should this multifaceted phenomenon about mobilising mental faculties at work be dealt with? Full textThe principle of equality between men and women has been the subject of several studies to date. The one that will be read proposes to study the influence of the French legal system on that of Tunisia.1 - The degree of influence of the French system on the Tunisian system is real, it leads to a divergence of positions and content of the law and thus reveals the existence of conflicting relationships between the systems. Thus, whether positive or negative, the formulation of the principle of equality between men and women remains ambiguous. Moreover, this principle must also be embodied. Yet, how can French and Tunisian positive law embody this principle when it does not enshrine specific provisions formally defining it? The latter can be presented as a component of the principle of equality. A priori, the Tunisian and French legal systems only proclaim this right by attributing to it, each time, a particular field of application.2 - It is to take into account this complexity and these inadequacies on both sides, coming from history, that we have chosen a critical method, of structuralist inspiration. This choice is explained by several overlapping reasons. In fact, several dimensions of the analysis of the influence of the French system on that of Tunisia. The equivocal nature of the principle led us to call upon structural analysis to better grasp the specific nature of this relationship of influence, temporarily disregarding political data, and then introducing them, in a detailed manner, in the framework of the analysis. Abstract to better understand. Structuralism has also emerged as a guarantee of the (relative) scientific objectivity of research: it allows, like a bulwark, the study of functions and the identification of invariants in the societies studied. Thus, the critical analysis of determinants makes it possible to understand a society in the present moment. The analysis of material, economic and social factors shows that in this interweaving of data, culture in the broad sense, including religion and law, plays a central role: it is both an obstacle and a lever for the realization of the principle of gender equality

Full textThe counterfeiting phenomenon has increased in a dramatic way since the seventies. Scourge with important consequences on national and international economy, several measures have been adopted to stem it. That's how the development of the international property rights protection, and more specifically of the trademarks, first in the midst of the WTO, by the signing of specific treaties on intellectual property rights and on trade, then at a regional level, notably european, then national. Nevertheless, the authorities in charge of the respect and the implementation of the texts are differently sensibilised to the problem. An heterogeneity of laws appears ; that's why some inequalities in the protection of intellectual property rights can be noticed : disparities between developing countries and industrialised ones but also between countries of the last group. France is a leader in that field and might inspire the required reforms of few legislations, both national and regional, to tend towards the harmonisation of the protection of intellectual property rights. Thanks to the active intervention of the private authorities next to the publics ones, some measures that have been passed recently let envisage an improvement and a required grasp more radical of the counterfeiting problem that must lead in the long run to this drop and then to his end

Full textIn this study, we try on the one hand to justify the existence of contractual agreements involving vertical restraints and linking a manufacturer with his retailers (e. G. Selective dealing) and on the other hand to evaluate the effect ot those vertical agreements on market equilibria and economic efficiency. Our work is motivaded not only by theoretical consideations since it invoves argiments which may serve jurists in defending vertical restraints in business. In fact, a distribution system base on this type of contract is formaly anticompetitive and or discrimination. Thus, one has to establish that their adoption by manufacturers matches strategic choices motivated by coordination by coordination and competition differenciation which may enhance competition. However, this explanation must be moderated for two reasons. Firstly, even if verticzl restraints provide internal effeiciency, it does not follow that surplus and profits. Secondly, vertical restraints may be used by manufacturers as a device to attenuate intra or inter-brand competition. Our conclusion are therefore relevant for jurists, in that they plead for concrete application of the "rule of reason" in an extended sense

Full textThe present study treats about the extra hospital activities in psychiatry, or of psychiatric area in france, through the official regular scheme of 1985 and 1986. The acknowledgement of existing pratice has come before the legal established system. The first part deals with the precise nature of this new way of fighting mental disease. The inadequacy of the law of 30th june 1838 on the confinement of the mentally ill, and the evolution of medical sciences and society in general make it possible to account for the pratical application of the extra hospital system. However, the legislator has not laid down a precisely organised pattern, at first, leaving it to the regular power in charge to bring the application of the sector activities into operation. The second part approaches the question of the working of a definite juridical frame to control these activities. The legal ratification of extra hospital activities goes with the will to plan their development. The new legal definition of these activities will have special effect on their management, which is studied in detail. The present thesis leads to three conclusions :1) far from preventing extra hospital activities in psychiatry, it can be said that the absence of definite legal frame has even helped to their development. 2) the 1985 legal system proceeds from financial questions more than it is due to the lack of juridical definition area. 3) contrary to what could have been expected, the wish to decentralize the administrative. .

Full textThe protection of industrial designs in France has developed considerably since the French Revolution. The law of July 14, 1909 on the protection of designs represented the French legal tradition. This law fully established the theory of the unity of art that reigned during the whole 20th century. As a consequence of this theory, an industrial design was protected according to the copyright law and the design law concurrently and automatically. The term of protection was thus so long; moreover, excluding some categories of industrial creations, the previous designs law completely absorbed by the copyright law. The EU’s Directive of October 13, 1998 on the legal protection of industrial designs made a big difficulty to apply the theory of the unity of art in France. At first, it defines the objects of protection very objectively and the notions are not compatible any more with those in copyright law. Secondly, the estimation of the conditions of protection in the new design law is relative. To conclude, the application of the theory of unity of art is just artificial under the influence of the new design law. This theory does not have a legal foundation anymore. The current jurisprudence and doctrine disregard this innovation of the new design law. This very conservative attitude is just an annoying intellectual custom. Now the end of total protection is included in the unified interpretation that the Court of Justice of the European Union will give the new design right brought by the Directive and Regulation

Full textPublic-private partnership is an instrument for outsourcing public action that is part of the deep and lasting movement that is globalisation. This thesis proposes to analyse the trajectory taken by the model of public-private partnership adopted in Brazil in light of the mechanism set up in France, since their concomitant introduction into these two countries about fifteen years ago.Inspired by the British Private Finance Initiative model, France and Brazil have sought to import its benefits, in particular the ability to respond quickly to a need for infrastructure modernisation without compromising - at least in the short term - the balance of public finances. Attracted by a contractual technique that seemed relevant to each in order to implement their projects, the French and Brazilian governments made the necessary efforts to implement and develop this new contractual mode of action; but to varying degrees.The thesis analyses, in the first part, the difficulties of adapting this model faced by both France and Brazil, and secondly, how its implementation led to an adaptation specific to each national reality. Despite a consistent and widespread discourse presenting the partnership as a tool allowing the public and private sectors to "take the best of it", the socio-economic disparities as well as the institutional and legal differences between France and Brazil have produced quite different configurations. The distribution of the public-private partnership model in France and Brazil therefore proves to be heterogeneous, thus highlighting the limits of legal globalisation

Jurilinguistics (that is to say, linguistics applied to law discourses) together with the methodology of law, provides relevant tools to analyse and address the training needs of foreign students. The didactics of languages and cultures allows to anchor this research with French academic goals in a teaching position in order to take into account the transdisciplinary project. This work is based on the analysis of a corpus of exam papers of undergraduate students of law at the French University in Armenia. The skills needed to practice law are at the crossroads of law and linguistics. Moreover, the argumentation skills in law (including making a reference to a standard, describing in legal terms, giving a legal definition) are the core skills of law students. Educational achievements in legal French are presented in the appendices. They are built on a double entry: a first input classified into argumentative skills in law, and a second input coming from "the implied" (term derived from the didactics of languages and cultures) that is to say the fundamental notions of law and the values that underlie every legal System. Full textClusters of galaxies are the most massive objects in equilibrium in our Universe. Their study allows to test cosmological scenarios of structure formation with precision, bringing constraints complementary to those stemming from the cosmological background radiation, supernovae or galaxies. They are identified through the X-ray emission of their heated gas, thus facilitating their mapping at different epochs of the Universe, This report presents two surveys of galaxy clusters detected in X-rays and puts forward a method for their cosmological interpretation. Thanks to its multi-wavelength coverage extending over 30 sq. Deg, and after one decade of expertise, the XMM-LSS allows a systematic census of clusters in a large volume of the Universe, In the framework of this survey, the first part of this report describes the techniques developed to the purpose of characterizing the detected objects. A particular emphasis is placed on the most distant ones (z>l) through the complementarity of observations in X-ray, optical and infrared bands. Then the X-CLASS survey is fully described. Based on XMM archival data, it provides a new catalogue of 800 clusters detected in X-rays. A cosmological analysis of this survey is performed thanks to "CR-HR" diagrams, This new method self-consistently includes selection effects and scaling relations and provides a means to bypass the computation of individual cluster masses. Full textSoybean (Glycine max. (L.) Merrill) is a leguminous crop that does not require nitrogen fertilizer, which is grown with few pesticides, has a very good greenhouse gas balance and provides protein-rich seeds (38 to 42% of the dry matter on average). Water is the main limiting factor in soybean production (Merrien, 1994), particularly for cropping systems in southwestern France facing the context of climate change (more frequent droughts) and increasing pressure on the use of water resources for irrigation. A water deficit imposed during the seed filling period is particularly detrimental to soybean yield (Pardo et al., 2015). Facing diversified and diverse production contexts constrained by water, the characteristics of the variety are becoming increasingly important (Maury et al. 2015). The approach implemented in the thesis is based on three wellconnected approaches: (i) analysis of key physiological processes under controlled conditions and varietal phenotyping (i.e. phenology response to temperature and photoperiod over a wide varietal range), (ii) evaluation of genotype-environment-crop management interactions (GEMI) for field reference varieties with different planting dates and water management, and (iii) dynamic modelling of GEMI. The response of 10 genotypes to progressive soil drying was evaluated in 2017 and 2018 on the Heliaphen outdoor platform. The germination response to temperature was studied to characterize the cardinal temperatures of the genotypes tested. It was completed by a pot experiment on the Heliaphen platform, involving several planting dates from March to July, to study the response of these same genotypes to photoperiod and temperature. The information collected during these two experiments made it possible to develop and calibrate a simplified phenology algorithm (SPA). Field experiments combining different planting dates and water managements were carried out as part of the Sojamip project (2010-2014) and the thesis (2017- 2018). All these data, produced in the Occitanie region (from Toulouse to Béziers), made it possible to calibrate and evaluate the STICS model for Soybean. The model could be used to perform a posteriori diagnosis of the conditions encountered by genotypes in the field. Our results show the diversity of responses of soybean genotypes grown in Europe to photoperiod, temperature and water stress. The satisfactory performance of the phenology algorithm made it possible to explore the cultivation areas of the varieties studied under current and future climates in France. The study of the response to water stress made it possible to identify genotypes that maintain their stomatal functioning for a longer or shorter period of time ("conservative" vs "efficient" types). The performance of the STICS model was satisfactory, except for the simulation of the yield and characteristics of the grain (oil, nitrogen), highlighting the need for an adaptation of the formalisms for soybean. The model was able to be used to diagnose experimental conditions in the field through the calculation of stress indices. This diagnosis made it possible to show the interest of early planting to delay the soybean cycle and thus reduce the intensity and duration of water stress. In conclusion, we have shown that the integrated study of GEMIs is necessary to understand the situations that soybean plants have faced. However, it will be necessary to continue the exploration process using STICS to be able to test many cultural practices and varietal traits. This perspective will make it possible to propose soybean ideotypes for waterconstrained environments in France and possibly Europe

Full textThe legitimacy and the stability of political systems have very often been studied in economics separate from considerations about legal norms’ enforcement. My objective is to combine these different approaches, and to place the question of the legal enforcement at the heart of the debate about institutions. This work is made of cinq empirical and experimental investigations that deal with each of the stages of the political and legal process.This first paper analyzes the impact of constitutional rights on public expenditures. The second article explores the influence of self-serving biases on the demand and the supplyof redistribution. The third analysis focuses on the decisions of the French Constitutional Council. The fourth work deals with the recent reform of the judiciary map of Frenchlabor courts. The last study investigates the relationship between the composition of the elected jurors in French labor courts and the way cases are terminated.Our investigations rely on econometric and experimental techniques. They use standard estimation methods (OLS, GLS, Probit, Logit, Within OLS), selection models (Heckman,Triprotibt), techniques for endogeneity correction (2SLS), and methods to estimate systems of equations (3SLS). The experimental analysis makes use of standard statistical tests(permutation tests, proportion tests, two-group mean-comparison tests), and more recent methods to solve heterogeneity (wild clustering)

Full textThe concept of ownership in condominium in France is defined by the Article 1 of the Law of 10 July 1965 states: "This Act governs any building or group of buildings whose ownership is divided among several people, composed each one by a private part and a part of common areas. ".The Lot of condominium is as a legal relationship established between perpetual vocation parts of the building to allow the distribution of its property. The condominium lot is the result of an individual appropriation with a collective process and into the wider concept of private property.Private property was designed by the French Revolution as a natural and inalienable human right, just as freedom. It is an inviolable and sacred right which no one can be private.The analys however highlights one hand great complexity on the scope of rights forming the components of the condominium lot but also its materiality. Difficulty identifying the physical reality of size lot suggests the distortion that may exist between the reality of this form of property and what the owner thinks .This Illusion present a real legal insécurity for the owner who does not measure extent of their rights and duties with respect to the nature of his property
