Full textThe research analyzes the aspect of commercialization from the small producer perspective. According to the agricultural census, 80% of farms devoted to rice production are under 20 hectares, representing 50% of the total area occupied in rice production and generate 49% of the national total production (Chiriboga, 2008).Marketing systems are strongly linked to forms of financing, so that these mechanisms are named as an institutional trading system that allows to understand the close relationship between the actors that finance along the rice chain. In such an institutional system we observe how the act of exchange goes beyond economic term and creates a social structure of continuous and prolonged interaction.This way we can see how the economic action is embedded in the non-economic relations, institutions, and thus the exchange occurs in an institutionalized environment. The institutional system is characterized by rules, norms, conventions, trust, reciprocity, power and inequality.The aim of the thesis is to show how the small farmer faces the commercialization of its production conditioned by informal funding an institutional system that develops with the other actors in the rice value chain and determine if this system, characterized by the economic exchange in a non-economic social, which can generates benefits or losses to small farmers

Full textThis thesis addresses the problem of bonds accompanied by a call option on the issuer's equity, i. E. Convertibles bonds or bonds with warrants. It is especially concerned with the reasons for which an issuing firm would choose those securities in the first place. The document is divided in four essays, each of those ones being self-contained. Two essays are literature reviews, the first one about theoretical work, the second one about empirical studies. These essays should set the overall frame of the study and avoid too heavy introductions in the following ones. The next two essays are especially devoted to the sequential financing problem. First, we introduce a model based on the cash-flows paid by or to the issuer, depending on the security issued, convertible bond of bond with warrants. Then, a case study research on Ubisoft is developped, because this firm, listed on the French stock market, issued bonds with call options on its equity four times during the 1996-2006 decade

Full textFor a long time, the law was seen as a river that would flow towards large companies to the detriment of SMEs because of its inflexibility. Today, this situation seems to have changed, as the special nature of small businesses is gradually being recognised in both French and OHADA law. This recognition is reflected, in particular, in the application to them of a number of special regimes, the avowed aim of which is to protect them in view of their vulnerability and their importance to the economy. In this respect, a study of the legal and tax framework for SMEs makes it possible, firstly, to test the effectiveness of the major legal mechanisms put in place to limit the professional risk of these entrepreneurs. Even though this seems to be much clearer in OHADA law than in French law, it is clear that in both legislations, these mechanisms are often inadequate, or even non-existent when they are most needed. Secondly, the study highlights the inadequacy of the financial environment for SMEs, which can still be improved. In terms of taxation, the preferential regimes applicable to French SMEs should be enacted with a concern for harmony and geared primarily towards protecting these structures and promoting investment. What is more, in the OHADA area, the specific characteristics of informal sector actors and the shortcomings of the tax system should be sufficiently taken into account with a view to improving cooperation between the tax authorities and African SMEs. Furthermore, SMEs' access to finance could be facilitated by improving traditional methods of financing and by promoting new methods of financing such as private equity and crowdfunding

Full textIn 2010, the appraisal of the Millennium Development Goals (MDGs) indicated that all the countries and the different actors involved in this process should underlay their efforts to implement projects adapted to the nature of the various societies. To this end, the issue of "culture" has emerged as an obvious and inherent factor in achieving these goals.Our research issue raises in this context through a geostrategic area which undergoes great changes in the political, economic and social level. Thus, can the culture constitute a basic element in the development programs undertaken in the Arab States? The present thesis is developed through three main stages. First, the integration of culture in this process as a real sector. Then, the means and methods used by the different actors involved and concerned with the field of culture in the Arab countries. Finally, specific indicators related to the region which could show the limits, but also the potential of Arab States.This approach acts as clearing, insofar as the development through cultural sector remains largely untapped in the Arab world. However, the changes occurring in recent years in the region can lead to a genuine reconsideration of the cultural sector and its relationship with the development process
