Der volle Inhalt der QuelleThe researcher community is currently rife with bitter debate about the possible convergence between corporate governance practices. The present study uses the concept of shareholder value to broach this topic in a theoretical framework integrating contributions made in the fields of management and economics by the contractualist (analysing the distribution of organisational rents) and cognitive (analysing how firms create value) schools of thought. Based on a sample of 200 large publicly listed companies, all global players featuring dispersed shareholdings, we show how between 1994 and 2004 there was a trend towards the convergence of governance practices (main hypothesis), as well as an acceleration therein (secondary hypothesis). We then analyse the drivers behind this convergence process and try to identify the basic corporate governance principles that apply to large listed companies. This study paves the way towards further research on listed companies and helps to build a new corporate governance theory synthesizing the contractualist and cognitivist perspectives

Der volle Inhalt der QuelleThis research analyses the role of Private Equity firms in the formation of strategic alliances within the field of the French Private Equity market. We start to provide evidence of its importance from new survey information, before offering an explanation of the organizational phenomenon. The study addresses the questions of how and why Private Equity firms act as relational intermediaries to help their portfolio companies form alliances. Both questions are investigated in the light of the Private Equity firms’ contribution to the value creation process that comes with alliance formation. Answers are provided by means of three jointly used theoretical frameworks: (1) mainstream theories (transaction cost theory and the positive theory of agency); (2) the knowledge based view; and 3) social network theories to complement the resulting from jointly use of the previous two theories. The theoretical construct is then tested empirically by means of a multi-method study with explanatory design, based on the pattern of joint evidence from both statistical tests and a multiple case study. Results show that French Private Equity firms do play a role in alliance formation. This role can be intentional as well as non-intentional. Furthermore, although arguments from the knowledge-based perspective finds more support in explaining this behavior than from the mainstream theories, our study highlights the benefits of the joint use of these theories and the complementary nature of them to better explaining the phenomenon as a whole

Der volle Inhalt der QuelleThe presence of foreign acquirers in the capital of listed companies raises many questions for academic research. The studies that have been conducted to date rarely generate conclusive findings about the impact of foreign investors on the performance of listed targets. This is why we sought to get a better understanding of the role of the nationality of acquirers in the light of theories of corporate governance. Based on a synthetic approach to corporate governance, we have sought to understand, on the one hand, changes brought by the foreign acquirer in the corporate governance system of the target firm under the disciplinary view : change in size, independence, CEO duality, presence and chair of the board of directors; on the other hand, we examined, under the cognitive approach, the cultural differences as an amplifier of cognitive costs. Our study focuses on acquisitions in the United States over the period 1994-2008, carried out by foreign or domestic acquirers. The foreign acquirers considered in our study are the French, German and Japanese acquirers.Our results show that the level of involvement of foreign acquirers in the corporate governance of the target, results in various changes in the corporate governance of the target firms. Our results suggest also, for the cognitive dimension of corporate governance, that the cultural distance between the two partners and the departure of top management, influence the performance of the target firms. We found also that the domestic acquirers (U.S acquirers) improve performance of the target firms after acquisition more than foreign acquirers considered in our study. In terms of nationalities, we show that the acquirers of Japanese nationality influence negatively the performance of their targets. The French acquirers are the ones who brought the most important changes into the disciplinary governance ; at the cognitive governance level, they implement an important transfer of knowledge to their targets firms

Der volle Inhalt der QuelleThree models of governance are actually dominating the contemporary research devoted to the environmental policies: a liberal model, which is founded on the auto regulatory processes of the market and the capacities of technical progress fostered by the regime of free enterprise ; an utilitarian model, which is based on the economic calculation of a social engineer, intervening on markets by enforcing taxes and quotas; a deliberative democracy model, which lies on the ability of common pool management by the populations, using deliberative mechanisms. Thus, what have been applied by now to the ecological stake are the theories of justice (liberalism, utilitarianism and deliberative democracy) and the institutions framework (the market, the central administration, the forum), coming for the Enlightenments. This works propose to examine if these models of governance are really adapted to the peculiarity of the sustainable development objective. We have first restored the fundamental axioms of these technics of government, in order to confront them, in a second time, to the specific problems raised by the ecological crisis. We show that those political paradigms have great difficulties to integrate the particular dimensions of sustainability, that is the preservation of the natural environment, the equity toward future generations, in our present context of a global industrial economy. This thesis exhibit the main concrete obstacle to the efficiency of the strategies of governance imagined so far and prepare us to create ones

Der volle Inhalt der QuelleMethodologically unconventional, moderately heterodox in theory and reformer at heart, Rueff makes an original contribution to twentieth-century economic thought. However, the study of his theoretical work has often been limited only to his monetary and financial theory. Accordingly, it gives an incomplete vision of his true contribution to economic theory. On the opposite, my dissertation focuses on issues relatively unexplored in secondary literature up until now, such as his unemployment theory, the specific features of his liberalism and his methodology. The aim is not just to set out Rueff’s theory, but also to reconstruct the intellectual project in which it fits in order to shed light on the unity and consistency of his thought. Whether it is for the young Rueff of the 1920’s—who wondered about the methodology in economics—or Rueff after the Second World War—considering the role of economic theory in the structure and organization of society—, the aim of this research is to identify his intellectual influences. We show how they constitute the essence of his economic thought and ensure its uniqueness; but also, how a global and intellectual project built, from them which is essential to understand his economic theory and identify his contribution to economic theory

Der volle Inhalt der QuelleThe aim of this research is to study the factors that impact the decision to insource or outsource the production of vocational training programs, by using a theoretical model from the main theories of the firm, namely Transaction Cost Theory and Resources and Capabilities Theory. In doing so, we link the characteristics of a training program (transactional specificity, firm specificity, frequency, environmental uncertainty and interdependence) and insourcing decision. This relationship is explained by some mediating variables related to the perception of decision makers about the risks of opportunism and their productive and coordinative capabilities in comparison with external training providers. The theoretical model was tested through a case study on the training direction of Veolia group. We first performed a qualitative study to better understand how the concepts of our model, emerge, take shape and influence the decision of practitioners in the context of training production. Then, in order to test the validity of our hypothesis, we conducted a quantitative study based on a sample of 140 training programs, by using the method of structural equations modeling. The results provide both a detailed analysis of training production governance and a critical assessment of the theories of the firm

Der volle Inhalt der QuelleOverall, development theories are not only explanatory models of social change but are primarily theoretical models strongly imbued with ideology justifying the action axes of program development policies. Initially, the theories proposed for the 'southern' countries to “take off” or to wipe the historical order of international dominance as a solution to the riddle of development. In a second step, in the late 1970s, they were the means of ensuring strong economic growth for “North” and “South” countries by the application of SAPs. From the 1990s, a new set of theories of development proposes a form of political action distinct from structural adjustment: local development. It comes in three main action axes:- the return of politics as an institution of economic and social regulation through the ideas of governance and participatory democracy ;- optimization of economic growth and social services by political regulation ;- local development as a production and a regulation level of the politic, the social and the economic.Thus, whether at the level of scientific theories or political agendas, these three axes are the prerequisites of social change. But must these prerequisites be followed to lead the Local Development? This is the question that we tried to address through the perspective of local development practices in a city of a “South” country, Bamako, Mali, and in a city of a “North” country, Marseille, France

Der volle Inhalt der QuelleThe purpose of this thesis is to describe, from a sociohistorical perspective, the development of the institutional model of the large managing association in the disability sector. The thesis statement is to report on the origin and stabilisation of the governance in these entities.Managing associations are often depicted as sorts of collective actions hesitating between the ideal model of the association and the ideal model of the enterprise. Two competing and antagonistic theoretical corpora are fighting over the legitimacy of governance issues analysis. The theories of social and solidarity economy regard the association as a specific governance system in contradiction with the corporate one. According to these theories, associative governance aims to protect associations from economic and managerial approaches likely to destroy their specific character. The second corpus of governance theories, primarily focused on the enterprise, considers that the organisations with the most efficient governance systems are the only lasting ones. In the light of these two corpora, the thesis aims to report on the emergence of managerial governance in large managing associations in the disability sector.As regards the method, the thesis is based on a comprehensive analysis of two longitudinal case studies. Two managing associations – the ADAPEI du Rhône and the OVE – both of large size (annual budgets in the range of EUR 100m and gathering each about 150 professionals) – were chosen for the case studies. The analytical method, based on “historical monographs”, included several phases: (1) archive analysis (about 1,000 pages of notes on these archives); (2) semi-structured interviews conducted with internal stakeholders (43 semi-structured interviews); and (3) additional interviews conducted with partners (55 semi-structured interviews with public authorities, other associations, etc.).This thesis calls into question the relevance of the theories of social and solidarity economy when it comes to associative governance. Regardless of the original values promoted by the studied organisations, these achieve their associative projects by advocating for the establishment and management of care facilities for people with disabilities, and they actively participate in the development of a full-fledged economic sector.Management structuring and professionalization processes, deployed internally by the entities’ activist authorities, introduce the first management tools. Managing directors, who gradually formalise the governance of the associations, contribute to the strengthening and reaffirmation of associative projects. The implementation of governance principles offers better protection against the appropriation of power by a small group of volunteers, and it also allows the application of a cognitive governance, which facilitates discussions on major strategic focuses between managers.The historical study of the governance of managing associations breaks with the theories of social and solidarity economy, which support an opposition between a first “golden age”, based on a “heroic” solidarity from a few activists, and the age of efficiency, where associations are considered as simple economical organisations void of heart and morals

However, the spatial planning system of these territories of innovation and intense communication still continues to refer to master plans that do not allow changes in university practice to be integrated in real time and does not enable physical structures to evolve accordingly. Stemming from an urban planning and development perspective, this research questions the tools that currently govern the development of university space around the world, paying particular attention to attempts to update spatial management methods based on advances in the field of communication and information sciences and their application to the management of complex systems. The research thus aims to explore how an application of complexity theories to campus development would adapt the university’s planning and management system to the unpredictability of ongoing shifts, while allowing for the continuous adaptation of physical structures to these changes. After explaining the genesis and content of the main complexity theories in the scientific field, the research explores their application to urban planning, in particular through the planning model set up on the Eugene campus in Oregon in 1974 by architect Christopher Alexander. Understanding this unique model allows us to put into perspective the planning tools and methods in use at university sites in France, and in particular on the Bordeaux TPG campus. The research thus analyses the planning methods and tools used by the two university institutions in order to integrate (in real or delayed time) changes in university practice (learning and knowledge transmission methods, research), while adapting the physical structures of the campus

Der volle Inhalt der QuelleIn their seed, young technological ventures seeking resources to finance their development may seek business angels (BAs) and venture capitalists (VCs). Our research shall include the type of investment (only BAs, BAs and VCs in sequential or simultaneous co-investment) implemented and this leads to the question of the nature and the quality of the relations and interactions among various categories of investors and the entrepreneur, in the sense that these investors may influence the dynamic of growth, and be themselves influenced by that dynamic. It implies that the pace and intensity of the venture growth of the young technological ventures do not have any kind of determinism, but they develop rather in a dynamic manner within the field of the interaction between the main providers of resources. We jointly mobilize agency theory and cognitive and effectual approaches in order to analyse the co-investment of BAs and VCs. We conducted a multiple-case study with a comparative aim concerning three young companies of the Rhône-Alpes Region. We have shown that, when the cognitive schemes of the BAs and / or the entrepreneur are close to that of the VC, the relations and interrelations can occur to a lesser cognitive cost during the pre-investment phase and that the sequential or simultaneous co-investment may take place. Our results indicate that a funding by BAs is associated with a slower venture growth and that a sequential co-investment allows the stabilisation of the venture growth without a very high growth for the company. We are also highlighting that when the BAs and / or the VCs recognize the high growth potential of the young company very early in the investment process the VCs really need to integrate the BAs who have a specific experience, like their entrepreneurial past and their knowledge of the sector. The predictive approach of these three stakeholders: entrepreneur, VCs and BAs promotes the implementation of a simultaneous co-investment. In this context, the investors (BAs and VCs) can serve as active partners alongside the entrepreneur and help ensure that the young company follows a high venture growth, or even a hyper growth

Our goal is to identify, in the malagasy context, the relationship between uncertainty and the degree of openness of those companies. We proceed through the analysis of the idiosyncratic cognitive cards of five owner-directors of family owned companies.The results show that by taking into account the different dimensions of uncertainty as an attribute of the transactions, bring a better understanding of the degree of openness as a choice of governance. Moreover, exogenous variable, part of Institution, influence the governance model. In addition of that, the entrepreneurs’ profile or the characteristics of the companies have shown their explaining abilities while determining the firms’ limits.In summ, we arrive to an integrated model of governance in a cognitive basis. This model consider the attributes of transaction, the institution and the particular context of the study

In order to prove the validity of this hypothesis, I applied a methodology founded on two principal ideas: the first idea is that of the European supranationality which characteristically puts current European integration in a position that is superior to other forms of international cooperation without actually achieving total integration and complete fusion, such as this form is represented by the federal State. This requires us to compare this entity to primary international players such as the federal State and international organizations. The second idea of our research is the notion of functionality and its application in the framework of the European Union. This idea will be approached according to theories of European integration, privileging the neo-functional theory, which is, in our opinion, the most relevant in explaining the process of European integration. Afterwards, we consider the factors to applying this idea to the Union framework and its different forms within the functions and allocations that are recognized by it. We also look at the principles and concepts that preside over the Union’s functions, giving it a specificity and originality

Der volle Inhalt der QuelleIn Health Technology Assessment and Management, Evidence-Based Medicine and many tools available for clinical assessment reflect a positivistic and mechanistic approach to Health Care Organizations and scientific knowledge. We argue that the Complexity Theories and the Systemic decision-making process give a different insight on those two aspects of Clinical Governance in a Surgical Intensive Care Unit (SICU). In a case-study, we describe the nature of critically ill and unstable patients and the organizational structure of a SICU in a university based hospital. We demonstrate all the characteristics of complexity in that setting, through the use of many examples and micro-situational analysis. After an epistemological critical appraisal of EBM, we suggest that if a SICU is conceptualized as a dynamic non-linear adaptative system, then clinical knowledge and scientific thought processes must include hermeneutical, systemic and abductive types of reasoning. Finally, we draw upon Karl Weick’s work and suggest that a SICU must be considered as a High Reliability Organization in order to aim for improving patient care and create better conditions for quality and performance in this complex environment.

Der volle Inhalt der QuelleThe Youth Protection Act states that protective measures may be imposed by a decision of the Youth Tribunal or, alternatively, determined through a voluntary measures agreement (vma) proposed by a youth protection case worker and accepted by the minor and his parents. The research bears on the second mode of law application. It draws up the framework of vma in legal theory and proposes a sociological observation of the practice of vma in cases of severe behavior problems (art. 38h) YP.A.). A scientific framework of vma requires interdisciplinarity. The conceptual origins of this alternative to adjudication must be found in external disciplines and then must be introduced in legal theory. The concept of vma cornes from two different scientific movements, the contractual approach in social work and the contractual governance in law. The latter inc1udes public law transaction, administrative contract and soft law. Both movements belong to a large theoretical wave, now invading the whole of human sciences, inc1uding among others transactional analysis in psychology and contract-based pedagogy. The concept of pedagogical contract identifies this large scientific movement. Although inherently modern, the movement represents a paradigm shift from the private law/public law distinction and requires the construction of the new concept of "normative authority", independent from that distinction, in order to define vma. The sociological research follows the principles of comprehensive interview such as formalized by Jean-Claude Kaufmann. Its goal is to study the effectivity of vma. Interviews with mothers and boys reveal a subjective life experience partially in line with the instrumental function of vma (reaction of open-mindedness and adherence to law), and partially not (reaction of misunderstanding amoung mothers and of fear amoung boys). In the same way, interviews with youth protection case workers reveal motives of action partially in line with the rationality of soft law (c1inical decision and acceptance of self-control), and partially not Gudge-like retrospective attitude and refusaI of the official purpose). Globally, the results show the important potential of effectiveness of vma in terms of concrete protection, but they also reveal the great difficulties of the decision-making job undertaken by the youth protection case workers and the inadequacy of their cognitive background. Sorne of them refuse the new administrative mode because they do not understand its rationality. Then, quite often, the treatment of teenager problems reveals the prevalence of a punitive rationality and the survival, in parental imagery, of the idea of a procedure whose purpose would be to repress a child's resistance to authority, as was the case with the Industrial Schools Act of 1869.
